A RESOLUTION OF THE MIAMI CITY COMMISSION
ACKNOWLEDGING AND APPROVING THE ASSIGNMENT OF
THE VINCAM OCCUPATIONAL HEALTH SERVICES
("VOHS") AGREEMENT TO OCCUPATIONAL HEALTH
SERVICES INC., DATED JUNE 30, 1999, FOR THE
PROVISION OF MANAGED CARE SERVICES FOR
WORKERS' COMPENSATION FOR THE CITY OF MIAMI;
FURTHER AUTHORIZING THE CITY MANAGER TO
EXECUTE ANY NECESSARY DOCUMENT (S), IN A FORM
ACCEPTABLE TO THE CITY ATTORNEY, EFFECTUATING
SAID ASSIGNMENT.
WHEREAS, pursuant to Resolution No. 98-243, adopted
March 10, 1998, authorized the City Manager to execute an
agreement with Vincam Occupational Health Services ("VOHS") for
the provision of managed care services for workers' compensation;
and
WHEREAS, VOHS has advised the City that it has entered into
an agreement to sell all of its rights and interest in providing
services related to case management of workers compensation
claims to Occupational Health Systems, Inc. ("OHS"); and
WHEREAS, the Administration has reviewed OHS qualifications
and it has been determined that the qualifications meet the
minimum required by the City; and
WHEREAS, OHS has agreed to accept the terms and conditions
stipulated under the agreement between the City of Miami and

VOHS; and
WHEREAS, said agreement under its own terms, may not be
assigned or sold without the prior consent of the City
Commission; and
WHEREAS, the City Commission wishes to acknowledge and
approve the assignment of the agreement to Occupational Health
Services, Inc.;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY
OF MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the
Preamble to this Resolution are hereby adopted by reference
thereto and incorporated herein as if fully set forth in this
Section.
Section 2. The assignment of Vincam Occupational Health
Services ("VOHS") agreement to Occupational Health Services,
Inc., dated June 30, 1999, for the provision of managed care
services for workers' compensation for the City of Miami,
Florida, is hereby acknowledged and approved.
Section 3. The City Manager is hereby authorizedl� to
execute any necessary documents in a form acceptable to the City

limited to those prescribed by applicable City Charter and Code

Section 4. This Resolution shall become effective upon

the end of ten calendar days from the date it was passed and adopted.
If the Mayor vetoes this Resolution, it shall become effective
immediately upon override of the veto by the City Commission.

It is respectfully recommended that the City Commission adopt the attached resolution
authorizing the City Manager to accept the assignment of managed care services from
Vincam Occupational Health Systems, Inc. (VOHS) to Occupational Health Services,
Inc.(OHS). OHS will acquire all of the rights and interest in providing services related to
case management of workers' compensation claims under the City's contract with
Vincam Occupational Health Systems, Inc. (VOHS).
This conveyance is allowed under the current contract with VOHS as stipulated under the
assignment clause, with prior written consent of the City. The execution of this
resolution will not have a financial impact on the payment terms of this contract.
BACKGROUND:
RFP 96-07-107 was provided to seek a qualified firm to provide a managed care program
on behalf of the City of Miami. Vincam Occupational Health Systems, Inc. (VOHS) was
awarded this contract and entered into an agreement with the City of Miami on March 19,
1998. The contract period was for an initial term of 2 years with 3 one year extensions.
VOHS has informed us that they have entered into an agreement to sell all of its rights
and interest in providing services related to case management of workers compensation
claims to Occupational Health Systems, Inc. (OHS). We have reviewed OHS'
qualifications and they meet the minimum required under the City's RFP. OHS will
accept all the terms and conditions stipulated under our original agreement with VOHS.
