RESOLUTION NO. 9 9 — 5 96
A RESOLUTION OF THE MIAMI CITY COMMISSION
AUTHORIZING THE CITY MANAGER AND THE
EXECUTIVE DIRECTOR OF THE MIAMI PARKING
SYSTEM TO ENTER INTO DISCUSSIONS AND
NEGOTIATE AN OPERATING AGREEMENT WITH THE
MIAMI-DADE CULTURAL AFFAIRS COUNCIL TO INSURE
THE CONTINUED VITALITY OF THE GUSMAN CENTER
FOR THE PERFORMING ARTS; FURTHER, DIRECTING
THE CITY MANAGER AND THE EXECUTIVE DIRECTOR
OF THE MIAMI PARKING SYSTEM TO SCHEDULE SAID
NEGOTIATED AGREEMENT, IN A FORM ACCEPTABLE TO
THE CITY ATTORNEY, BEFORE THE CITY COMMISSION
FOR ITS REVIEW AND CONSIDERATION IF SUCH
AGREEMENT IS DEEMED APPROPRIATE FOR SAID
PURPOSE.
WHEREAS, the Gusman Center for the Performing Arts is
nationally recognized as an architectural treasure which uniquely
represents the spirit and heritage of the City of Miami; and
WHEREAS, a vibrant and dynamic Gusman Center for the
Performing Arts can and should be a cornerstone of redevelopment
and revitalization of the Downtown Miami business district; and
WHEREAS, the continued vitality of the Gusman Center for the
Performing Arts will require substantial capital improvements
from public and private funds, including funds earmarked from the
Existing Facilities Plan of the Performing Arts Center Trust; and
WHEREAS, the Miami -Dade Cultural Affairs Council and its
staff are well qualified and positioned to implement long term
capital improvement projects, to broaden and expand programming,

education, outreach, and marketing opportunities, and to insure
the continued vitality of the Gusman Center for the Performing
Arts; and
WHEREAS, an agreement of predetermined length, which would
insure the City of Miami maintains ownership of the Gusman Center
for the Performing Arts, but allows the Miami -Dade Cultural
Affairs Council to operate and improve it, would be in the best
interest of the City of Miami;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY
OF MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the
Preamble of this Resolution are hereby adopted by reference
thereto and incorporated herein as if fully set forth in this
Section.
Section 2. The City Manager and the Executive Director
of the Miami Parking System are hereby authorized to enter
discussions and negotiate an operating agreement with the Miami -
Dade Cultural Affairs Council to insure the continued vitality of
the Gusman Center for the Performing Arts.
Section 3. The City Manager and the Executive Director
of the Miami Parking System are hereby directed!:' to schedule said
negotiated agreement, in a form acceptable to the City Attorney,
before the City Commission for its review and consideration if

such agreement is deemed appropriate for said purpose.
Section 4. This Resolution shall become effective
immediately upon its adoption and signature of the Mayor./
PASSED AND ADOPTED this 2nd day of August , 1999.

If the Mayor does not sign this Resolution, it shall become effective at
the end of ten calendar days from the date it was passed and adopted.
If the Mayor vetoes this Resolution, it shall become effective
immediately upon override of the veto by the City Commission.
