A RESOLUTION OF THE MIAMI CITY COMMISSION
AUTHORIZING AND ALLOCATING FUNDS, IN THE
AMOUNT OF $500,000, TO THE MIAMI BEACH
COMMUNITY DEVELOPMENT CORPORATION, PROJECT
SPONSOR FOR THE ACQUISITION AND
REHABILITATION OF AN EIGHTEEN (18) UNIT
HOUSING PROJECT KNOWN AS THE FERNWOOD
APARTMENTS PROJECT, LOCATED AT 935
PENNSYLVANIA AVENUE, MIAMI BEACH, FLORIDA, TO
PROVIDE PERMANENT AFFORDABLE HOUSING
OPPORTUNITIES FOR LOW INCOME, PERSONS LIVING
WITH HIV/AIDS IN MIAMI-DADE COUNTY;
ALLOCATING FUNDS THEREFOR FROM THE FY 1996-99
HOUSING OPPORTUNITIES FOR PERSONS WITH AIDS
(HOPWA) PROGRAM GRANT ACCOUNT NUMBER
194006.590606.6860.94654, FOR THE PROVISION
OF SAID SERVICES; FURTHER AUTHORIZING THE
CITY MANAGER TO EXECUTE ALL NECESSARY
DOCUMENTS, IN A FORM ACCEPTABLE TO THE CITY
ATTORNEY, TO EFFECT SAID ALLOCATION AND
IMPLEMENTATION OF THE PROJECT.
WHEREAS, the Housing Opportunities for Persons With AIDS
(HOPWA) Program was created pursuant to the AIDS Housing
Opportunity Act, and revised pursuant to the Housing and
Community Development Act of 1992; and
WHEREAS, Section 606(d)(2) of the Housing and Community
Development Act of 1992 stipulates that the City of Miami, being
the most populous unit of general local government in an Eligible
Metropolitan Statistical Area (EMSA), not including county
government, must be the applicant for the HOPWA Grant and be

allocated the related funding; and
WHEREAS, the City of Miami has been awarded funding from the
U.S. Department of Housing and Urban Development (HUD) for the
implementation of the 1998-99 HOPWA Program Grant; and
WHEREAS, on March 14, 1998, the City Commission adopted
Ordinance No. 11643, which established a special revenue fund
entitled "Housing Opportunities for Persons With AIDS Grant''
and appropriated $7,732,000 in funding from U.S, HUD for the
implementation and administration of the 1998-99 HOPWA Program;
and
WHEREAS, on April 14, 1998, the City Commission adopted
Resolution No. 98-402.1 which authorized the City Manager to
submit the City of Miami's FY 1998-99 Consolidated Plan and the
projected uses of said HOPWA funds; and
WHEREAS, the HOPWA Advisory Board, at the June 15, 1998
HOPWA Advisory Board meeting, recommended allocating funds in the
amount of $500,000 contingent on the award of Section 811 funding
and $500,000 from the City of Miami Beach, to Miami Beach
Community Development Corporation, project sponsor for the
acquisition and rehabilitation of an eighteen (18) unit apartment
building known as the Fernwood Apartments, located at 935
Pennsylvania Avenue, Miami Beach, Florida (the -'Project''), for
the provision of permanent housing units for low income persons

living with HIV/AIDS; and
WHEREAS, in a letter dated November 30, 1998, HUD notified
the Miami Beach Community Development Corporation that its
application, pursuant to the Section 811 Capital Advance Program,
had been approved, and Capital Advance Authority in the amount of
$1,221,700 had been reserved, along with Project Rental
Assistance Contract and Budget Authority in the amount of $44,200
and $221,000, respectively; and
WHEREAS, Resolution No. 98-22980, passed and adopted by the
City of Miami Beach on December 2, 1998, authorized funds in the
amount of $787,800 from the City of Miami Beach's HOME Program to
the Miami Beach Community Development Corporation for eligible
community housing development projects of which $500,000 has been
allocated to the proposed Fernwood Apartments Project; and
WHEREAS, HOPWA Program funding is available from the City of
Miami 1998-99 HOPWA Program Grant, Account
No. 194006.590606.6860.94654, to fund the aforementioned eighteen
unit project for the provision of permanent housing units for low
income persons living with HIV/AIDS;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY
OF MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the
Preamble to this Resolution are hereby adopted by reference

thereto and incorporated herein as if fully set forth in this
Section.
Section 2. The allocation of funds in the amount of
$500,000 to Miami Beach Community Development Corporation,
project sponsor for the acquisition and rehabilitation of an
eighteen (18) unit apartment building known as the Fernwood
Apartments Project, located at 935 Pennsylvania Avenue, Miami
Beach, Florida, is hereby authorized for the provision of
permanent housing units for low income persons living with
HIV/AIDS, with funds therefor hereby allocated from the FY 1998-
99 Housing Opportunities for Persons With AIDS (HOPWA) Program
Grant, Account No. 194006.590606.6860.94.654.
Section 3. The City Manager is hereby authorized!/ to
execute all necessary documents, in a form acceptable to the city
attorney, to effect said allocation and implementation of the
Project.
Section 4. This Resolution shall become effective upon

RECOMMENDATION:
It is respectfully recommended that the City Commission adopt the attached resolution,
authorizing the City Manager to allocate $500,000 in FY 1998-99 Housing Opportunities for
Persons With AIDS (HOPWA) Program funds to the Miami Beach Community Development
Corporation, project sponsor for the acquisition and rehabilitation of an eighteen (18) unit
housing project. The housing project, known as the Fernwood Apartments Project (the
-- "Project"), is located at .935 Pennsylvania Avenue, Miami Beach, Florida, and will provide
permanent affordable housing opportunities for low income persons living with HIV/AIDS.
Funding for the Project is being provided from the U.S. Department of Housing and Urban
Development from the FY 1998-99 HOPWA Program.
BACKGROUND:
At the April 14, 1998 City Commission meeting, through Resolution No. 98-402.1, the City
Commission approved and authorized the City Manager to submit the City of Miami's FY 1998-
99 Consolidated Plan for planned use of funding from the Community Development Block Grant
Program, HOME Investment Partnership Program, Housing Opportunities for Persons With
AIDS Program and the Emergency Shelter Grant Program. Approximately $7,732,000 in funding
was awarded to the City of Miami from the U.S. Department of Housing and Urban Development
in connection with the implementation of the City's 1998-99 HOPWA Program.
At the July 15, 1998 HOPWA Advisory Board meeting, the HOPWA Advisory Board
recommended allocating $500,000 in FY 1998-99 HOPWA Program funding to Miami Beach
Community Development Corporation, contingent on the award of Section 811 Program funding
from the U.S. Department of Housing and Urban Development and $500,000 from the City of
Miami Beach, in connection with the acquisition and rehabilitation of an eighteen (18) unit
housing project, known as the Fernwood Apartments Project (the "Project"), located in Miami
Beach, Florida. The proposed Project will provide permanent affordable housing opportunities
for low income persons living with HIV/AIDS.
On November 30, 1998 the Miami Beach Community Development Corporation received a letter
from the U.S. Department of Housing and Urban Development, notifying the organization that

their application under the Section 811 Capital Advance Program had been approved for
$1,221,700 in funding for this Project. In addition, the organization was also awarded by U.S.
HUD a Project Rental Assistance Contract and Budget Authority in the amount of $44,200 and
$221,000, respectively for the proposed Project.
On December 2, 1998, through Resolution No. 98-22980, the Mayor and City Commission of
Miami Beach authorized allocating $787,800 in HOME Program funds to the Miami Beach
Community Development Corporation for undertaking the development of eligible community
housing projects in Miami Beach. Approximately $500,000 has been allocated to the proposed
Fernwood Apartments Project.
Funding for the Project is available from the U.S. Department of Housing and Urban
Development from the FY 1998-99 Housing Opportunities for Persons With AIDS (HOPWA)
Program Grant (Account No. 194006.590606.6860.94654). In an effort to provide permanent
housing assistance to eighteen (18) low income persons living with HIV/AIDS throughout Miami -
Dade County, City Commission approval of the attached resolution is recommended.

The Puhlic Hearing originally scheduled for April 13,1999 has been rescheduled
for April 27,1999. This Public Hearing will be held anytime after 10:00 AM during
the regularly scheduled City Commission meeting located at 3500 Pan Americpn,
Drive, Miami, Florida. !
Federal regulations governing the City of Miami Housing Opportunities for
Persons With Aids Program (HOPWA) the Community Development Block Grant
(CDBG) Program, and its Consolidated Plan require that a participating jurisdiction
provide citizens with reasonable notice of and the opportunity to comment on any
substantial amendment to the City of Miami's 1998-1999 Action Plan.
The City of Miami is proposing to reprogram $3,274,764 in available HOPWA
funding from the Long Term Rental Assistance category to the Utilities Assistance
and Permanent Housing Assistance categories.

form acceptable to the City Attorney.
Section 3. The City Manager is further authorized' to execute individual contractual
agreements, in a form acceptable to the City Attorney, with the community based neighborhood
organizations, as approved by the City Commission, for & purpose of implementing
neighborhood economic development, social services and housing development programs, for the
amounts specifically approved by the City Commission, with funds therefor allocated from th,
aforementioned Community Development Block Grant, HOME Investment Partnerships Progams—,
Emergency Shelter Grant, and the Housing Opportunities for Persons with Aids Program..
Section 4. This Resolution shall become effective immediately upon its adoption.

WHEREAS, it is anticipated that the U.S. Department of Housing and Urban
Development (HUD") will award to the City of Miami a grant of S12,655,000 entitled
"Community Development Block Grant (Twenty -Fourth Year)" to provide community
development activities for the period commencing June 1, 1998, and ending May 31, 1999; and

WHEREAS, the City of Miami Department of Community Development projected tt
program income amounting to S3,000,000 will be generated during the period comr,
June 1, 1998, and ending May 31, 1999; and
WHEREAS, HUD approved the programming of said anticipated program income
S3,000,000 to provide community development activities for the period commencing June
1998, and ending May 31, 1999, as set forth in Housing and Urban Development Rules ar.
Regulations Subpart 1, Section 570-506, paragraph (c); and
WHEREAS, City of Miami Department of Community Development recommends th
allocation of the~ 6 3,000,000 program income as follows: S1.5 MWon for the Housin,
Rehabilitation Loan Program including delivery cost; S 1.4 Milfion for Miami Capital Developmen
Inc. Revolving Loan Fund Program, including delivery cost; and S 100,000 for Building
Demolition activities in the City of Miami; and ..>.t
WHEREAS, it is anticipated that HUD will award to the City of Miami a grant of
$4,520,000 entitled "HOME Investment Partnership" ("HOME") to provide community
development activities for the period commencing June 1, 1998, and ending May 31, 1999; and
WHEREAS, HUD approved the reallocation of S200,000 in HOME program income to
be spent on eligible HOME activities in the City of Miami; and
WHEREAS, it is anticipated that HUD will award to the City of Miami a grant of
S50I,000 entitled "Emergency Shelter Grant" to provide community development activities for
the period commencing June 1, 1998, and ending May 31, 1999; and
WHEREAS, it is anticipated that HUD will award to the City of Miami a grant of
$7,732,000 entitled "Housing Opportunities for Persons with AIDS" for the period commencing
June 1, 1998, and ending May 31, 1999; and

Section 3. The herein total appropriation of $28,608,000 shall be used to carry out those,
publicly supported physical development activities and those related social, housing or economic
development activities within a reasonable. period of time in accordance with the rules and
regulations governing the Community Development Block Grant, HOME Investment Partnership
Grant, Emergency Shelter Grant, and the Housing Opportunities for Persons with Aids Grant as
approved by the U.S. Department of Housing and Urban Development.
Section 4. All ordinances or parts of ordinances insofar as they are inconsistent or in
conflict with the provisions of the Ordinance are hereby repealed.
Section 5. If any section, part of section, paragraph, clause, phrase or word of this
Ordinance is declared invalid, the remaining provisions of this Ordinance shall not be affected.

I am pleased to advise you that your Application to rehabilitate housing for persons
with disabilities under the Section 811 Capital Advance Program has been approved for the
following:
An Independent Living Facility consisting of 18 units for 18 persons with physical
disabilities.
Capital Advance authority in the amount of $1,221,700 has been reserved for this project,
along with Project Rental Assistance Contract and Budget Authority of $44,200 and
$221,000, respectively.
Within his authority, the Secretary has waived Statutory and Regulatory provisions
regarding the term and amount of funds reserved for Project Rental Assistance Contracts
(PRAC's) offered in conjunction with this Program. Therefore, the amount of the PRAC
Contract Authority reserved for this project is based on 75 percent, rather than on 100
percent, of the current operating cost standards for the area in which this project is to be
located in order to take into account the average tenant contribution toward the rent.
Additionally, the PRAC will be issued for one five-year term. HUD anticipates that at the
end of the contract term, renewals will be approved subject to the availability of funds.
Please indicate by signing in the space provided whether or not you accept this
Notification, including the special conditions or requirements that are specified herein, and
certify to your understanding that the project must be developed in accordance with the
terrns set forth in this Notification. Return two copies, each with original signatures, to this
Office via Qertified Mail Return Receipt Requested within 14 galendar days from the date
you receive this letter. Additionally, submission must include a Previous Participation
Certification, HUD Form 2530, and resume for your consultant (if a consultant will be

used). If the Sponsor will be the consultant, submission of the HUD 2530 may be
deferrer} until the Owner Corporation has been formed. If this is the case, the documents
for the Consultant must be submitted to this Office immediately upon completion of the
Contractual arrangements. Please advise this Office whether or not a consultant will be
used, and the type of consultant by completing the following:

FUND RESERVATION TERMS AND CONDITIONS
Your acceptance of this Notification constitutes a certification, agreement with, and
understanding by the Sponsor that:
(1) There will not be made any sale, assignment, conveyance, or any other form of
transfer of this Notification, the Fund Reservation, the property or project, or any interest
therein, except transfer from the Sponsor to an approved single -purpose Owner organized
by the Sponsor.
(2) The duration of this Fund Reservation is 18 months from the date of this
Notification. The Fund Reservation will be canceled if construction (or rehabilitation as
applicable) has not commenced within 18 months from the date of this Notification, unless
limited extensions beyond 18 months are approved by HUD. Such extensions will be
reviewed on a case -by -case basis and approvals based upon HUD's determination that the
Owner has established a reasonable schedule and is making sufficient progress toward the
start of construction/rehabilitation.
(3) This Fund Reservation will be subject to cancellation, at HUD's option, in the
event there comes into existence or HUD becomes aware of a preexisting conflict of
interest involving the project on the part of officers or directors of either the Sponsor or
Owner organizations (including affiliates).
(4) An attempt will be made to obtain exemption from State and/or local real and/or
personal property taxes. Evidence of filing, together with the response received from the
taxing authority, must be submitted with the Firm Commitment application in one of the
following forms:
(a) Tax Exemption
(b) Tax Abatement
(c) Payment in Lieu of Taxes (PILOT)
(d) ineligibility for any tax relief

Eligibility for (a), (b), or (c) must be supported by a copy of the appropriate
legislation or ordinance.

(5) One -Step processing is required. Submission of an Application for Firm
Commitment in full compliance with HUD's design/cost standards and all other
programmatic requirements is required within 180 days from the date of this Notification.
The design and cost standards apply to all project regardless of the proposed operating cost
level. The design must not include any prohibited features and must be cost efficient.
(b) HUD will qt amend the amount of the Fund Reservation approved for this
project prior to initial endorsement. Therefore, based on HUD's review of the Firm
Commitment Application, the Sponsor/Owner will be liable for the cost of any front-end
crash requirements should the cost to develop the project exceed the Fund Reservation
Amount.
(7) HUD will pot amend or consider requests to increase the amount of the Project
Rental Assistance Contract Authority approved for this project until after one full year of
project operation.
(8) The Project Rental Assistance funds reserved for the project identified herein
may not be used in connection with any other project, or for any other purpose other than
reasonable and necessary project operating expenses.
(9) Your request to restrict occupancy to persons physically disabled by HIWAIDs
is approved. You must, however, permit occupancy by any otherwise qualified very low
ire -ome person with a disability provided the person can benefit from the housing and/or
services provided.
(10) Special Conditions or Requirements. This Notification of Selection is issued
subject to:
(a) Formation of a legally acceptable, single purpose Owner corporation
within 30 days from the date of this Notification, and submission of
documentation evidencing that action for HUD review and approval.
(b) Capitalization of the Owner Corporation in a sufficient amount to permit
the Owner to meet it's obligations in connection with the project. This includes the
Minimum Capital Investment, start-up costs, excess land costs, ineligible amenities,
excessive construction/rehabilitation costs, and any other funds the Sponsor
specifically commits (or has committed) to the project.
(c) Evidence that the site is under control of the Owner corporation at the
time the Application for Firm Commitment is submitted.
(d) Submission of HUD 2530 Forms (Previous Participation Certifications)
for all officers/directors and board members of the Sponsor Corporation and the
Owner Corporation, as -well as those entities, within 90 days from the date of this
Notification.

(e) Credit investigation clearance of all Officers and Directors of the Owner
Corporation will be conducted by the Department.
(f) Submission of individual Conflict of Interest and Disclosure Certifications
for p15,h officer and director of h9lh the Sponsor and Owner Corporations. These
rnust be submitted with the HUD 2530 Forms within 90 days from the date of this
Notification.
(g) Submission of identity of Interest and Disclosure Certifications for the
Management Agent, Attorney, Architect, Contractor, Consultant, and seller of the
land.
Note: At any time a new development team member is identified or changed, an identity
Disclosure Certification must be submitted. Likewise, any time (for the life of the project)
the Sponsor or Owner changes any officers or directors, an individual Conflict of Interest
Discaosure Certification and HUD 2530 must be submitted, and a credit investigation
performed for the new officer or director.
(11) The site has been found acceptable subject to the following conditions:
(a) The Sponsor must provide assurance that procedures recommended
by the State Division of Historical Resources will be adhered to. Potential adverse
effects to the historic character or significant architectural features the building must
be avoided by undertaking recommended approaches contained in the Secretary of
the interior Standards for Rehabilitation and Guidelines for Rehabilitating Historic
Buildings.
(b) Architectural Plans and/or other documents required by the State
Division of Historical Resources must be submitted to them for review/approval.
(c) The Sponsor must comply with the Uniform Relocation Act and no
displacement of occupants shall occur.
(d) Upon removal of the tanks, contaminated soils, and any associated
impacted materials, the facility must be left in a condition where no further testing
will be required. These costs must be borne by the Sponsor.
(e) The site is located in Floodzone AE; therefore, the proposed
rehabilitation be in compliance with local, state, and federal standards for projects
located in a floodzone.
M Flood insurance must be maintained on all structures within the
project for the duration of the mortgagetfunding agreement.
(g) All leases must contain an acknowledgment signed by the tenants that
they have been advised that the property is in the floodplain and that flood
insurance is available for their personal property.

(h) The Sponsor must prepare an emergency evacuation plan in
coordination with Dade County's emergency preparedness plan.
(i) The Sponsor must submit detailed information on the (current)
residents of the proposed site to determine their eligibility under the Uniform
Relocation Act for benefits. If any persons are determined to be subject to
= displacement, the Sponsor must submit an acceptable relocation budget.
(12) Submission of a land appraisal is required with 30 days from the date of this
Notification. The Owner must hire a Certified General Appraiser licensed in the State of
Florida to perform the appraisal. For Section 811 projects; the Owner may optionally hire
an appraiser from the FHA Residential Appraiser Roster.
(13) HUD is required to review the final plans and specifications only for the Fair
Housing Accessibility Guidelines and Section 504. The Owner's architect will be required
to certify that the project design complies with local codes and ordinances, accessibility,
and program and regulatory requirements. The Owner's architect will also be required to
obtain professional liability insurance in a minimum amount of $50,000 for errors and
omissions, and to keep that insurance in force through the construction of the project and
for a period of three years after project completion.
(14) HUD will not provide an independent cost estimate, but will perform a limited
cost review of the construction cost analysis submitted by the Owner with the Firm
Commitment Application. The Owner is required to provide a construction cost analysis
which includes both a structure and land improvement estimate. Calculation of the
project's Cost Not Attributable to Dwelling Use (CNA) will also be the responsibility of the
professional hired by the Owner; the CNA calculation information will be included on the
construction cost analysis.
To provide you and your development team assistance in developing a proposal
which meets HUD design and cost standards, and other program requirements, you will be
contacted by a HUD Staff Member to schedule a planning conference after HUD has
received and reviewed the appraisal.
In November 1996, HUD published new guidelines and procedures for the
submission, review, and processing of Section 202 and 811applications for firm
commitment through final closing. We have enclosed a copy of HUD Notice H96-102
which outlines the new guidelines and procedures. Please read this Notice very carefully
immediately upon receipt as if affects not only your project fund reservation, but also the
responsibilities of the Sponsor and Owner.
If two copies of this Notification indicating your acceptance are not returned within
14 days from the date you receive this Notice, or if you accept, and a single purpose
Owner corporation fails to submit a Firm Commitment Application within 180 days from
the date of this Notification, HUD may rescind this Notification and cancel the Fund
Reservation.

WHEREAS, on February 18, 1992, the City was designated by the U.S. Department of
Housing and Urban Development (HUD) as a Participating Jurisdiction to receive funding through
the HOME Investment Partnerships (HOME) Program, and
WHEREAS, the intent of the HOME Program is to expand the supply of housing for
income -eligible households and to encourage collaboration with the private sector and not -for -profit
housing providers; and
WHEREAS. on April 8, 1993, the Mayor and City Commission approved Resolution No.
93-20756, designating Miami Beach Community Development Corporation as a Community Housing
Development Organization (CHDO); and
WHEREAS, in accordance with the HOME Program regulations, the City must reserve a
minimum of fifteen (15) percent of each fiscal year's HOME allocation for a CHDO set -aside for
investment in housing to be developed, sponsored or owned by CHDOs; and
WHEREAS, on July 2, 1997. the Mayor and City Commission adopted Resolution No. 97-
22453 approving the One -Year Action Plan for 1997/9h 1 ederal funds, including the fiscal year
t 97/98 budget allocation for the HOME Program CHDO project set -aside; and
WHEREAS, on July 1, 1998, the Mayor and City Commission adopted Resolution No. 98-
72814 approving the One -Year Action Plan for 1998/99 Federal funds, including the fiscal year
1998/99 budget allocation for the HOME Program CHDO project set -aside, and

and authorize the Mayor and City Clerk to execute the attached HOME Program agreement with
