J-99-242 2/22/99 RESOLUTION NO. 9 9 -_ 135 A RESOLUTION OF THE MIAMI CITY COMMISSION CONSENTING TO THE PURCHASE OF THE STOCK OF SOUTHWEST TRANSPORT, INC. D/B/A SOUTHLAND TOWING COMPANY BY ROADONE, A DIVISION OF MILLER INDUSTRIES, A NEW YORK STOCK EXCHANGE COMPANY. WHEREAS, Southland Towing Company ("Southland") has a current contract with the City of Miami ("City") for the provision of towing services; and WHEREAS, RoadOne, a division of Miller Industries, is interested in purchasing the stock of Southland; and WHEREAS, pursuant to Southland's contract with the City, consent to such a purchase must be granted by the City Commission; and WHEREAS, Miller Industries is one of the largest towing and recovery equipment manufacturers in the world with a reported $10+ billion growth; and WHEREAS, since 1997, Miller Industries, through RoadOne, has provided towing services in 50 markets; and WHEREAS, this Resolution seeks the consent of the Miami City Commission to the above described stock purchase; NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY Crry c©MiMMON MEETING OF FEB 2 3 1999 heaolution No. 99- 135 OF MIAMI, FLORIDA: Section 1. The recitals and findings contained in the Preamble to this Resolution are hereby adopted by reference thereto and incorporated herein as if fully set forth in this Section. Section 2. The Miami City Commission hereby consents to the purchase of the stock of Southwest Transport, Inc. d/b/a Southland Towing Company by RoadOne, a division of Miller Industries, a New York Stock Exchange Company.
