A RESOLUTION, OF THE MIAMI CITY COMMISSION,
WITH ATTACHMENT, AUTHORIZING THE CITY MANAGER
TO EXECUTE AN AMENDMENT TO A REVOCABLE
LICENSE AGREEMENT, IN SUBSTANTIALLY THE
ATTACHED FORM, WITH CONCORDE CRUISES, INC., A
SOUTH DAKOTA CORPORATION D/B/A BAYFRONT
VENTURES, FORMERLY KNOWN AS BAYFRONT
VENTURES, A FLORIDA LIMITED PARTNERSHIP, FOR
USE OF APPROXIMATELY 1,800 SQUARE FEET OF
WAREHOUSE SPACE IN THE SERVICE BUILDING AT
THE MILDRED AND CLAUDE PEPPER BAYFRONT PARK
TO EXTEND THE TERM OF THE AGREEMENT UNTIL
JULY 7, 2002, FOR AN ANNUAL PREPAID FEE OF
$15,000, PLUS OTHER CONDITIONS AS MORE
SPECIFICALLY SET FORTH IN THE REVOCABLE
LICENSE AGREEMENT.
WHEREAS, the Bayfront Park Management Trust (Trust) has'
managed the Mildred and Claude Pepper Bayfront Park ("Bayfront
Park") with the goal of ensurin.g maximum community involvement;
and
WHEREAS, the Trust (Licensor) and Concorde Cruises, Inc., a
South Dakota Corporation d/b/a Bayfront Ventures, formerly known
as Bayfront Ventures, a Florida Limited Partnership (Licensee)
entered into a Revocable License Agreement dated July 7, 1998,

for use of certain warehouse space at the Service. Building at
Bayfront Park; and
WHEREAS, the term of the agreement was twenty-four (24)
months from the date of execution; and
WHEREAS, notwithstanding the expiration of the term,
Licensor and Licensee have continued to exercise their
respective rights and obligations under the Agreement, as if the
term of the same had not expired; and
WHEREAS, both Licensee and Licensor deem it in their best
interests to continue the term of the Agreement for an
additional twenty-four (24) months, under the same terms and
conditions;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE
CITY OF MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the
Preamble, to this Resolution are adopted by reference and
incorporated as if fully set forth in this Section.
Section 2. The City Manager is authorized!' to execute
an amendment to a Revocable License Agreement, in the
substantially attached form, with Concorde Gaming, Inc., a South
Dakota Corporation d/b/a Bayfront Ventures, formerly known as
Bayfront Ventures, a Florida Limited Partnership, for use of

approximately 1,800 square feet of warehouse space in the
service building at the Mildred Claude Pepper Bayfront Park, to
to extend the term of the agreement until July 7, 2002, for an
annual prepaid fee of $15,000, plus other conditions as more
specifically set forth in the Revocable License Agreement.
Section 3. This Resolution shall become effective
immediately upon its adoption and signature of the Mayor.�'
PASSED AND ADOPTED this 14th day of December 2000.

In accordance with Miami Code Sec. 2-36, since the Mayor did not indicate approval of
this legislation by s;ignin0 in tide designated place provided, said legislation now
becomes effective with the eiapse of ten (10) days from the date of commission action
regarding same, without the Mayor exercising a vote.

ff If the Mayor does not sign this Resolution, it shall become effective
at the end of ten calendar days from the date it was passed and adopted. If
the mayor vetoes this Resolution, it shall not be effective unless the City
Commission overrides the veto.

Space in Bayfront Park
Service Building
It is respectfully requested that the Miami City Commission adopt the attached Resolution amending
the Revocable License Agreement between the City of Miami and Bayfront Park Management Trust
and Concorde Cruises, Inc., a South Dakota- Corporation d/b/a Bayfront Ventures, formerly known
as Bayfront Ventures, a Florida Limited Partnership.
BACKGROUND
The Bayfront Park Management Trust was created by the Miami City Commission to direct, operate,
manage and maintain all aspects of Bayfront Park with the goal of ensuring maximum community
involvement. The Trust and Concorde Gaming, Inc., a South Dakota Corporation d/b/a Bayfront
Ventures, formerly known as Bayfront Ventures, a Florida Limited Partnership, entered into a
Revocable License Agreement dated July 7, 1998, for use of certain warehouse space at the Service
Building at Mildred and Claude Pepper Bayfront Park. The term of the agreement was twenty-four
(24) months from the date of execution. Notwithstanding the expiration of the term, the Trust and
Bayfront Ventures have continued to exercise their respective rights and obligations under the
Agreement, as if the term of the.same had not expired. Both the Trust and Bayfront Ventures deem
it in their best interests to continue the term of the Agreement for an additional twenty-four (24)
months, under the same terms and conditions. The Bayfront Park Management Trust and the
Executive Director of the Bayfront Park Management Trust recommend that the amendment to the
Revocable License Agreement be accepted.
