A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH
ATTACHMENT(S), AUTHORIZING THE CITY MANAGER TO
EXECUTE AMENDMENT NO. 1 TO THE SUBLEASE
AGREEMENT, IN SUBSTANTIALLY THE ATTACHED FORM,
BETWEEN THE CITY AND ALL FLORIDA TRAFFIC
SCHOOL, FOR THE USE OF OFFICE SPACE AT
3802 NORTHWEST 11TH STREET, MIAMI, FLORIDA, FOR
THE FLAGAMI NEIGHBORHOOD ENHANCEMENT TEAM
SERVICE CENTER AND MINI POLICE SUB -STATION
OFFICES, TO PROVIDE FOR: 1) AN EXTENSION OF THE
TERM OF THE SUBLEASE FOR THREE (3) YEARS
COMMENCING JULY 1, 2000, AT AN ANNUAL FEE OF
$1.00; 2) REIMBURSEMENT TO ALL FLORIDA TRAFFIC
SCHOOL IN THE AMOUNT OF $225.00 PER MONTH FOR
THE COST OF ELECTRIC AND WATER UTILITIES; AND
3) THE EXPANSION OF THE RENTAL PREMISES FROM
r 1,354 SQUARE FEET TO 1,594 SQUARE FEET, WITH
TERMS AND CONDITIONS AS MORE PARTICULARLY SET
FORTH IN THE SUBLEASE AGREEMENT; FURTHER
ALLOCATING FUNDS THEREFOR FROM ACCOUNT CODE
NO. 145001.251113.620.
WHEREAS, the City of Miami entered into a Sublease
Agreement with All Florida Traffic School for the use of
approximately 1,354 square feet of office space for the
Neighborhood Enhancement Team ("NET") Service Center and the
Mini Police Substation located at 3802 Northwest 11th Street,
Miami, Florida, at an annual fee of $1.00; and

WHEREAS, the Sublease Agreement is for a term of four (4)
years commencing on April 1, 1996 and expiring on June 30, 2000;
and
WHEREAS, the Office of NET Administration recommends
negotiating the extension of the Sublease Agreement with All
Florida Traffic School for an additional term of three (3)
years; and
WHEREAS, the NET Service Center and Police Mini Substation
requires additional office space of approximately 240 square
feet at this location; and
WHEREAS, All Florida Traffic School is extending its lease
with Hayday, Inc., owner of the building, for an additional term
of three (3) years; and
WHEREAS, All Florida Traffic School has expressed its
desire to extend the Sublease with the City for a term of three
(3) years, subject to the approval of Hayday, Inc., at an annual
fee of $1.00 plus $225.00 per month to subsidize the cost of
utilities;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE
CITY OF MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the
Preamble to this Resolution are hereby adopted by reference

thereto and .incorporated herein as if fully set forth in this
Section.
Section 2. The City Manager is hereby authorizedl~ to
execute Agreement No. 1 to the Sublease Agreement, in
substantially the attached form, between the City and All
Florida Traffic School for the use of office space at
3802 Northwest 11th Street, Miami, Florida, for the Flagami
Neighborhood Enhancement Team ("NET") Service Center and Mini
Police Substation offices, to provide for: 1) an extension of
the term of the Sublease for three (3) years commencing
July 1, 2000, at an annual fee of $1.00; 2) reimbursement to All
Florida Traffic School in the amount of $225 per month for the
cost of electric and water utilities; and 3) the expansion of
the rental premises from 1,354 square feet to 1,594 square feet,
with terms and conditions as more particularly set forth in the
Sublease Agreement, with funds therefor hereby allocated from
Account Code No. 145001.251113.620.
1~ The herein authorization is further subject to compliance with all
requirements that may be imposed by the City Attorney, including but
not limited to those prescribed by applicable City Charter and Code
provisions.

Section 3. This Resolution shall become effective
immediately upon its adoption and signature of the Mayor.?

RECOMMENDATION
It is respectfully recommended that the City Commission adopt the attached
Resolution, authorizing the City Manager to execute Amendment No. 1 to the
Sublease Agreement with All Dade Traffic School for the use by the City of space at
3802 NW 11th Street, for the Flagami NET Service Center and Mini Police Sub-
Station offices. This Amendment provides for 1) an extension of the term for three
(3) years commencing in July 1, 2000 at an annual fee of $1.00; 2) an increase in the
square footage from 1,354 to 1,594; and 3) reimbursement to All Dade Traffic School
for the cost of electric and water utilities in the amount of $225.00/month.
BACKGROUND
Resolution 92-212 dated March 26, 1996 authorized the City Manager to execute a
Sublease Agreement with All Dade Traffic School to provide office space for Flagami
NET Service Center and the Mini Police Sub-Station for the purpose of providing
better services to the residents. The Agreement was for a term of four years with an
annual rent of $1.00 with the approval of Hayday, Inc., owner of the building.
Hayday, Inc. is extending the. term of the lease with All Dade Traffic School for an
additional term of three (3) years. All Dade Traffic School has expressed its desire of
extending the Sublease with the City for a term of three (3) years with the inclusion
of additional square footage of 240 for a total office space of 1,594 square feet subject
to the approval of Hayday, Inc. This Amendment further provides for the City to
reimburse All Dade Traffic School for the cost of electric and water consumption in
the amount of $225.00/month in addition to the annual fee of $1.00. Funds to cover
the cost of utilities is available in Account Code No. 145001.251113.620 .

AMENDMENT NO. 1 TO SUBLEASE AGREEMENT
This Amendment No. 1 to the Sublease Agreement is entered into this
day of 2000 by and between the City of Miami, a municipal corporation

of the State of Florida (the "Lessee"), and All ~ Traffic School, a for profit
corporation of the State of Florida (the "Lessor") for the purpose of renewing that
certain sublease agreement between the Lessee and Lessor, for the use of office
space for the NET Service Center and the Mini Police Sub-Station.
RECITALS
WHEREAS, Lessee and Lessor entered into a Sublease Agreement dated
May 8th, 1996 authorized by Hayday, Inc. (hereinafter referred to as the "Landlord")
for a portion of the property located at 3800 NW 11th Street, Miami, Florida; and
WHEREAS, the Sublease Agreement is for a term of four years commencing
on April 1, 1996 through June 30, 2000 for the purpose of providing office space for
the NET Service Center and the Mini Police Sub-Station located at 3802 NW 11th
Street, Miami, Florida, consisting of 1,354 square feet; and
WHEREAS, the Mini Police Sub-Station requires additional office space of
approximately 240 square feet at this location; and
WHEREAS, the lease between Hayday, Inc. and Lessor will be extended for
an additional term of three (3) years, a copy of which is attached hereto as Exhibit
"D-1"; and
WHEREAS, Lessor has expressed its desire to extend the Sublease with the
Lessee for a term of three (3) years, subject to the approval of Hayday, Inc.; and

WHEREAS, Lessee in addition to the annual fee of $1.00 shall reimburse
Lessor $225.00 per month to subsidize the cost of utilities
NOW, THEREFORE, in consideration of mutual covenants hereinafter set
forth and in consideration of other valuable consideration the parties covenant and
agree as follows
1. Section 1. of the Sublease entitled "Term Of Sublease Agreement" is
hereby amended by adding the following sentence
This Sublease is hereby extended for a term of three
(3) years, commencing on July 1, 2000 and expiring on
June 30, 2003, unless terminated as provided in Section
14 or Section 15 of the Sublease.
2. Anew Section 2.1 entitled "Description of Premises" is hereby added as
follows
The Lessor hereby leases to Lessee, and Lessee
hereby leases from Lessor office space of approximately
1,594 square feet located at 3802 NW 11th Street,
Miami, Florida as described in Exhibit "B" attached
hereto and made a part hereof, (hereinafter referred as
the "Premises").
3: Section 5. of the Sublease entitled "Utilities" is hereby deleted in its
entirety and replaced with the following.
Commencing July 1, 2000, Lessee shall pay Lessor
the amount of $225.00 per month on the first day of each

month and during the term specified in Section 1 of the
Amendment, as reimbursement to Lessor the electric
and water utility cost. Lessor, at its sole cost and
expense, shall pay for the garbage and trash removal.
4. Exhibit "D" is replaced with Exhibit "D-1".
Except as specifically provided herein, all of the terms and provisions of the
Sublease Agreement shall remain in effect.
