HomeMy WebLinkAboutR-00-0536J-00-558 6/16/00 RESOLUTION NO. is a. :� 59Q-"6 A RESOLUTION OF THE MIAMI CITY COMMISSION AUTHORIZING THE CITY MANAGER TO EXECUTE A PERMIT AGREEMENT, IN SUBSTANTIALLY THE ATTACHED FORM, BETWEEN THE CITY OF MIAMI AND MIAMI-DADE COUNTY FOR THE USE OF 1,200 SQUARE FEET OF OFFICE SPACE LOCATED AT 3750 SOUTH DIXIE HIGHWAY, MIAMI, FLORIDA, FOR THE OFFICE OF WORKFORCE DEVELOPMENT FOR AN INITIAL TERM OF ONE (1) YEAR, UNDER THE TERMS AND CONDITIONS MORE PARTICULARLY SET FORTH IN. SAID AGREEMENT; AT A GROSS RATE OF $9.50 PER SQUARE FOOT, FOR A MONTHLY COST .OF $950; PROVIDING FOR THE EXTENSION OF THIS AGREEMENT FOR ONE (1) YEAR, SUBJECT TO THE SAME TERMS AND CONDITIONS AND THE AVAILABILITY OF FUNDS; ALLOCATING FUNDS THEREFOR FROM ACCOUNT CODE NOS. 184092.454.014.620, 184094.454.015.620 AND 184094.454.019.620. WHEREAS, the City of Miami Office of Workforce Development is opening an office in the Coconut Grove Area to meet grant funding requirements for the provision of expanded services; and WHEREAS, the City of Miami's Office of Workforce Development has determined that the space located at 3750 South Dixie Highway, Miami, Florida is suitable for the requirements of the program and the execution of a Permit Agreement ("Agreement") is in required; and WHEREAS, all costs associated with the Agreement and expansion of services will be paid from grant sources and will not require a contribution from the general fund; ATTACHMENT 195) 7` CITY COMMISSION MEETING OF J U N 2 9 2000 lwsolution Tdo. .7 NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Section 1. The recitals and findings contained in the Preamble to this Resolution are hereby adopted by reference thereto and incorporated herein as if fully set forth in this Section. Section 2. The City Manager is hereby authorizedl/ to execute a Permit Agreement, in the substantially attached form, between the City of Miami and Miami -Dade County, for the use of 1,200 square feet of office space at 3750 South Dixie Highway, Miami, Florida, for the City of Miami Office of Workforce Development, for an initial term of one (1) year, under the terms and conditions as more particularly set forth in the Agreement, at a gross rate of $9.50 per square foot, for a monthly cost of $950; providing for an extension of one (1) year, subject to the same terms and conditions and availability of funds; allocating funds therefor from Account Code Nos. 184092.454.014.620, 184094.454.015.620 and 184094.454.019.620. �i The herein authorization is further subject to compliance with all requirements that may be imposed by the City Attorney, including but not limited to those prescribed by applicable City Charter and Code provisions. If the Mayor vetoes this Resolution, it shall become effective immediately upon override of the veto by the City Commission. Page 3 of 3 PERMIT AGREEMENT 1. TERMS AND AGREEMENT This Permit by and between Miami -Dade County, a political subdivision of the State of Florida, (the County) hereby issues this Permit to permit the City of Miami, a municipal corporation of the State of Florida, (the Permittee) the use of the following described County Property: Approximately 1,200 square feet located at 3750 South Dixie Highway, Miami, together with off-street parking in common with other tenants; to be used as a Workforce Investment Act One -Stop Career Center and performance of work incidental thereto for a term of one (1) year, commencing upon execution by the Miami -Dade County Manager, or his designee, and terminating one (1) year thereafter, for a total rental of ELEVEN THOUSAND FOUR HUNDRED Dollars and No/100 ($11,400.00), payable in twelve (12) equal monthly installments of NINE HUNDRED FIFTY Dollars and No/100 ($950.00), payable in advance on the first day of each month to.the Board of County Commissioners, c/o General Services Administration; I11 N.W. 1 Street,'Suite 2460, Miami, Florida 33128-1907. }' Should the Permittee wish to use the County property for additional services, it must first obtain the approval of the County Manager or his designee. The Permittee shall not conduct any business or f activity on the County property not specifically authorized by this Permit. 2. TERMINATION (or CANCELLATION) Either party shall have the right to terminate this Agreement at any time upon ninety (90) days written notice sent by registered or certified mail to the other party prior to its effective date. In- the event of loss of program funding, Permittee shall have the right to cancel this Permit Agreement by giving the County at least thirty (30) days written notice prior to its effective date. 3. ASSIGNMENT The Permittee may not assign this Permit. 4. MAINTENANCE and UTILITIES The Permittee shall take proper care of said premises at its own cost and- expense. Upon the expiration or cancellation of this Permit, the Permittee shall deliver said premises to the County in a clean, sanitary, and neat condition and in at least as good a condition as it was in at the commencement of this Permit, normal wear and tear excepted. The County, during the term hereof, shall furnish at no cost to the Permittee the following: janitorial and custodial services, water, waste disposal, electricity, air-conditioning and all other utilities used by the Permittee, except Permittee shall be responsible for providing and paying for any telephone installation or on-going operating costs thereof. The County shall have no obligation to provide utilities to the premises in addition to those existing at the time of the execution of this Permit 2 Property # 4120-01-06 (Permit) U 030 5. INDEMNIFICATION AND HOLD HARMLESS The Permittee shall indemnify and save the County harmless from any and all claims, liability, losses, and causes of action which may arise out of the actions or negligence in whole or in part of the Permittee, its agents or employees, to the extent of the limitations included within Florida Statute, Section 768.28 and shall further indemnify and save harmless the County from any and all judgments in excess of the limitations of said Section, 768.28 which are required to be paid by act of the state legislature. However, nothing herein shall be deemed to indemnify the County for any liability or claim arising out of the negligent performance or lack of performance of the County or as a result of the negligence of any unrelated third party. 6. INSURANCE The Permittee warrants it is self-insured. ,F 7. LAW, REGULATIONS, AND PERMITS The Permittee will comply with all applicable statutes, ordinances, rules, orders, regulations, and requirements of the Federal, State, County, or City Governments. 8. RIGHT OF ENTRY The County or any of its agents shall have the right to enter upon said premises during all reasonable, working hours to examine the same. 9. PERSONAL PROPERTY All personal property placed or moved to, in, or on said premises shall be at risk of the Permittee. The County shall not be liable for any loss of or damage to said personal property unless caused by .or due to the negligence of the County, County's agents or employees, to the extent of limitations of Florida Statute 768.28. 10. NOTICES All notices, requests, demands, consents, approvals, and other communications which are required to be served or given hereunder, shall be in writing and shall be sent by registered mail or certified U.S. mail, return receipt requested, postage prepaid, addressed to the party to receive such notices as follows: COUNTY: PERMITTEE: Miami -Dade County City of Miami General Services Administration Department of Asset Management 111 N.W. Notices given in compliance with this Section shall be deemed given when placed in the mail. 11. RENEWAL This Permit shall be renewable for one (1) additional one-year period upon at least sixty (60) days written request by Permittee to the County, prior to the expiration date thereof. 12. ADDITIONAL PROVISIONS 1. _Mechanic's, Materialmen's and Other Liens Permittee agrees that it will not permit any mechanic's, materialmen's or other liens to stand against the demised premises for work or materials furnished to Permittee; it being provided, however, that, Permittee shall have the right to contest 'the validity thereof_'Termittee shall immediately pay any judgment or decree rendered. against Permittee, with all proper costs and charges, and shall cause any such lien to be released off record without cost to County. 2. Non -Discrimination The Board of County Commissioners declared and established as a matter of -policy, by: Resolution No. 9601 dated March 24, 1-964, that there shall be no discrimination based on race, color, creed, or national origin and Resolution No. 85-92 dated January 21, 1992, that there shall be no discrimination on the basis of disability in connection with any County property or facilities operated or maintained under lease, license, or other agreement from MIAMI-DADE COUNTY or its agencies. Permittee agrees to comply with the intention of Resolution No. 9601 dated March 24, 1964 and Resolution No. 85-92 dated January 21, 1992, involving the use, operation, and maintenance of the property and facilities included in this Lease Agreement. This Agreement is for the use of approximately 1,200 square feet of office space for the Office of Workforce Development located at 3750 South Dixie Highway, Miami, Florida. The term of the Agreement is for One (1) year with a One (1) year option. The monthly fee will be $950.00 and with terms and conditions as more particularly set forth in the Agreement. BACKGROUND: The opening of the City of Miami Office of Workforce Development in the Coconut Grove Area from which to provide expanded services is necessary to meet grant funding requirements. The Office of Workforce Development has determined that the space located at 3750 South Dixie Highway, Miami, Florida is suitable for the requirements of their program. All costs associated with this lease and expansion of services will be paid from grant sources and will not require a contribution from the general fund. Highlights of the Agreement are as follows: Use Period: One (1) Year commencing upon execution by the County Manager. Options: The agreement can be renewed for an additional one (1) year period with at least sixty (60) days written notice to the County. Use Fee: $ 950.00/mo. ($11,400.00/yr) $ 9.50 per square feet. Utilities: All utilities, with the exception of telephone, will be paid by the County. Adjustment to Monthly Fee: None. Security Deposit: None. Taxes: All Taxes will be paid by the County. Comparable Rates: Comparables obtained for office space in the immediate area ranged from $12.00 to $20.00 per square foot.
