A RESOLUTION OF THE MIAMI CITY COMMISSION
AUTHORIZING THE CITY MANAGER TO NEGOTIATE
AND EXECUTE AN EXTENSION TO THE USE
AGREEMENT, IN A FORM ACCEPTABLE TO THE CITY
ATTORNEY, WITH TOWER ART .CENTER AT LATIN
QUARTER, INC., FOR THE CONTINUED USE OF THE
TOWER THEATER LOCATED AT 1508
SOUTHWEST 8TH STREET, MIAMI, FLORIDA, ON AN
INTERIM BASIS WHILE THE CITY AND TOWER
THEATER FINALIZE NEGOTIATION OF A MANAGEMENT
AGREEMENT BETWEEN THE PARTIES; WITH TERMS
AND CONDITIONS AS MORE PARTICULARLY SET
FORTH IN SAID AGREEMENT.
WHEREAS, the City of Miami (the "City") is owner of certain
real property located at 1508 Southwest 8th_ Street, Miami,
Florida, (the "Tower Theater"); and
WHEREAS, Resolution 00-221, adopted on March 9, 2000,
authorized the City Manager to negotiate and execute a Use
Agreement (the "Agreement") with Tower Art Center at Latin
Quarter, Inc. (the "Provider") for the use of the Tower Theater
for the purpose of staging the Miami Hispanic Film Festival
scheduled April 28 through May 7, 2000, subject to construction
of the Tower Theater being substantially complete and all permits
required for its occupancy being obtained; and
WHEREAS, the City and the Provider are currently finalizing
negotiations of a Management Agreement for the Provider's
management of the Tower Theater; and

WHEREAS, the Management Agreement may not be fully executed
prior to the expiration of the Use Agreement; and
WHEREAS, the City and the Provider find it to be in the best
interest of the parties to allow the Tower Theater to remain open
on an interim basis while the Management Agreement is finalized;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY
OF MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the
Preamble to this Resolution are hereby adopted by reference
thereto and incorporated herein as if fully set forth in this
Section.
Section 2. The City Manager is hereby authorizedll to
negotiate and execute an extension to the Use Agreement, in a
form acceptable to the City Attorney, between the City of Miami
(the "City") and Tower Art Center at Latin Quarter, Inc. (the
"Provider"), for the continued use by the Provider, on an interim
basis, of the Tower Theater located at 1508 SW 8 Street, Miami,
Florida (the "Tower Theater") for the purpose of allowing the

Tower Theater to remain open while the parties complete
negotiation of the Management Agreement.
Section 3. This Resolution shall become effective
immediately upon its adoption and signature of the Mayor./

If the Mayor does not sign this Resolution, it shall become effective at
the end of ten calendar days from the date it was passed and adopted.
If the Mayor vetoes this Resolution, it shall become effective
immediately upon override of the veto by the City Commission.

RECOMMENDATION:
The administration recommends that the Miami City Commission approve the attached
Resolution authorizing the City Manager to negotiate and execute an extension to the Use
Agreement (the "Agreement"), in a form acceptable to the City Attorney, with Tower Art Center
at Latin Quarter, .Inc. (the "Provider"), for the continued use of the Tower Theater located at
1508 SW 8 Street, Miami, Florida on an interim basis, while the City and the Provider finalize
negotiations of a management agreement.
BACKGROUND:
The City of Miami (the "City") is owner of certain real property located at 1508 S. W. 8th Street,
Miami, Florida, (the "Tower Theater"). On March 9, 2000, the City Commission adopted
Resolution 00-221 authorizing the City Manager to negotiate and execute a use agreement (the
"Use Agreement") with Tower Art Center At Latin Quarter, Inc. (the "Provider") for the use of
the Tower Theater for the purpose of staging the Miami Hispanic Film Festival. The Use
Agreement will expire May 7, 2000. The City and the Provider are currently finalizing
negotiations of a Management Agreement for the Provider's management of the Tower Theater.
The Management Agreement may not be fully executed prior to the expiration of the Use
Agreement. The City and the Provider find it to be in the best interest of the parties to allow the
Tower Theater to remain open on an interim basis while the Management Agreement is finalized.
