FOR THE DEPARTMENT OF GENERAL SERVICES ADMINISTRATION, IN AN AMOUNT NOT TO EXCEED $2,117,000; ALLOCATING FUNDS FROM CAPITAL IMPROVEMENTS PROJECT NO. 311052.429401.6.840. WHEREAS, the Department of General Services Administration is requesting to upgrade the outdated, 17 -year-old analog microwave system to a CM6HC digital platform that is fully compatible with the 800 MHz radio equipment, components and accessories upgrade that is being proposed for City use; and WHEREAS, the microwave system is an integral part of the City's 800 MHz radio system used to route voice and data signals between sites and the dispatch center; and OZTY COMUSSION MEETIR*G ()F OCT 7cal itesulution war, '. 60 a F 4 WHEREAS, the City Manager has determined that it is not practical or advantageous to acquire the Microwave System upgrade by following competitive sealed bidding procedures; and WHEREAS, the upgrades would ensure that all critical system elements that impact the performance, capability, and timing of the system implementation run smoothly; and WHEREAS, funds are available from Capital Improvements Project No. 311052.429401.6.840; NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted by reference and incorporated as is fully set forth in this Section. Section 2. By four-fifths (4/5th*) affirmative vote of the members of the City Commission, after a duly advertised public hearing, the City Manager's finding that competitive sealed bidding procedures are not practical and advantageous for the acquisition, installation, optimization and interface of the CM6HC digital microwave system with the 800 MHz trunked radio system, as more particularly set forth in Attachments A, B and C, is ratified, approved and confirmed, and the acquisition of said upgrades from Motorola, Inc. for the Department of General Services Administration, in an amount not to exceed $2,117,000, Page 2 of 3 ate" ink V i • • is authorized, with funds allocated from Capital Improvements Project No. 311052.429401.6.840. System Integration & Statement of Work 5.1. Partnership with the City of Miami For the successful completion of this project, Motorola and the City of Miami must jointly plan and complete several tasks relating to system implementation. Close cooperation and communications are essential for a successful system implementation process. Working together is the key to getting the job done; the following Statement of Work is a sound starting point. This Statement of Work provides details for the upgrade of your communications system. 5.2 Statement of Work Mission Statement Provide a document that defines and facilitates the Cin of Miami and Motorola's involvement in the tasks and objectives required to successfully implement the trunked system and to facilitate all upgrades. 5.3= Statement of Work Defined This Statement of Work (SOW) summarizes the deliverables for the City of Miami's upgraded 800 MHz Trunked Radio System. It describes our most current understanding of the work required by both the City of Miami and Motorola to ensure a successful implementation of the system described in the "System Description" section of this proposal. Details on the actual work involved for installation, what installation standards will be followed, and what the responsibilities are for both Motorola and the City of Miami during project implementation are provided in this SOW, to the extent possible, based on information provided by the City of Miami. If changes are made to the scope of work during the negotiation process with the City of Miami, then these changes must be reflected in this SOW and other referenced sections of this proposal before becoming binding on either party. The changes will be noted in a Memorandum of Change and incorporated into the Contract. This SOW will be a part of; ,and an exhibit to, the Contract terms and conditions that will be established between Motorola and the City of Miami. After the project SOW is amended into the Contract, changes may be made through a formal contract amendment process as set forth in the Contract. 5,4 - General The Motorola Systems Integration Process will ensure that the implementation of the new City of Miami System Upgrade will t adhere to the highest quality :{ standards in the industry. Manufacturing, System Staging, ' System Installation, System Optimization, System Testing / Evaluation, and System Cutover / Acceptance. This proven integration process provides Motorola the ability to monitor and control all aspects of the implementation, ensuring a successful completion. Motorola's schedules and project planning follow the established Systems Integration Process, which will deliver the desired results of a timely completion, Six Sigma quality, and Total Customer Satisfaction. Motorola has developed a turnkey, totally integrated 800 MHz trunked SMARTNET communications upgrade solution for the City of Miami. Motorola's experience in the design and implementation of 800 MHz communications systems is unparalleled in the industry. The successful integration of the City of Miami's proposed system requires an experienced system implementation team using the latest in planning and scheduling techniques. There are many resources that must be managed to insure that a quality implementation is completed on time. The project team will be lead by the Project Manager. The Project Manager and System Engineer will make up the core team and these key individuals will direct all other resources, that will be used during the project. The PM will have full responsibility for the successful completion of the project and will be the focal point for all communications between the City of Miami and Motorola during the system implementation. The PM will be responsible for the total project in accordance with the contractual schedule requirements and the technical / financial objectives of the contract. The PM will be fully authorized by Motorola management to make all decisions necessary to facilitate the implementation of the upgrade communications system. The PM will also have the full authority to direct all members of the Motorola project team with -respect to any aspect of the Project. In addition, the PM will have direct access to senior Motorola management to ensure a rapid resolution of any major contractual issues that may arise during the implementation of the upgrade system. The PM will be directly responsible for the following: • Reviewing and controlling final system design issues • Project schedules • Equipment orders and deliveries • Equipment inventories • Subcontracts • Equipment installation • System testing and optimization • Documentation • All duties required to ensure a completely operational system To maintain project monitoring and control, and to keep the City of Miami abreast of project status, the PM will submit a monthly Schedule update, Risk analysis, and Project Status Report, The Status Report will clearly show Current Issues & Actions, Work Completed in last month and work planned in the next month. The PM will attend each monthly project meeting to personally review system implementation progress with the City of Miami. The City of Mia 800 MHz Trunll 5.7 Systems Engineer U • ration & Statement of Work It is the Systems Engineer's responsibility to ensure the integrity of the system design. The PM will be responsible for coordinating the engineering team's efforts and subsystem integration to bring the City of Miami a quality system and a smooth technical implementation. 5.8 Motorola System Technologist The System Technologist is a highly experienced and trained individual specializing in the optimization and troubleshooting of large, two-way RF communication systems. He/she will supervise the optimization process and will work with the local Motorola service technicians to complete their application-specific training on the system. Service technicians will be trained from a system level down to specific troubleshooting and repair techniques. In addition, the System Technologist will work with the Motorola Project Manager and the City of Miami representative in deciding upon the best configuration for, and then programming of, the system parameters. 5.9 Motorola Project Installation Supervisor The_�Project Installation Supervisor will assist the Project Manager during the site construction and equipment installation phases of the project. The Project Installation Supervisor will keep fully up to date on all aspects of the project and will be able to assume the Project Manager's role in case of any unforeseen circumstances. 5.10 Local Motorola Service Center Motorola will utilize local Motorola -approved Service Shops to provide field installation, optimization, and warranty support. Service technicians from the local shop will participate in the system implementation, integration, and cut over phases. Such participation will ensure that service technicians gain a complete and thorough understanding of the City of Miami's upgraded radio system's design and technical features. This will allow them support the system after the project is completed and during the warranty period and afterwards, if the City of Miami chooses to use Motorola - provided maintenance service. The Motorola Service Center facility personnel will also be fully involved in the system implementation, integration and cutover. The City of Miamiarida • 800 MHz Trunked Radio System Upgrade System Integration & Statement of Work System, in order to provide satisfactory, ongoing system support during the system warranty period. 5.11 The City of Miami Project Manager To ensure.. a timely and successful system implementation, the City of Miami and Motorola must work as a team. It is Motorola's experience that the team spirit for a successful system implementation is best supported by the customer designating its own Project Manager to represent its interests and to act as a single point of contact for all system issues and in all matters regarding the contract. This individual will be considered part of the implementation team and play a vital role in the implementation process. It is recommended this individual be given the same authority in representing the City of Miami's interests in the project as outlined for the Motorola Project Manager above. All official communication under this contract would be conducted between the City of Miami Project Manager and the Motorola Project Manager. This is not to say that other concerned individuals are not welcome to be active participants in the project, but it is essential that a direct relationship between the Project Managers be established. It will be the responsibility of this individual to coordinate as required with all other parties within the City of Miami's organization and/or its support contractors and employees in all matters regarding this project. This representative will hereinafter be referred to as the "The City of Miami's Project Manager." 5.12 System Implementation Work Plan An effective method must be established to ensure not only a timely and orderly implementation, but also one that optimizes system effectiveness. This proposal section will outline Motorola's understanding of the City of Miami's requirements along with the Project Management and System Integration processes that Motorola will incorporate throughout system implementation to ensure the City of Miami users a smooth and efficient transition to the upgraded communication system. Motorola's process for the integration of systems such as the City of Miami's upgraded 800 MHz Trunked Radio System, will ensure that the implementation adheres to the highest quality and process standards in the telecommunications industry. Several of the steps of this System Integration process parallel and complement the Motorola Project Management Team activities previously discussed. Motorola has developed the implementation plan contained herein, for most efficient utilization of Motorola resources and earliest possible completion of the project. 5.13 Design Review The implementation process will begin with a detailed design review and a project kickoff meeting. This meeting will clarify the system design, identify any special product requirements and their impact on system implementation, and redefine the system implementation plan. A discussion of the cutover plan and methods to document a detailed procedure for cutover will begin at this meeting. This meeting; will also introduce all members of the Motorola Project Manager's Implementation Team and establish the point of contact with the City of Miami's project team and Project Manager. Finally, this meeting will allow the Project Managers to assign an initial list: of project tasks to appropriate team members. 5.14 Project Schedules Detailed project schedules are an integral part of the management of the project, and will be produced by the Motorola team to provide a time -line analysis for all phases of the system. The schedule and its subsets will emphasize all of the milestones and critical paths, which are essential for the successful completion of the project. Motorola will provide this schedule as a result of the City's final plan. During the manufacturing process, most of the field site preparation activities will be underway. The sites should be prepared for installation when the equipment ships from the staging facility. I+ The manufacturing facility will test each subsystem from its base kit or module level up to the complete subsystem. In addition to the individual tests applied to all units shipped, Motorola's Product Quality Engineering Department performs additional tests on periodic samples. These additional tests include performance tests under environmental extremes (e.g., temperature, humidity, vibration, etc.). 5.16 Motorola Factory Staging Facility In addition to the factory production tests, Motorola proposes to provide factory staging for all major fixed -end equipment required for the system installation. After the RF equipment is manufactured, it will be sent to the Customer Center for Systems Integration (CCSI) facility in Schaumburg, Illinois. Motorola's CCSI facility is unique to the ., • ..r. t telecommunications industry and is ISO 9000 certified for its quality processes and procedures. The facility covers 38,000 _ - square feet, and features 27 cluster - -F',..% assembly areas with under -floor power systems to enable complete staging and pre -testing of customers' communications systems before they are shipped. The City of Miami's equipment will be inventoried ® and any required field assembly will be _: performed here. Once all system components are assembled, a step- by-step testing of all system components and functionality will take place. The intent of the staging effort is to verify system performance and simplify the field installation effort at the various final installation locations. During system staging, . equipment functionality and performance acceptance tests will be performed. The City of Miami representatives are welcome to witness the staging effort. This will allow for a first hand' demonstration of all working aspects of the Fixed Network Equipment. This experience would be invaluable to City personnel involved with the management and operation of the system. Many of these functionality tests will be performed again in the field, after final installation and system optimization. Motorola's Program Manager at the staging facility will coordinate the staging effort and report all ongoing staging and preliminary testing activities to the City of Miami. The following steps outlines the staging process: • Stage all RF FNE equipment • Set up and rack the system equipment on a site -by -site basis, as it will be configured in the field at the customer sites. Physical set up and location of hardware will comply with approved City of Miami site layout plans. The City of Miamiarida • 800 MHz Trunked Radio System Upgrade System Integration & Statement of Work • System packing for shipment to final destination • Arrange for shipment to the field. 5.16.1 CCSI Acceptance Test Plan Prior to the staging effort in Schaumburg, IL, Motorola and the City of Miami will agree to the functional tests to be completed at CCSI. Motorola is requesting two representatives from the City of Miami to validate the functional test procedure at CCSI. 5.17 System Field Installation After the completion of the factory staging effort, the City of Miami system upgrade will be shipped to the field. All staged equipment will be transported by specially selected electronics carriers to maintain the highest level of protection during shipment. Motorola will deliver the equipment directly to the sites of installation, or another secure facility designated by the City. Access to the City of Miami sites by Motorola and Motorola subcontractor personnel will be arranged prior to the delivery dates. The inventory will be conducted as the equipment is delivered at each site, by both Motorola and the City of Miami representatives. Upon completion of the inventory at the site, both Motorola and the City of Miami representatives will sign off on the lists to confirm delivery and note any --missing items. All equipment will be installed per the equipment CCSI and field engineering design documentation. Prior to commencing work, Motorola will ensure that proper notification is given to the City and that all required permits have been obtained. Any changes to the installation will be noted and included with the final As -Built documentation of the system. The As -Built documents will be provided along with the maintenance and operator manuals. 5.18 System Optimization Upon completion of the installation process, the system will be optimized. A Motorola Systems Technologist, under the direction of the Motorola Project Manager and System Engineer, will perform optimization. The optimization will involve verification of all functional parameters to ensure that all the equipment settings are set correctly. The acceptance test procedures will be detailed during the final system design and must be agreed upon by Motorola and the City of Miami prior to contract signing. The purpose of the Acceptance Test Plan will be to verify the operational functionality of the individual components of the system as well as the system operation as a whole. System Acceptance Testing can commence when the sites have been installed and configured to the final customer configuration. The successful completion of ATP will ensure that the City of Miami is satisfied with the system functionality and that this phase of the project is acceptable and complete. All issues that arise during the ATP are to be fully .documented and resolved to the satisfaction of the customer before acceptance can be achieved. 5.19.1 Scope 4f Document See Acceptance Test Procedures, (ATP) section. In the event that any task fails in the initial test, that particular task will be retested when Motorola determines that corrective action has been taken to enable the task to complete its test. If any correction was made to the software databases or hardware, and upon the discretion of both the City of Miami and Motorola, the entire subsystem test may be retested to ensure that the correction did not have any adverse effect on the other data from the subsystem. A failure of a task in a subsystem test shall not delay testing of the other subsystems unless there is a co-dependency between sub -systems. Upon test failure, Motorola will determine and report the reason for failure and take the appropriate actions necessary to correct the failure.. Upon successful completion of the test procedure of a subsystem, that individual subsystem will be signed off as completed, and testing will continue on the other subsystems. Any failed portion of the test that is the responsibility of Motorola will be added to a punch list. When all punch list items have been corrected, only the punch list items will be re -tested. When the punch list items affect more than one subsystem, all the affected subsystems will be re -tested to ensure compatibility with the corrected subsystem. The failed components (hardware) of the subsystem are to he identified as a device failure and replaced under normal part replacement procedures. fihis type of failure will not be considered a punch list item since it would not require a'design modification. Any failure related to the technology of the system will be identified on the punch list for resolution. All SATP test procedures will be conducted by Motorola and the City of Miami personnel. If there is a delay in testing as a result of a City of Miami related issue, Motorola would expect the problem causing the delay to be resolved within 48 hours. When all 'the tasks in a particular subsystem have passed their tests, the subsystem will be considered accepted. When all the subsystems have been accepted and the system test accepted, the SATP will be considered successfully completed and system acceptance will occur. 5.20 Conditional Acceptance/Beneficial Use After the successful completion of the Acceptance Testing, the City of Miami will be ready to begin using the system. This will mark the conditional acceptance of the system. During the City of Miami system upgrade, a cutover plan will be formulated to identify each phase that would impact the system. Motorola will work directly with the City's departments, dispatch personnel, and their supervisors to ensure that an effective transition occurs from existing radio systems to each one of the new 800 MHz system upgrades. It is the intention of each cutover plan to properly coordinate the transition onto the upgraded system, and the manner in which each department is expected to communicate during the transition. A timetable or commonly called "timeline" will be formulated that will detail the necessary steps and the anticipated time required to accomplish each task. During system cutover and completion of the performance verification process, a "punch list" will be generated, noting any corrections, which may be required to be made prior to final system acceptance. A resolution to each punch list item will be mutually agreed to and a time frame for satisfactory completion will be listed. When the punch list items have been resolved, and the final documentation delivered, the City of Miami and Motorola will execute final system acceptance. 5.21 Design Documentation Motorola has included with this proposal some design documentation to represent the technical and conceptual design and implementation plan as envisioned by Motorola. Upon receiving approval and acceptance of the design frgm the City of Miami and after conducting individual site audits, Motorola will provide individual drawings for each unique site, to have a complete set of documentation on'record. Motorola is excited to have the opportunity to serve the needs of the City of Miami. Using proven techniques and processes conducted by highly skilled professionals, Motorola plans on proving our conunitment to the total satisfaction of the City of Miami. 5.23 Motorola and Customer Responsibilities This section details the responsibilities for the upgrade design and implementation of the City of Miami 800 MHz system. The areas are delineated for both Motorola and the City of Miami. In addition to these general responsibilities, responsibilities specific to a task or s1le are noted under that specific heading. 5.23.1 Motorola Responsibilities For Sites 5.23.1.1 General Motorola will supply the equipment required to implement the system as purchased (listed in Equipment List attached herewith). Motorola will furnish installation hardware, fasteners, fixtures, cabling, connectors, and all required labor and materials to provide a functional system to the City of Miami. 513.1.2 Project Manager As was described previously in this section Motorola will provide a designated Project Manager. Motorola will provide As -Built documentation from the Motorola Center for Systems Integration (CCSI). 5.23.1.4 Standards of Work All Motorola provided equipment used in the system will be designed and manufactured to meet or exceed the minimum technical standards required for operation in the upgrade environment. The installation techniques used for that equipment shall comply with Motorola Quality Standards for Fixed Network Equipment (FNE) Installations (R56), National Electric Code, and all other applicable codes and ordinances in force at the time of proposal submittal. All work shall be performed in a good workmanship manner in accordance with Motorola's "Quality and Site Installation Standards". Motorola will exercise due care and diligence generally associated with the design and implementation of the best quality communications system. Motorola will utilize the existing interior ground system of the buildings to provide suitable grounding points for the communications equipment. Motorola will report existing deficiencies to the City for correction prior to installation. 5.23.1.5 RF Channel Plan and Site Utilization Motorola is not responsible for co -channel interference due to errors in frequency coordination by APCO or any other unlisted frequencies or the improper design, installation, or operation of systems installed or operated by others. In the event an interfering signal exists, Motorola will assist the City of Miami in locating the interfering signal. Costs to mitigate this interference have not been included in this proposal and will be handled by change order. 5.23.1.6 Existing Equipment Motorola has included in its proposal the removal of the, current equipment to a place designated by the City of Miami and inside the City limits. Motorola has also not quoted any interface to existing equipment as part of this propo'sal. Motorola is responsible for testing the upgrade radio system and will coordinate the process of Acceptance Testing with the City of Miami. The City of Miami will participate in the Acceptance Testing by witnessing the testing as it is conducted for the purpose of acknowledging and approving the correct operation of the RF equipment per specifications. Motorola will furnish all equipment necessary to test the system. 5.23.1.8 Equipment Space/Layout Motorola will provide detailed site equipment layout plans to the City of Miami in the preparation of the sites to install the radio equipment and to acquire approval for the layout requirements. This effort will include acquiring clear land title, site lease, shared use agreement or approved zoning requirements (as applicable). 5.23.2.3 ' Towers The City of Miami is to be responsible for tower work (upgrade or replacement) discovered during this proposed upgrade work. It is Motorola's assumption that the existing towers can accommodate the new hardware. In the process of the upgrade we will temporarily mount the new antennas/feed line, remove the old antennas/ feed line and move the new to its final position. During the change out of the optional new digital microwave system, we will be required, as a result of limited space, to disable the site while we remove and replace the existing analog microwave with new equipment. With this procedure, we anticipate that no modifications to the existing towers will be necessary. The City of Miami is responsible for any FAA applications and approvals. 5.23.2.4 Inventory The City of Miami will upon notification of equipment delivery by Motorola, provide personnel to catalog all received goods and attach property tags (if required). 5.23.2.5 Work Completion and Verification During the project, work completion verification forms will be generated and submitted to the City of Miami Project Manager for signature for purposes of acknowledging the completion of segments of work on a regular basis. The purpose of this is to support Motorola's efforts of tracking and recording the progress on the project. These segments of work will be broken down by, but not limited to, the following categories: 1. System Design Review 2. Installation of antennas and lines at each RF site 3. This includes but is not limited to: Provide escort at no charge, if escorts are required at any particular site. The availability of such escort shall not be unreasonably withheld. • Arrange site permission for trucks for equipment delivery purposes • Provide keys to the locks at site gates. Motorola recommends common keying for all structures during construction period. 5.23.2.8 Zoning / Permitting The City of Miami shall be responsible for all zoning issues, including but not limited to: permits, waivers, easements, right of way clearances, FAA clearances, EPA/DEP requirements, or any other requirements of local, State, or Federal regulations with regard to the permission to develop these sites. Delays in the preparation of these sites have the potential to cause additional costs to accrue. The costs associated with any delays will be the responsibility of the City of Miami and will be added to the project by a Change Order. 5.23.2.9 Construction Permits Motorola will be responsible to pursue and obtain the required local building permits for work provided in this proposal. Permits required for work other than provided in this proposal and/or work being performed at sites by the City of Miami will be the City of Miami's responsibility. If Motorola is delayed in pulling the required permits due to existing work being performed on the premises, or land use restrictions, the project schedule will be adjusted accordingly. Motorola has identified the sites it proposes to use to install the upgrade system. If for any reason, any of the proposed sites cannot be utilized due to reasons beyond the control of Motorola,'the costs associated with site changes and/or delays including, but not limited to, re-engineering, frequency re -licensing, schedule delays, site abnormalities, re - mobilization, etc. will be identified in a `Memorandum of Change' and will be negotiated with the City of Miami via the change order process. 5.23.2.11 Licensing/Frequency Usage The City of Miami is responsible for filings and fees to the corresponding agency for procurement of all radio system frequencies relating to the proposed radio system. It is understood the City of Miami is responsible for obtaining all radio frequencies. Motorola will provide assistance with frequency planning services, frequency search services, interference analysis, public notifications, coordination and frequency recommendations relating to the radio system. Motorola will assist in completing the necessary forms to file for APCO coordination and any other required FCC licensing. The City is responsible for any FAA applications and approvals. The City of Miami has responsibility for providing all required radio licensing or licensing modifications prior to system operation. This responsibility would entail covering FCC licensing and frequency coordination fees. Motorola will assist in providing the necessary radio system information for license modification paperwork involved. 5.23.2.12 Leased Telephone Circuits/Microwave The City of Miami is responsible for the procurement; availability and recurring costs associated with any required leased telephone circuits. 5.23.2.13 Dispatch Center Furniture The City of Miami is responsible for providing any dispatch center furniture and enclosures as part of this proposal. Motorola will provide the selected furniture vendor with specific requirements for any equipment provided as part of this proposal. The City is also responsible for installation and operation of any other equipment installed into the furniture that is not provided as part of this proposal. Except for the first payment, which is due when Customer executes this Agreement, Customer agrees to make payments to Motorola within twenty-five (25) days after the date of invoices that will be submitted by Motorola according to the following navment schedule: Motorola File No. 41-19 lhhm Page 2 (Rev. 2000 ) COMMUNICATIONS SYSTEM AGREEMENT 25% of the Contract Price upon award for mobilization (e.g., design review, contract execution or Notice to Proceed); 2. 65% of the Contract Price upon delivery of equipment to each designated site; 3. 5% of the Contract Price by value of each site upon conditional acceptance or start of beneficial use of each site (whichever is sooner); and 4. 5% of the Contract Price upon final acceptance of the system. B. If the total Contract Price does not include freight charges, all freight charges will be pre -paid by Motorola and added to the invoices. C. Motorola reserves the right to make partial shipments of equipment and to request payment upon shipment of such equipment. Section 6 INSTALLATION AND SITE CONDITIONS A. In addition to its responsibilities described in the Statement of Work, Customer agrees to provide a designated project director, procure any necessary construction permits, building permits, zoning variances and the like. Customer agrees to provide access to the sites identified in the Exhibits as requested by Motorola, and have such sites available for installation of the Equipment by Motorola in accordance with the performance schedule and Statement of Work. B. If eithef Motorola or Customer determines that the sites identified in the Exhibits are no longer available or desired, or if subsurface, structural, adverse environmental or latent conditions at any site differ from those indicated on the specifications in the Exhibits, Motorola and Customer will promptly investigate the conditions. If necessary, Motorola and Customer will jointly select replacement sites or adjust the installation plans and specifications as necessary. C. If Customer and Motorola determine that any change in sites, site availability, installation plans, or specifications will require an adjustment in the contract price, or to the time required for the performance, or both, the parties will agree to an equitable and this Agreement will be modified in writing. D. This Agreement is predicated upon normal soil conditions as defined by the applicable version of E.I.A. standard RS -222 in effect on the Effective Date of this Agreement. Section 7 TRAINING If training is included in this Agreement, Customer agrees to notify Motorola immediately if a date change for a scheduled training program is required. A charge will apply to a training program rescheduled by Customer less than thirty (30) days prior to its scheduled start date. Section 8 SYSTEM ACCEPTANCE ' Motorola File No. 01-19 Ihhm Page 3 (Rev. 2000 ) COMMUNICATIONS SYSTEM AGREEMENT A. Motorola will test the Communications System in accordance with the Acceptance Test flan. System acceptance will occur upon the successful completion of such testing ("System Acceptance") at which time both parties shall promptly execute a certificate of system acceptance. If the Acceptance Test Plan includes separate tests for individual subsystems, both parties shall promptly execute certificates of subsystem acceptance upon the successful completion of testing of such subsystems. Minor omissions or variances in performance that do not materially affect the operation of the Communications System as a whole will not postpone System Acceptance. Custorher and Motorola will jointly prepare a list of such omissions and variances which Motorola will correct according to an agreed upon schedule. B. Motorola agrees to notify Customer when the Communications System is ready for acceptance testing. Motorola and Customer agree to commence acceptance testing within ten (10) business days after receiving such notification. If testing is delayed for reasons within the control of Customer or its contractors, agents and consultants for more than ten (10) business days after notification, final payment will be due within thirty (30) days after such notification and the Warranty Period will commence immediately. C. Motorola may, but is not obligated to, issue written authorization for Customer's use of the Communications System or its subsystem(s) for limited training or testing purposes, prior to the completion of testing by Motorola. Any use of the Communications System without prior written authorization by Motorola shall constitute System Acceptance. Section 9 WARRANTY A. WARRANTY PERIOD. Upon System Acceptance, the System Functionality representation described below is fulfilled. The Equipment and Motorola Software is warranted for a period of one (1) year after System Acceptance ("Warranty Period") in accordance with the applicable limited warranties shown below. In no event will the warranty period last longer than eighteen (18) months after the Equipment and Software is shipped from Motorola. Customer must notify Motorola in writing if Equipment or Motorola Software does not conform to these warranties no later than one month after the expiration of the Warranty Period. B. SYSTEM FUNCTIONALITY. Motorola represents that the Communications System will satisfy the functional requirements in Exhibit B. Upon System Acceptance, this System Functionality representation is fulfilled. After System Acceptance, the Equipment Warranty set forth below and the Software Warranty set forth in the Software License Agreement will apply. Motorola will not be responsible for performance deficiencies of the System caused by ancillary equipment not furnished by Motorola attached to or used in connection with the System provided hereunder. Motorola will not be responsible for reduced System performance due to; an earthquake, adverse weather or atmospheric conditions or other natural causes; the construction that adversely affects the microwave path reliability or RF coverage; the addition of additional frequencies at System sites that cause RF interference or intermodulation; Customer changes to load usage or configuration(s) outside the parameters specified in Exhibit B; or any act of parties who are beyond Motorola's control, including Customer or its employees, contractors, consultants or agents. C. EQUIPMENT WARRANTY. Motorola warrants the Equipment against material defects in material and workmanship under normal use and service during the Warranty Period. Unfess otherwise specified in writing, the Warranty Period for non -Motorola manufactured Equipment will be As stated in this Section. Motorola File No. 01-19 /hhm Page 4 (Rev. 2000 ) MMUNICATIONS SYSTEM AGREEMENT At no additional charge and at its option, Motorola will either; repair the defective Equipment, replace it with the same or equivalent Equipment, or refund the purchase price of the defective Equipment, and such action on the part of Motorola will be the full extent of Motorola's liability hereunder. Repaired or replaced Equipment is warranted for the balance of the original applicable warranty period. All replaced parts of the Equipment shall become the property of Motorola. THIS HARDWARE WARRANTY DOES NOT APPLY TO: a) Defects or damage resulting from use of the Equipment if used in a manner other than its normal and customary manner. b) Defects or damage occurring from misuse, accident, water, or neglect c) Defects or damage occurring from testing, operation, maintenance, installation, alteration, modification, or adjustment not provided by Motorola pursuant to this Communications System Agreement. d) Breakage or damage to antennas unless caused directly by defects in material or workmanship. e) Unauthorized Equipment modifications, disassembly or repairs (including the addition to the Equipment of non -Motorola supplied equipment if not authorized by Motorola) that adversely affect performance of the Equipment or interfere with Motorola's normal warranty inspection and testing of the Equipment to verify any warranty claim. f) E41!ipment that has had the serial number removed or made illegible. g) Batteries (they carry their own separate limited warranty). h) Freight costs to the repair depot. i) Equipment which, due to illegal or unauthorized alteration of the software/firmware in the Equipment, does not function in accordance with Motorola's published specifications or with the FCC type acceptance labeling in effect for the Equipment at the time the Equipment was initially distributed from Motorola. j) Scratches, or other cosmetic damage to Equipment surfaces, that do not affect the operation of the Equipment. k) Software. 1) Normal and customary wear and tear. D. MOTOROLA SOFTWARE WARRANTY. Motorola Software is warranted in accordance with the terms of the Software License Agreement attached as Exhibit A. E. These express limited warranties as set forth in this Section are; extended by Motorola to the original end user purchasing or leasing the System for commercial, industrial, or governmental use only, and may not be Motorola File No. 01-19 lhhm Page 5 (Rev. 2900 ) COMMUNICATIONS SYSTEM AGREEMENT assigned or transferred. These warranties are the complete warranties for the Equipment and Software provided pursuant to this Agreement. F. THESE WARRANTIES ARE GIVEN IN LIEU OF ALL OTHER WARRANTIES, MOTOROLA DISCLAIMS ALL OTHER WARRANTIES OR CONDITIONS, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT WILL MOTOROLA BE LIABLE FOR DAMAGES IN EXCESS OF THE PURCHASE PRICE OF THE EQUIPMENT. IN NO EVENT WILL MOTOROLA BE LIABLE FOR ANY LOSS OF USE, LOSS OF TIME, INCONVENIENCE, COMMERCIAL LOSS, LOST PROFITS OR SAVINGS, INCIDENTAL, SPECIAL, INDIRECT OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OR INABILITY TO USE THE EQUIPMENT, TO THE FULL EXTENT SUCH MAY BE DISCLAIMED BY LAW. Section 10 FCC.LICENSES AND AUTHORIZATIONS Customer agrees to obtain all Federal Communications Commission ("FCC") licenses and authorizations required for installation and use of the Communications System prior to the scheduled installation of the Equipment. Although Motorola may assist in the preparation of license applications, in no event will Motorola or any of its employees be an agent or representative of Customer in FCC matters. Customer is solely responsible for obtaining all FCC licenses and for complying with FCC rules. Section 11 DELAYS A. Successful project implementation will require cooperation and fairness between the parties. Because it is impractical to provide for every contingency that may arise during the course of performance of this Agreement, the parties agree to notify the other if they become aware that any condition will significantly delay performance. The parties will agree to reasonable extensions of the project schedule by executing a written change order. B. Under no circumstances will either party be responsible for delays or lack of performance resulting from events beyond the reasonable control of that party ("Excusable Delays"). Excusable Delays include, but are not limited to: acts of God, weather conditions, compliance with laws and regulations (excluding Customer's failure to properly and timely apply for all required FCC licenses), governmental action, bid protests, fire, strikes, lock- outs, and other labor disruptions, material shortages, riots, acts of war, and an Excusable Delay of a Motorola subcontractor. C. Customer will make available to Motorola the sites when scheduled and Customer will not otherwise unreasonably delay or prevent Motorola's performance of its responsibilities. In the event of a Customer delay during the time of shipment, Motorola may ship the equipment as scheduled to a location as designated by the Customer or if no such location is designated, a Motorola designated storage facility for which Customer agrees to pay all fees. If Customer delays Motorola's performance, the performance schedule will be extended, the Customer will make the milestone payments as if no delay occurred, and the parties will execute a Change Order to compensate Motorola for reasonable charges incurred because of such delays. Such charges include, but are not limited to, costs incurred by Motorola and/or its subcontractors for additional freight, warehousing and handling; suspending and re -mobilizing the work; additional engineering and standby time calculated at then current man -day rates; and preparing and implementing a "work around"plan. Section 12 DEFAULT Motorola File No. 01-19 Ihhm Page 6 (Rev. 2000) COMMUNICATIONS SYSTEM AGREEMENT A. If Motorola fails to complete delivery, installation or acceptance testing in accordance with this Agreement, Customer may consider Motorola to be in default, unless such failure has been caused by an Excusable Delay. Customer agrees to give Motorola written notice of such default. Motorola will have thirty (30) days from the receipt of such notice to provide a plan of action that is acceptable to Customer to cure the default. B. If Motorola fails to cure the default, Customer may terminate any unfulfilled portion of this Agreement. If Customer completes the Communications System through a third party, Customer may recover the reasonable costs of completing the Communications System to a capability not exceeding that specified in the Agreement for the terminated portion. Customer agrees to use its best efforts to mitigate such costs. Motorola's liability under this Section is subject to the limitations of the Section entitled Limitation of Liability of this Agreement. C. THE REMEDIES PROVIDED IN THIS SECTION OF THE AGREEMENT WILL BE THE FULL EXTENT OF MOTOROLA'S LIABILITY IN THE EVENT OF DEFAULT. Section 13 -INDEMNIFICATION A. GENERAL INDEMNITY. Motorola will indemnify and save Customer harmless from all liabilities that result from direct physical damage to tangible property or personal injury to the extent the damage or injury is caused by the negligence or recklessness of Motorola, its employees, subcontractors, or agents, during the performance of this Agreement. B. PATENT AND COPYRIGHT INFRINGEMENT. Motorola will defend, at its own expense, any suit brought against the Customer to the extent that it is based on a claim that the Equipment or Motorola Software infringe a United States patent or copyright, and Motorola will pay those costs and damages finally awarded against the Castamer in any such suit which are attributable to any such claim, but such defense and payments are conditioned on the following: i) Motorola must be notified promptly in writing by Customer of any notice of such claim; ii) Motorola will have sole control of the defense of such suit and all negotiations for its settlement or compromise; and iii) should the Equipment or Motorola Software become, or in Motorola's opinion be likely to become, the subject of a claim of infringement of a United States patent or copyright, Customer will permit Motorola, at its option and expense, either to procure for Customer the right to continue using the Equipment or Motorola Software or to replace or modify the same so that it becomes non -infringing or to grant Customer a credit for the Equipment or Motorola Software as depreciated and accept its return. The depreciation amount will be based upon generally accepted accounting standards for such Equipment and Software. Motorola will not be liable for any claim of patent or copyright infringement based upon the combination of the Equipment or Motorola Software furnished hereunder with software, apparatus or devices not furnished by Motorola. Motorola will not be liable for the use of ancillary equipment or software not furnished by Motorola that is attached to, or used in connection with, the Equipment. The foregoing states the entire liability of Motorola with respect to infringement of patents and copyrights by the Equipment and Motorola Software or any parts thereof. C. Motorola's indemnification of Customer under this Section will be the full extent of Motorola's indemnification of Customer from liabilities that are in any way related to Motorola's performance under this Agreement. Section 14 DISPUTES A. Motorola and Customer will attempt to settle any claim or controversy arising from this Agreement through consultation and negotiation in good faith and a spirit of mutual cooperation. If settlement attempts fail, Motorola File No. 01-19 /hhm Page 7 (Rev 2000) COMMUNICATIONS SYSTEM AGREEMENT either party may, with thirty days' notice, request non-binding mediation by a mutually chosen mediator within thirty days. Neither party may unreasonably withhold consent to the selection of a mediator. Motorola and Customer will share the cost of the mediation equally. The parties may postpone mediation until they have completed some specified but limited discovery about the dispute. The parties may also replace mediation with some other form of non-binding alternate dispute resolution ("ADR") procedure. B. If, after two months from the date of the initial demand for mediation, the dispute cannot be resolved, either party may submit a claim to a court of competent jurisdiction in the state in which the Communications system is installed. Each party consents to jurisdiction over it by such a court. The use of any ADR procedures will not be considered under the doctrine of laches, waiver, or estoppel to affect adversely the rights of either party. If good faith efforts to resolve the dispute under these procedures have been unsuccessful, or if interim relief from the court is necessary to prevent serious and irreparable injury to the claimant, its affiliates, agents, employees, customers, suppliers, or subcontractors, either party may seek immediate judicial relief. Section 115 LIMITATION OF LIABILITY Notwithstanding any other provision to this Agreement, Motorola's total liability, except for personal injury or death, whether for breach of contract, warranty, negligence, strict liability in tort, indemnification, or otherwise, will be limited to the direct damages recoverable under law. Direct damages shall not exceed the price of the Equipment or services with respect to which losses or damages are claimed. IN NO EVENT WILL MOTOROLA BE LIABLE FOR ANY LOSS OF USE, LOSS OF TIME, INCONVENIENCE, COMMERCIAL LOSS, LOST PROFITS OR SAVINGS, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES RELATED TO OR ARISING FROM THIS AGREEMENT, THE SALE OR USE OF THE EQUIPMENT, OR THE PERFORMANCE OF SERVICES BY MOTOROLA. This Limitation of Liability will survive the expiration or termination of this Agreement. Te -action for a breach of this Agreement or otherwise relating to the transactions contemplated by this Agreement may be brought more than one year after the accrual of such cause of action, except for money due upon an open account. Section 16 GENERAL A. TITLE AND RISK OF LOSS. Title to the Equipment will pass to Customer upon shipment of the Equipment, except that title to Software will not pass to Customer at any time. Risk of loss will pass to Customer upon delivery of the Equipment to the facilities designated by Customer. B. TAXES. The Contract Price does not include any amount for federal, state, or local excise, sales, lease, service, rental, use, property, occupation, or other taxes. All taxes (other than federal, state, and local taxes based on Motorola's income or net worth) will be paid by Customer, except as exempt by law. If Motorola is required to pay or bear the burden of any such taxes, Motorola will send an invoice to Customer and Customer will pay to Motorola the amount of such taxes (including any interest and penalties) within thirty days after the date of the invoice. Customer will be solely responsible for reporting the Equipment for personal property tax purposes. C. CONFIDENTIAL INFORMATION. Unless Motorola makes such material or information public or disclosure is legally required, Customer will not disclose any material or information identified as Motorola proprietary and confidential to third parties without Motorola's prior written'permission. If Customer is required by law to disclose such material or information, Customer will notify Motorola prior to such disclosure. Except as explicitly provided in the Motorola Software License Agreement included in Exhibit A, nothing in this Agreement will be deemed to grant, either directly or by implication, estoppel, or otherwise, any license or right under any patents, patent applications, copyrights, trade marks, trade secrets or intellectual property of Motorola. E. ASSIGNABILITY. Neither party may assign this Agreement without the other party's prior consent. Motorola may assign4pis Agreement to any of its affiliates or its right to receive payment without the prior consent of Customer. F WAIVER. Failure or delay by either party to exercise any right or power under this Agreement will not operate as a waiver of such right or power. G. SEVERABILITY. If any portion of this Agreement is held to be invalid or unenforceable, that provision will be considered severable and the remainder of this Agreement will remain in full force and effect as if the invalid provision were not part of this Agreement. H. HEADINGS AND SECTION REFERENCES. The headings given to the sections of this Agreement are inserted only for convenience and are not to be construed as part of this Agreement or as a limitation of the scope of the particular Section to which the heading refers. 1. ENTIRE AGREEMENT. This Agreement (including the Exhibits) constitutes the entire agreement of the parties regarding the subject matter of this Agreement and supersedes all previous agreements and understandings, whether written or oral, relating to such subject matter. This Agreement may be altered, amended, or modified only by a written instrument signed by the duly authorized representatives of both parties. J. GOVERNING LAW. This Agreement will be governed by and construed in accordance with the laws of the State to which the Equipment is shipped. K. NOTICES. EXHIBIT A This Software License Agreement is between Motorola, Inc., a Delaware corporation ("Motorola"), and the Licensee named below. Section 1 SCOPE Licensee may acquire from Motorola's Commercial, Government, and Industrial Solutions Sector ("CGISS") radio communication products ("Products") that contain embedded or pre -loaded Motorola software such as in a ROM, PROM. or EPROM, or other Motorola software provided on media such as a floppy disk, tape, diskette, or CD-ROM. All such software (including Radio Service Software and FL4SHport® Software) is referred to as "Motorola Software." In addition, third party software may be included which Motorola does not own but is licensed to distribute.The terms of this Agreement apply to any such third party software unless an additional license agreement pertaining to the third party software is enclosed, in which case the terms of such license apply to said third party software. This Agreement contains the terms under which Licensee may use Motorola Software acquired from CGISS. Section 2 GRANT OF LICENSE Motorola hereby grants to Licensee a personal, non-exclusive license under Motorola's applicable proprietary rights to use Motorola Software in accordance with the terms of this Agreement. Section 3 LIMITATIONS ON USE Licensee may use Motorola Software only for Licensee's internal business purposes and only as described in the Motorola Software or Product documentation. Any other use of Motorola Software is strictly prohibited and will be deemed a breach of this Agreement. Licensee may not copy. modify, adapt, merge with other software, reverse engineer, prepare derivative works of, or disassemble any Motorola Software for any reason. except that Licensee may make at most two copies of Motorola Software provided with infrastructure equipment for back-up purposes. Licensee must purchase a copy of Radio Service Software for each site at which Licensee uses Radio Service Software: Licensee may make one additional copy for each computer owned or controlled by Licensee at each such site. Licensee may temporarily use Radio Service Software on portable or laptop computers at other sites. Prior to acquiring any Radio Service Software or upon Motorola's request, Licensee must provide a written list of all sites where Licensee uses or intends to use Radio Service Software. Licensee must reproduce all Motorola copyright and trademark notices on all copies of Motorola Sof ,vare Section 4 TRANSFERS If Licensee transfers ownership of Products to a third party, Licensee may assign its rights to use Motorola Software (other than Radio Service Software and FLASHportOt Software) furnished or embedded in Products subject to the following conditions. Licensee must transfer all copies of such Motorola Software to the new owner and Motorola must receive a transfer form (which Motorola will provide upon request) completed and signed by the new owner. Otherwise, any attempt by Licensee to effect a transfer shall be null and void. Section 5 OWNERSHIP AND TITLE Title to all copies of Motorola Software in any form, including all rights in patents, copyrights, trade secrets, and other intellectual properties, remains vested exclusively in Motorola, Motorola File No. 01-19 /hhm Page I MOTOROLA SOFTWARE LICENSE —AGREE EXHISCT ,+► Section 6 CONFIDENTIALITY Licensee acknowledges that all Motorola Software contains valuable proprietary information and trade secrets and that unauthorized dissemination, distribution, modification, reverse engineering, disassembly, or other improper use of Motorola Software will result in irreparable harm to Motorola for which monetary damages would be inadequate. Accordingly, Licensee will limit access to Motorola Software to those of its employees and agents who need to use Motorola Software for Licensee's internal business purposes, and Licensee will take appropriate action with those employees and agents to preserve the confidentiality. of Motorola Software. Section 7 LIMITED WARRANTY For the Warranty Period specified in the Communications System Agreement, Motorola warrants that the Motorola Software, when used properly, will be free from reproducible defects that eliminates the functionality of a feature critical to the primary functionality of a system. The primary functionality of a voice communication system is subscriber -to - subscriber, subscriber -to -dispatcher, and dispatcher -to -subscriber voice communication. The primary functionality of a data system is point-to-point data transmission. Motorola does not warrant that Licensee's use of the Motorola Software or the Products will be uninterrupted or error -free or that the Motorola Software or the Products will meet Licensee's particular requirements. MOTOROLA'S TOTAL LIABILITY, AND LICENSE'E'S SOLE REMEDY, FOR ANY BREACH OF THIS WARRANTY WILL BE LIMITED TO, AT MOTOROLA'S OPTION, REPAIR OR REPLACEMENT OF THE MOTOROLA SOFTWARE OR PAYMENT OF LICENSEE'S DIRECT DAMAGES UP TO THE AMOUNT PAID FOR THE MOTOROLA SOFTWARE OR THE INDIVIDUAL PRODUCT IN WHICH THE MOTOROLA SOFTWARE IS EMBEDDED OR FOR WHICH IT WAS PROVIDED. THIS WARRANTY EXTENDS ONLY TO THE FIRST LICENSEE; SUBSEQUENT TRANSFEREES MUST ACCEPT THE MOTOROLA SOFTWARE "AS IS" AND WITH NO WARRANTIES OF ANY KIND. MOTOROLA DISCLAIMS ALL OTHER WARRANTIES. EXPRESS OR IMPLIED. INCLUDING THE IMPLIED — WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. Section 8 LIMITATION OF LIABILITY IN NO EVENT WILL MOTOROLA BE LIABLE FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Section 9 TERM AND TERMINATION Licensee's right to use Motorola Software will begin when Licensee sends a duly and fully executed copy of this Agreement to Motorola, and Motorola ships Motorola Software or a Product containing Motorola Software to Licensee. This License will continue in Perpetuity unless terminated as follows. Licensee's right to use Motorola Software will terminate without notice upon a breach of this Agreement by Licensee. In addition, if Licensee breaches this Agreement with respect to Radio Service Software or FLASHport® Software, Motorola may, by notice to Licensee, terminate Licensee's right to use such Motorola Software. The PM will be responsible for coordinating the engineering team's efforts and subsystem integration to bring the City of Miami a quality system and a smooth technical implementation. 5.8 Motorola System Technologist The System Technologist is a highly experienced and trained individual specializing in the optimization and troubleshooting of large, two-way RF communication systems. He/she will supervise the optimization process and will work with the local Motorola service technicians to complete their application-specific training on the system. Service technicians will be trained from a system level down to specific troubleshooting and repair techniques. In addition, the System Technologist will work with the: Motorola Project Manager and the City of Miami representative in deciding upon the best configuration for, and then programming of, the system parameters. 5.9 Motorola Project installation Supervisor The—Project Installation Supervisor will assist the Project Manager during the site construction and equipment installation phases of the project. The Project Installation Supervisor will keep fully up to date on all aspects of the project and will be able to assume the Project Manager's role in case of any unforeseen circumstances. 5.10 Local Motorola Service Center Motorola will utilize local Motorola -approved Service Shops to provide field installation, optimization, and warranty support. Service technicians from the local shop will participate in the system implementation, integration, and cut over phases. Such participation will ensure that service technicians gain a complete and thorough understanding of the City of Miami's upgraded radio system's design and technical features. This will allow them support the system after the project is completed and during the warranty period and afterwards, if the City of Miami chooses to use Motorola - provided maintenance service. It is Motorola's experience that the team spirit for a successful system implementation is best supported by the customer designating its own Project Manager to represent its interests and to act as a single point of contact for all system issues and in all matters regarding the contract. This individual will be considered part of the implementation team and play a vital role in the implementation process. It is recommended this individual be given the same authority in representing the City of Miami's interests in the project as outlined for the Motorola Project Manager above. All official communication under this contract would be conducted between the City of Miami Project Manager and the Motorola Project Manager. This is not to say that other concerned individuals are not welcome to be active participants in the project, but it is essential that a direct relationship between the Project Managers be established. A discussion of the cutover plan and methods to document a detailed procedure for cutover will begin at this meeting. This meeting will also introduce all members of the Motorola Project Manager's Implementation Team and establish the point of contact with the City of Miami's project team and Project Manager. Finally, this meeting will allow the Project Managers to assign an initial list of project tasks to appropriate team members. 5.14 Project Schedules Detailed project schedules are an integral part of the management of the project, and will be produced by the Motorola team to provide a time -line analysis for all phases of the system. During the manufacturing process, most of the field site preparation activities will be underway. The sites should be prepared for installation when the equipment ships from the staging facility. I The manufacturing facility will test each subsystem from its base kit or module level up to the complete subsystem. In addition to the individual tests applied to all units shipped, Motorola's Product Quality Engineering Department performs additional tests on periodic samples. These additional tests include performance tests under environmental extremes (e.g., temperature, humidity, vibration, etc.). 5.16 Motorola Factory Staging Facility In addition to the factory production tests, Motorola proposes to provide factory staging for all major fixed -end equipment required for the system installation. After the RF equipment is manufactured, it will be sent to the Customer Center for Systems Integration (CCSI) facility in Schaumburg, Illinois. Motorola's CCSI facility is unique to the teleommunications industry and is ISO 9000 certified for its quality processes and procedures. The facility covers 38,000 square feet, and features 27 cluster- == assembly areas with under -floor power - systems to enable complete staging and - pre -testing of customers' communicationssystems before before they are shipped. All cabling and connectorization will be performed between the various equipment racks and system components to provide an operational system within the staging facility. Once all system components are assembled, a step- by-step testing of all system components and functionality will take place. The intent of the staging effort is to verify system performance and simplify the field installation effort at the various final installation locations. During system staging, equipment functionality and performance acceptance tests will be performed. The City of Miami representatives are welcome to witness the staging effort. This will allow for a first hand'demonstration of all working aspects of the Fixed Network Equipment. This experience would be invaluable to City personnel involved with the management and operation of the system. Many of these functionality tests will be performed again in the field, after final installation and system optimization. Motorola's Program Manager at the staging facility will coordinate the staging effort and report all ongoing staging and preliminary testing activities to the City of Miami. The following steps outlines the staging process: • Stage all RF FNE equipment • Set up and rack the system equipment on a site -by -site basis, as it will be configured in the field at the customer sites. Physical set up and location of hardware will comply with approved City of Miami site layout plans. Motorola is requesting two representatives from the City of Miami to validate the functional test procedure at CCSI. 5.17 System Field Installation After- the completion of the factory staging effort, the City of Miami system upgrade will be shipped to the field. All staged equipment will be transported by specially selected electronics carriers to maintain the highest level of protection during shipment. Motorola will deliver the equipment directly to the sites of installation, or another secure facility designated by the City. Access to the City of Miami sites by Motorola and Motorola subcontractor personnel will be arranged prior to the delivery dates. The inventory will be conducted as the equipment is delivered at each site, by both Motorola and the City of Miami representatives. Upon completion of the inventory at the site, both Motorola and the City of Miami representatives will sign off on the lists to confirm delivery and note anyzfnissing items. All equipment will be installed per the equipment CCSI and field engineering design documentation. Prior to commencing work, Motorola will ensure that proper notification is given to the City and that all required permits have been obtained. Any changes to the installation will be noted and included with the final As -Built documentation of the system. The As -Built documents will be provided along with the maintenance and operator manuals. 5.18 System Optimization Upon completion of the installation process, the system will be optimized. A Motorola Systems Technologist, under the direction of the Motorola Project Manager and System Engineer, will perform optimization. The optimization will involve verification of all functional parameters to ensure that all the equipment settings are set correctly. Inc.. or iu doom .Y The City of Miami&rida 9 800 MHz Trunked 1Wdio system Upurade system Integration & 5.19 System Testing and Evaluation Upon completion of the fixed -end equipment optimization, functional Acceptance Testing of the fixed equipment at the RF sites will begin as per the Acceptance Test Plan. The acceptance test procedures will be detailed during the final system design and must be agreed upon by Motorola and the City of Miami prior to contract signing. The purpose of the Acceptance Test Plan will be to verify the operational functionality of the individual components of the system as well as the system operation as a whole. System Acceptance Testing can commence when the sites have been installed and configured to the final customer configuration. The successful completion of ATP will ensure that the City of Miami is satisfied with the system functionality and that this phase of the project is acceptable and complete. All issues that arise during the ATP are to be fully documented and resolved to the satisfaction of the customer before acceptance can be achieved. 5.19.1 Scope 4f Document See Acceptance Test Procedures, (ATP) section. In the event that any task fails in the initial test, that particular task will be retested when Motorola determines that corrective action has been taken to enable the task to complete its est. If any correction was made to the software databases or hardware, and upon the discretion of both the City of Miami and Motorola, the entire subsystem test may be retested to ensure that the correction did not have any adverse effect on the other data from the subsystem. A failure of a task in a subsystem test shall not delay testing of the other subsystems unless there is a co-dependency between sub -systems. Upon test failure, Motorola will determine and report the reason for failure and take the appropriate actions necessary to correct the failure.. Upon successful completion of the test procedure of a subsystem, that individual subsystem will be signed off as completed, and testing will continue on the other subsystems. Any failed portion of the test that is the responsibility of Motorola will be added to a punch list. When all punch list items have been corrected, only the punch list items will be re -tested. When the punch list items affect more than one subsystem, all the affected subsystems will be re -tested to ensure compatibility with the corrected subsystem. The failed components (hardware) of the subsystem are to be identified as a device failure and replaced under normal part replacement procedures.'1" is type of failure will not be considered a punch list item since it would not require a design modification. Any failure related to the technology of the system will be identified on the punch Iist for resolution. All SATP test procedures will be conducted by Motorola and the City of Miami personnel. If there is a delay in testing as a result of a City of Miami related issue, Motorola would expect the problem causing the delay to be resolved within 48 hours. When all the tasks in a particular subsystem have passed their tests, the subsystem will be considered accepted. When all the subsystems have been accepted and the system test accepted, the SATP will be considered successfully completed and system acceptance will occur. 5.2.0 Conditional Acceptance/Beneficial Use After the successful completion of the Acceptance Testing, the City of Miami will be ready to begin using the system. This will mark the conditional acceptance of the system. During the City of Miami system upgrade, a cutover plan will be formulated to identify each phase that would impact the system. Motorola will work directly with the City's departments, dispatch personnel, and their supervisors to ensure that an effective transition occurs from existing radio systems to each one of the new 800 MHz system upgrades. It is the intention of each cutover plan to properly coordinate the transition onf6 the upgraded system, and the manner in which each department is expected to communicate during the transition. A timetable or commonly called "timeline" will be formulated that will detail the necessary steps and the anticipated time required to accomplish each task. During system cutover and completion of the performance verification process, a "punch list" will be generated, noting any corrections, which may be required to be made prior to final system acceptance. A resolution to each punch list item will be mutually agreed to and a time frame for satisfactory completion will be listed. When the punch list items have been resolved, and the final documentation delivered, the City of Miami and Motorola will execute final system acceptance. 5.21 Design Documentation Motorola has included with this proposal some design documentation to represent the technical and conceptual design and implementation plan as envisioned by Motorola. Upon receiving approval and acceptance of the design frgm the City of Miami and after conducting individual site audits, Motorola will provide *individual drawings for each unique site, to have a complete set of documentation on, record. Upon receiving the City of Miami's approval, these documents will form the basis of the implementation of this project. Any changes that may be made during the implementation will be reflected in the final "As -built" documentation to be provided by Motorola prior to the final acceptance of the radio system. 5.22 Summary Motorola will apply its exceptional qualifications, proven processes and experienced team. to -ensure the City of Miami an on-time, successful system implementation. Motorola is excited to have the opportunity to serve the needs of the City of Miami. Using proven techniques and processes conducted by highly skilled professionals, Motorola plans on proving our commitment to the total satisfaction of the City of Miami. 5.23 Motorola and Customer Responsibilities This section details the responsibilities for the upgrade design and implementation of the City of Miami 800 MHz system. The areas are delineated for both Motorola and the City of Miami. In addition to these general responsibilities, responsibilities specific to a task or 9 e are noted under that specific heading. 5.23.1 Motorola Responsibilities For Sites 5.23.1.1 General Motorola will supply the equipment required to implement the system as purchased (listed in Equipment List attached herewith). Motorola will furnish installation hardware, fasteners, fixtures, cabling, connectors, and all required labor and materials to provide a functional system to the City of Miami. 5.23.1.2 Project Manager As was described previously in this section Motorola will provide a designated Project Manager. Motorola will provide for staging at the (CCSI) facility for the purpose of testing the system prior to installation. Motorola will provide As -Built documentation from the Motorola Center for Systems Integration (CCSI). 5.23.1.4 Standards of Work All Motorola provided equipment used in the system will be designed and manufactured to meet or exceed the minimum technical standards required for operation in the upgrade environment. The installation techniques used for that equipment shall comply with Motorola Quality Standards for Fixed Network Equipment (FNE) Installations (R56), National Electric Code, and all other applicable codes and ordinances in force at the time of proposal submittal. All work shall be performed in a good workmanship manner in accordance with Motorola's "Quality and Site Installation Standards". MotoroIa will exercise due care and diligence generally associated with the design and implementation of the best quality communications system. Motorola will utilize the existing interior ground system of the buildings to provide suitable grounding points for the communications equipment. Motorola will report existing deficiencies to the City for correction prior to installation. 5.23.1.5 RF Channel Plan and Site Utilization Motorola is not responsible for co -channel interference due to errors in frequency coordination by APCO or any other unlisted frequencies or the improper design, installation, or operation of systems installed or operated by others. In the event an interfering signal exists, Motorola will assist the City of Miami in locating the interfering signal. Costs to mitigate this interference have not been included in this proposal and will be handled by change order. 5.23.1.6 Existing Equipment Motorola has included in its proposal the removal of the.cwent equipment to a place designated by the City of Miami and inside the City limit§. Motorola has also not quoted any interface to existing equipment as part of this proposal. Motorola is responsible for testing the upgrade radio system and will coordinate the process of Acceptance Testing with the City of Miami. The City of Miami will participate in the Acceptance Testing by witnessing the testing as it is conducted for the purpose of acknowledging and approving the correct operation of the RF equipment per specifications. Motorola will furnish all equipment necessary to test the system; 5.23.1.8 Equipment SpaceALayout Motorola will provide detailed site equipment layout plans to the City of Miami in the preparation of the sites to install the radio equipment and to acquire approval for the layout requirements. All microwave links must be fully operational in a loop configuration prior to commencement of system upgrade. • Replace prime site and backup site switching network. This must be fully operational prior to commencement of system upgrade. • Provide nominal, clean 115 VAC 60 -cycle line power as necessary at each equipment location, terminated in proper capacity distribution panels per the National Electrical Code and/or local electrical wiring codes. This effort will include acquiring clear land title, site lease, shared use agreement or approved zoning requirements (as applicable). 5.23.2.3 Towers The City of Miami is to be responsible for tower work (upgrade or replacement) discovered during this proposed upgrade work. It is Motorola's assumption that the existing towers can accommodate the new hardware. In the process of the upgrade we will temporarily mount the new antennas/feed line, remove the old antennas/ feed line and. move the new to its final position. During the change out of the optional new digital microwave system, we will be required, as a result of limited space, to disable the site while we remove and replace the existing analog microwave with new equipment. With this procedure, we anticipate that. no modifications to the existing towers will be necessary. The City of Miami is responsible for any FAA applications and approvals. 5.23.2.4 Inventory The City of Miami will upon notification of equipment delivery by Motorola, provide personnel to catalog all received goods and attach property tags (if required). 5.23.2.5 Work Completion and Verification During the project, work completion verification forms will be generated and submitted to the City of Miami Project Manager for signature for purposes of acknowledging the completion of segments of work on a regular basis. The purpose of this is to support Motorola's efforts of tracking and recording the progress on the project. These segments of work will be broken down by, but not limited to, the following categories: 1. System Design Review 2. Installation of antennas and lines at each RF site 3. The City of Miami, I.V& 800 MHz Trunked Radio Svstem Uuerade Svstem Integration & Statement of 5.23.2.6 Space The City of Miami shall provide or arrange for space as required for the installation of Motorola supplied equipment inside equipment shelters at existing sites. 5.23.2.7 Site Access The City of Miami shall provide free and open access to all sites of work as defined in this proposal. This includes but is not limited to: • Provide escort at no charge, if escorts are required at any particular site. The availability of such escort shall not be unreasonably withheld. • Arrange site permission for trucks for equipment delivery purposes • Provide keys to the locks at site gates. Motorola recommends common keying for all structures during construction period. 5.23.2.8 Zoning / Permitting The City of Miami shall be responsible for all zoning issues, including but not limited to: permits, waivers, easements, right of way clearances, FAA clearances, EPA/DEP requirements, or any other requirements of local, State, or Federal regulations with regard to the permission to develop these sites. Delays in the preparation of these sites have the potential to cause additional costs to accrue. The costs associated with any delays will be the responsibility of the City of Miami and will be added to the project by a Change Order. 5.23.2.9 Construction Permits Motorola will be responsible to pursue and obtain the required local building permits for work provided in this proposal. Permits required for work other than provided in this proposal and/or work being performed at sites by the City of Miami will be the City of Miami's responsibility. If Motorola is delayed in pulling the required permits due to existing work being performed on the premises, or land use restrictions, the project schedule will be adjusted accordingly. The costs associated, with any delays will be the responsibility of the City of Miami and will be added to the project by a Change Order. Motorola has identified the sites it proposes to use to install the upgrade system. If for any reason, any of the proposed sites cannot be utilized due to reasons beyond the control of Motorola, the costs associated with site changes and/or delays including, but not limited to, re-engineering, frequency re -licensing, schedule delays, site abnormalities, re - mobilization, etc. will be identified in a `Memorandum of Change' and will be negotiated with the City of Miami via the change order process. 5.23:2.11 Licensing/Frequency Usage The City of Miami is responsible for filings and fees to the corresponding agency for procurement of all radio system frequencies relating to the proposed radio system. It is understood the City of Miami is responsible for obtaining all radio frequencies. Motorola will provide assistance with frequency planning services, frequency search services, interference analysis, public notifications, coordination and frequency recommendations relating to the radio system. Motorola will assist in completing the necessary forms to file for APCO coordination and any other required FCC licensing. The City is responsible for any FAA applications and approvals. The City of Miami has responsibility for providing all required radio licensing or licensing modifications prior to system operation. This responsibility would entail covering FCC licensing and frequency coordination fees. Motorola will assist in providing the necessary radio system information for license modification paperwork involved. 5.23.2.12 Leased Telephone Circuits/Microwave The City of Miami is responsible for the procurement; availability and recurring costs associated with any required leased telephone circuits. 5.23.2.13 Dispatch Center Furniture The City of Miami is, responsible for providing any dispatch center furniture and enclosures as part of this proposal. Motorola will provide the selected furniture vendor with specific requirements for any equipment provided as part of this proposal. The City is also responsible for installation and operation of any other equipment installed into the furniture that is not provided as part of this proposal. This Agreement is effective as of the last date signed below (the "Effective Date"). Section 1 EXHIBITS The Exhibits below are hereby incorporated into and made a part of this Agreement. In interpreting this Agreement and resolving any ambiguities, the main body of this Agreement will take precedence over the Exhibits and any inconsistency between the Exhibits will be resolved in the order in which the Exhibits appear below. Exhiblt.A Motorola software license agreement ("Software License Agreement") Exhibit B Motorola's proposal dated April 17, 2001, including the system description ("System Description"), acceptance test plan ("Acceptance Test Plan" or "ATP"), equipment list ("Equipment List"), and statement of work ("Statement of Work") Section 2 DEFINITIONS Capitalized terms used in this Agreement and not otherwise defined within the Agreement have the following meanings: "Communications System" or "System" is the communications system described in Exhibit B, including the Equipment and Software described in the System Description, Statement of Work, Acceptance Test Plan and Equipment List. "Equipment" is the equipment specified in the Equipment List included in Exhibit B. "Motorola Software" is software whose copyright is owned by Motorola. "Non -Motorola Software" is software whose copyright is owned by a party other than Motorola. "Software" includes Motorola and any Non -Motorola Software that may be furnished with the Communications System. Section 3 SCOPE OF AGREEMENT A. SCOPE OF WORK. Motorola will assemble and integrate the Equipment and Software, and deliver, install and test the Communications System at designated sites, as specified in Exhibit B and in accordance with this Agreement. Customer will perform its responsibilities as specified in Exhibit B and in accordance with this Agreement. B. CHANGE ORDERS. Either party may request changes within the'general scope of this Agreement. Motorola is not obligated to comply with requested changes unless and until both parties execute a written change order. C. ADDITIONAL PRODUCTS. For three (3) years after the Effective Date of this Agreement, Customer may submit purchase orders for additional portable and mobile subscriber products manufactured by Motorola's CGISS which are currently available at the time of order. If Customer and Motorola have agreed to a convention for processing electrohic data interchange ("EDI") transactions, purchase orders may be transmitted electronically. Each purchase order must specifically refer to this Agreement and will be an offer by Customer subject to Motorola's acceptance. Except for pricing and delivery terms, which must be stated on the purchase order, Customer and Motorola agree that the applicable terms of the main body of this Agreement will be the only terms and conditions that govern the purchase and sale of products identified on such purchase orders. Customer and Motorola agree that payment for all additional products so purchased will be due within twenty-five (25) days after the date of Motorola's invoice for the products. D. MOTOROLA SOFTWARE. Any Motorola Software furnished will be licensed to Customer solely according to the terms and restrictions of the Software License Agreement attached as Exhibit A. Customer hereby accepts all of the terms and restrictions of the Software License Agreement. E. NON -MOTOROLA SOFTWARE. Any Non -Motorola Software furnished by Motorola will be subject to the terms and restrictions of its copyright owner unless such copyright owner has granted to Motorola the right to sublicense such Non -Motorola Software. If the owner has sublicensed its software to Motorola, Motorola's standard Software License Agreement (including any addendum to satisfy such copyright owner's requirements) shall apply. Section 4 —PERFORMANCE SCHEDULE A. Motorola and Customer agree to perform their responsibilities in accordance with the following performance schedule as supplemented by the schedule included in the Statement of Work: Motorola will ship the Equipment to designated Customer site(s) within ^ weeks after the Effective Date of this Agreement. 2. Motorola will install the Equipment within _ weeks after the Equipment is delivered to designated site(s). 3. Motorola and Customer will complete acceptance testing within weeks after installation is completed. B. Customer authorizes Motorola to proceed with the manufacture, assembly, integration, delivery, installation, and testing of the Communications System. No further notice to proceed, purchase order, authorization, resolution, or any other action will be required. Section 5 PAYMENT SCHEDULE A. The total contract price is $ ("Contract Pride"). Motorola reserves the right to make partial shipments of equipment and to request payment upon shipment of sudh equipment. Section 6 INSTALLATION AND SITE CONDITIONS A. In addition to its responsibilities described in the Statement of Work, Customer agrees to provide a designated project director, procure any necessary construction permits, building permits, zoning variances and the like. Customer agrees to provide access to the sites identified in the Exhibits as requested by Motorola, and have such sites available for installation of the Equipment by Motorola in accordance with the performance schedule and Statement of Work. B. If either Motorola or Customer determines that the sites identified in the Exhibits are no longer available or desired, or if subsurface, structural, adverse environmental or latent conditions at any site differ from those indicated on the specifications in the Exhibits, Motorola and Customer will promptly investigate the conditions. If necessary, Motorola and Customer will jointly select replacement sites or adjust the installation plans and specifications as necessary. C. if Customer and Motorola determine that any change in sites, site availability, installation plans, or specifications will require an adjustment in the contract price, or to the time required for the performance, or both, the parties will agree to an equitable and this Agreement will be modified in writing. D. This Agreement is predicated upon normal soil conditions as defined by the applicable version of E.I.A. standard RS -222 in effect on the Effective Date of this Agreement. Section 7 TRAINING If training is included in this Agreement, Customer agrees to notify Motorola immediately if a date change for a scheduled training program is required. A charge will apply to a training program rescheduled by Customer less than thirty (30) days prior to its scheduled start date. Section 8 SYSTEM ACCEPTANCE , + Motorola File No. 01-19 /hhm Page 3 (Rev. 2000 ) I COMMUNICATIONS SYSTEM AGREEMENT I A. Motorola will test the Communications System in accordance with the Acceptance Test Plan. System acceptance will occur upon the successful completion of such testing ("System Acceptance') at which time both parties shall promptly execute a certificate of system acceptance. If the Acceptance Test Plan includes separate tests for individual subsystems, both parties shall promptly execute certificates of subsystem acceptance upon the successful completion of testing of such subsystems. Minor, omissions or variances in performance that do not materially affect the operation of the Communications System as a whole will not postpone System Acceptance. Customer and Motorola will jointly prepare a list of such omissions and variances which Motorola will correct according to an agreed upon schedule. B. Motorola agrees to notify Customer when the Communications System is ready for acceptance testing. Motorola and Customer agree to commence acceptance testing within ten (10) business days after receiving such notification. If testing is delayed for reasons within the control of Customer or its contractors, agents and consultants for more than ten (10) business days after notification, final payment will be due within thirty (30) days after such_notification and the Warranty Period will commence immediately. C. Motorola may, but is not obligated to, issue written authorization for Customer's use of the Communications System or its subsystem(s) for limited training or testing purposes, prior to the completion of testing by Motorola. Any use of the Communications System without prior written authorization by Motorola shall constitute System Acceptance, Section 9 WARRANTY A. WARRANTY PERIOD. Upon System Acceptance, the System Functionality representation described below is fulfilled. The Equipment and Motorola Software is warranted for a period of one (1) year after System Acceptance ('Varranty .Period") in accordance with the applicable limited warranties shown below. In no event will the warranty period last longer than eighteen (18) months after the Equipment and Software is shipped from Motorola. Customer must notify Motorola in writing if Equipment or Motorola Software does not conform to these warranties no later than one month after the expiration of the Warranty Period. B. SYSTEM FUNCTIONALITY. Motorola represents that the Communications System will satisfy the functional requirements in Exhibit B. Upon System Acceptance, this System Functionality representation is fulfilled. After System Acceptance, the Equipment Warranty set forth below and the Software Warranty set forth in the Software License Agreement will apply. Motorola will not be responsible for performance deficiencies of the System caused by ancillary equipment not furnished by Motorola attached to or used in connection with the System provided hereunder. Motorola will not be responsible for reduced System performance due to: an earthquake, adverse weather or atmospheric conditions or other natural causes; the construction that adversely affects the microwave path reliability or RF coverage; the addition of additional frequencies at System sites that cause RF interference or intermodulation; Customer changes to load usage or configuration(s) outside the parameters specified in Exhibit 8; or any act of parties who are beyond Motorola's control, including Customer or its employees, contractors, consultants or agents. C. EQUIPMENT WARRANTY. Motorola warrants the Equipment against material defects in material and workmanship under normal use and service during the Warranty Period. Unfess otherwise specified in writing, the Warranty Period for non -Motorola manufactured Equipment will be as stated in this Section. Motorola File No, 01-19 /hhm Page 4 (Rev, 2000) r COMMUNICATIONS SYSTEM AGREEMENT At no additional charge and at its option, Motorola will either: repair the defective Equipment, replace it with the same or equivalent Equipment, or refund the purchase price of the defective Equipment, and such action on the part of Motorola will be the full extent of Motorola's liability hereunder. Repaired or replaced Equipment is warranted for the balance of the original applicable warranty period. All replaced parts of the Equipment shall become the property of Motorola. THIS HARDWARE WARRANTY DOES NOT APPLY TO: a) Defects or damage resulting from use of the Equipment if used in a manner other than its normal and customary manner. b) Defects or damage occurring from misuse, accident, water, or neglect c) Defects or damage occurring from testing, operation, maintenance, installation, alteration, modification, or adjustment not provided by Motorola pursuant to this Communications System Agreement. d) Breakage or damage to antennas unless caused directly by defects in material or workmanship. e) Unauthorized Equipment modifications, disassembly or repairs (including the addition to the Equipment of non -Motorola supplied equipment if not authorized by Motorola) that adversely affect performance of the Equipment or interfere with Motorola's normal warranty inspection and testing of the Equipment to verify any warranty claim. f) EqMipment that has had the serial number removed or made illegible. g) Batteries (they carry their own separate limited warranty). h) Freight costs to the repair depot. i) Equipment which, due to illegal or unauthorized alteration of the software/firmware in the Equipment, does not function in accordance with Motorola's published specifications or with the FCC type acceptance labeling in effect for the Equipment at the time the Equipment was initially distributed from Motorola. j) Scratches, or other cosmetic damage to Equipment surfaces, that do not affect the operation of the Equipment. k) Software. 1) Normal and customary wear and tear. D. MOTOROLA SOFTWARE WARRANTY. Motorola Software Is warranted in accordance with the terms of the Software License Agreement attached as Exhibit A. E. These express limited warranties as set forth in this Section are extended by Motorola to the original end user purchasing or leasing the System for commercial, industrial, or govelmmental use only, and may not be Motorola File No. 01-19 /hhm Page 5 ( Rev. 2000) COMMUNICATIONS SYSTEM assigned or transferred. These warranties are the complete warranties for the Equipment and Software provided pursuant to this Agreement. F. THESE WARRANTIES ARE GIVEN IN LIEU OF ALL OTHER WARRANTIES. MOTOROLA DISCLAIMS ALL OTHER WARRANTIES OR CONDITIONS, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT WILL MOTOROLA BE LIABLE FOR DAMAGES IN EXCESS OF THE PURCHASE PRICE OF THE EQUIPMENT. IN NO EVENT WILL MOTOROLA BE LIABLE FOR ANY LOSS OF USE, LOSS OF TIME, INCONVENIENCE, COMMERCIAL LOSS, LOST PROFITS OR SAVINGS, INCIDENTAL, SPECIAL, INDIRECT OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OR INABILITY TO USE THE EQUIPMENT, TO THE FULL EXTENT SUCH MAY BE DISCLAIMED BY LAW. Section 10 FCC LICENSES AND AUTHORIZATIONS Customer agrees to obtain all Federal Communications Commission ("FCC") licenses and authorizations required for installation and use of the Communications System prior to the scheduled installation of the Equipment. Although Motorola may assist in the preparation of license applications, in no event will Motorola or any of its employees be an agent or representative of Customer in FCC matters. Customer is solely responsible for obtaining all FCC licenses and for complying with FCC rules. Section 11 DELAYS A. Successful project implementation will require cooperation and fairness between the parties. Because it is impractical to provide for every contingency that may arise during the course of performance of this Agreement, ft -parties. agree to notify the other if they become aware that any condition will significantly delay performance. The parties will agree to reasonable extensions of the project schedule by executing a written change order. B. Under no circumstances will either party be responsible for delays or lack of performance resulting from events beyond the reasonable control of that party ("Excusable Delays"). Excusable Delays include, but are not limited to: acts of God, weather conditions, compliance with laws and regulations (excluding Customer's failure to properly and timely apply for all required FCC licenses), governmental action, bid protests, fire, strikes, lock- outs, and other labor disruptions, material shortages, riots, acts of war, and an Excusable Delay of a Motorola subcontractor. C. Customer will make available to Motorola the sites when scheduled and Customer will not otherwise unreasonably delay or prevent Motorola's performance of its responsibilities. In the event of a Customer delay during the time of shipment, Motorola may ship the equipment as scheduled to a location as designated by the Customer or if no such location is designated, a Motorola designated storage facility for which Customer agrees to pay all fees. If Customer delays Motorola's performance, the performance schedule will be extended, the Customer will make the milestone payments as if no delay occurred, and the parties will execute a Change Order to compensate Motorola for reasonable charges incurred because of such delays. Such charges include, but are not limited to, costs incurred by Motorola and/or its subcontractors for additional freight, warehousing and handling; suspending and re -mobilizing the work; additional engineering and standby time calculated at then current man -day rates; and preparing and implementing a "work around"pian. r Section 12 DEFAULT Motorola File No. 01-19 /hhm Page s ( Rev. 2000) COMMUNICATIONS SYSTEM AGREEMENT A. If Motorola fails to complete delivery, installation or acceptance testing in accordance with this Agreement, Customer may consider Motorola to be in default, unless such failure has been caused by an Excusable Delay. Customer agrees to give Motorola written notice of such default. Motorola will have thirty (30) days from the receipt of such notice to provide a plan of action that is acceptable to Customer to cure the default. B. if Motorola fails to cure the default, Customer may terminate any unfulfilled portion of this Agreement. If Customer completes the Communications System through a third party, Customer may recover the reasonable costs of completing the Communications System to a capability not exceeding that specified in the Agreement for the terminated portion. Customer agrees to use its best efforts to mitigate such costs. Motorola's liability under this Section is subject to the limitations of the Section entitled Limitation of Liability of this Agreement. C. THE REMEDIES PROVIDED IN THIS SECTION OF THE AGREEMENT WILL BE THE FULL EXTENT OF MOTOROLA'S LIABILITY IN THE EVENT OF DEFAULT. Section 13 "INDEMNIFICATION A. GENERAL INDEMNITY. Motorola will indemnify and save Customer harmless from all liabilities that result from direct physical damage to tangible property or personal injury to the extent the damage or injury is caused' by the negligence or recklessness of Motorola, its employees, subcontractors, or agents, during the performance of this Agreement. S. PATENT AND COPYRIGHT INFRINGEMENT. Motorola will defend, at its own expense, any suit brought against the Customer to the extent that it is based on a claim that the Equipment or Motorola Software infringe a United States patent or copyright, and Motorola will pay those costs and damages finally awarded against the Customer in any such suit which are attributable to any such claim, but such defense and payments are conditioned on the following: i) Motorola must be notified promptly in writing by Customer of any notice of such claim; ii) Motorola will have sole control of the defense of such suit and all negotiations for its settlement or compromise; and iii) should the Equipment or Motorola Software become, or in Motorola's opinion be likely to become, the subject of a claim of infringement of a United States patent or copyright, Customer will permit Motorola, at its option and expense, either to procure for Customer the right to continue using the Equipment or Motorola Software or to replace or modify the same so that it becomes non -infringing or to grant Customer a credit for the Equipment or Motorola Software as depreciated and accept its return. The depreciation amount will be based upon generally accepted accounting standards for such Equipment and Software. Motorola will not be liable for any claim of patent or copyright infringement based upon the combination of the Equipment or Motorola Software furnished hereunder with software, apparatus or devices not furnished by Motorola. Motorola will not be liable for the use of ancillary equipment or software not furnished by Motorola that is attached to, or used in connection with, the Equipment. The foregoing states the entire liability of Motorola with respect to infringement of patents and copyrights by the Equipment and Motorola Software or any parts thereof. C. Motorola's indemnification of Customer under this Section will be the full extent of Motorola's indemnification of Customer from liabilities that are in any way related to Motorola's performance under this Agreement. Section 14 DISPUTES A. Motorola and Customer will attempt to settle any claim or controversy arising from this Agreement through consultation and negotiation in good faith and a spirit of mutual cooperation. If settlement attempts fail, Motorola File No. 01-19 /hhm Page 7 ( Rev. 2004) COMMUNICATIONS SYSTEM AGREEMENT either party may, with thirty days' notice, request non-binding mediation by a mutually chosen mediator within thirty days. Neither party may unreasonably withhold consent to the selection of a mediator. Motorola and Customer will share the cost of the mediation equally. The parties may postpone mediation until they have completed some specified but limited discovery about the dispute. The parties may also replace mediation with some other form of non-binding alternate dispute resolution ("ADR") procedure. B. If, after two months from the date of the initial demand for mediation, the dispute cannot be resolved, either party may submit a claim to a court of competent jurisdiction in the state in which the Communications System is installed. Each party consents to jurisdiction over it by such a court. The use of any ADR procedures will not be considered under the doctrine of laches, waiver, or estoppel to affect adversely the rights of either party. If good faith efforts to resolve the dispute under these procedures have been unsuccessful, or if interim relief from the court is necessary to prevent serious and irreparable injury to the claimant, its affiliates, agents, employees, customers, suppliers, or subcontractors, either party may seek immediate judicial relief. Section 15 LIMITATION OF LIABILITY Notwithstanding any other provision to this Agreement, Motorola's total liability, except for personal injury or death, whether for breach of contract, warranty, negligence, strict liability in tort, indemnification, or otherwise, will be limited to the direct damages recoverable under law. Direct damages shall not exceed the price of the Equipment or services with respect to which losses or damages are claimed. IN NO EVENT WILL MOTOROLA BE LIABLE FOR ANY LOSS OF USE, LOSS OF TIME, INCONVENIENCE, COMMERCIAL LOSS, LOST PROFITS OR SAVINGS, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES RELATED TO OR ARISING FROM THIS AGREEMENT, THE SALE OR USE OF THE EQUIPMENT, OR THE PERFORMANCE OF SERVICES BY MOTOROLA. This Limitation of Liability will survive the expiration or termination of this Agreement. ITe-action for a breach of this Agreement or otherwise relating to the transactions contemplated by this Agreement may be brought more than one year after the accrual of such cause of action, except for money due upon an open account. Section 16 GENERAL A. TITLE AND RISK OF LOSS. Title to the Equipment will pass to Customer upon shipment of the Equipment, except that title to Software will not pass to Customer at any time. Risk of loss will pass to Customer upon delivery of the Equipment to the facilities designated by Customer. B. TAXES. The Contract Price does not include any amount for federal, state, or local excise, sales, lease, service, rental, use, property, occupation, or other taxes. All taxes (other than federal, state, and local taxes based on Motorola's income or net worth) will be paid by Customer, except as exempt by law. If Motorola is required to pay or bear the burden of any such taxes, Motorola will send an invoice to Customer and Customer will pay to Motorola the amount of such taxes (including any interest and penalties) within thirty days after the date of the invoice. Customer will be solely responsible for reporting the Equipment for personal property tax purposes. C. CONFIDENTIAL INFORMATION. Unless Motorola makes such material or information public or disclosure is legally required, Customer will not disclose any material or information identified as Motorola proprietary and confidential to third parties without Motorola's prior written"permission. If Customer is required by law to disclose such material or information, Customer will notify Motorola prior to such disclosure. Except as explicitly provided in the Motorola Software License Agreement included in Exhibit A, nothing in this Agreement will be deemed to grant, either directly or by implication, estoppel, or otherwise, any license or right under any patents, patent applications, copyrights, trade marks, trade secrets or intellectual property of Motorola. E. ASSIGNABILITY. Neither party may assign this Agreement without the other party's prior consent. Motorola may assign,this Agreement to any of its affiliates or its right to receive payment without the prior consent of Customer. F WAIVER. Failure or delay by either party to exercise any right or power under this Agreement will not operate as a waiver of such right or power. G. SEVERABILITY. If any portion of this Agreement is held to be invalid or unenforceable, that provision will be considered severable and the remainder of this Agreement will remain in full force and effect as if the invalid provision were not part of this Agreement. H. HEADINGS AND SECTION REFERENCES. The headings given to the sections of this Agreement are inserted only for convenience and are not to be construed as part of this Agreement or as a limitation of the scope of the particular Section to which the heading refers. 1. ENTIRE AGREEMENT. This Agreement (including the Exhibits) constitutes the entire agreement of the parties regarding the subject matter of this Agreement and supersedes all previous agreements and understandings, whether written or oral, relating to such subject matter. This Agreement may be altered, amended, or modified only by a written instrument signed by the duly authorized representatives of both parties. J. GOVERNING LAW. This Agreement will be governed by and construed in accordance with the laws of the State to which the Equipment is shipped. K. NOTICES. Inc., a Delaware corporation ("Motorola"), and the Licensee named below. Section t SCOPE Licensee may acquire from Motorola's Commercial, Government, and Industrial Solutions Sector ("CGISS") radio communication products ("Products") that contain embedded or pre -loaded Motorola software such as in a ROM, PROM, or EPROM, or other Motorola software provided on media such as a floppy disk, tape, diskette, or CD-ROM. All such software (including Radio Service Software and FLASHportO Software) is referred to as "Motorola Software." In addition, third party software may be included which Motorola does not own but is licensed to distribute. The terms of this Agreement apply to any such third party software unless an additional license agreement pertaining to the third party software is enclosed, in which case the terms of such license apply to said third party software. This Agreement contains the terms under which Licensee may use Motorola Software acquired from CGISS. Section 2 GRANT OF LICENSE Motorola hereby grants to Licensee a personal, non-exclusive license under Motorola's applicable proprietary rights to use Motorola Software in accordance with the terms of this Agreement. Section 3 LIMITATIONS ON USE Licensee may use Motorola Software only for Licensee's internal business purposes and only as described in the Motorola Software or Product documentation. Any other use of Motorola Software is strictly prohibited and will be deemed a breach of this Agreement. Licensee may not copy, modify, adapt, merge with other software, reverse engineer. prepare derivative works of, or disassemble any Motorola Software for any reason, except that Licensee may make at most two copies of Motorola Software provided with -- infrastructure equipment for back-up purposes. Licensee must purchase a copy of Radio Service Software for each site at which Licensee uses Radio Service Software; Licensee may make one additional copy for each computer owned or controlled by Licensee at each such site. Licensee may temporarily use Radio Service Software on portable or laptop computers at other sites. Prior to acquiring any Radio Service Software or upon Motorola's request, Licensee must provide a written list of all sites where Licensee uses or intends to use Radio Service Software. Licensee must reproduce all Motorola copyright and trademark notices on all copies of Motorola Software. Section Q TRANSFERS If Licensee transfers ownership of Products to a third party, Licensee may assign its rights to use Motorola Software (other than Radio Service Software and FLASHport`J Software) furnished or embedded in Products subject to the following conditions. Licensee must transfer all copies of such Motorola Software to the new owner and Motorola must receive a transfer form (which Motorola will provide upon request) completed and signed by the new owner. Otherwise, any attempt by Licensee to effect a transfer shall be null and void. Section 5 OWNERSHIP AND TITLE Title to all copies of Motorola Software in any form, includirig all rights in patents, copyrights, trade secrets, and other intellectual properties, remains vested exclusively in Motorola. I Motorola File No. 0I-19 /hhm Page I I MOTOROLA SOFTW Section 6 CONFIDENTIALITY E LICENSE AGREEMENT - EXHIBIT A Licensee acknowledges that all Motorola Software contains valuable proprietary information and trade secrets and that unauthorized dissemination, distribution, modification, reverse engineering, disassembly, or other improper use of Motorola Software will result in irreparable harm to Motorola for which monetary damages would be inadequate. Accordingly, Licensee will limit access to Motorola Software to those of its employees and agents who need to use Motorola Software for Licensee's internal business purposes, and Licensee will take appropriate action with those employees and agents to preserve the confidentiality. of Motorola Software. Section ? LIMITED WARRANTY For the Warranty Period specified in the Communications System Agreement, Motorola warrants that the Motorola Software, when used properly, will be free from reproducible defects that eliminates the functionality of a feature critical to the primary functionality of a system. The primary functionality of a voice communication system is subscriber -to - subscriber, subscriber -to -dispatcher, and dispatcher -to -subscriber voice communication. The primary functionality of a data system is point-to-point data transmission. Motorola does not warrant that Licensee's use of the Motorola Software or the Products will be uninterrupted or error -free or that the Motorola Software or the Products will meet Licensee's particular requirements. MOTOROLA'S TOTAL LIABILITY, AND LICENSEE'S SOLE REMEDY, FOR ANY BREACH OF THIS WARRANTY WILL BE LIMITED TO, AT MOTOROLA'S OPTION, REPAIR OR REPLACEMENT OF THE MOTOROLA SOFTWARE OR PAYMENT OF LICENSEE'S DiRECT DAMAGES UP TO THE AMOUNT PAiD FOR THE MOTOROLA SOFTWARE OR THE INDIVIDUAL PRODUCT IN WHiCH THE MOTOROLA SOFTWARE IS EMBEDDED OR FOR WHiCH IT WAS PROVIDED. THIS WARRANTY EXTENDS ONLY TO THE FIRST LICENSEE; SUBSEQUENT TRANSFEREES MUST ACCEPT THE MOTOROLA SOFTWARE "AS iS" AND WITH NO WARRANTIES OF ANY KiND, MOTOROLA DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED — WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. This License will continue in perpetuity unless terminated as follows. Licensee's right to use Motorola Software will terminate without notice upon a breach of this Agreement by Licensee. In addition, if Licensee breaches this Agreement with respect to Radio Service Software or FLASHportO Software, Motorola may, by notice to Licensee, terminate Licensee's right to use such Motorola Software. Upon termination, Motorola will be entitled to immediate injunctive relief without proving damages and, unless Licensee is a sovereign government entity, Motorola will have the right to repossess all Radio Service Software and FLASHport@ Software in Licensee's possession. Within thirty days after termination of Licensee's right to use any Motorola Software, Licensee must certify in writing to Motorola that all copies of such Motorola Software have been returned to Motorola or destroyed. Motorola may, however, modify this Agreement as necessary to comply with applicable laws and regulations including FCC regulations. F. GOVERNING LAW. This Agreement will be governed by the laws of the United States of America to the extent that they apply and otherwise by the laws of the State to which the Equipment is shipped.
