BACKGROUND On November 20, 2000, the City of Miami solicited bids through Invitation for Bids (IFB) Bid No. 00-01-23 to provide uniform accessories for the Department of Police. The awarded bidder, Ander Police Supply defaulted on said contract and the City terminated same for failure to provide delivery of Uniform Accessories in a timely manner and to have a local storefront facility located in the City of Miami as required by Bid No. 00-01-023. Based upon the termination, the City Administration proceeded to recommend the award of the contract for police uniforms accessories to Harrison Uniform Company based upon the application of the 10% local preference. By letter dated July 10 2001, Martin Lamar Uniforms protested that Harrison Uniform Company should not be considered a local vendor and that award should be made to them as the next lowest responsive and responsible bidder. Pursuant to Section 18-99 of the City Code, the Chief Procurement Officer duly investigated the facts and detennined that the protest lacked merit, as detailed in the attached letter. It is therefore, recommended that the City Commission adopt the attached resolution approving the Chief Procurement Officer's decision to reject the protest of Martin Lamar Uniforms Enc. Pursuant to my duties under Section 18-99 of the City of Miami Code, Resolution of protested solicitation and awards, I have reviewed the pertinent facts and documents and submit the following in response to your protest concerning the recommendation for award of contract to Harrison Uniform Company (Harrison) in the wake of the default of Ander Police Supply (_Ander): 1. Your protest asserts an entitlement to local preference as prescribed in the City of Miami Charter and Code based upon a trailer Lamar currently occupies on the City of Miami Police Department's property. Although Lamar does possess an occupational license for the trailer, the City has made no written commitment to your client that would permit it to remain at that site for any length of time. In fact, I would argue, but for the current contract for Police Uniforms (Bid No. 00-1-22) requiring Lamar to have either a storefront within the city limits or a trailer on the premises of the Police Department, Lamar would not have a local site, Under prior contracts, pursuant to Bid Nos. 96-97-035 and 96-97-036, the City allowed an informal and temporary trailer arrangement with Lamar to address the City Commission's concern about the loss of productivity and inconvenience to City police officers in traveling to Lamar's facility at 7230 NW 46" Street, As a compromise, the City allowed the sole bidder to locate a trailer on the City's property so that Lamar could better serve the needs of the City. of - DEPARTMENT Of PURCHASING/444 S.W.3nd Avenue, 61h Floor/Miami, Florida 33130/11rJ51416-19004ax: U05/SIG•19.; E -Mail Address: Uurchase4ri.mlami i1mw Wi4isite Adrlrp-w 111trrilri Miami 8 ua/ 9 • Subsequently, in the bid to which you refer (Bid No. 00-01-23), the City offered a similar opportunity to locate a trailer on the City's premises to the successful bidder if the vendor did not have a facility located in the City. This availability to all bidders nullifies the potential for the application of a local preference for this temporary trailer location. Given these realities, I am confident that Lamar cannot produce sufficient documentation to represent any commitment to Lamar beyond the scope of Lamar's contract to provide police uniforms. To suggest Lamar's entitlement to a local preference on the basis of a temporary trailer location on the City's property that was available to any successful bidder, betrays the substance and the spirit of the local preference law. Both Lamar and Harrison completed Primary Office Affidavits to claim eligibility for the local preference. That form notes, "the intention of this section (18-52.1(h) of the City Code] is to benefit local bona fide bidders/proposers to promote economic development within the corporate limits of the City of Miami (emphasis added)." Particularly, in that context, it is clear that a trailer located on the City's property is not equal to a bricks and mortar facility operated by Harrison at 3850 North Miami Avenue that predates a contract award from the City. In my estimation, a temporary trailer located on the City's property does not position Lamar to make an economic development contribution in the City. 2. Contrary to your contention regarding the City Commission's role in determining "nonlocal vendor" or "primary office," I direct your attention to Section 18-79(h) of the City Code, which notes, "the city manager... may submit recommendations to the city commission." The city commission will make the final determination as to whether the local preference will apply to this contract. Whether that requires a public hearing will be a decision for the city commission when the city manager submits his recommendation for award to the city commission. Nothing has occurred or was planned to derail the process set forth in the city code. Upon award of contract, the appropriate written notice would have been sent; however, such notice is not appropriate until the commission's award has been made. As you note, Section 18-90 acknowledges the role of the chief procurement officer prior to the city commission's award; however, no adverse decision regarding Lamar's responsibility has been made to warrant the notice that you claim to have been denied. The Code (Sections 18-78 and 18-90) is very specific on the definition and, scope of responsibility and it does not contemplate a question of locality. Hence, notice is not ripe until the city commission has awarded a contract and is only required under Section 18-79(h) • 0 to the lowest responsive and responsible bidder. Again, such an award has yet to occur. 3. With regard to your question regarding the sufficiency of Harrison's Miami facility as a "primary office", you should be aware that this situation is one that the City has encountered previously. You should note that the precedent has been established by the City Commission to recognize an established facility such as Harrison Uniform's facility. The relative establishment of other facilities nationally or regionally has not been relevant to the City Commission's determinations in the past. In conclusion, I must reiterate that the "award" to Harrison is a recommendation at this point. At the next regular commission meeting, the recommendation will be submitted to the City Commission for a final determination. Having carefully considered and investigated all allegations and arguments, I hereby reject the formal protest filed in behalf of Martin's Lamar Uniforms. The City Manager and City Attorney have concurred with my decision to reject the protest. This matter will be considered by the City Commission at its meeting of 1'hursday, September 13, 2001, to be held at 3500 Pan American Drive, Coconut Grove. The meeting will begin at 9:30am. It is our understanding that the above-described bid/contract was originally awarded to Anders Police Supply (Anders) and that subsequently the City of Miami (City) revoked and nullified Anders' rights under the bid/contract on the basis of non- performance. Our client, the second lowest bidder in the process, has further informed us that, pursuant to Sec. 18-79 (h) of the Charter and Code of the City of Miami, the City intends to award the above described bid/contract to Harrison Uniform Company (Harrison), the third lowest bidder. If so, such a decision would require a determination by the City that Harrison is a "responsible and responsive bidder whose primary office is located in the city", and that Martin's would not meet those qualifications. If the above facts are true, we respectfully request that you review and reconsider the City's decision and, based on the following facts and arguments, award the bid/contract to Martin's : If the Anders contract has in fact been cancelled or revoked, then Martin's, as the next lowest responsive and responsible bidder, should be awarded the contract and, in accordance with Sec. 15-79 (h), should be notified in writing, with reasonable promptness, of the award. However, we believe that the determination of what constitutes a "nonlocal vendor" or a "primary office" is a question of fact for the City Commission to make in a public hearing with due notice to all parties concerned and an opportunity for Martin's to defend its rights under the contract . It is our belief that a determination by a person or agency other than the City Commission as to who is or not a "nonlocal vendor" or what constitutes a "primary office located within the city" has the same effect on a potential bidder as a determination of nonresponsibility pursuant to Sec. 18-90, and that the same rights to proper notice and rebuttal before the determining person or agency should be given. No such opportunities have been accorded Martin's. We further respectfully submit that Harrison's Miami office cannot be considered a "primary office" as contemplated by Sec. 18-79 (h). According to the enclosed copies of the Florida Department of State, Division of Corporations, Public Inquiry, Harrison's principal address is 4545 Malsbary Rd., Cincinnati, Ohio. Harrison's Registered Agent is CT Corporation System, located at 1200 S. Pine Island Road, Plantation, Florida. Harrison's officers and directors all reside in Cincinnati, Ohio. In addition, Harrison has longer -established Florida offices located in Jacksonville, St. Petersburg and Orlando, Florida. Martin's is a wholly owned subsidiary of Superior Uniform Group, Inc., whose principal address is in Seminole, Florida ar..d whose corporate officers and directors all reside within the State, as evidenced by the enclosed copies of Superior's corporate papers. Martin's has a City office address located upon the grounds of the City of Miami Police Station at 400 N.W. 2 Avenue, Miami, Fl., as evidenced by the attached copy of the City of Miami occupational license. The City office is a legally permitted trailer established at said location at the request and for the convenience of the City of Miami police. Martin's has an additional office.located at 7230 N.W. 46 Street, Dade County, Florida. If Harrison's Miami office is determined to qualify as a "primary office" then, applying the same criteria, Martin's Miami office should qualify as well. If Martin's Miami office fails to qualify as a "primary office" then, applying the same criteria, Harrison's Miami office should fail to qualify as well. Under either of the above two scenarios, the above contract should be awarded to the next lowest bid after Anders, which would be Martin's. Although it is unclear whether this Formal Written Protest is required by the bid regulations or City code, we respectfully submit it in an over -abundance of caution and to preserve any and all rights our client Martin's may have in this process.
