SERVICES FOR CITY-WIDE USE, EFFECTIVE AS OF JANUARY 5, 2001. WHEREAS, Resolution No. 00-878, adopted October 12, 2000, approved the acquisition of coffee services from Atlantis Environmental System Corporation ("Atlantis"'), under existing Miami -Dade County Contract No. 6461-2/05, effective until July 31, 2003, and WHEREAS, Atlantis sold its coffee services business to Great Springs Water of America and grants, bargains, sells, conveys, transfers, assigns, and sets over its entire duties under the Contract to Great Springs Water of Amerlca; and CITYKBVMG or COtislg0� JUN 14 2001 Wwaluam W 01- 561 f i WHEREAS, Great Springs consented to the assignment of Miami -Dade County Contract No. 6461-2/05 for coffee services, under the same prices, terms and conditions as specified in the original contract executed with Atlantis; and WHEREAS, Great Springs assumes all obligations of Atlantis Environmental Systems Corp. for the performance under the contract for all services by Atlantis prior to the effective date of. Assignment of the Contract, including, but not limited to, existing liabilities and subconsultant obligations; and WHEREAS, Miami -Dane County acknowledged and consented to the assignment on January 5, 2001; NOW THEREFORE, HE IT RESOLVED BY THE COMMISSION OF.THE CITY OF MIAMI, FLORIDA: Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted by reference and incorporated as if fully set forth in this Section. Section 2. The transfer of ownership from Atlantis to Great Springs, approved by Miami --Dade County for Contract No. 6461-2/05, is acknowledged. of- 561 Page 2 of 4 • • Section 3. Resolution No. 00-878, adopted October 12, 2000, is amended in the following particulars:Y "RESOLUTION NO. 00-878 Section 2. The acquisition of coffee services from Atlantis Environmental System Corporation., for the Department of Purchasing for Citywide use, under existing Miami -Dade County Contract No. 6461-2/05, effective until July 31, 2003, and subject to any extensions thereto, is hereby approved, with funds therefor hereby allocated from the Operating Budgets of the various user departments, subject to budgetary approval prior to usage. Section 3. Effective January 5, 2001, Great Springs Water of America shall be the provider of coffee services under the same prices, terms and conditions as specified in the original contract executed with Atlantis Environmental Systems Corporation. Section 5-,- 4. This Resolution shall become effective immediately upon its adoption and signature of the Mayor. (Footnote omitted.) Section 4. Contract No. ENCLOSURES 6461-2/05 It is respectfully recommended that the City Commission adopt the attached Resolution, amending Resolution 00-878 to reflect the Assignment of Contract No. 6461-2105 with Atlantis Environmental System Corp. to Great Springs Water of America, for the acquisition of coffee services, approved by Miami -Dade County. BACKGROUND On October 12, 2000, the City Commission adopted Resolution No. 00-878, approving the acquisition of coffee services, from Atlantis Environmental System Corp, for the Department of Purchasing for citywide use, on an as needed contract basis, under existing Miami -Dade County Contract No. 6461-2/05, effective until July 31. 2003, subject to any extensions thereto. Atlantis Environmental Systems Corp. sold its coffee services business to Great Springs Water of America. Great Springs Water of America consented to the assignment of Miami-Dadc County Contract No. 6461-2/05 for coffee services, under the same prices, terms and conditions as specified in the original contract executed with Atlantis Environmental Systems Corp.
