WHEREAS, Resolution No. 97-5230 adopted July 24, 1997, accepted the bid of Data Storage Centers, Inc. to provide a records management and storage facility for various City Departments, on a contract basis for one year, with the option to extend for two additional one-year periods, in an annual amount of $10,6771 and WHEREAS, Resolution No. 99-066, adopted January 26, 1999, authorized an increase in the contract with Data Storage . C l'cy ddyM180I0X jWMINU or MAY 2 4 2001 1WOWWAM No. 01- 506 Centers, in an amount not to exceed $16,000, to include services for the Building and Zoning Department in the amount of $6,000, and the City Attorney's Office in the amount of MOM and WHEREAS, pursuant to Resolution No. Ob -475, adopted June 8, 2000, the City Commission consented to the assignment of the current contract with Data Storage Centers, Inc. to Iron Mountain Records Management, Inc.,. for the provision of a records management and storage facility and authorized the City Manager to execute a Consent to Assignment, under the same terms and conditions; and WHEREAS, due to an emergency need for the, storage of. records,. the City Manager made a written finding of an emergency and approved the acquisition of records management. and storage services from Iron Mountain Records Management, Tne. from Page 2 of 4 01- 506 NOW, 'THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Section 1. The recitals and findings contained in the Preamble to. this resolution are adopted by reference and incorporated as if fully setforth in this Section. Section 2. By a fourth -fifths (4I5u'B) affirmative vote of the members of the City Commission, the City Manager's finding of an emergency, waiving the requirements for competitive sealed bidding procedures, and authorizing the acquisition of records management and storage services for the Office of the City Clerk with Iron Mountain Records Management, Inc. for the period of Novembor, 2000 through May 31, 2001, in an amount not to exceed $17,886, is ratified, approved, and confirmed, with funds allocated from the City Clerk General Operating Budget, Account Code No. 001000.921002.6.270. Section 3. This Resolution shall become effective immediately upon its adoption and signature of the Mayor." If the Mayor does not sign this Resolution, it shall become effective at the Sand of ten calendar days from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall become effective iimediately upon override of the veto by the City Commission. BACKGROUND Ratification —Contract Extension Commercial Records Storage The contract for Commercial Records Storage with Iron Mountain terminated effective October 30, 2000, and an emergency extension of these services was approved by the City Manager through February 28, 2001 for $8,085 while awaiting response pursuant to a bid. The bid was rejected due to the fact there was only one responsive bid received. A second bid was issued for these services, (Bid No. 00-01-087R) responses were received, and award is to be made in May. A second extension was requested by the City Clerk's Office and authorized by the City Manager through May, 2001, for an amount not to exceed $17,886 to cover estimated costs through May and was calculated based on invoices received through February and an estimation for March through May. It should be noted that costs fluctuate according to the volumeof departmental activity. RECOMMENDATION Ratification by the City Commission of the above described extensions is requested to continue to utilize the services of Iron Mountain Management, Inc., on an emergency basis for a total amount not to exceed $17,886 for the period of November, 2000 through May 31, 2001, and until the new award of contract. Iter R�FEi?FHCE�, City Clerk _MCI.5URLC ' BACKGROUND: Pursuant to Resolution no.97-523 adopted on July 24, 1997, Data Storage Centers, Inc. was awarded a contract in the amount of $10,677 for the provision of a commercial records management and storage facility citywide, effective October 31, 1997 through October 30, 1998, with the option to renew for two (2) additional one-year periods. It was subsequently discovered that the Department of Building and 'Zoning acrd the City Attorney's Office maintained separate accounts with Data Storage Centers, Inc. Therefore, on January 26, 1999, Resolution No. 99-66 was adopted, which authorized the centralization of storage functions and increased the total contract amount to $26,677, On June 8, 2000, by Resolution No. 00-471, the City of Miami consented to the assignment of said contract with Data Storage Centers to Iron Mountain Records Management, Inc., under the same terms and conditions. The second and final renewable option terminated on October 30, 2000. An extension was authorized through February, 2001 and a blanket purchase order was issued for $8,085. A new bid for these services (Bid No. 99-00-185) was issued and responses were opened on January 4, 2001. The bid was rejected due to the fact there was only one responsive bid received. A second bid for these services (Bid No. 00.01-087R) is expected to be received by the end of March and awarded in April. A second emergency extension is requested through May, 2001. Due to the transitional process from the data base of Data Storage Centers to Iron Mountain, no payments have been made to date. Therefore, said purchase order is being canceled. The amount of $17,885.67 to cover estimated costs through May, was calculated based on invoices received through February and an estimation for March through May. All sums which become payable by the City under this Contract for services rendered on and after the date of this assignment agreement shall be made to the Assignee, as between Assignor and Assignee. In the event a dispute arises between Assignor and Assignee as to the allocation or division of the City's payment between Assignor and Assignee, such dispute shall be resolved strictly between Assignor and Assignee and the City shaU have no liability or responsibility whatsoever in regard to resolving any such dispute. With respect to work and materials heretofore furnished by Assignor pursuant to the Contract, Assignor shall, to the extant that it has not heretofore bow paid for such work and materials by the City, look solely to Assignee for such work and materials. 6. Assignee specifically acknowledges and agrees that no delays or requests for additional compensation or supplemental agreements shall be granted due to this Assignment or the duplication of any services of Assignor by Assignee, it being understood that Assignee shall stand in the place or Assignor as though no assignment has occurred. 7.
