A RESOLUTION OF THE MIAMI CITY COMMISSION BY A FOUR-FIFTHS (4/5Txs) AFFIRMATIVE VOTE, AFTER A DULY ADVERTISED PUBLIC HEARING, RATIFYING, APPROVING AND CONFIRMING THE CITY MANAGER'S FINDING OF SOLE SOURCE; WAIVING THE REQUIREMENTS FOR COMPETITIVE SEALED BIDDING PROCEDURES AND APPROVING THE ACQUISITION OF NON -EMERGENCY REPORTING 3-1-1 SERVICES FOR THE DEPARTMENT OF POLICE FROM BELLSOUTH TELECOMMUNICATIONS, INC., THE SOLE SOURCE PROVIDER, FOR A PERIOD OF THIRTY-SIX (36) MONTHS, IN AN ANNUAL AMOUNT NOT TO EXCEED $105,960, PLUS CONTRACT PREPARATION FEES AND THE COST OF ESTABLISHING ROUTING SERVICE, IN AN AMOUNT NOT TO EXCEED $30,231 FOR TOTAL AMOUNT FOR THE FIRST YEAR OF $136,191; ALLOCATING FUNDS FROM THE POLICE GENERAL OPERATING BUDGET, ACCOUNT CODE NO. 001000.290201.6.510, IN THE AMOUNT OF $105,960 ANNUALLY, AND THE COPS 3-1-1 TECHNOLOGY GRANT FUND, ACCOUNT CODE NO. 142029.290521.6.510, IN A ONE-TIME AMOUNT OF $30,231. WHEREAS, the Miami Police Department was awarded a grant from the U.S. Department of Justice's Citizens on Patrol ("COPS") Technology Grant to establish a multi -government information 3-1-1 system to provide citizens with quick access CIlY COM�Ri88I0iq DMTING OF FEB 0 8 2001 =°®'i 16 to non -emergency police and other governmental services and reduce the volume of calls handled by operators at 9-1-1; and WHEREAS, the 3-1-1 service will provide the public with a non -emergency information network that will be routed through BellSouth Telecommunications to the proper Neighborhood Enhancement Team ("NET") Service Center by using the caller's nine -digit zip code; and WHEREAS, BellSouth Telecommunications, Inc. owns the number 3-1-1 and is the sole source provider of this service; and WHEREAS, the finding of the Chief Procurement Officer of sole source has been approved and adopted as the finding of the City Manager; and WHEREAS, the City Manager and the Chief Procurement Officer recommend that the requirements for competitive sealed bidding procedures be waived and the acquisition of the Non -Emergency Reporting 3-1-1 Services from BellSouth Telecommunications, Inc., the sole source provider, be approved; and WHEREAS, funds are available from the Police General Operating Budget, Account Code No. 001000.290201.6.510, in the amount of $105,960 annually, and the COPS 3-1-1 Technology Grant Fund, Account Code No. 142029.290521.6.510, in a one-time amount of $30,231; Page 2 of 4 01— 116 NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted by reference and incorporated as if fully set forth in this Section. Section 2. By a four-fifths (4/5tns) affirmative vote of the members of the City Commission, after a duly advertised public hearing, the City Manager's finding of sole source and waiving the requirements for competitive sealed bidding procedures and approving the acquisition of non -emergency reporting 3-1-1 services for the Department of Police from Bellsouth Telecommunications, Inc., the sole source provider, for a period of thirty-six (36) months, in an annual amount not to exceed $105,960, plus contract preparation fees and the cost of establishing routing service, in an amount not to exceed $30,231 for total amount for the first year of $136,191, is ratified, approved and confirmed, with funds allocated from the Police General Operating Budget, Account Code No. 001000.290201.6.510, in the amount of $105,960 annually, and the COPS 3-1-1 Technology Grant Fund, Account Code No. 142029.290521.6.510, in a one-time amount of $30,231. BellSouth Telecommunications, Inc. (BellSouth) will provide the routing of the call. The nine -digit zip code of the address where the call originates will be used to determine the calls' destination, which will be routed to one of the NET Offices. Further, staff learned that BellSouth owns the number 3-1-1, and BellSouth must be the provider of this number; no third party can provide these services as the originator of the number and service is from BellSouth. The proposed cost for the procurement of the NER 311 Service from BellSouth Telecommunications, Inc, for a thirty-six (36) month period, will be at a total annual cost not to exceed $105,960, with the first year totaling $136,191, which includes the contract preparation fee and the establishment of call routing service in the amount of $30,231.00. The nine -digit zip code of the address where the call originates will be used to determine the calls destination, which will be routed to one of the NET Offices. /JLMlIr -)PECIAL SERVICE ARRANGEMEN i AGREEMENT Case Number FLOO-2550-02 This Special Service Arrangement Agreement ("Agreement") is by and between BellSouth Telecommunications, Inc., a Georgia corporation, d/b/a BellSouth, ("Company") and City of Miami ("Customer or Subscriber"), and is entered into pursuant to Tariff Section A5 of the General Subscriber Services Tariff. This Agreement is based upon the following terms and conditions as well as any Attachment(s) affixed and the appropriate lawfully filed and approved tariffs which are by this reference incorporated herein. 1. Subscriber requests and Company agrees, subject to the terms and conditions herein, to provide the service described in the Attachment(s) at the monthly and nonrecurring rates, charges, and conditions as described in the Attachment(s) ("Service"). The rates, charges, and conditions described in the Attachment(s) are binding upon Company and Subscriber for the duration of this Agreement. For the purposes of the effectiveness of the terms and conditions contained herein, this Agreement shall become effective upon execution by both parties. For purposes of the determination of any service period stated herein, said service period shall commence the date upon which installation of the service is completed. 2. Subscriber agrees to subscribe to and Company agrees to provide any additional tariffed services required for the installation of the Service. Subscriber agrees to be responsible for all rates, charges, and conditions for such tariffed services. 3. This Agreement is subject to and controlled by the provisions of Company's or any of its affiliated companies' lawfully filed and approved tariffs, including but not limited to Section A2 of the General Subscriber Services Tariff and No. 2 of the Federal Communications Commission Tariff and shall include all changes to said tariffs as may be made from time to time. All appropriate tariff rates and charges shall be included in the provision of this service. The tariff shall supersede any conflicting provisions of this Agreement, with the exception of the rates and charges herein, in the event any part of this Agreement conflicts with terms and conditions of Company's or any of its affiliated companies' lawfully filed and approved tariffs. 4. This Agreement may be subject to the appropriate regulatory approval prior to commencement of installation. Should such regulatory approval be denied, after a proper request by Company, this Agreement shall be null, void, and of no effect. 5. If Subscriber cancels this Agreement prior to the completed installation of the Service, but after the execution of this Agreement by Subscriber and Company, Subscriber shall pay all reasonable costs incurred in the implementation of this Agreement prior to receipt of written notice of cancellation by Company. Notwithstanding the foregoing, such reasonable costs shall not exceed all costs which would apply if the work in the implementation of this Agreement had been completed by Company. 6. The rates, charges, and conditions described in the Attachment(s) may be based upon information supplied to Company by the Subscriber, including but not limited to forecasts of growth. If so, Subscriber agrees to be bound by the information provided to Company. Should Subscriber fail to meet its forecasted level of service requirements at any time during the term of this Agreement, Subscriber shall pay all reasonable costs associated with its failure to meet its projected service requirements. (a) If Subscriber cancels this Agreement at any time prior to the expiration of the service period set forth in this Agreement, Subscriber shall be responsible for all termination charges. Unless otherwise specified by tariff, termination charges are defined as all reasonable charges due or remaining as a result of the minimum service period agreed to by Company and Subscriber and set forth in the Attachment(s). 7. (b) Subscriber further acknowledges that it has options for its telecommunications services from providers other than BellSouth and that it has chosen BellSouth to provide the services in this Agreement. Accordingly, if Subscriber assigns this Agreement to a certified reseller of BellSouth local services and the reseller executes a written document agreeing to assume all requirements of this Agreement, Subscriber will not be billed termination charges. However, Subscriber agrees that in the event it fails to meet its obligations under this Agreement or terminates this Agreement or services purchased pursuant to this Agreement in order to obtain services from a facilities based service provider or a service provider that utilizes unbundled network elements, Subscriber will be billed, as appropriate, termination charges as specified in this Agreement. 8. This Agreement shall be construed in accordance with the laws of the State of Florida. 9. Except as otherwise provided in this Agreement, notices required to be given pursuant to this Agreement shall be effective when received, and shall be sufficient if given in writing, hand delivered, or United States mail, postage prepaid, addressed to the appropriate party at the address set forth below. Either party hereto may change the name and address to whom all notices or other documents required under this Agreement must be sent at any time by giving written notice to the other party. To provide access to a non -emergency 311 number to end users in an independent company territory within the local calling area, the NER service subscriber must make appropriate arrangements with the independent company serving that territory. The subscriber asserts that he has no intention of selling or transferring this E311 Service to another entity E. NER service can be delivered via regular exchange access lines (by individual business lines, PBX trunks, etc.). F. This service is furnished subject to the availability of non -emergency 311 numbers. G. Limitations and use of service as stated in Section A2. of the GSST. H. Calls to a disconnected E3 I service number will be routed to intercept over the announcement facilities for a maximum of 60 days. The announcement provided may, at the Company's option, refer the caller to another telephone number. No intercept announcement will be provided for a disconnected E311 service number. I. Directory Listings may be provided for NER service at rates and regulations as specified in Section A6. of the GSST. If applicable, the phrase "Charges Will Apply" will be included in the NER service listing at no additional charge. J. If local calling areas are merged, and a non -emergency reporting service number exists in both areas, the NER service subscriber who established the service first in time will be entitled to retain non -emergency 311 number in the merged local calling area, as the subscriber of record. M. The NER service subscriber must comply with any orders and rules, pertaining to 311 Service, adopted by the FCC in rule making proceeding (CC Docket 92-105). N. The NER service subscriber is prohibited from providing programming which involves live group interaction, such as "GAB" lines, "chat" lines, or similar type programs where the primary purpose is for callers to interact with one another. Enhanced 311 Service (E311) - Limited Service Offering (LSO) A. E311 service is a three -digit local dialing arrangement, available in specified areas as defined previously, that will allow callers to be routed to the serving non -emergency police or other governmental entity responsible for their areas as directed by the entity purchasing the service. B. The E311 service subscriber or sharing partners must use a routing number assigned at the discretion of the Company. Only one routing number will be available in a Basic Local Calling Area. C. The E311 service subscriber and sharing partners must either (1) obtain a new 7 or 10 -digit number, (2) designate an existing non -published 7 or 10 -digit number, or (3) change an existing published 7 or 10 -digit number to a non -published number. This 7 or 10 -digit number must be non -published. When the E3 I service is disconnected or discontinued, the subscriber and sharing partners must surrender the 7 or 10 -digit number as part of the E311 service. This 7 or 10 -digit number can be either disconnected or a new 7 or 10 -digit number can be assigned. Appropriate rates from Sections A3. and A4. of the (GSST) will apply.For the purposes of this contract, the unique 7 or 10 -digit number(s) used by the subscriber and sharing partners as the terminating number associated with the routing number, will be referred to as the point -to -number. D. An E311 service subscriber may share the use of non -emergency service in those instances where multiple police or governmental entities responsible for providing non -emergency service exist in a local calling area. The E311 service subscriber is restricted from selling or transferring the 311 number to an unaffiliated entity, either directly or indirectly. If applicable, the subscriber will assume all responsibility for disclosing the terms and conditions of this contract to the sharing partners, as well as any issues arising from nonparticipation in this service. The Company assumes no responsibility for establishing, coordinating or otherwise maintaining the sharing relationships established between multiple police or governmental entities in a local calling area. E. E3 I service will allow callers to be routed to police or other governmental entity responsible for their area, by retrieving the caller's zip code based on the caller's telephone ni.-nber and matching the zip code with the correct local authority phone number. F. The subscriber is responsible for establishing, coordinating or otherwise maintaining the zip code list defining the areas serviced by the sharing partners. Where the zip codes do not coincide with all entities of non -emergency services, the subscriber is responsible for coordinating and resolving such discrepancies amongst the sharing partners. Charges for initial Zip code mapping by the Company's authorized agent will be billed directly by the agent to the subscriber. G. Establishment of the Zip code routing data will be submitted in writing by the subscriber to the Company's designated mapping agent. H. Calls made to a disconnected E311 number will be provided a disconnect announcement. L. In those instances where the zip code is not included in the zip code mapping as a result of omission by the subscriber or police nad/or governmental entity choosing to not subscribe to this offering, the Company shall provide a standard announcement to the caller. M. If applicable, the subscriber and/or its sharing partners will assume all responsibility for notifying callers of the termination of service for a period of 60 days. Rules and Regulations of Non -Emergency Reporting (NER) Service A. A minimum usage charge becomes effective 6 months after the service has been initially provisioned. Once it becomes effective, this charge will be billed to the NER service subscriber for any billing period in which the NER service subscriber's usage charges fall below the amount of the Minimum Usage Charge specified in the rate table. The transfer of an NER service number to an affiliate, whether through merger, acquisition, or otherwise, will not toll or restart the counting of the 6 months period during which the minimum usage charge does not apply. B. Non -Emergency Reporting service is provided where facilities permit. C. Use of NER service is subject to possible recall of the 311 code by the NANP (North American Numbering Plan) Administrator for national use. The NER service subscriber and/or sharing partners must, prior to provisioning of the service, sign a written acknowledgement of this condition and an agreement to return the code upon receipt of 6 months written notice of such a recall from the Company and abide by all terms and conditions contained in FCC Order No. 97-51, issued by the FCC in CC Docket 92-105 regarding the use and return of such 311 codes. If a recall is effected by the NANP Administrator, the Company will work with all NER service subscribers and sharing partners affected by such recall to transfer their service arrangements, if technically and economically feasible at the time, to an abbreviated dialing arrangement, and if not feasible, to a seven or ten -digit dialing arrangement within the 6 -month notice period. The NER service subscriber will be required to migrate to any standard access arrangement for information services subsequently agreed to by the industry and approved by the FCC. The NER subscriber will be charged the appropriate tariff rates or lower rates established on an individual case basis for the establishment of the new access arrangement. D. Non -Emergency Reporting service will be provided under the following conditions. 1. For network sizing and protection, each NER service subscriber and/or sharing partner must provide an estimate of annual call volumes, the expected busy hour and holding time for each call to a NER service number. 2. The NER service subscriber is responsible for obtaining all necessary permission, licenses, written consents, waivers and releases and all other rights from all persons whose work, statements or performance are used in connection with the service, and from all holders of copyrights, trademarks, and patents used in connection with said service. 4. The NER service subscriber and/or sharing partners shall be liable for, and shall indemnify, protect, defend and save harmless the Company against all suits, actions, claims, demands and judgments, and of all costs, expenses and counsel fees incurred on account thereof, arising out of and resulting directly or indirectly from the Service or in connection therewith, including, but not limited to, any loss, damage, expense or liability resulting from any infringement or claim of infringement, of any patent, trademark, copyright, or resulting from any claim of libel and slander. 5. Each subscriber and/or sharing partner, if applicable, agrees to release, indemnify, defend and hold harmless the Company from any and all loss, claims, demands, suits or other action, or any liability whatsoever, whether suffered, made, instituted or asserted by the Subscriber or by any other ply or or person, for any personal injury to or death of any person or persons, or for any loss, damage or destruction of any property, whether owned by the subscriber or others, or for any infringement invasion of the right of privacy of any person or persons, caused or claimed to have been caused, directly or indirectly, by the installation, operation, failure to operate, maintenance, removal, presence, condition, location or use of NER service features, including but not limited to the identification of the zip code associated with the telephone used by the party or parties accessing NER services hereunder, and which arise out of the negligence or other wrongful act of the Company, the Subscriber,its user agencies or municipalities or employees or agents of any one of them. 9. No NER service subscriber shall promote non -emergency service with the use of an auto dialer or broadcasting of tones that dial a 311 number. 10. The NER service subscriber shall respond promptly to any and all complaints lodged with any regulatory authority against any service provided via the 311 number. If requested by the Company, the NER service subscriber shall assist the Company in responding to complaints made to the Company concerning the subscriber's NER service. 11. A written notice will be sent to any NER service subscriber following oral notification when their service unreasonably interferes with or impairs other services rendered to the public by the Company or by other subscribers of NER service. If after notification the subscriber makes no modification in method of operation or in the service arrangements that are deemed service -protective by the Company, or if the subscriber is unwilling to accept the modifications, or if the subscriber continues to cause service impairment, the Company reserves the right, at any time, without further notice, to institute protective measures, up to and including termination PRIVATE/PROPRIETARY CONTAINS PRIVATE AND/OR PROPRIETARY INFORMATION. If a pre-recorded announcement is provided by the NER service subscriber, the following conditions apply. 1. The NER service subscriber will provide announcements. The Company will provide only the delivery of the call. 2. NER service subscriber sponsorship of any particular announcement of recorded program service shall not preclude another NER service subscriber from sponsoring the same or similar announcement or recorded program service. 3. The provision of access to the NER service Network by the Company for the transmission of announcement or recorded program services is subject to availability of such facilities and the requirements of the local exchange network. 4. The NER service subscriber assumes all financial responsibility for all costs involved in providing announcement or recorded program services including, but not limited to, the recorder -announcement equipment producing the recording, advertising and promotional expenses 5. The NER service subscriber assumes, according to other specific rates and charges under tariff, all financial responsibility for all facilities required to connect the recorder -announcement equipment located on the subscriber's premises. G. The Company may take all legal and practical steps to disassociate itself from NER service subscribers providing services whose business and/or public conduct (whether demonstrated or proposed) is of a type that generates unacceptable levels of complaints by end users. H. In no event shall the Company be liable for any losses or damages of any kind resulting from the unavailability of its equipment or facilities or for any act, omission or failure of performance by the Company, or its employees, or agents, in connection with this Tariff. The Company shall not be responsible for calls that cannot be completed as a result of repair or maintenance difficulties on Company facilities and equipment nor on equipment owned or leased by the subscriber. I. The NER service subscriber must be located within the principal exchange of the Basic Local Calling Area in which he subscribes to NER service. Charges to Calling Parties: A. Subscriber agrees that this service will be provided at no charge to the calling party. The following rates apply to NER (E311 service). a. Nonrecurring charges shall apply for each NER service number per local calling area. b. If, during or at the end of this 90 -day period, the NI 1 subscriber has failed to establish service or decides to discontinue service establishment, the N 11 number will be recalled and the number will be considered available for reassignment as specified in A. preceding. The NI l subscriber will be required to migrate to any standard access arrangement for information services subsequently agreed to by the industry and approved by the FCC. When end users are charged for services delivered in response to calls to an NI I number, the NI l subscriber must provide a preamble at the beginning of each NII Service call, stating the charge for the NI l Service call. The N11 subscriber's preamble on all calls where there is a potential for minors (defined as under 18 years of age) to be attracted to the program, must provide clear and conspicuous notification in language understandable to children of the requirement to obtain parental permission before placing or continuing with the call. The preamble message must be given within 15 seconds and must be followed by a 3 second period within which the caller can hang up without being charged the NI l Service charge for the call. The NI l subscriber may allow a caller to affirmatively bypass a preamble. However, if the period of time from off -hook condition to on -hook condition is 1S seconds or less, the NI l Service charge will not be recorded or rated. A39.1.3 Obligations of the Competitive Local Exchange Carrier A. In those instances where a CLEC assumes responsibility for an N11 subscriber, all terms and conditions defined in this Tariff and in their Resale Agreement will apply with the exceptions of: 1. Billing on behalf of the NI l subscriber is the responsibility of the CLEC. Billing and Collections as defined in A37. of this Tariff, will not apply to N1 l services where the N1 l provider is a CLEC's subscriber. 2. When the N11 Service is disconnected or discontinued, the NII Provider must surrender the 7 or 10 -digit number as defined in A39.1.2.C. preceding. B. In those instances where a CLEC provides N11 service to its end user within the local calling area, terms and conditions for NI I service are as defined in the appropriate Interconnection Agreement. For purposes of providing a CLEC end user access to an Nll provider within the local calling area, appropriate arrangements must be made by the CLEC with the N1 l provider serving the local calling area. 2. Information must be provided by the ZipCONNECT' service subscriber at the time of subscription in order to provide (o) ZipCONNECT' service. B. A ZipCONNECT* service number cannot be accessed by dialing an 800 or 900 Service number. (0) C. 800 and 900 Service numbers can not be used as Point -To numbers for ZipCONNECT' service. (0) D. A wireless telephone number can not be used as a Point -To number for ZipCONNECT' service. (0) E. ZipCONNECT' service cannot be provided over Type 2 cellular connections. AWARD SOLE SOURCE 00-01-083 ITEM: Non -Emergency Reporting (NER) 311 Service DEPARTMENT: Police TYPE OF PURCHASE: Term Contract REASON: The Department of Police has been awarded a grant from the U.S. Department of Justice's (COPS) Technology Grant to establish a multiple government information system (311) to provide citizens with quick access to non -emergency police and other governmental services. This 311 service will provide the public with an easy number to remember, a routing consistent to the customer's zip code location, and expand the hours of operation of the NET Service Centers. This service can only be obtained from BellSouth Telecommunications, Inc.
