Q 1 -� o A RESOLUTION OF THE MIAMI CITY COMMISSION AUTHORIZING THE CITY MANAGER TO SELL AN AMOUNT NOT TO EXCEED 135,000 CUBIC YARDS OF AVAILABLE FILL MATERIAL STORED AT THE VIRGINIA KEY DISPOSAL SITE TO PARROT JUNGLE AND GARDENS OF WATSON ISLAND, INC. AND PJG WATSON, L.L.C., AT A COST OF $1.00 PER CUBIC YARD, FOR USE AT THE PARROT JUNGLE AND GARDENS PROJECT SITE ON WATSON ISLAND, MIAMI, FLORIDA. WHEREAS, Parrot Jungle and Gardens of Watson Island, Inc. (the "Lessee") entered into a Lease and Development Agreement (the "Lease") with the City of Miami (the "City") on September 2, 1997, which was amended by Modification of Lease and Development Agreement dated April 14, 2000, for the development of a botanical garden attraction and related uses on 18.6134 acres of City -owned waterfront property and adjacent bay bottom lands located at Watson Island, Miami, Florida (the "Project"); and WHEREAS, Lessee subleased its interest under the Lease to CITY COMMISSION MEETING OF FE I us6 11YOn i..:. 0 1 - 11'3 PJG Watson, L.L.C. (the "Sublessee") by virtue of a certain Sublease dated October 1, 2000 (the "Sublease"), and pursuant to the such Sublease, the Sublessee acquired all of Lessee's rights and agreed to assume all of Lessee's duties and obligations under the Lease; and WHEREAS, in August 1998, Parrot Jungle and the City discussed the purchase and sale of a portion of the fill material deposited on Virginia Key that would be necessary to construct the Project, at which time it was verbally agreed that the cost would be $1.00 per cubic yard of fill material; and WHEREAS, on October 1, 2000, the Lessee and Sublessee took possession of the Watson Island leased property and commenced payment of rent to the City; and WHEREAS, construction of the Project is underway and the construction schedule for the Project requires the imminent purchase and sale of the fill material for delivery to the site; and WHEREAS, the Lessee and the City wish to confirm the sale of up to 135,000 cubic yards of fill material stored at the Virginia Key disposal site for use in the construction of the Page 2 of 4 1— 113 3 Project at the price of $1.00 per cubic yard, as previously agreed; NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted by reference and incorporated as if fully set forth in this Section. Section 2. The City Manager is authorized to sell an amount not to exceed 135,000 cubic yards of fill material stored at the Virginia Key disposal site to Parrot Jungle and Gardens of Watson Island, Inc. and PJG Watson, L.L.C. at a cost of $1.00 per cubic yard for use at the Parrot Jungle and Gardens project site on Watson Island, Miami, Florida. Section 3. This Resolution shall become effective immediately upon its adoption and signature of the Mayor.11 1� If the Mayor does not sign this Resolution, it shall become effective at the end of ten calendar days from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall become effective immediately upon override of the veto by the City Commission. Gimehez City Manager ' FEB 2 7 2001 FHLB: '.1F;7 7 Direction to City Manager from Commission Meeting of, a February 8th, 2001 (#516) Sale of Fill Material to Parrot Jungle At the City Commission Meeting of February 8th, 200, Commissioner Teele, Jr. directed the administration to provide documentation of the fill material transaction between the City and Parrot Jungle and Gardens of Watson Island, Inc. In accordance with the directive, the following is provided and will be kept on file as part of the permanent record: • On February 8th, 2001, Resolution No. 01-113, was adopted authorizing the City Manager to sell up to 135,000 cubic yards of fill material to Parrot Jungle at a cost of $1.00 per cubic yard for use at the Watson Island project site. The market value of fill material stored at the Virginia Key disposal site was $1.26 per cubic yard in August 1998, as established by a sale to an outside firm, at the time Parrot Jungle approached the City to purchase fill for construction of the project. A sale of 135,000 cubic yards at $1.00 for cubic yard for a total cost of $135,000 represents a savings to Parrot Jungle of $35,100 when compared to a sale at $1.26 per cubic yard. The market value of fill material as of February 2001 is estimated at $3.00 per cubic yard, based upon a telephone survey to a building contractor who recently purchased fill and to several companies selling fill material. A sale of 135,000 cubic yards at $1.00 per cubic yard to Parrot Jungle for a total cost of $135,000 represents a savings to Parrot Jungle of $270,000 when compared to the present market value of fill material at $3.00 per cubic yard. • On February 22°d, 2001, Dr. Bern Levine, President of Parrot Jungle and Gardens, requested, via a telephone call to Arleen Weintraub, Acting Director of the Department of Real Estate and Economic Development, that the documentation record additionally include the following information: o Sale of fill material at $3.00 per cubic yard is a fully delivered cost that includes labor, equipment, and delivery charges. o Purchase by Parrot Jungle of the fill material at Virginia Key at $1.00 per cubic yard is the cost of the fill only. Parrot Jungle will pay labor cost at the disposal site for three individuals to load the fill, provide a minimum of two trucks, and pay travel costs from Virginia Key to Watson Island (gasoline and Rickenbacker Causeway toll charges). The Honorable Mayor and Members of the City Commission Page Two o As of February 22nd, 2001, Parrot Jungle has paid a total of $50,000 in charges to Bell South and FPL to remove overhead telephone and power lines and relocate the lines underground. This work has been done to relocate the entrance road and gate leading to the Miami Yacht Club, which is the responsibility per Parrot Jungle's Lease Agreement. RECOMMENDATION: It is respectfully recommended that the City Commission adopt the attached Resolution authorizing the City Manager to sell an amount not to exceed 60,000 cubic yards of available fill material stored at the Virginia Key disposal site to Parrot Jungle and Gardens of Watson Island, Inc. and PJG Watson, L.L.C. at a cost of $1.00 per cubic yard for use at the Parrot Jungle and Gardens project site on Watson Island. BACKGROUND: On September 2nd, 1997, a Lease and Development Agreement was entered into by Parrot Jungle and Gardens, Inc. of Watson Island ("Parrot Jungle") for the development of a botanical garden attraction and related uses on 18.6134 acres of City owned waterfront property and adjacent bay bottom lands on the island. In August 1998, Parrot Jungle contacted the City to purchase fill material required at the site. At that time, fill had been sold to an outside firm for $1.26 per cubic yard. As the City's partner in the joint public/private development of Parrot Jungle, it was discussed that fill may be purchased by Parrot Jungle for $1.00 per cubic yard. However, until this time, construction did not commence and Parrot Jungle did not move forward to purchase the fill. On October 151, 2000, Parrot Jungle took possession of the Watson Island property to begin work. October 151, 2000, also marked the date of payment of rent to the City. Loan closings with the project's private lender, Union Planter's Bank, and with Miami -Dade County for the U.S. HUD Section 108 loan, occurred on January 0, 2001. The project's construction is now well underway. Parrot Jungle's construction schedule calls for bringing fill to the site by the end of February 2001, and has approached the City to finalize the purchase arrangements verbally agreed to in 1998. It is respectfully requested that the City Manager be authorized to sell an amount not to exceed 60,000 cubic yards of fill material available at the Virginia Key disposal site to Parrot Jungle for $1.00 per cubic yard for use at the Parrot Jungle and Gardens of Watson island project site. rMIAW 01-- 113
