FOR THE MANAGEMENT, OPERATION AND MAINTENANCE OF SPRING GARDEN POINT PARK, TO ALSO INCLUDE THE MANAGEMENT, OPERATION AND MAINTENANCE OF THE PROPERTY LOCATED AT 613 NORTHWEST 7TH STREET ROAD, MIAMI, FLORIDA (THE "PROPERTY"), CONTINGENT UPON THE PROPERTY BEING CONVEYED TO THE CITY OF MIAMI FROM EAST COAST ADVERTISING, INC. WHEREAS, pursuant to Resolution No. 99-426, the City of Miami ("City") entered into a Management Agreement (the "Agreement") with the Spring Garden Civic Association, Inc., ("Association"), for the management, operation and maintenance of Spring Garden Point Park ("Point Park") located at the confluence of the Miami River and the Seybold Canal in Spring Garden; and WHEREAS, the property located at 613 Northwest 7th Street Road, Miami, Florida (the "Property"), adjacent to Point Park, will be used to expand the use of Point Park, providing a venue for meetings, park events, and classroom space for educational 1 T. 'Pe CITY COMMISSION MEETING OF JAN 1 1 2001 sU"32 AD. .+ 141 programs which will be enhanced by the historic structure constructed in 1915 which is located at the site; and WHEREAS, the City wishes to amend the Management Agreement with the Association to include the management, operation and maintenance of the Property, contingent upon conveyance of the Property to the City from East Coast Advertising, Inc.; NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted by reference and incorporated as if fully set forth in this Section. Section 2. The City Manager is authorized!! to execute an Amendment to the Management Agreement, in substantially the attached form, with Spring Garden Civic Association, Inc. for the management, operation and maintenance of Spring Garden Point Park, to also include the management, operation and maintenance of the property located at 613 Northwest 7th Street Road, Miami, Florida (the "Property"), contingent upon the property being conveyed to the City of Miami from East Coast Advertising, Inc. 1� The herein authorization is further subject to compliance with all requirements that may be imposed by the City Attorney, including but not limited to those prescribed by applicable City Charter and Code provisions. Page 3 of 3 O'l. 14 AMENDMENT TO THE MANAGEMENT AGREEMENT THIS AMENDMENT TO THE MANAGEMENT AGREEMENT is entered on the day of , 2000, by and between CITY OF MIAMI, a municipal corporation of the State of Florida, herein sometimes designated or referred to as the "CITY," and SPRING GARDEN CIVIC ASSOCIATION, INC., a Florida not-for-profit corporation, hereinafter referred to as the "ASSOCIATION." WHEREAS, pursuant to Resolution No. 99-426, passed and adopted by the City Commission on June 22, 1999, the CITY entered into a Management Agreement (the "Agreement") dated August 19, 1999 with the ASSOCIATION, which provided for the management, operation and maintenance of Spring Garden Point Park located at the confluence of the Miami River and the Seybold Canal in Spring Garden (the "Premises"); NOW, THEREFORE, in consideration of the premises and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties agree as follows: 1. The Premises as defined in the Agreement is hereby amended to include the following property: v The adjacent property located at 613 NW 7th Street Road, Miami, Florida. Lot 19, Block 12, in SPRING GARDEN, according to the Plat thereof, recorded in Plat Book S, Page 38, of the public records of Miami -Dade County, Florida; and A part of Lot 18 of Block 12 of SPRING GARDEN, according to the Plat thereof, recorded in Plat Book S, Page 38, of the public records of Miami - Dade County, Florida. A new paragraph 9 is hereby added Article II of the Agreement, as follows: 9. The historic structure located at 613 NW 7 Street Road will be redesigned for its adaptive re -use for meeting space, or park events and for classroom Mace ,for the environmental education programs, including restrooms and a small service kitchen. Professional services will be engaged to develoy the schematics for the re -use, and the building and site will be landscaped and stabilized for structural integrity and safety. Through a &ndraising campaign the Spring Garden Civic Association funds will be sought to complete the building to the desired specifications. 3. The first paragraph of Article III entitled "USE" is hereby amended as follows: ARTICLE III USE The Premises shall be used solely for a passive park (the "Park') for use by members of the public at no charge. ASSOCIATION shall keep the Park open during daylight hours seven days a week For security reasons, the ASSOCIATION shall lock the Park at dusk each day. The Park shall be closed at night, with the only exception being Special Events as defined herein. For purposes of this Agreement, Special Events shall mean festivals or social functions such as meetings, classes, parties, birthday parties, and weddings. ASSOCIATION shall not rent the Park in whole or in part to others. 4. A new Article XXIX is hereby added to the Agreement, as follows: ARTICLE XXIX CARETAKER TO RESIDE ON PREMISES The Association is hereby permitted to have a caretaker that may reside at the Premises The caretaker shall assist the Spring Garden Civic Association with its care -taking duties pursuant to the Management Agreement such as: providing the public access on a scheduled basis; assisting in the scheduling of community and contracted work on the site • doing routine maintenance such as removal of I/ Words and/or figures stricken through shall be deleted. A new Article XXX is hereby added to the Agreement, as follows: ARTICLE XXX CARETAKER WILL BE TEMPORARY RELOCATED The caretaker will be temporarily relocated for safety reasons while the structure located at the Premises is under construction. The State of Florida has appointed an Emergency Financial Oversight Board (the "Oversight Board") which is empowered to review and approve all pending City of Miami contracts. As a result, contracts shall not be binding on the CITY until such time as they have been approved by the Oversight Board. Attestation of this Amendment by the City Clerk shall constitute evidence of approval by the Oversight Board. Except as specifically modified herein, all of the conditions of the Agreement shall remain in full force and effect. ATTEST: Walter J. This Resolution also authorizes the City Manager to execute an Amendment, in substantially the attached form, to the Management Agreement dated August 19, 1999, with the Spring Garden Civic Association, Inc., a Florida not-for-profit corporation ("Association"), to provide for the Association's management, operation and maintenance of the Property. Additionally, this Resolution authorizes the City Manager to execute any necessary documents, in a form acceptable to the City Attorney, to accomplish the acquisition of the Property and the amendment to the Agreement. BACKGROUND: Pursuant to Resolution No. 99-426, the City entered into a Management Agreement (the "Agreement") dated August 19, 1999 with the Association, which provided for the management, operation and maintenance of Spring Garden Point Park located at the confluence of the Miami River and the Seybold Canal in Spring Garden (the "Point Park"). The Agreement contained a management plan that sets forth how the site will be managed to further the purpose of the project, contains a description of all planned improvements to Point Park, identifies the cost of the site improvements, and identifies the management entity. The property located adjacent to Point Park contains a historic structure originally constructed in 1915. The Association determined that this building would compliment the use of Point Park by providing a venue for meetings, park events and classroom space for educational programs and should be acquired as an extension of Point Park. The Association applied for Community Development Block Grant Funds to pay for the acquisition of this site, which will be conveyed to the City at closing. The proposed amendment will provide for the Association to manage, operate and maintain the Property as part of Point Park. The Association will procure professional services to develop schematics for the structure's re -use, and the building and site will be landscaped and stabilized for structural integrity and safety. Through a fundraising campaign by the Association, funds will be sought to complete the building to the desired specifications. 01- 14 Page -2- The Honorable Mayor and Members of the City Commission Additionally, the amendment provides for the Association to have a caretaker at the Property.
