RESOLUTION NO.
A RESOLUTION OF THE MIAMI CITY COMMISSION
APPROVING THE RECOMMENDATION OF THE CITY
MANAGER TO SELECT THE FIRMS OF ERNST AND
YOUNG, LLP ("ERNST") AND ABRAMSON AND
ASSOCIATES, INC. (-ABRAMSON") TO PROVIDE REAL
ESTATE CONSULTING SERVICES FOR THE
DEVELOPMENT AND REDEVELOPMENT OF VARIOUS
CITY -OWNED PROPERTIES FOR THE DEPARTMENT OF
REAL ESTATE AND ECONOMIC DEVELOPMENT, ON AN
AS -NEEDED BASIS, IN AN AMOUNT NOT TO EXCEED
$45,000 FOR EACH FIRM, INCLUDING EXPENSES,
FOR A TWO-YEAR PERIOD WITH THE OPTION TO
EXTEND THE TERM FOR AN ADDITIONAL ONE-YEAR
PERIOD; AUTHORIZING THE CITY MANAGER TO
NEGOTIATE AND EXECUTE PROFESSIONAL SERVICES
AGREEMENTS, IN A FORM ACCEPTABLE TO THE CITY
ATTORNEY, WITH ERNST AND ABRAMSON; FURTHER
AUTHORIZING THE CITY MANAGER, TO NEGOTIATE
AND EXECUTE AN AGREEMENT WITH THE NEXT RANKED
FIRM, REAL ESTATE RESEARCH CONSULTANTS, INC.,
IN THE EVENT A FAIR, COMPETITIVE AND
REASONABLE AGREEMENT CANNOT BE NEGOTIATED AND
EXECUTED WITH ERNST AND ABRAMSON; ALLOCATING
FUNDS FROM STRATEGIC RESERVE INITIATIVE
FUNDS.
WHEREAS, the City of Miami ("City") desires to explore the
development and redevelopment potential of various City -owned
properties; and
WHEREAS, the City requires the assistance of qualified real
estate consultant professionals for the analysis of development

opportunities, preparation and positioning of sites as possible
Unified Development Projects ("UDPS"), drafting of Request for
Proposals ("RFP") documents for designated UDPS, and negotiation
of future lease and development agreements; and
WHEREAS, a Request For Qualifications was issued seeking
individuals or firms qualified to provide real estate consulting
services to the Department of Real Estate and Economic
Development; and
WHEREAS, ten (10) letters of qualifications were received on
or before November 14, 2000; and
WHEREAS, the City Manager has determined that the firms of
Ernst and Young, LLP ("Ernst") and Abramson and Associates, Inc.
("Abramson") are the best qualified respondents, and that the
utilization of two firms provides the expertise needed for the
development or redevelopment of the City's assets; and
WHEREAS, the City Manager will negotiate and subsequently
execute an agreement with Ernst and Abramson, and
WHEREAS, in the event negotiations are unsuccessful with
either Ernst or Abramsom, the City Manager will negotiate and
execute an agreement with the next ranked firm, Real Estate
Research Consultants, Inc., to ensure the availability of
required expertise throughout the development period; and
WHEREAS, funds are available from Strategic Reserve
Initiative Funds;

NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY
OF MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the
Preamble to this Resolution are adopted by reference and
incorporated as if fully set forth in this Section.
Section 2. The recommendation of the City Manager to
select the firms of Ernst and Young, LLP ("Ernst") and Abramson
and Associates, Inc. ("Abramson") to provide real estate
consulting services for the development and redevelopment of
various City -owned properties for the Department of Real Estate
and Economic Development, on an as -needed basis, in an amount not
to exceed $45,000 for each firm, including expenses, for a
two-year period with the option to extend the term for an
additional one-year period is approved, with funds allocated from
Strategic Reserve Initiative funds.
Section 3. The City Manager is authorized!' to negotiate
and execute professional services agreements, in a form
acceptable to the City Attorney, with Ernst and Abramson.
Section 4. The City Manager is further authorize&2l to
negotiate and execute an agreement with the next ranked firm,
Real Estate Research Consultants, Inc., in the event a fair,

competitive and reasonable agreement cannot be negotiated and
executed with Ernst and Abramson.
Section 5. This Resolution shall become effective
immediately upon its adoption and signature of the Mayor.3/

RECOMMENDATION
It is respectfully recommended that the City Commission approve the attached Resolution
authorizing the City Manager to select the firms of Ernst and Young, LLP and Abramson and
Associates, Inc. to provide real estate consulting services on an as needed basis to the
Department of Real Estate and Economic Development. The legislation further authorizes the
City Manager to negotiate and execute professional services agreements with the
aforementioned firms, in an amount not to exceed $45,000 per firm, including expenses, for a
two-year period with the option to extend the term for an additional one-year period. In the
event that negotiations are not successful with either of the above-named firms, it is
recommended that the City Manager be authorized to negotiate and execute an agreement with
the next ranked firm, Real Estate Research Consultants, Inc. Funds for these services are
available from Strategic Reserve Initiative Funds.
BACKGROUND
The Department of Real Estate and Economic Development requires real estate consulting
services to assist with the development and/or redevelopment of various city -owned properties
on an as needed basis. As in the past, such consultants will assist with the analysis of
development opportunities, with the preparation and positioning of sites as possible Unified
Development Projects ("UDP"), with the drafting of Request for Proposals ("RFP) documents for
designated UDPs, and with the negotiation of future lease and development agreements. We
have found these services to be essential for understanding the business environment and will
provide staff with accurate information for decision-making.
The Department issued solicitation letters to several firms specializing in this field and
advertised in the Miami Daily Review. The City has deemed the selected consultants to be the
best qualified of the ten (10) firms that responded. It has further determined that the utilization
of two firms provides a greater depth and breadth of needed expertise, as is appropriate for the
critical development or redevelopment of the City's assets.
A standard professional services agreement is to be negotiated with each firm, with an upper
limit of $45,000 per firm, including expenses, set as the total cost of each contract. Because of
the on-going nature of the projects upon which the firms will advise the City, the contracts will
run for two years, with an option for a one-year extension, subject to continued funding
availability. In the event that negotiations are not successful with either of the above-named
firms, it is recommended that the City Manager be authorized to negotiate and execute an
agreement with the next ranked firm, Real Estate Research Consultants, Inc.
