RESOLUTION NO.
A RESOLUTION OF THE CITY OF MIAMI COMMISSION
AUTHORIZING THE CITY MANAGER TO NEGOTIATE AN
AGREEMENT WITH WAGNER SQUARE, LLC, FOR
DEVELOPMENT OF A MIXED -INCOME, HOMEOWNERSHIP
DEVELOPMENT TO INCLUDE AN AFFORDABLE HOUSING
COMPONENT ON APPROXIMATELY 2.7 ACRES LOCATED
BETWEEN NORTHWEST 17TH AND 18TH STREETS AND
NORTHWEST 14TH AND 15TH AVENUES, MIAMI,
FLORIDA; AND DIRECTING THE CITY MANAGER TO
PRESENT THE NEGOTIATED AGREEMENT TO THE CITY
COMMISSION FOR ITS CONSIDERATION.
WHEREAS, following prior directives of the City Commission,
the City issued a Request for Letters of Interest on June 17,
2002, seeking a qualified firm to develop a mixed -income,
homeownership development to include an affordable housing
component on approximately 2.7 acres located between Northwest
17th and 18th Streets and Northwest 14th and 15th Avenues; and
WHEREAS, on June 27th, 2002, the City Commission directed
the City Manager to negotiate independent agreements with each of
the two highest ranked firms and present the business terms to
the Commission on July 8th, 2002; and
WHEREAS, the two highest ranked firms partnered to form
Wagner Square, LLC, a limited liability company comprised of

Atwater Capital Group, Inc., The Urban Development Group, and
Redevco (a member of The Urban Development Group); and
WHEREAS, the City Manager recommends that the City
Commission authorize negotiations of an agreement with Wagner
Square, LLC, for such development;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY
OF MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the
Preamble to this Resolution are adopted by reference and
incorporated as if fully set forth in this Section.
Section 2. The City Manager is authorized" to negotiate
an agreement with Wagner Square, LLC for development of mixed -
income, homeownership development to include an affordable
housing component on approximately 2.7 acres located between
Northwest 17th and 18th Streets and Northwest 14th and 15th
Avenues, Miami, Florida.
1� The herein authorization is further subject to compliance with
all requirements that may be imposed by the City Attorney,
including but not limited to those prescribed by applicable
provisions of the City Charter and Code.

Section 3. The City Manager is directed to present the
negotiated agreement to the City Commission for its
consideration.
Section 4. This Resolution shall become effective
immediately upon its adoption and signature of the Mayor.2/

effective at the end of ten calendar days from the date it was
passed and adopted. If the Mayor vetoes this Resolution, it
shall become effective immediately upon override of the veto by
the City Commission.

ENCLOSURES:
It is respectfully recommended that the City Commission authorize negotiation of an
agreement with Wagner Square, LLC, for the development of a mixed income, home
ownership development to include an affordable housing component on approximately
2.7 acres in the Civic Center area between N.W. 17th and 18th Streets, and N.W. 14th and
15th Avenues, Miami, Florida, further directing that said agreement be presented to the
City Commission for its consideration.
BACKGROUND
On July 8`h. 2002, the City Commission adopted Resolution 02-782 (i) accepting the
Manager's recommendation to jointly submit a Brownfield Economic Development
Initiative (BEDI) grant application with Wagner Square, LLC, (ii) approving in principle
the future CDBG allocation of a $4 million Section 108 Loan from U.S. HUD, (iii)
authorizing the City Attorney to engage counsel to assist with this project and (iv)
directin& the City Manager to come back to the Commission with a recommendation on
July 25 , 2002.
The BEDI grant application was timely submitted on July 9th, 2002 to U.S. HUD by the
City and Wagner Square, LLC. Discussions have continued between the City and
Wagner Square, LLC.
It is recommended that negotiation of an agreement be authorized between the City and
Wagner Square, LLC for the development of a mixed income, home ownership
development to include an affordable housing component on the approximately 2.7 acre
site located between N.W. 17th and 18th Streets and N.W. 14' and 15' Avenues in the
Civic Center area of Miami. A negotiated agreement will be brought before the City
Commission for its consideration and approval.
