A RESOLUTION OF THE MIAMI CITY COMMISSION,
WITH ATTACHMENT(S), APPROVING THE ISSUANCE
IN THE MAXIMUM AGGREGATE PRINCIPAL AMOUNT
CITY OF MIAMI, FLORIDA SPECIAL OBLIGATION
NON -AD VALOREM REVENUE REFUNDING BONDS NOT
TO EXCEED $35,000,000, SERIES 2002A, FOR
PURPOSES OF COMPLYING WITH SECTION 147(F)
OF THE INTERNAL RVENUE CODE OF 1986, AS
AMENDED.
WHEREAS, the City Commission (the "City"), by Resolution
No.02-740 on June 27, 2002, authorized the issuance of not to
exceed $35,000,000 aggregate principal amount of its Special
Obligation Non -Ad Valorem Revenue Refunding Bonds, Series 2002A
(the "Series 2002A Bonds") for the purpose, among others, of
refunding a portion of its $65,271,325.05 original aggregate
principal amount of Special Revenue Refunding Bonds Series 1987
(the "Series 1987 Bonds"), which were issued to refund the City's
$60,000,000 original aggregate principal amount of Convention
Center and Parking Garage Revenue Bonds, Series 1980, which were
issued to finance a significant portion of the costs of
acquisition and construction of the City of Miami/University of
Miami James L. Knight International Center and appurtenant
garage; and

WHEREAS, to refund a portion of the Series 1987 Bonds on a
tax-exempt basis, it is necessary to hold a public hearing and
approve the issuance of the Series 2002A Bonds for the purposes
of Section 147(f) of the Internal Code of 1986, as amended (the
"Code"); and
WHEREAS, this date the City Commission held a public
hearing, notice of which hearing was published on July 9, 2002 in
the DAILY BUSINESS REVIEW (Exhibit A, attached and incorporated),
on July 10, 2002 in the DIARIO LAS AMERICAS (Exhibit B, attached
and incorporated) and on July 11, 2002 in the MIAMI TIMES
(Exhibit C, attached and incorporated) for the purpose of giving
all interested persons an opportunity to express their views,
either orally or in writing, in connection with the City's
proposed issuance of the Series 2002A Bonds, as required by
Section 147(f) of the Code;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY
OF MIAMI, FLORIDA:
Section 1. Resolution 02-740 adopted on June 27, 2002
approving the issuance of City of Miami Florida Special
Obligation Non -Ad Valorem Revenue Refunding Bonds, Series 2002A.
Section 2. The issuance of City of Miami, Florida
Special Obligation Non Ad -Valorem Revenue Refunding Bonds, Series
2002A in the maximum aggregate principal amount not to exceed
$35,000,000 for purposes of complying with Section 147(f) of the
Internal Revenue Code of 1986, as amended is approved.

It is respectfully recommended that the City Commission adopt the attached resolution
authorizing a public hearing to approve the refunding of a portion of the Series 1987 Bonds on
a tax-exempt basis in accordance with Section 147(f) of the Internal Revenue Code of 1986 as
amended (the "Code").
Background:
In connection with the issuance of the non ad valorem bonds Series 2002A, the City must
allow for a public hearing for the purpose of giving all interested persons an opportunity to
express their views, either orally or in writing as required by Section 147(f) of the code. This
public hearing is necessary in order to maintain the tax-exempt status of these bonds.

(the "City") on July 25, 2002 during the City Commission meeting starting at 9:00 a.m., in the
Commission Chambers of the City of Miami City Hall, 3500 Pan American Drive, Miami,
Florida 33133, for the purpose of receiving comments and hearing discussion concerning a
proposed plan of finance of the City providing for the issuance by the City of its Special

the west by S.E. 1St Avenue, to the north by S.E. 2nd Street and to the South by the Miami River.
The facilities include an approximately 410,000 square foot exhibition and convention center and
an approximately 1,450 space parking garage, each of which are owned by the City.
The Bonds shall not be a general obligation, debt or liability of the City or of the State of
Florida, or of any political subdivision thereof, but shall be payable solely from certain non -ad
valorem revenues of the City budgeted and appropriated for the payment of the Bonds.
All interested parties are invited to attend said hearing and, either personally or through
their representatives, present oral or written comments and discussion concerning the issuance of
the proposed Bonds and the use of the proceeds. Written comments may be submitted on or
before 4:00 p.m. July 22, 2002 to the City of Miami, Florida 444 S.W. 2nd Avenue, 10`x' Floor,
