A RESOLUTION OF THE MIAMI CITY COMMISSION,
WITH ATTACHMENT(S), AMENDING RESOLUTION
NO. 01-330, ADOPTED APRIL 26, 2001,
AUTHORIZING THE CITY MANAGER TO EXECUTE
INDIVIDUAL PROFESSIONAL SERVICES AGREEMENTS
WITH EACH MEMBER OF THE USAR TEAM FOR THE
PURPOSE OF PROVIDING TECHNICAL ASSISTANCE TO
THE DEPARTMENT OF FIRE -RESCUE TO INCREASE THE
AMOUNT OF EACH AGREEMENT IN AN AMOUNT NOT TO
EXCEED $22,000, FROM $15,000 TO $37,000 PER
INCIDENT OR AS OTHERWISE PROVIDED BY THE
FEDERAL EMERGENCY MANAGEMENT AGENCY ("FEMA")
COOPERATIVE AGREEMENT AND TO INCLUDE THE
TERMS OF THE AGREEMENTS.
WHEREAS, Resolution No. 01-330, adopted on April 26, 2001,
authorized the City Manager to execute individual Professional
Services Agreements, with each member of the USAR Team for the
purpose of providing technical assistance for the Department of
Fire -Rescue; and
WHEREAS, on September 11, 2001, the USAR Team was deployed
for fifteen days to participate in the search and recovery
efforts in the World Trade Center disaster; and

WHEREAS, the hourly rates for civilians were increased in
accordance with their area of expertise, such as doctors,
engineers and other professionals; and
WHEREAS, it is necessary to increase the compensation amount
of the Agreements in an amount not to exceed $22,000, from
$15,000 to $37,000 per incident, or as otherwise provided by the
FEMA Cooperative Agreement in order to pay past due and/or future
invoices, and to execute Professional Services Agreement with
each member of the Urban Search and Rescue ("USAR") Team for an
initial term of three years, with the option to extend for two
additional one-year periods; and
WHEREAS, the City Manager and the Director of the Department
of Fire -Rescue recommend this increase and amendment of
Resolution No. 01-330, be approved; and
WHEREAS, funds are available from the FEMA/USAR Grant Fund,
Account Code No. 110095.280906.6.340, to be reimbursed by FEMA
upon submission of appropriate documentation;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY
OF MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the
Preamble to this Resolution are adopted by reference and
incorporated as if fully set forth in this Section.

with all requirements that may be imposed by the City
Attorney, including but not limited to those prescribed

PROFESSIONAL SERVICES AGREEMENT
Specific for Urban Search and Rescue Task Force Participation
THIS PROFESSIONAL SERVICES AGREEMENT ("PSA") is entered into this
day of '2002, by and between the CITY OF MIAMI, a municipal corporation of
the State of Florida, hereinafter referred to as the "CITY", and
hereinafter referred to as the "Team Member".
RECITAL
WHEREAS, the CITY and the TEAM MEMBER enter into this PSA with the knowledge
and spirit of full cooperation of the mutual covenants and obligations herein contained, and
subject to the terms and conditions hereinafter stated, the parties hereto understand and
agree as follows:

SCOPE OF SERVICES
The TEAM MEMBER shall implement the following professional services for the
SOUTH FLORIDA URBAN SEARCH AND RESCUE TASK FORCE, FL TF2, sponsored by
the CITY OF MIAMI FIRE -RESCUE DEPARTMENT, hereinafter referred to as the "TASK
FORCE".
1. The TEAM MEMBER shall assist the TASK FORCE and the CITY in
providing the services required by the Federal Emergency Management
Agency (FEMA) Urban Search & Rescue (US&R) System as identified
for the position or as further designated by the
Task Force Leader.
2. The TEAM MEMBER shall provide the TASK FORCE consulting and
technical advice on disaster preparedness and response during
deployment by FEMA, the State or the City.
3. The TEAM MEMBER shall assist in the formulation and formalization of
training and response requirements for participation with the South
Florida Urban Search and Rescue Task Force, FL TF2.
4. The TEAM MEMBER shall confer, accept direction or orders and thus
coordinate with the US&R Coordinator and the Task Force Leader, with
respect to the above professional services.

5. The TEAM MEMBER understands that the CITY is not liable for any
payment of wages, benefits, or claims as a result of any injuries pursuant
to this agreement and all payments shall be in accordance with the
guidelines outlined and established by the FEMA/CITY Memorandum of
Agreement as may be amended in the future. The FEMA/CITY
Memorandum of Agreement is attached hereto as Exhibit "A".

The CITY shall reimburse the TEAM MEMBER, as maximum compensation for the
services required pursuant to Article I hereof, at the rate of $ per hour, in accordance
with the Code of Federal Regulations 44, part 208. Payment shall be made within forty-five
(45) days after receipt of an invoice for the number of hours worked. The total compensation
shall not exceed $37,000 per incident or as otherwise provided by the FEMA Cooperative
Agreement. The CITY shall have the right to review and audit the time records and related
records of the TEAM MEMBER pertaining to any such billings. See attached Exhibit "C" for
rates of pay.
ARTICLE III
TERM
The PSA shall be effective upon execution by the City Manager and shall expire three
(3) years thereafter unless terminated sooner in the manner set forth below.
ARTICLE IV
OPTION TO EXTEND
The CITY shall have two (2) option(s) to extend the term hereof for a period of one (1)
year each, subject to availability and appropriation of funds. City Commission approval shall
not be required as long as the total extended term does not exceed three (3) years.

ARTICLE V
TERMINATION
The CITY retains the right, upon immediate verbal notice and seven (7) days written
notice, to terminate this PSA at any time pursuant to this PSA without penalty to the CITY. In
that event, notice of termination of the PSA shall be in writing to the TEAM MEMBER, who
shall be paid for those services performed prior to the date of its receipt of the notice of
termination. In no case, however, will the CITY pay TEAM MEMBER an amount in excess of
the total sum provided by this PSA or by the guidelines established by the FEMA US&R
Response System.
It is hereby understood by and between CITY and TEAM MEMBER that any payment
made in accordance with this section to the TEAM MEMBER shall be made only if said
TEAM MEMBER is not in default under the terms of the PSA. If TEAM MEMBER is in
default, the CITY shall in no way be obligated and shall not pay to TEAM MEMBER any sum
whatsoever.
Should TEAM MEMBER not be able to provide the continued services in Article I,
TEAM MEMBER shall give the CITY immediate verbal notice and seven (7) days written
notice of cancellation.
ARTICLE VI
RESOLUTION OF CONTRACT DISPUTES
TEAM MEMBER understands and agrees that all disputes between TEAM MEMBER
and the CITY based upon an alleged violation of the terms of the PSA by the City shall be
submitted to the City Manager for his/her resolution, prior to TEAM MEMBER being entitled
to seek judicial relief in connection therewith. In the event that the amount of compensation
hereunder exceeds $4,500, the City Manager's decision shall be approved or disapproved by
the City Commission. Provider shall not be entitled to seek judicial relief unless: (i) TEAM
MEMBER has first received City Manager's written decision, approved by the City
Commission if the amount of compensation hereunder exceeds $4,500; or (ii) a period of
sixty (60) days has expired, after submitting to the City Manager a detailed statement of the
dispute, accompanied by all supporting documentation (90 days if City Manager's decision is
subject to City Commission approval); or (iii) City has waived compliance with the procedure
set forth in this section by written instruments, signed by the City Manager.

ARTICLE VII
INDEPENDENT CONTRACTOR
The TEAM MEMBER shall be deemed to be an independent contractor, not agents or
employees of the CITY, and shall not attain any rights or benefits under the Civil Service or
Pension Ordinances of the CITY or any rights generally afforded classified or unclassified
employees; further they shall not be deemed entitled to Florida Worker's Compensation
benefits as employees of the CITY. However, the Team Member shall be covered for
Federal Worker's Compensation as provided under the FEMA Cooperative Agreement
during an activation or deployment.
ARTICLE VIII
COMPLIANCE WITH FEDERAL, STATE AND LOCAL LAWS
Both parties shall comply with all applicable laws, ordinances and codes of Federal,
State and Local Governments. TEAM MEMBER agrees that it shall not discriminate as to
race, sex, age, color, creed, national origin, religion, ancestry, marital status or handicap in
connection with its performance under the PSA.
Both parties agree that in the event there is a conflict between the terms and
conditions of this PSA and the FEMA Cooperative Agreement, or other FEMA rule or Federal
regulation, the FEMA or Federal rule shall take priority and the terms and conditions of this
PSA shall be amended to comport with such.
TEAM MEMBER shall abide by the conflict of interest laws of the City of Miami (City of
Miami Code Chapter 2, Article V), Dade County, Florida (Dade County Code Section 2-11.1)
and the State of Florida, and agrees that it will fully comply in all respects with the terms of
said laws.
ARTICLE IX
MONITORING
The TEAM MEMBER agrees to permit the CITY and authorized agents to monitor,
according to applicable regulations, the services which are the subject of the PSA.

ARTICLE X
OWNERSHIP OF DOCUMENTATION
All photographs, documents and reports developed by TEAM MEMBER under the
PSA shall be delivered to CITY by said TEAM MEMBER upon completion of the services
required pursuant to the PSA and shall become the property of CITY, without restriction or
limitation on its use. TEAM MEMBER agrees that all documents maintained and generated
pursuant to this contractual relationship between CITY and TEAM MEMBER shall be subject
to all provisions of the Public Records Law, Chapter 119, Florida Statutes.
It is further understood by and between the parties that any information, writings,
photographs, maps, contract documents, reports, equipment or any other matter whatsoever
which is given by CITY to TEAM MEMBER pursuant to the PSA shall, at all times, remain the
property of the CITY and shall not be used by TEAM MEMBER for any other purposes
whatsoever without the written consent of the CITY.

INDEMNIFICATION
TEAM MEMBER shall indemnify, defend and hold harmless the City and its officials,
employees and agents (collectively referred to as "Indemnitees") and each of them from and
against all loss, costs, penalties, fines, damages, claims, expenses (including attorney's fees)
or liabilities (collectively referred to as "Liabilities") by reason of any injury to or death or any
person or damage to or destruction or loss of any property arising out of, resulting from, or in
connection with (i) the performance or non-performance of the services contemplated by this
Agreement which is or is alleged to be directly or indirectly caused, in whole or in part, by any
act, omission, default or negligence (whether active or passive) of TEAM MEMBER or its
employees, agents or subcontractors (collectively referred to as "TEAM MEMBER"),
regardless of whether it is, or is alleged to be, caused in whole or part (whether joint,
concurrent or contributing) by any act, omission, default or negligence (whether active or
passive) of the Indemnitees, or any of them or (ii) the failure of the team member to comply
with any of the paragraphs herein or the failure of the TEAM MEMBER to conform to
statutes, ordinances, or other regulations or requirements of any governmental authority,
federal or state, in connection with the performance of this Agreement. TEAM MEMBER
expressly agrees to indemnify and hold harmless the Indemnitees, or any of them, from and
against all liabilities which may be asserted by an employee or former employee of TEAM
MEMBER, or any of its subcontractors, as provided above, for which the TEAM MEMBER's
liability to such employee or former employee would otherwise be limited to payments under
state Worker's Compensation or similar laws.

ARTICLE XII
AWARD OF AGREEMENT
TEAM MEMBER warrants that they have not employed or retained any person
employed by the CITY to solicit or secure the PSA and that they have not offered to pay, paid
or agreed to pay any person employed by the CITY any fee, commission percentage,
brokerage fee or gift of any kind contingent upon or resulting from award of this PSA.
ARTICLE XIII
CERTIFICATION
By signing this PSA TEAM MEMBER certifies that TEAM MEMBER has familiarized
itself with section 18-102 of the Code of the City of Miami, Florida and that neither TEAM
MEMBER nor any of its principal owners or personnel have been convicted of an offense that
would be cause for debarment under section 18-102 of the Code of the City of Miami, Florida
or debarred or suspended by any federal, state or other governmental entity.
ARTICLE XIV
CONTINGENCY CLAUSE
Funding for the PSA is contingent on the availability of FEMA funds and continued
authorization for program activities and is subject to amendment or termination due to lack of
funds or authorization, reduction of funds and/or change in regulations.
ARTICLE XV
DEFAULT PROVISION
In the event that TEAM MEMBER fails to comply with each and every term and
condition of the PSA or fails to perform any of the terms and conditions contained herein,
then the CITY, at its sole option, upon written notice to TEAM MEMBER, may cancel and
terminate the PSA and all team equipment, payments, advance or other compensation paid
to TEAM MEMBER by CITY while TEAM MEMBER was in default of the provisions herein
contained, shall be forthwith returned to the CITY.

ARTICLE XVI
ENTIRE AGREEMENT
This instrument and its attachments constitute the sole and only agreement of the
parties hereto relating to said TASK FORCE membership and correctly set forth the rights,
duties and obligations of each to the other as of its date. Any prior agreements, promises,
negotiations or representation not expressly set forth in this PSA are of no force or effect.
ARTICLE XVII
NONDELEGABILITY
The obligations undertaken by TEAM MEMBER pursuant to this PSA shall not be
delegated or assigned to any other person or firm unless the CITY shall first consent in
writing to the performance or assignment of such services or any part thereof by another
person or firm.
ARTICLE XVIII
AUDIT AND INSPECTION RIGHTS
A. The City may, at reasonable times, and for a period of up to three (3) years
following the date of final payment by the City to TEAM MEMBER under this Agreement,
audit, or cause to be audited, those books and records of TEAM MEMBER which are
related to TEAM MEMBER's performance under this Agreement. TEAM MEMBER agrees
to maintain all such books and records for a period of three (3) years after final payment is
made under this Agreement.
B. The City may, at reasonable times during the term hereof, inspect TEAM
MEMBER'S facilities and perform such tests, as the City deems reasonably necessary, to
determine whether the goods or services required to be provided by TEAM MEMBER under
this PSA conform to the terms hereof. TEAM MEMBER shall make available to the City all
reasonable facilities and assistance to facilitate the performance of tests or inspection by City
representatives. All tests and inspection shall be subject to, and made in accordance with,
the provisions of Section 18-55.2 of the Code of the City of Miami, Florida, as same may be
amended or supplemented, from time to time.

ARTICLE XIX
CONSTRUCTION OF PSA
This PSA shall be construed and enforced according to the laws of the State of Florida
and venue shall lie in Miami -Dade County, Florida.
ARTICLE XX
SUCCESSORS AND ASSIGN
This PSA shall be binding upon the parties herein, their heirs, executors, legal
representatives, successors and assigns.
ARTICLE XXI
CONFLICT OF INTEREST
The TEAM MEMBER is aware of the conflict of interest laws of the City of Miami (City
of Miami Code Chapter 2, Article V), Dade County, Florida (Dade County Code Section 2-
11.1) and the State of Florida, and agrees that it shall fully comply in all respects with the
terms of said laws.
ARTICLE XXII
AMENDMENTS
No amendments to this PSA shall be binding on either party unless in writing and
signed by both parties.
ARTICLE XXIII
NOTICES
GENERAL CONDITIONS
General conditions or other communications which shall or may be given pursuant to
the PSA shall be in writing and shall be delivered by personal service or by registered mail
addressed to the other party at the address indicated herein or as the same may be changed
from time to time. Such notice shall be deemed given on the day on which personally
served; or if mailed, on the fifth day after being posted or the date of actual receipt,
whichever is earlier.

ARTICLE XXIV
TEAM MEMBER shall, at all times during the term hereof, maintain such insurance
coverage as may be required by the City. All such insurance, including renewals, shall be
subject to the approval of the City for adequacy of protection and evidence of such coverage
shall be furnished to the City on Certificates of Insurance indicating such insurance to be in
force and effect and providing that it will not be canceled during the performance of the
services under this contract without thirty (30) calendar days prior written notice to the City.
Completed Certificates of Insurance shall be filed with the City prior to the performance of
services hereunder, provided, however, that TEAM MEMBER shall at any time upon request
file duplicate copies of the policies of such insurance with the City.
If, in the judgment of the City, prevailing conditions warrant the provision by TEAM
MEMBER of additional liability insurance coverage or coverage which is different in kind, the
City reserves the right to require the provision by TEAM MEMBER of an amount of coverage
different from the amounts or kind previously required and shall afford written notice of such
change in requirements thirty (30) days prior to the date on which the requirements shall take
effect. Should the TEAM MEMBER fail or refuse to satisfy the requirement of changed
coverage within thirty (30) days following the City's written notice, this Contract shall be
considered terminated on the date the required change in policy coverage would otherwise
take effect.

ARTICLE XXV
NONDISCRIMINATION:
TEAM MEMBER represents and warrants to the City that TEAM MEMBER does not
and will not engage in discriminatory practices and that there shall be no discrimination in
connection with TEAM MEMBER's performance under this Agreement on account of race,
color, sex, religion, age, handicap, marital status or national origin. TEAM MEMBER further
covenants that no otherwise qualified individual shall, solely by reason of his/her race, color,
sex, religion, age, handicap, marital status or national origin, be excluded from participation
in, be denied services, or be subject to discrimination under any provision of this Agreement.
ARTICLE XXVI
MINORITY AND WOMEN BUSINESS AFFAIRS AND PROCUREMENT PROGRAM
The City has established a Minority and Women Business Affairs and Procurement
Program (the "M/WBE Program") designed to increase the volume of City procurement and
contracts with Blacks, Hispanics, and Women -owned business. The M/WBE Program is
found in Ordinance No. 10062, a copy of which has been delivered to, and receipt of which is
hereby acknowledged by, TEAM MEMBER. TEAM MEMBER understands and agrees that
the City shall have the right to terminate and cancel this PSA, without notice or penalty to the
City, and to eliminate TEAM MEMBER from consideration and participation in future City
contracts if TEAM MEMBER, in the preparation and/or submission of the Proposal, submitted
false or misleading information as to its status as Black, Hispanic and/or Women owned
business and/or the quality and/or type of minority or women owned business participation.
ARTICLE XXVII
INDEPENDENT CONTRACTOR:
TEAM MEMBER has been procured and is being engaged to provide services to the
City as an independent contractor, and not as an agent or employee of the City. Accordingly,
TEAM MEMBER shall not attain, nor be entitled to, any rights or benefits under the Civil
Service or Pension Ordinances of the City, nor any rights generally afforded classified or
unclassified employees. TEAM MEMBER further understands that Florida Worker's
Compensation benefits available to employees of the City are not available to TEAM
MEMBER, and agrees to provide worker's compensation insurance for any employee or
agent of TEAM MEMBER rendering services to the City under this Agreement.

ARTICLE XXVIII
MISCELLANEOUS PROVISIONS:
A. This Agreement shall be construed and enforced according to the laws of the
State of Florida.
B. Title and paragraph headings are for convenient reference and are not a part of
this Agreement.
C. No waiver or breach of any provision of this Agreement shall constitute a wavier
of any subsequent breach of the same or any other provision hereof, and no waiver shall be
effective unless made in writing.
D. Should any provision, paragraph, sentence, word or phrase contained in this
Agreement be determined by a court of competent jurisdiction to be invalid, illegal or
otherwise unenforceable under the laws of the State of Florida or the City of Miami, such
provision, paragraph, sentence, word or phrase shall be deemed modified to the extent
necessary in order to conform with such laws, or if not modifiable, then same shall be
deemed severable, and in either event, the remaining terms and provisions of this
Agreement shall remain unmodified and in full force and effect or limitation of its use.
E. Should the provisions of this PSA require judicial or arbitral interpretation, it is
agreed that the judicial or arbitral body interpreting or construing the same shall not apply the
assumption that the terms hereof shall be more strictly construed against one party by
reason of the rule of construction that an instrument is to be construed more strictly against
the party which itself or through its agents prepared the same, it being agreed that the agents
of both parties have equally participated in the preparation of this PSA.
F. This Agreement constitutes the sole and entire agreement between the parties
hereto. No modification or amendment hereto shall be valid unless in writing and executed
by properly authorized representatives of the parties hereto.

MEMORANDUM OF AGREEMENT
This Agreement entered into this � .05. day of 19 93 ,(tand the

This Agreement delineates responsibilities and procedures for Urban Search and
Rescue (US&R) activities under the authority of "The Robert T. Stafford Disaster

Ii. SCOPE
The provisions of this Agreement apply only to US&R Task Force activities performed
at the request of the Federal gvver1111ent according to the Federal Response Plan (for
Public Law. 93-288, as amended), which may be provided at the option of the City, and
the State and in conjunction with, or in preparation of, a Presidential declaration
of a disaster or emergency and upon activation as outlined below in section V.(A)
Details concerning specific working relationships on various projects
may be appended to this Agreement as they are developed.
III. DEFINITION
A. Activation: the formal request by FEIN to a Sponsoring Jurisdiction,
via procedures outlined in section V. PRDCEDURES, to mobilize and
respond ptilizing their Task Force. The Task Force is to arrive at a
designated point -of -departure within six (6] hours of being activated.
B. Alert: the formal notification by FEMA to a Sponsoring Jurisdiction,
via procedures outlined in section V. PFCCEDURES, that an event has
occurred or is projected to occur, and that the Task Force might be
activated. Sponsoring Jurisdictions, placed on alert by FEMA,, should
initiate activities which enhance their capability to respond to a
pending activation.
C. -Associate Director: the Associate Director for the State and Local
Programs and Support Directorate, FEMN.
D. Department of Defense (DOD): the DOD, to include the military and
civilian components. DOD is the primary agent for coordinating US&R
efforts under Emergency Support Function (ESF) #9, US&R, of the Federal
Response Plan.
E. Director: the Director of the Fc eral Emergency Management Agency.
F. Disaster Assistance Employee (DAE): a temporary Federal employee, hired
under the provisions of the Robert T. Stafford Disaster Relief Act.
G. Disaster Medical Assistance Team (DIRT): a functional unit activated
under the N XE which provides austere medical care in a disaster area or
medical services at transfer points and reception sites associated witt-
patient evacuation.

H. Emeropncy Infc=&tion and Coordination Center (FICC): a control center
located within FM in Washingtron, DC, to provide inter-
agency coordination of assistance to emergency or disaster areas.
I. Emergency Swp=t Function ction (ESF) : ant:wm to the Federal response Plan,
nmambered 1 thrmigh 12, that define functional areas of responsibility,
describe organizational structures, and provides specific assignments to
federal agencies and departmestts to facilitate a coor<ii.nated Federal
delivery of disaster response assistance to supplement State and local
emergency response effort.
J. Federal Response Plan: the Federal Response Plan (for Public Law 93-
288, as amermded) , establishes the basis for the provision of ftderal
assistance to a State and its affected local governments impacted by a
catastrophic or significant disaster or emergent' which results in a
requirement, for Federal response assistance. 7he Plan outlines the
planning assumptions. policies, concept of operatiow, organizational
structures and specific assignments of responsibility to the 27 Memral
agencies and departments . grouped into Emergency Support F unctiwa
(ESF), who will provide coordinated response assistance to supplement
State and local response efforts.
K. FEIN►: the Federal Emergency Management Agency.
L. Hard Match: FEMA s process of matching a Sponsoring Jurisdictions cash
expenditure with a cash reimbursement at a predetermined ratio.
M. Incident Cam wider: the individual in charge of coordinating response
activities within a disaster site. Urcier normal circumstances this
individual will be an emezyenczy manager from the local ca=unity
responsible for incident activities including the development and
implementation of strategic decisions, and who approves the request and
allocation of resources.
N. National Disaster Medical System (NLYIS): a cooperative effort of tIW

R. Sponsoring Jurisdiction: For purposes of this Agreement, the %mrsoring
Jurisdiction steal ao
be the City of Muni, a nunic ival corporation of the
State of Florida, public entity providing sanction to a PMgL-
en orsed US&R Task Force. The City of Miami Fire Department will be the
administrating agency of the US&R Task Force for the City.
S. State: the State of Florida. The Division of Emergency Mwwjem nit will
be the administrating agency of the US&R Task Force for the State.
T. Task Force: a tactical carpo mt of the Federal. Response Plan, under
ESF #9 - Urban Search and fescue, ca %=W of 56 persons divided into
functional elements of search, rescue, medical, technical support and
management (refer to the FEKk US&R Response System Mannual).
U. Task Force Deader: a Sponsoring Jtncisdiction's representative
responsible for team training, equipment mnintenanc^e, mobilization and
tactical direction of the Task Fbrce.
V. Urban Search and fescue (US&R): the tear used to define the strategy,
tactics and operations for locating, providing medical stabilization and
treatment, and extrication of entrapped victims encountered in natural
and man-made disasters.
A. FEM agrees to:
1. Provide coordination, when appropriate, between the City, the loca
public agency in who's jurisdiction the City s Task Force has bee
sent, the State, and other relevant governmental and privat
parties.
2. Provide limited funding and technical support for equipment ar
training specifically aimed at preparing the City's Task Force to Y
a fully operational Task Force as described in FEMA's US&R ResponI
System Manual (the US&R Manual). FEMA will also provide assistan
to the City in obtaining supplies and equipment from Federal a
donor sources for training and use in disaster situations.
3. Provide full reimbursement of all costs incurred by the City's Ta
Force, its Participating Organizations, and its Task Force mente
as outlined in section VI. FIN* CIAL AGPMM M .
4. Provide dcctment control at the Regional office ensuring that
reports are directed to FEMN Headquarters, Federal Respm
Division, SIS -OE -FR -0P, Attn: US&R.
B. The State agates to:
1. Maintain 24-hour alert capabilities, including a point -of -contact
duty officer available at all times.

3. Provide limited funding to the extent auth=ized by the Legislates

4. Provide document control at the State office ensuring that all
reports are directed to their respective FEMPi Regional Point of

1. Provide all transportation of the Task Force between point -of•
departure, disaster sites and return to point -of -departure.
2. Provide logistical, maintenance, and other support to deployed US&;
Task Forces.
3. Coordinate the replacement and/or rehabilitation of expended
damaged, lost, or destroyed Task Force equipment and supplies use
in the course of operations.
D. The City agrees to:
1. Provide an administrating agency, which will be the City of Mi.aar
Fire Department, who will carry out the herein agreed upc
responsibilities of the City.
2. Recruit* and organize an Urban Search and Rescue Task Force, fillir
the positions to the best of their ability according to the triter:
and guidelines described in FEMA.'s the US&R Manual.
3. Register and qualify all medical personnel on the Task Force throut
the U.S. Public Health Services (the "PIIS"), as a specialized CM

4. Provide training, with limited support and guidance from the Sta
and FFA, to Task Force members. Training will be consistant wi
the objectives of developing, upgrading, and renewing skills
needed to meet and maintain qualifications for the particul
positions on the Task Force according to the criteria and guidelir
described in FEKk's the US&R Manual.
5. Maintain 24-hour Task Force alert capabilities, including a 24 -tic
phone number and point -of -contact or duty officer available at a
times.
6. Develop, implement, and practice a Task Force personnel call -out
equipment mobilization procedure with the objective of being fu
mobilized at a pre -designated point -of -departure within six by

7. Provide administrative, financial, and personnel as they

10. Employ its best efforts to pursue funding for Task Force equipment
and training. However, the City shall not incur any liability for
failure to secure funding for this project.
11. Maintain Task Force equipment in a state of readiness and available
for use by a Participating Organization on an emergency basis, as
agreed upon, and spelled out in the Task Force Standard Operating
Procedures.
A. Alert & Activation
1. Upon request from State governments for Federal disaster
assistance, or determination by FEMA, that pre -positioning US&R Task
Forces is prudent, FEMA shall request the activation of forces
necessary to respond to the emergency or disaster situation. Alert
notifications can be initiated independently by FEMAL.
2. Alert and/or Activation notices shall be ccamunicated by the EICC
or NCC, through the appropriate State EmergerICY Management Office,
to the City's pre -designated 24-hour emergency point -of -contact.
3. Upon notification frau .the State of the Task Forces activation,
the City shall inform the State within a reasonable time whether or
not they will be responding to the request, and if responding they
shall activate their Task Force via their pre -established and
practiced personnel call -out and equipment mobilization procedures.
B. Mobilization, Deployment, and Fedeplaym nt
1. The City shall mobilize and move their Task Force personnel and
equipment to the pre-<Wsignated point -of -departure for pickup by
COD aircraft within six hours of official activation.
2. Upon arrival at the mobilization center, DOD will provide an on -
ground briefing, maps, food and housing (as necessary) and other
items essential to the immediate deployment and operation of the

Task Force. DOD will supply a liaison officer and a radio operator
to each Task Force deployed to a disaster site.
3. DOD shall provide transportation to and from the mobilization
center and the disaster site.
4. The US&R Task Force will operate within the guidelines and
constraints outlined in the US&R M mal.
5. Upon completion of the US&R mission, the Task Force shall be
redeployed to their original point -of -departure by DOD.
C. it
1. Under Emergency Support Function (ESF) #9 - Udwn Search and
Rescue, of the Federal Response Plan, DOD has the overall
ntanagant responsibilities of the Task Forces from their
activation to arrival at a declared disaster area, and from
deactivation until their return to their original point -of -
departure.
2. Tactical employment of US&R Task Forces will be passed from DOD to
the local or on-site Incident Ccmoander within the disaster area.
A. Future funding for training and equipment will be allocated as
determined by FEK,.
B. Fran the time of activation by FII until the Task Force is
returned to a state of readiness within the city, the City and its
Participating organizations shall be fully compensated in
accordance with the current employee pay schedules, benefits, and
policies set forth by the City and its Participating organizations
and/or State, as detennined by the parties, and agreed to by the
Federal gvver went. (See attachment "a" for current hourly rates
of Task Force personnel pay schedules and benefits.)
C. Any reasonable expense incurred by the City and its Participating
organizations in filling a Task Force manber's position while the
Task Force member has been activated, will be paid for by FE1KPL.
FES@, will reimburse the Sponsoring Jurisdiction and t1W
Participating organizations (through the sponsoring jurisdiction'
the normal rates of pay and backfill costs (excluding personne-
costs associated with members of the medical team) accrued as
result of activation of the task force by FFA. FES will not pa:
personnel costs above the normal and usual rate for that position
It is expressly agreed and understood by FEMA, the State, and the
City that such personnel costs reasonably include differentia
overtime compensation if the organization is required to pay suc
compensation costs in filling positions deemed critical for publi
safety and well being.

D . Any reasonable expense incurred by the City and the Participating
organizatirons
for the purpose of mobilizing the Task Porte in
response to a Ptdmnal activation and/or alert and d mbbilizinq
(returning the Task Force to a state of readiness within the City)
shall be paid for by FEM.
E. Medical Team personnel shall be registered as a Disaster Medical
Assistance Team members under the guidelines of the PHS "National
Disaster Medical System." (See attacrtaent "B" - PHS M U). All
medical team personnel, including employees of the Sponsoring
Jurisdiction , are subject to the pay schedule and Federal benefits
established through the National Disaster Medical System. FEM
contimm to work with the PHS to establish more equitable pay
schmbnles for medical team personnel.
F. Task Force ,sabers shall be reimbursed for travel and per thea
costs in accordance with Federal travel regulations, unless
otherwise authorized.
G. Task Force members shall be reimbursed for reasonable personal
costs of operations and maintenance incurred in conjunction with
disaster operations.
H. Task Force organizational materials, equipment, and supplies
consumed while providing requested assistance shall be reimbursed
to the City on a replacement basis. Replacement and/or
rehabilitation requests shall be submitted to DOD prior to
demobilization.
I. Rehabilitation or replacement costs of non -expendable operational
equipment will be reimbursed if the piece of equipment was used at
a disaster site or on disaster exercises, as authorized by FES.
FEIN► will consider on a case-by-case basis the replacement of lost
or stolen equipment, where that equipment was not lost or stolen as
a result of negligence on the part of the Task Force or its -
personnel.
J. No Task Force or any individual Task Force member shall bE
reimbursed by FEMA for costs incurred by activations outside t1v
scope of this Agreement.
K. The city shall act as central agent for the submission of a1-
reimbursement claims to FEMA, via the State, and the disbursement o:
all campensations from FETA regarding all FETAsanctioned Tas.
Force Activities.
L. All equipment purchased under this Agreement will became thr
property of the City, unless it was received in the name of thK
Sponsoring Jurisdiction and the Participating organization
jointly. It will then be jointly owned and distributed if the Tas

Force is dissolved under the texas and casxiitions outlined in
Section IV. (F) of the participating organization M.O.A. Equi

M. All financial ocnmitments herein are made subject to the

who are not - employees of the Sponsoring Jurisdiction will be either
brought onto the Sponsoring Jurisdiction or the State's payrolls as
contingent employees for purposes of consolidated billing. If the
State or the local jurisdiction cannot accomplish this, Fm will
register these individuals as federal employees in conjunction with
the National US&R Program.
A. ihxier Section 305 of the Stafford Act, Task Force members and their
employing agencies, performing a function under the authority of PL
93-288, as amended, are not liable for any claim based upon the
exercise or performance of or the failure to exercise or perform that
function.
B. The Task Force members, including Task Force leaders, search, rescue
and technical teams are considered Federal employees when activated.
Task 'force members will remain employed by their respective
sponsoring or participating organization for salary and assessments
of other benefits; but upon activation, they will become Federal
employees for the tort liability purposes of the Federal Zbrt Claims
Act.
C. Task Force members engaged in activities outlined in term of thi-
Agreement will be afforded the same protection (under the Federa:
Zbrt claims act and the Federal Employees- Compensation Act (FECA)
against personal liability, death, or injury as are regular Federa'
employees for actions taken within the scope of their Federe
employment. Federal benefit payments made in reference to thi:
section will be paid to the City or the Participating Organization:
to offset the obligations paid to their injured/dead personnel ant
their beneficiaries.
A. The City will submit quarterly financial statements and activit
reports to the State, to be forwarded to the FES Regional Office
then to FES Headquarters, in accordance with instructions provide
by the State.

B. The City will submit in writing to the State all personnel changes as
they relate to the composition of the Task FCC . This includes
information of personnel training and qualification upgrades. As new
members are admitted to position on the Task Force the relevant
portions of the qualifications list will also be submitted to the
State. The State in turn will forward this infoxmation to the FEIN
Regional Office who will then forward the information to FEIN
Headquarters.
C. A copy of the PHS M)A will be submitted by the City via the State to
FE A, Federal Response Division, SL -CE -FR -My E -FR -M, Attn: US&R.
D. verification of the Task Force member credentials, as they relate to
the criteria outlined In the US&R manual, will be submitted by the
City to FEM via the State on an annual basis and at such other times
as requested by FU% -

A. This Agreement will end on December 31, 1995, at which time all
parties may agree to renew the association. Renewal will be based on
evaluation of the City's ability to conform with procedures, training
and equipment standards as described in the US&R manual.
B. This Agreement may be modified or amended only on written agreement
of all parties, and all amendments shall be attached hereto. This
Agreement may be tezminated by any party hereto upon 30 days written
notice.
C. FEMA, complies with the provisions of Executive Order 11246 of
September 24, 1965, as amended; and with the rules, regulations and
relevant orders of the Secretary of Labor which prohibits
discrimination against any employee or applicant for employment on
the grounds of race, color, religion, sex, or national origin. In
addition, use of Federal facilities, supplies and services will be in
campliance with regulations prohibiting duplication of benefits and
guaranteeing nondiscrimination. Distribution of supplies, processing
of applications, provision of technical assistance and other relief
and assistance activities shall be accomplished in an equitable and
impartial manner without discrimination on the grounds of race,
color, religion, nationality, sex, age, or econaaic status.

The Medical Team Manager has overall responsibility for the management and supervision of the medical
function of the task force during incident operations. The Medical Team Manager reports directly to the Task

The Medical Team Manager is responsible for.
• Developing and implementing the medical component of the Task Force Action Plan.
• Directly supervising the Medical Specialists.
• Adhering to all safety procedures.

Medical Team Manager Position Description
General Requirements
1. Must be able to meet the physical requirements of the sponsoring agency with or without
accommodations.
2. Must be available on short notice to mobilize within six hours of request and be self-sufficient for at
least 72 hours for a response assignment of up to 10 days in austere environments.
3. Must be capable of improvising and functioning for long hours under adverse conditions.
4. Must maintain current inoculations for Diphtheria/Tetanus (or Tetanus only if there is a contra-
indication to Diphtheria), Hepatitis A & B, Measles/Mumps/Rubella (if bom after 1957), and Polio.
5. Must be able to function safety at heights and on or around rubble.
6. Must be aware of the signs, symptoms and corrective measures of critical incident stress syndrome.
7. Must understand and adhere to safe working practices and procedures as required in the urban

The Structures Specialist is responsible for performing the various structural assessments for the task force
during incident operations. The Structures Specialist reports directly to the Technical Team Manager.
Description of Duties
The Structures Specialist is responsible for.
• Assessing the immediate structural condition of the affected area of task force operations, which includes
identifying structure types and specific damage and structural hazards.
• Recommending the appropriate type and amount of structural hazard mitigation in order to minimize risks
on site to task force personnel.
• Adhering to all safety procedures.
• Cooperating with and assisting other search and rescue resources.
• Accountability, maintenance, and minor repairs for all issued equipment.
• Performing additional tasks or duties as assigned during a mission.
• Monitoring assigned structure for condition changes while rescue and recovery operations are proceeding.
• Assuming an active role in implementing approved structural hazard mitigation as a designer, inspector,
and possibly a supervisor.
• Coordinating and communicating the structural related hazard mitigation with IST Structural Unit Leader.

Structures Specialist Position Description
Knowledue
1. Successful completion of Rescue Systems 1.
2. Comprehensive knowledge of building materials, to include:
• Knowledge of the design and construction techniques for wood, masonry, concrete, and steel.
• Knowledge of the design and construction techniques utilizing architectural materials such as
unreinforced masonry and concrete.
3. Knowledge of the behavior of structures under adverse loading conditions.
4. Ability to identify features that allow for the determination of the condition of structures subjected to
adverse loading from:
• Earthquakes - ability to evaluate the remaining lateral force system capacity in the event of
aftershocks.
• Hurricanes and tornadoes - ability to evaluate the lateral force system and areas of local stress.
• Flood or dam collapse.
• Fire or explosion.
• Landslide or avalanche.
• Transportation accidents.
5. Knowledge of the appropriate types of structural hazard reduction methods for various types of collapsed
structures, including:
• Shoring and bracing and availability of appropriate materials.
• Removal of collapsed structural components and hazards, or debris removal.
• Methods for creating safe havens.
• Identification of unsafe areas that must be restricted.
6. Knowledge of victim access methods, including:
• How and where to penetrate various building types to minimize risks.
• Effects of lifting large structural components and the ability to calculate weights for rigging and lifting
operations.
• Knowledge of safe rescue practices and procedures.
7. Must have completed the FEMA Structural Specialist Course.
Skills
1. Currently licensed as a structural engineer or equivalent as sanctioned by the FEMA USBR Advisory
Committee.
2. A minimum of five years experience in structure design and analysis to include evaluation of existing
structures, field investigation or construction observation experience.
3. Ability to identify vertical load and lateral force resisting framing systems and be able to identify the critical
elements within those systems.
4. Ability to identify failure indications of building materials, including:
• Knowledge of how basic building materials and framing systems perform.
• Knowledge of how building materials typically fail under various loading conditions.
• Knowledge of typical falling and collapse hazards from previous failures.

1. Must be able to meet the physical requirements of the sponsoring agency with or without

2. Must be available on short notice to mobilize within six hours of request and be self-sufficient for at
least 72 hours for a response assignment of up to 10 days in austere environments.
3. Must be capable of improvising and functioning for long hours under adverse conditions.
4. Must maintain current inoculations for Diphtheria/Tetanus (or Tetanus only if there is a contra-
indication to Diphtheria), Hepatitis A & B, Measles/Mumps/Rubella (if bom after 1957), and Polio.
5. Must be able to function safely at heights and on or around rubble.
6. Must be aware of the signs, symptoms and corrective measures of critical incident stress syndrome.
7. Must understand and adhere to safe working practices and procedures as required in the urban
disaster environment.
8. Must have a working knowledge of FEMA's US&R Response System, organizational structure,
operating procedures, safety practices, terminology, knowledge of all task force equipment, and
communications protocols.
9. Must have successfully completed the First Responder Awareness Level for Hazardous Materials as
per OSHA Standard 29 CFR 1910.120 Hazardous Waste Operations and Emergency, Response.
10. Must be currently certified in at least Standard First Aid.
11. Must be currently certified in America Heart Association Cardiopulmonary Resuscitation - Basic Life
Support.
12. Must have a working knowledge of the Incident Command System.
13. Must understand the needs of and provide support to their counterparts within the task force for
specific operations, techniques and application of tools and equipment.

CANINE SEARCH SPECIALIST
The Canine Search Specialist is responsible for performing the search function of the task force incident
operation. The Canine Search Specialist reports directly to the Search Team Manager.
Descrlodon of Duties
The Canine Search Specialist is responsible for.
• Searching structures in US&R environments or other locations indicated in the mission assignment
using appropriate canine search equipment and techniques.
• Documenting locations of alerts and, if possible, triaging the status of victims for rescue.
• Adhering to all safety procedures.
• Cooperating with and assisting other search and rescue resources.
• Accountability, maintenance, and minor repairs for all issued equipment.
• Performing additional tasks or duties as assigned during a mission.

Specialists in the FEMA US&R Response System. The intent of these requirements is to select handlers fully

The Rescue Specialist is responsible for performing the rescue function of the task force incident operation.
The Rescue Specialist reports directly to a Rescue Squad Officer.
Desarlotlon of Duties
The Rescue Specialist is responsible for.
• Implementing technical skills and operating equipment necessary for completing the rescue portion of
the action plan.
• Performing rescue operations under the direct supervision of a Rescue Squad Officer and providing
periodic progress reports as needed.
• Applying appropriate USSR tactics and techniques such as rope rescue operations, confined space
rescue, shoring and stabilization, breaching, trench rescue, heavy rigging, heavy lifting operations,
victim packaging, and extrication.
• The safe and effective operation and routine field maintenance of rescue tools and equipment
• Adhering to all safety procedures.
• Accountability, maintenance, and minor repairs for all issued equipment.
• Performing additional tasks or duties as assigned during a mission.

It is respectfully recommended that the City Commission adopt the attached Resolution
amending Resolution No. 01-330 for the purpose of providing technical assistance to the
Department of Fire -Rescue from each member of the Urban Search and Rescue (USAR) Team in
case of disaster deployment, and to increase the total compensation by an amount not to exceed
$22,000 per incident, from $15,000 per incident to $37,000 per incident or as otherwise provided
by the Federal Emergency Management Agency ("FEMA") Cooperative Agreement. A
Professional Services Agreement will be executed with each member of the Urban Search and
Rescue ("USAR") team for an initial term of three (3) years, with the option to extend for two (2)
additional one (1) year periods. Compensation for each Team Member will be available from the
Grant entitled, "FEMA/USAR Grant Award," account number 110095.280906.6.340 and
reimbursed by FEMA upon submission of the appropriate documentation.
BACKGROUND
On April 26, 2001, Resolution No. 01-330 was adopted and passed by the City Commission
authorizing the City Manager to enter into individual Professional Services Agreements, with
each member of the USAR Team for the purpose of providing technical assistance for the
Department of Fire -Rescue for a total compensation amount not to exceed $15,000.
Since its approval, however, the hourly rates for civilians were increased in accordance with their
area of expertise, i.e. doctors, engineers and other professionals. The physicians and engineers'
rates were increased from $60.00 per hour to $100 per hour, K -9s rates increased to include the
dog expenses as well from $25.00 per hour to $30.00 per hour, and rescue specialists rates were
established at $25.00 per hour.
As the result of September 11, 2001 attack on America, the USAR team was deployed for 15
days beginning September 11-25, 2001. Usually, the operating timeline of a USAR deployment
is described as 7-10 days. This recovery effort alone has made the South Florida Urban Search
and Rescue Team the longest deployed USAR Team in the program history. Due to the
civilians' hourly increases and number of days deployed, the total amount of compensation no

longer is sufficient for a standard deployment. It is therefore, necessary to amend Resolution No.
01-330 and increase the contract amount with each individual USAR Team Member by a total
increase of $22,000 per incident, from $15,000 per incident to $37,000 per incident or as
otherwise provided by the FEMA Cooperative Agreement, and to execute Professional Services
Agreement with each individual USAR Team Member, in order to pay increased costs because of
September 11, 2001 disaster deployment.

WHEREAS, funds are available from the FEMA/USAR Grant Fund,
Account Code No. 110095.280906.6.340, to be reimbursed by FEMA
upon submission of appropriate documentation;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY
OF MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the
Preamble to this Resolution are adopted by reference and
incorporated as if fully set forth in this Section.
Section 2. The City Manager is authorizedl' to execute
individual professional services agreements, in a form acceptable
to the City Attorney, with each member of the USAR Team for the
purpose of providing technical assistance for the Department of
Fire -Rescue, in an amount not to exceed $15,000 for each incident
or as otherwise provided by the FEMA Cooperative Agreement, with
funds allocated from the FEMA/USAR Grant Fund, Account Code
No. 110095.280906.6.340, to be reimbursed by FEMA upon submission
of appropriate documentation.
Section 3. This Resolution shall become effective
immediately upon its adoption and signature of the Mayor.V
l� The herein authorization is further subject to compliance with all
requirements that may be imposed by the City Attorney, including but not
limited to those prescribed by applicable City Charter and Code
provisions.
�1 If the Mayor does not sicn this Resolution, it shall become effective at
the end of ten calendar days from the date it was passed and adopted.
If the Mayor vetoes this Resolution, it shall become effective
immediately upon override of the veto by the City Commission.
