A RESOLUTION OF THE MIAMI CITY COMMISSION
ACKNOWLEDGING THE TRANSFER OF OWNERSHIP OF
SOUTHLAND TOWING COMPANY ("SOUTHLAND"), OWNED
BY MILLER INDUSTRIES, TO SOUTHWEST TRANSPORT,
DBA ABSOLUTE TRANSFER, OWNED BY PETER
HERNANDEZ, MANUEL MARONO AND ROBERTO
MUREIDAS; APPROVING THE ASSIGNMENT OF THE
AGREEMENT BETWEEN THE CITY OF MIAMI AND
SOUTHLAND, DATED MAY 3, 2000, TO ABSOLUTE
TRANSFER AND THE CITY, DATED JUNE 27, 2002,
FOR THE PROVISION OF TOWING SERVICES
CONTINGENT UPON: (1) COMPLIANCE WITH ALL
REQUIREMENTS SET FORTH IN THE AGREEMENT
BETWEEN THE CITY OF MIAMI AND SOUTHLAND; (2)
COMPLIANCE WITH CHAPTER 42, ARTICLE V, OF THE
CODE OF THE CITY OF MIAMI, FLORIDA, AS
AMENDED; (3) EXECUTION OF AN ASSIGNMENT, IN A
FORM ACCEPTABLE TO THE CITY ATTORNEY, FROM
SOUTHLAND TO ABSOLUTE TRANSFER; AND (4) THE
CITY MANAGER'S EXECUTION OF ANY DOCUMENT(S)
DEEMED APPROPRIATE, IN A FORM ACCEPTABLE TO
THE CITY ATTORNEY, TO EFFECTUATE SAID
TRANSFER OF OWNERSHIP AND ASSIGNMENT OF
AGREEMENT.
BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI,
FLORIDA:
Section 1. The transfer of ownership of Southland Towing
Company ("Southland") owned by Miller Industries to Southwest

Transport, dba Absolute Transfer, owned by Peter Hernandez,
Manuel Marono and Roberto Mureidas is acknowledged, and the
assignment of the agreement between the City of Miami and
Southland, dated May 3, 2000, to Absolute Transfer and the City,
dated June 27. 2002, for the provision of towing services is
approved!/ contingent upon:
(1) compliance with all requirements set forth in the
agreement between the City of Miami and Southland;
(2) compliance with Chapter 42, Article V, of the Code
of the City of Miami, Florida, as amended;
(3) execution of an Assignment between Southland and
Absolute Transfer, in a form acceptable to the
City Attorney; and
(4) the City Manager's execution of any document(s)
deemed appropriate, in a form acceptable to the
City Attorney, to effectuate said transfer of
ownership and assignment of agreement.
Section 2. This Resolution shall become effective upon
immediately its adoption and signature of the Mayor.2/
i� The herein approval is further subject to compliance with all
requirements that may be imposed by the City Attorney, including but not
limited to those prescribed by applicable City Charter and Code
provisions.
If the Mayor does not sign this Resolution, it shall become effective at
the end of ten calendar days from the date it was passed and adopted.
If the Mayor vetoes this Resolution, it shall become effective
immediately upon override of the veto by the City Commission.

Attachment letter to the one from Southland The Towing Company
Absolute will still be taking care of business in the same manner. Just under a new
management name. After a 90 transition period .Absolute Transfer will be the business
name. We have the old Southland management team Peter Hernandez and Ray
Hernandez. Barbara Sirkus and Patty Massie are our bookkeepers . All names that
should be f tmiliar to you all are now working for Absolute.
Absolute Transfer is a Florida based corporation providing towing and storage services to
the South Florida area since 1993. We are one of the fastest growing companies in the
industry starting out with 2 trucks and 2 employees, increasing to 23 trucks and over 30
employees. We ante a licensed, insured and bonded cannier capable of handling all your
eqmpment or vehicle transportation requirements.
Absolute Transfer is dedicated and focused on customer needs. We are continually
working toward expanding our resources to exceed our customers' expectations by
helping them solve their problems with safe, value-added solutions. Absolute strives to
be the customers' first choice by taking pride of ownership in everything we do.
Absolute's management team has over 50 years combined towing experience. Our team
of managers is on duty full time and oversees the complete operation of the Company.
The professional staff at Absolute all work together to maintain prompt, proficient and
courteous service to various police agencies, commercial customers and the public at
large. Our expense m towing management is proven by 10 years of experience and
service to established commercial and police agency accounts.
We have three offices/yards to better serve our customers in Dade County_ Our main
office and storage area is conveniently located at 5055 N.W. 74 Avenue. The South
Miami officelyard is located at 5890 S -W. 69 Street The Southwest Transport yard is
located at 3870 Shipping Avenue.
Absolute is a member of many national roadside assistance programs, We are able to
provide rapid response times to all calls within the districts. We offer assistance 24 hours
a day, 7 days a week and can service any customer no matter how big or small the task

Executive Summary
Absolute Transfer Inc.
Absolute Transfer maintains a professional staff all worlsang to maintain prompt and
courteous service to various Police agencies, the public at large as well as commercial
customers. Absolute Transfer, Inc. revenue does not exceed $5 million annually.
Our Administrative President, Robert Munedas, brings to the Company over 12 years of
towing experience. His proficiency and expertise in towing management is proven by 12
years of experience and service to established commercial and police agency accounts in
his role as Administrative President of Absolute Transfer. This proficiency has
maintained itself although the competition in the towing business has never been more
demanding.
Manuel Marono has over 15 years experience in the towing industry. He is on duty 24
hours for any transportation or towing needs. Our entire executive staffs are hands on
managers. They can handle any job with experience, expertise, and in the safest manner
possible.
Peter Hernandez has over 20 years towing and management experience. He is on duty
full time and oversees the complete operation of the company_ He is available around the
clock for problems and customer relations. His supervision is required in all aspects of
the Company's daily operation.
All Employees: The Company maintains a Drug Free Workplace. All employees are
required to pass an entrance drag screening as well as D.D.T. required drug and alcohol
tests and physicals. The company requires all employees to be photographed and
fingerprinted by the Miami -Dade Police Department as well as the City of Miami Police
Depar,ment to insure honesty and integrity in their emoployment. All employees must be
dressed in executive uniform clothing, professionally washed, cleaned, and pressed.
Dispatchers: The company employs dispatchers around the clock, 24 hours every day
of the year and are on site as well as knowledgeable about equipment and the servicing
areas.
Staff Support: All staff are required to be proficient in vehicle identification number
(VIN) documentation m order to unsure proper and timely notification to owners and lien
holders. In addition, yard personnel are schooled in handling irate customers and
avoiding confrontations. The Company maintains a direct computer link to the Florida
DMV to ascertain on file owner/lien holder information for registered in Florida-

Drivers: All drivers for the Company are required to have CDL driver licenses and
must have training on the equipment they are handling. They must show a working

knowledge of the area they are servicing. All drivers are periodically tested on their
driving habits and are required to update their proficiency with schoolmS for accident
prevention as well as training for equipment applications.
Procedures: All counter personnel are proficient in computer operations and are
instructod in advismg customers of the procedures required for the release of their
vehicles and the documents required for that release. Customers are advised, by phone if
they call in, by mail or in person, that we must have the title or registration to the subject
vehicle. Unless written release states otherwise, only the owner, lien holder or certified
agent of the owner may take possession of the vehicle. A certified agent would have an
affidavit appointing the person named to drive, release, and take possession of the
impounded vehicle. The owner/agent is advised by mail of the charges on the vehicle,
the daily rate of storage and the means of payment accepted Cash or credit cards axe
accepted. Lien holders of vehicles may take possession of vehicles, however, a "hold
harmless" agreement must be given.
Property in Vehicles: The owner/agent of a vehicle may remove his/her personal
property upon presentation of ownership documents, as outlined above, without payment
of any charges. No part of the automobile may be removed, i.e. radio, jacks, spare tines,
etc.

It is respectfully requested that the City Commission approve the transfer of ownership from
Southland Towing to Southwest Transport DBA Absolute Transfer contingent upon:
• compliance with all requirements set forth in the agreement between the City of
Miami and Southland Towing;
• compliance with Chapter 42, Article IV, of the Code of the City of Miami, Florida,
as amended;
• execution of an Assignment between Southland Towing and Absolute Transfer, in
a form acceptable to the City Attorney; and
• the City Manager's execution of any document(s) deemed appropriate, in a form
acceptable to the City Attorney, to effectuate the transfer of ownership and
assignment of Agreement.
BACKGROUND/,TUSTIFICATION
Resolution No. 00-213, adopted March 9, 2000, authorized the City Manager to enter into an
agreement with Southland Towing for the provision of towing services in the City of Miami and,
under the terms, requires prior consent of the City Commission for any transfer, assignment or
sale.
The Police Department has conducted the required background investigation into this company
and its officers and has found no reason to recommend against the requested transfer of ownership.
Therefore, should you approve this request with the provisions specified above, the Purchasing
Department will be directed to insure that all required legislation and/or documents are prepared
and executed in a form acceptable to the City Attorney.

Let me take this opporunity to apologize for any misurdersandir g conveyed by Frank Gwcia or any other
employees of our company regarding the operations of South!and Towing. We have entered into an
agreement with Absolute Towing for the sale of the stock of Sou:twest Transport, Inc, d4o/a Southland
Towing and Recovery Services pending Oc receipt of consents required from the cities of Miami and Coral
Gables. As we are in the process of requesting these consents for the umsfer, we would hope for a
satisfactory conclusion within 45 days with the subsequent transfer of ownership to conclude within the
following 30 days_ In the interim, we have entered into a management agreement with Absolute
Management Corpomtion to assist with the day to day management of the operation.
