A RESOLUTION OF THE MIAMI CITY COMMISSION,
BY A FOUR-FIFTHS (4/5TIS ) AFFIRMATIVE VOTE,
AFTER AN ADVERTISED PUBLIC HEARING, PURSUANT
TO SECTION 2-614 OF THE CODE OF THE CITY OF
MIAMI, FLORIDA, AS AMENDED, WAIVING THE
CONFLICT OF INTEREST PROVISIONS CONTAINED IN
SECTION 2-612 OF THE CITY CODE TO ENABLE THE
MODEL CITY COMMUNITY REVITALIZATION DISTRICT
TRUST TO PURCHASE PROPERTY LOCATED AT 1461
NORTHWEST 60TH STREET, MIAMI, FLORIDA, FROM
FAITH WILLIAMS, AN EMPLOYEE OF THE CITY OF
MIAMI AND WHOLE OWNER OF ROYALTY HEIGHTS
APARTMENTS, INC.
WHEREAS, the Model City Community Revitalization District
Trust ("Trust") was established, pursuant to Ordinance
No. 12082, as a limited agency and instrumentality of the City
of Miami ("City"); and
WHEREAS, Ordinance No. 12082, as amended, defines the
boundaries of a Model City Homeownership Zone Pilot Project
("Project") area; and
WHEREAS, Ordinance No. 12082, as amended, designates the
Trust as the vehicle to administer the Project; and

WHEREAS, the annual plan of the Trust for Fiscal Year
2002-2003, defines the Phase I area of the Project area as
Northwest 60th to Northwest 62nd Streets between 12th and 17th
Avenues, Miami, Florida; and
WHEREAS, FAITH WILLIAMS, an employee of the City of Miami
("City") who has achieved the rank of Sergeant in the Miami
Police Department, is the whole owner of Royalty Heights
Apartments, Inc., located at 1461 Northwest 60th Street, Miami,
Florida, which is within the defined Phase I area; and
WHEREAS, Section 2-612 of the City Code prohibits an
employee of the City from entering into any contract or
transacting any business with the City or agency acting for the
City; and
WHEREAS, Section 2-614 of the City Code allows the City
Commission to waive such prohibitions under certain conditions;
and
WHEREAS, consistent with the authority to waive a conflict
of interest pursuant to Section 2-614, the City Commission finds
that this transaction involves the purchase of property that is
unique and the City cannot avail itself of such property without
entering into this transaction; and
WHEREAS, also consistent with Section 2-614, the proposed
transaction would be in the best interest of the City;

NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE
CITY OF MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the
Preamble to this Resolution are adopted by reference and
incorporated as if fully set forth in this Section.
Section 2. Pursuant to Section 2-614 of the Code of the
City of Miami, Florida, as amended, by a four-fifths (4/5th,)
affirmative vote, after an advertised public hearing, the
prohibitions contained in Section 2-612 of the City Code, the
conflict of interest provisions, are waived to enable the Trust
to purchase property located at 1461 Northwest 60th Street,
Miami, Florida, from Faith Williams, an employee of the City of
Miami and whole owner of Royalty Heights Apartments, Inc.
Section 3. The waivers set forth in Section 2 hereof is
based upon the following findings:
(a) Faith Williams is an employee of the City of Miami and
whole owner of Royalty Heights Apartments, Inc.
located at 1461 Northwest 60th Street, Miami, Florida.
(b) The City wishes to enter into a transaction with Faith
Williams to purchase said property.
(c) The purchase of the property is in the best interest
of the City in furtherance of the Model City
Homeownership Zone Pilot Project.

Section 4. This Resolution shall become effective
immediately upon its adoption and signature of the Mayor.11

RECOMMENDATION:
It is respectfully requested that the City Commission approve by four-fifths vote
the waiver of the provisions of Section 2-611 which establishes a conflict of
interest for the purchase of property located at 1461 NW 60f Street from Royaltv
Heights Apartments, Inc., a corporation wholly-owned by a City employee, Faith
Williams, for the Model City Homeownership Zone Pilot Project.
BACKGROUND:
At its meeting of July 17, 2003, the City Commission approved the purchase of
property located at 1461 NW 60th Street for an amount of $488,750. That property
is owned by Royalty Heights Apartments, Inc., which is a Florida corporation
wholly-owned by Faith Williams, an employee of the City of Miami.
Since the City Commissions approval of the acquisition, the City Attorney has
advised the Trust that the City Code's conflict of interest provisions apply to a
purchase from a corporation wholly-owned by an employee of the City. The
legal opinion is attached.
You will recall that the Conflict of Interest provisions of Section 2-612 of the Code
of the City of Miami provides that:
"No person included in Section 2-611 shall enter into
any contract or transact any business with the City or
any person or agency acting for the City..." (emphasis
added).
The Trust is legislatively defined as:

"A limited agency and instrumentality of the city to
be known as the 'Model City Community
Revitalization District Trust' is created and
established. Use of the term Trust, in this division,
shall mean the Model City Community Revitalization
District Trust."
Thus, Section 2-611 of the City Code would prohibit purchase of
land by the City or the Model City Community Revitalization
District Trust without a waiver of the conflict of interest provisions
consistent Section 2-614 of the Code.
The Code provides the City Commission with the mechanism
waiving a conflict of interest by a four-fifths vote and with a public
hearing.
Given the fact that the development area was designated without
any regard to the employee's ownership and the employee was
treated in the same manner as other property owners located in the
same Phase I area, I encourage the City Commission to support this
waiver.
You should note that the purchase price is 15% above the average
of two appraisals and was, therefore, approved for purchase by a
simple majority vote of the City Commission.

REAL PROPERTY FROM A CITY OF MIAMI POLICE
OFFICER ("OFFICER")?
Subject to the conditions and limitations set forth herein, the answer to your question is in
the affirmative. That is, an officer does have a conflict that would preclude him/her from selling
their real estate, presumably at fair market value, to the Trust.
The City's Conflict of Interest Law is broad in scope and application. The Conflict of
Interest Law applies to every officer, employee, official, and board member. See City Code,
Sec. 2-612 which provides, in part, that:
"No person included in Section 2-611 shall enter into any contract or
transact any business with the City or any person or agency acting for the
City..." (Emphasis supplied).
The Trust is legislatively defined as follows:
"A limited agency and instrumentality of the City to be known as the
"Model City Homeownership Trust" is created and established. Use of the
tern "Trust" in this division shall mean the Model City Homeownership
Trust." See Sec. 12-5.26, City Code."
Additionally, Miami -Dade County's Conflict of Interest Ordinance constitutes a minimum
standard of conduct for all local municipal officials and officers and, as such applies to this matter.

Section 2-11.1(a), Miami -Dade County's Conflict of Interest and Code of Ethics Ordinance (the
"County Ordinance").
The County Ordinance, in general, prohibits any salaried employee, commissioner, as well
as, autonomous, quasi-judicial and departmental personnel from transacting business with the
County. Transacting business is defined as entering into any contract, transacting any business, or
business engagement. Section 2-11.1(c), County Ordinance.
Nevertheless, the County Ordinance provides that any salaried employee (other than the
manager, department heads, and all attorneys) may individually enter into a contract with the
County only if:
(i) entering into the contract would not interfere with the full and faithful discharge of
the employee's duties;
(ii) the employee has not participated in determining the subject contract requirements
or awarding the contract;
(iii) the employees job responsibilities and job descriptions will not require him or her to
be involved in the contract in any way, including enforcement, oversight,
administration, amendments, termination, and so forth. Id.
All affected personnel shall seek a Conflict of Interest opinion from Miami -Dade County's
Commission on Ethics and Public Trust. Id.
If the Ethics Commission finds that the requirements of the County Ordinance are not met,
the employee or board member may seek a waiver from the requirements by a two-thirds vote.
The County Ordinance generally comports with State Ethics Code prohibition against doing
business with your own agency. However, interpreting Section 112.313(3), Fla. Stat., opinions of
the State's Ethics Commission have allowed public employees (who are not purchasing agent, city
managers or administrators or elected officials) to do business with an affiliated public agency or
entity when the public officer or employee has had no possible influence in relation to the business
or the agency with which the officer is connected. The commission has interpreted §112.313(3) to
be superceded by §112.316, Fla. Stat.
Thus, subordinate boards of a City (e.g. P.A.B. member, Board of Adjustment member,
Housing Authority member) can do business with a City or County, as long as the respective board
or agency has nothing to do with the transaction, and as long as he or she has no procurement
duties or influence over the contract in question. See, CEO 81-66; CEO 88-17, In Re Stephen
Hule, 13 F.A.L.R 1852 (Commission On Ethics, 10/26/89).
In this case, because it is a City police officer selling a parcel of real estate to the Trust (as
opposed to the City) it would be permissible under State law (as long as this police officer has no
procurement or real estate duties).

By clear and unambiguous language of the City's Conflicts of Interest Law, an Officer
cannot sell, in an arms length transaction, real estate that he/she owns to the Trust. In this instance,
it is not necessary to resolve this issue under County conflict laws because this matter is answered
under the City's applicable conflict laws. The City's laws control when they are more restrictive
than the County Ordinance, as is the case in this instance.
Please be further advised that the City of Miami Commission may waive the requirements
of the City's Conflict of Interest Laws for a particular transaction by four -fifth vote, after a public
hearing, if the City Commission makes certain findings.' In this instance, the most applicable
findings allowed by the City code could be any of the following:
(i) The transaction was solicited through sealed bids, if applicable; or
(ii) The property or services involved are unique and the City cannot avail itself of such
property or services without entering into this transaction; and
(iii) The proposed transaction would be in the best interest of the City.2
To be certain, this waiver would have to be obtained before the Trust and the Officer could
enter into this Purchase and Sale Agreement.

alcanzado con Argentina, por un monto de 12.500 millones de d6lares,

al permitirle refinanciar deuda por unos 21.000 millones de d6lares
con los institutos multilaterales.

Krueger, afirm6 en Dubai que el acuerdo aprobado por la junta di-
rectiva del organismo respalda "el programa econ6mico del gobierno
argentino que busca, en el mediano plazo, restaurar un crecimiento
sostenido" y "reducir la pobreza".
Ese acuerdo, aprobado en una reunion a la que asistieron los 24
directores del FMI, fue alcanzado el 10 de septiembre, al t6rmino
de intensas negotiations y al dfa siguiente de que Buenos Aires
incumpliera un vencimiento impostergable con el organismo multi-
lateral, por 2.900 millones de d6lares.
Segun fuentes del FMI, los directivos "examinaron la Carta de In-
tenci6n presentada por Argentina" que describe en detalle el acuerdo,
que tiene un plazo de tres anos y preve un ahorro fiscal equivalente
a13% del Producto Bruto Intern para 2004.
Aunque el acuerdo es formalmente por tres anos, los porcentajes
para 2005 y 2006 quedan sujetos a discusiones futuras, confirm6 el FMI.
Ese entendimiento ha recibido ya el claro apoyo de Estados Unidos,
y fue el tema de la conversation entre el ministro de Economia ar-
gentin, Roberto Lavagna, y el secretario del Tesoro estadounidense,
John Snow, este sabado en Dubai, donde se celebra la reuni6n anual
del FMI y del Banco Mundial (BM).

DUBAI, (AFP) - El FMI aprob6 el sabado en Dubai el acuerdo
alcanzado con Argentina, por un monto de 12.500 millones de d6lares,
que harA que ese pais deje de estar en la lista de morosos del Fondo,
al permitirle refinanciar deuda por unos 21.000 millones de d6lares
con los institutos multilaterales.
La ndmero dos del Fondo Monetario Internacional (FMI), Anne
Krueger, afirm6 en Dubai que el acuerdo aprobado por la junta di-
rectiva del organismo respalda "el programa econ6mico del gobierno
argentino que busca, en el mediano plazo, restaurar un crecimiento
sostenido" y "reducir la pobreza".
Ese acuerdo, aprobado en una reunion a la que asistieron los 24
directores del FMI, fue alcanzado el 10 de septiembre, al t6rmino
