A RESOLUTION OF THE MIAMI CITY COMMISSION
APPROVING THE ASSIGNMENT OF THE CITY OF
MIAMI ("CITY") COMMERCIAL SOLID WASTE
NON-EXCLUSIVE FRANCHISE AGREEMENT
("FRANCHISE AGREEMENT") BETWEEN THE CITY AND
ONYX FLORIDA, LLC, TO DISPOSALL OF SOUTH
FLORIDA, INC., CONTINGENT UPON SUBMISSION OF
ALL REQUIRED SUPPORTING DOCUMENTS.
WHEREAS, Chapter 22 of the Code of the City of Miami,
("City") Florida, as amended, regulates non-exclusive franchises
for Commercial Solid Waste services; and
WHEREAS, a Non -Exclusive Commercial Solid Waste Franchise
Agreement ("Franchise Agreement") was awarded to Onyx Florida
LLC, and approved by the Oversight Board; and
WHEREAS, the City has been advised of the sale of Onyx
Florida LLC, to DisposAll of South Florida, Inc.; and
WHEREAS, provisions of the Franchise Agreement stipulate
that it shall be assignable only upon approval by the City
Commission;

NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE
CITY OF MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the
Preamble to this Resolution are adopted by reference and
incorporated as if fully set forth in this Section.
Section 2. The assignment of the Franchise Agreement
between the City and Onyx Florida LLC, to DisposAll of South
Florida, Inc. is approved, contingent upon submission of all
required supporting documents.
Section 3. This Resolution shall become effective
immediately upon its adoption and the signature of the Mayor."
1� If the Mayor does not sign this Resolution, it shall become
effective at the end of ten calendar days from the date it was
passed and adopted. If the Mayor vetoes this Resolution, it
shall become effective immediately upon override of the veto by
the City Commission.

RECOMMENDATION:
It is respectfully recommended that the City Commission approve the attached resolution approving the
Assignment of a City of Miami Commercial Solid Waste Non -Exclusive Franchise Agreement between
the City of Miami and Onyx Florida LLC, to DisposAll of South Florida, Inc.
BACKGROUND:
Pursuant to Article XIII, Section 13.1 — Assignability, of the Franchise Agreement, "this agreement shall
be assignable, upon approval by the City Commission. For the purposes of this paragraph, the
concept of assignability shall include any sale of a majority of stock in the franchisee, any significant
changes in the ownership of the FRANCHISEE, its officers, directors or personnel."
The Department of Solid Waste is seeking approval of the Assignment of a Non -Exclusive Franchise
Agreement between the City of Miami and Onyx Florida LLC, to DisposAll of South Florida, Inc.
Additionally, DisposAll of South Florida, Inc. was established approximately 15 years ago in the State
of Florida and established business in South Florida in the year 2000. Pursuant to review, by the
Department of Solid Waste, DisposAll of South Florida, Inc. meets all the requirements for the
assignment. The appropriate supporting documents for the Non -Exclusive Franchise Agreement are
attached.

Dear Mr. Patterson:
It was a pleasure speaking with you recently concerning the above captioned matter. As
we discussed, I am General Counsel for the DisposAll companies. Recently, DisposAll entered
into a contract with Onyx, LLC wherein DisposAll is to acquire all of Onyx's business in the
south Florida market, including Dade and Broward Counties.
By way of this correspondence, I am respectfully requesting that the City of Miami
approve the transfer of the Commercial Solid Waste Non -Exclusive Franchise Agreement from
Onyx, LLC to DisposAll of South Florida, Inc. In connection therewith, I have enclosed the
completed application of DisposAll to assume the franchise agreement for your review and
consideration.
While I have tried to be as thorough as possible in completing the application and
attachments, please feel free to contact me with any additional questions or comments you may
have concerning same. DisposAll would greatly appreciate any assistance you can provide in
having this matter come before the City Commission at its next earliest session.

1. BACKGROUND
The City of Miami (hereinafter referred to as "City') is seeking to qualify private con=ercial haulers
(herein referred to as "haulers," "contractors," or "applicants"), to enter into long term non-exclusive
city-wide Franchise Agreements to provide waste collection and disposal services to its commercial
establishments and multi -family residences with four (4) or more units, totaling approximately 21,000
accounts in 34 square miles, City-wide. The RFQ includes garbage, trash, specialized roll -off and
recycling services, and the removal of hazardous materials and biologicallbiomedical waste. The
Franchise Agreement (hereinafter referred to as "Agreement') shall enable qualified haulers to provide
these services on a non-exclusive. Citywide franchise basis for the term specified in the Agreement.
2. SCOPE / SERVICES
It is the intent of the City to secure qualified haulers to execute the Agreement, to be effective October
1, 1999, for the purpose of providing commercial waste hauling services, including roll -off and
recycling services, throughout the City. This non-exclusive city-wide Agreement between qualified
haulers and the City shall remain in effect for five (5) years, and no other firms will be allowed to
provide these services within the corporate limits of the City until the expiration of the Agreement. See
Attachment A.
3. MINIMUM REQUIREMENTS FOR QUALIFICATION
In order to qualify, haulers shall agree to adhere to all requirements as set forth in the Agreement as it
may exist in its final form. Additionally, prospective haulers shall meet all of the following minimum
qualification requirements and provide any and all required documentation pursuant to the same.

The following requirements shall be amt by a hauler in order to be deemed "qualified" to provide said

a) Shall agree to all terms, conditions, and provisions of the final Franchise Agreement, and agree to
execute the same upon being deemed qualified.
b) Shall agree to adhere, at the time of application and at all times during the period covered by the
Agreement, to all applicable Codes and Ordinances of the City of Miami
c) Shall not owe, or be in arrears for any sum to the City, unless expressly approved by the City prior
to the submission due date.
d) Shall possess equipment capable of providing safe and efficient service, and have sufficient
personnel to perform the same.
e) If an individual, or in the case of a firm, corporation, partnership, association or organization, any
person(s) having any financial, controlling, or managing interest therein, should be of good moral
character.
f) Shall maintain proper insurance coverage and furnish a public liability policy" in the minimum
amount of 51,000,000, including workers compensation, along with automobile liability insurance
covering the hauler's operations for a combined single limit coverage of $1,000,000 per occurrence
for bodily injury and property damage liability. The City shall be listed as an Additional Insured for
liability prior to execution of theAgreement.'
g) Shall complete in full and return the attached Attestation of Qualifications SAttacFunent B), and
provide all its required information and documentation, which shall, in part, be utilized by the City
to determine qualifications.
h) Shall agree to furnish a payment bond executed by a surety company duly authorized to do
business in the State of Florida, which shall be counter -signed by an agent for the company,
resident in the State of Florida, to the Director of Solid Waste no later than five (5) business days
after approval by the City Commission and prior to execution of the Agreement by the City.
FAILURE TO MEET ANY OF THE ABOVE MINIMUM QUALIFICATION
REQUIREMENTS SHALL DISQUALIFY AN APPLICANT FROM PROVIDING
COMMERCIAL WASTE HAULING SERVICES WITHIN THE CITY OF MIAMI.
4. SUBMISSION REQUIREMENTS
The following documents are to be submitted as part of the response to this RFQ:
a) Copy of haulees current Occupational License.
b) Copy of hauler's current insurance certificate.
c) Attestation of Qualifications form completed in fW1.
d) Submission of all documentation as required in the Attestation of Qualifications form.
FAILURE TO SUBMIT ANY OF THE ABOVE DOCUMENTS SHALL DISQUALIFY AN
APPLICANT HEREUNDER

Late responses received after 5:00 p.m. on the due date stall not be accepted and will be
returned unopened.

6. EVALUATION PROCESS AND AWARD
Upon receipt of responses, the Director of the Dgwanent of Solid Waste shall evaluate all
documentation submitted to determine if a hauler is "qualified" to provide commercial waste hauling
services within the City pursuant to the terms and conditions of the Franchise Agreement. Upon written
notification by the Director of the Solid Waste Department that a hauler has been deemed qualified and
upon receipt of the final Franchise Agreement, the qualified hauler shall have no more than five (5)
business days, unless otherwise notified by the Director of Solid Waste, to sign the Franchise
Agreement for final execution by the City.
The City reserves the right to enter into an Agreement with any puler who is qualified to provide
commercial waste hauling services city-wide.
7. APPEAL PROCESS
The failure to qualify an applicant by the Director of Solid Waste may be appealed to -the City Manager
or the City Manager's designee. The notice of appeal shall be filed, in writing via certified U.S. mail,
with the Director of Solid Waste no later than Fourteen (14) calendar days after the receipt of the
certified letter advising applicant of such failure to qualify.
The direCtor shall fix the date and time for hearing the appeal. Said bearing shall be held not less than
fourteen (14) calendar days after receipt of the notice of appeal. The City Manager or the City
Manager's designee shall either affirm the decision of the director, or direct the director to issue the
franchise, subject to the conditions contained in paragraph 8.

8. APPROVAL BY CITY COMMISSION AND EMERGENCY FINANCIAL
OVERSIGHT BOARD
The execution of any Agreement by the City and any hauler in connection with this RFQ shall be
subject to approval by the Miami City Commission by resolution and approval by the Emergency
Financial Oversight Board.
9. INSURANCE REQUIREMENTS
An applicant seeking to qualify to participate in an Agreement as specified herein shall maintain a
public liability policy in the minimum amount of $1,000,000 written in the applicant's name. The
applicant shall carry an automobile liability insurance policy covering the applicant's .operations with a
combined single limit of $1,000,000 per occurrence for bodily injury and property damage liability.
Insurance certificate shall also include workers. compensation coverage. All qualified haulers must
reflect on its insurance certificate the City as an Additional Insured before execution of the Franchise
Agreement. The insurance certificate shall be submitted to the Director of Solid Waste no later
than five (5) business days after approval by the City Commission and prior to execution of the
Agreement by the City.
10. PAYMENT BOND REQUIREMENTS �
The successful hauler(s) shall furnish a payment bond executed by a surety company duly authorized to
do business in the State of Florida, which shall be counter -signed by an agent for the company, resident
in the State of Florida. The amount of the bond shall be equal to the hauler's previous 12 month
regulatory permit fee paid to the City or a minimum of $15,000.00, whichever is greater, as security for
any fee's due to the City under this Agreement. The surety shall have a rating classification of `B+"
and a financial category of Class IV as evaluated in the current Best's Key Rating Guide, Property
Liability. In lieu of a payment bond, the successful hauler may. submit an irrevocable letter of credit,
cash, certified check, treasurer's or cashier's check issued by a responsible bank or trust company
payable to the City of Miami. This payment bond shall be submitted to the Director of Sollid Waste
no later than five (S) business days after approval by the City Commission and prior to execution
of the Agreement by the City.
11. OPTIONAL
As part of this Request for Qualifications, the City is providing the option for any Applicant to submit
concepts or ideas that are innovative in nature to provide for more efficient solid waste services. These
innovative concepts to be considered shall provide methods to accomplish the City's goals of better
City regulation, to promote greater competition, innovative or novel services and services to promote
the beautification of the City and the health and welfare of its citizens. This section shall not create any
obligation on the City to enter into any Agreement based on the innovative idea(s), nor include the
idea(s) in the final Agreement. However, this information may, at the City's sole option, be
ineorporaied in the final Agreement.

W. Insurance Requirements
The applicant seeking to qualify to participate in the franchise agreement as specified small
furnish a public liability policy in the minimum amount of $1,000,000. The applicant shall

Section 2. Definitions. For the purpose of the
Ordinance, the following teras, phrases, words and their
derivations shall have the rallowing memnings:
A. Service Contracts means contracts for the
procurement of services by the City of Misai which include
professional services.
B. Facilities means all publicly financed projects,
including but without limitation, unified development projects,
m= icipal public works, and •unicipai laprovemeots to the extent
they are financed through public moacy services or the use of
publicly owned property.
C. Se�ji includes, without limitation, public
works improvemesta, facilities, professional services,
commodities, supplies, materials and mpipsent.
D. Grants and loans means, without limitation, urban
Development Action Grants (UPAG), teencole Development Agency
construetlon loans, loans from Nips Capital Development,
Incorporated, and all federal and state grants administered by '

El juicio civil contra Fernandez
Larios se invoc6 en base a dos Jeyes
del siglo XIX usadas para prevenir
crfinenes de pirateria: la Alien lbrt
Claims (Reclamo por torturas en el
extranjero) y la lbrture Victim Pro-
tection Act (Protecci6n a las Vfcti-
mas de lbrtura).
En 2002, ambas leyes fueron usa-
das en un proceso en Miami contra
dos generales salvadoreiios acusa-
dos de tortura y condenados a pagar
54,6 millones de d6lares en indem-
nizaci6n, aunque ambos se decla-
raron "pobres de solemnidad". La
jueza de ese caso fue Joan Lenard,
la nusma encargada del proceso
contra Fernandez Larios.
Si es declarado culpable, Fernan-
dez Larios podrfa sufrir penas si-
milares aunque; segun los quere-
llantes, hay indicios de que "ya no
tiene nada a su nombre y tambien
podrfa declarase pobre", ademas, el
supuesto "acuerdo de protecci6n"
impedirfa su deportaci6n.
Sin embargo, para la familia Ca-
bello, que en su mayorfa reside en
California (EEUU) desde 1974, una
simple resolution condenatoria es
suffcientemente satisfactoria.
"Este es un juicio que persigue
un fin moral, no econ6mico", dijo
a EFE Zita Cabello Barrueto, her-
mana de Winston y principal pro-
motora de la acusaci6n.
"Pretende dar un ejemplo al mun-
do de que los violadores de los dere
chos humanos no pueden ni quedar
impunes, ni encontrar refugio en nin-
guna parte del mundo", agreg6.
"Lo linico que queremos es que se
haga justicia", indic6 Zita Cabello,
quien tambien es economista tomo
su hermano asesinado, y profesora
de Estudios Latinoamericanos en la
Universidad de California.
Los abogados de California que re-
presentan a la familia Cabello di-
jeron que "la presenia en EEUU
de violadores de los derechos hu-
manos durante el r6gimen de Pi-
nochet no debe ser tolerada. EEUU
no se debe convertir en un refugio
para asesinos y torturadores".
Los abogados de Fernandez La-
rios ban negado todos los cargos de
tortura y asesinato en el caso de
Winston Cabello y de otras doce per-
sonas vfctimas de la "Caravana de
la Muerte" en el norte de Chile.
Segue fuentes cercanas al proceso
judicial, este podrfa ser de "tramite
rapido" y la jueza Lenard podrfa to -
mar una resoluci6n en dos semanas.
