A RESOLUTION OF THE MIAMI CITY COMMISSION
WITH ATTACHMENT(S), AUTHORIZING THE CITY TO
(1) ACCEPT FUNDS, IN THE AMOUNT NOT TO EXCEED
$1,220, FROM HEALTH FOUNDATION OF SOUTH
FLORIDA ("HEALTH FOUNDATION"), FOR THE SENIOR
IMMUNIZATION PROJECT INITIATED BY HEALTH
FOUNDATION, FOR THE PERIOD OF SEPTEMBER 15,
2003 THROUGH DECEMBER 31, 2003, AND
ADMINISTERED BY THE CITY OF MIAMI DEPARTMENT
OF FIRE -RESCUE, (2) EXECUTE A MEMORANDUM OF
UNDERSTANDING AGREEMENT, IN SUBSTANTIALLY THE
ATTACHED FORM, WITH HEALTH FOUNDATION FOR
SAID PURPOSE, AND (3) EXPEND SAID FUNDS FOR
THE OPERATION OF THE PROJECT.
WHEREAS, in compliance with a directive from the City
Commission on June 25, 2003, the Department of Fire -Rescue
("Fire -Rescue") developed a pilot program with the assistance of
the Health Foundation of South Florida ("Health Foundation"), at
no cost to the City of Miami ("City"), to implement a Senior
Immunization Project ("Project"); and
WHEREAS, the Memorandum of Understanding Agreement
("Agreement"), attached and incorporated, sets forth the parties'
responsibilities in connection with the development and support
of the Project administered by Fire -Rescue; and

WHEREAS, the Agreement will allow Fire -Rescue's paramedics
to administer flu and pneumococcal vaccines to the City's elderly
residents; and
WHEREAS, Health Foundation wishes to award funds for this
project to the City for Fire -Rescue, for personnel, training and
supplies, in the amount of $1,220;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY
OF MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the
Preamble to this Resolution are adopted by reference and
incorporated as if fully set forth in this Section.
Section 2. The City Manager is authorized to accept
funds in the amount of $1,220, from Health Foundation for the
Senior Immunization Project initiated by Health Foundation for
the period of September 15, 2003 through December 31, 2003, and
administered by Fire -Rescue.
Section 3. The City Manager is authorizedll to execute a
Memorandum of Understanding Agreement, in substantially the
attached form, with Health Foundation for said purpose, and to
expend said funds for the operation of the Project.
1� The herein authorization is further subject to compliance with
all requirements that may be imposed by the City Attorney,
including but not limited to those prescribed by applicable
provisions of the City Charter and Code.

Section 4. This Resolution shall become effective
immediately upon its adoption and signature of the Mayor.2/

If the Mayor does not sign this Resolution, it shall become
effective at the end of ten calendar days from the date it was
passed and adopted. If the Mayor vetoes this Resolution, it
shall become effective immediately upon override of the veto by
the City Commission.

HEALTH FOUNDATION OF SOUTH FLORIDA
MEMORANDUM OF UNDERSTANDING
AGREEMENT
THIS AGREEMENT entered into this day of by and between
the HEALTH FOUNDATION OF SOUTH FLORIDA (hereinafter referred to as the Foundation) and
the CITY OF MIAMI, hereinafter "CITY", whose address is 444 S.W. 2"d Avenue, Miami, FL 33130.
In consideration of the mutual promises and covenants herein contained, the parties agree as
follows:
1. TERM:
This Agreement shall be for the period of September 15, 2003 through December 31, 2003.
2. SERVICES:
1. The CITY, through its Fire Rescue Department, will provide influenza vaccinations and
pnemococcal vaccinations to individuals who present at the host sites approved by the
Senior Immunization Project that are within the City of Miami's service boundaries. A
target number of vaccinations are 400 flu and 150 pnuemococcal vaccinations. The
FOUNDATION will work with the CITY to create a schedule of the date, time, and
location of each flu clinic.
2. The immunizations will be given between October 1, and December 31, 2003. If unable
to provide the number of immunizations cited above, the CITY will communicate in a
time manner to FOUNDATION. Timely is defined as by November 15, 2003 or as soon
as CITY has knowledge of this inability.

3. CITY will pick up vaccinations from the Health Department Central Supply distribution
center at 1350 N.W. 74 Street (at no cost to the CITY) and return any unused vaccine to
the Miami -Dade County Health Department.
4. CITY will keep a record of the number of dosages checked out each day, the number of
dosages used at each site and the number of dosages returned unused to the Miami -Dade
County Health Department. This information will be provided to the FOUNDATION
weekly, beginning Wednesday, October 15, and ending Wednesday, December 31, 2003.
3. COMPENSATION:
1. $720 for stipends to fire rescue personnel for one influenza immunization training session
conducted by the Health Department ($120 per personnel for 6 personnel: $30 per hour, 3
hours, plus 1 hour travel time). If less than six (6) personnel are trained, CITY will refund
the balance not used to train personnel within thirty (30) days of the termination of this
agreement.
2. $500 for supplies for 550 shots, including; syringes for flue and pneumococcal vaccines,
alcohol swabs, ammonia inhalant, sharps disposal boxes, band aids, gloves, gauze pads,
polyback towels, hand sanitizer, sharps containers, and trash bags.
3. Two coolers with ice packs and thermometers will be provided to CITY by the
FOUNDATION for use in transporting vaccinations to host sites. The coolers will
become the exclusive property of the CITY at the conclusion of the project.
4. CITY will be issued a check in the amount of $1,220 within thirty days of the execution
of this agreement.
4. TERMINATIONIEXTENSION:
This Agreement is subject to termination, prior to its expiration, upon either party delivering to
the other party written notice of intention to terminate this Agreement, which will become effective

immediately thereafter, or later upon written mutual agreement of the parties. This Agreement may be
extended beyond the initial period upon written mutual agreement of the parties.
5. COMPLIANCE WITH FEDERAL, STATE AND LOCAL LAWS:
Both parties shall comply with all applicable laws, ordinances and codes of Federal, State of
Local Governments.
6. INDEMNIFICATION/ RELEASE:
To the extent and within the limits of §768.28, Florida Statutes, as my be amended, the
FOUNDATION shall indemnify, defend and hold harmless the Agency and its officials, employees and
agents (collectively referred to as "Indemnities") and each of them from and against all loss, costs,
penalties, fines, damages, claims, expenses (including attorney's fees) or liabilities (collectively
referred to as "Liabilities") by reason of any injury to or death of any person or damage to or
destruction or loss of any property arising out of, resulting from, or in connection with (i)
FOUNDATION performance or non-performance of the services contemplated by this Agreement that
is or is alleged to be directly or indirectly cause, in whole or in part, by any act, omission, default or
negligence (whether active or passive) of FOUNDATION or its employees, agents or subcontractors
(collectively referred to as "FOUNDATION"), or (ii) the failure of the FOUNDATION to comply with
any of the paragraphs herein or the failure of the FOUNDATION to conform to statutes, ordinances, or
other regulations or requirements of any governmental authority, federal or state, in connection with the
performance of this Agreement. FOUNDATION expressly agrees to indemnify and hold harmless the
Indemnitees, or any of them, from and against all liabilities that may be asserted by an employee or
former employee of FOUNDATION, or any of its subcontractors, as provided above, for which the
FOUNDATION liability to such employee or former employee would otherwise be limited to
payments under state Worker's Compensation of similar laws.
FOUNDATION, in consideration of the services provided by the CITY and other good and
valuable consideration, hereby fully releases, discharges and waives any claim, action, cause, damage
or liability it against the CITY it may now or hereafter have relating to or accruing by virtue of this
Agreement.

7. INSURANCE:
FOUNDATION shall, at all times during the term hereof, maintain such insurance coverage as
may be required by the CITY Risk Management Administrator. All such insurance, including
renewals, shall be subject to the approval of the CITY Risk Management Administrator for adequacy
of protection and evidence of such coverage shall be furnished to the CITY Risk Management
Administrator on Certificates of Insurance indicating such insurance to be force and effect and
providing that it will not be canceled during the performance of services under this contract without
thirty (30) calendar days prior written notice to the CITY Risk Management Administrator .
Completed Certificates of Insurance shall be filed with the CITY Risk Management Administrator
prior to the performance of services hereunder, provided, however, that FOUNDATION shall at any
time upon request file duplicate copies of the policies of such insurance with the CITY.
If, in the judgment of the CITY Risk Management Administrator, prevailing conditions warrant
the provision by FOUNDATION of additional liability insurance coverage or coverage which is
different in kind, the CITY Risk Management Administrator reserves the right to require the provision
by FOUNDATION of an amount of coverage different from the amounts or kind previously required
and shall afford written notice of such change in requirements thirty (30) days prior to date on which
the requirements shall take effect. Should the FOUNDATION fail or refuse to satisfy requirement of
changed coverage within thirty (30) days following the CITY's written notice, this Contract shall be
considered terminated on the date the required change in policy coverage would otherwise take effect.
8. ENTIRE AGREEMENT
This Agreement constitutes the sole and exclusive understanding and agreement between the
parties with respect to the subject matter hereof, and shall not be modified except in writing and signed
by both parties and executed with the same formalities as this Agreement.
9. NO DISCRIMINATION
FOUNDATION agrees that it shall not discriminate as to race, sex, age, color, creed, national
origin, or handicap in connection with its performance under the MOA.

It is respectfully recommended that the City Commission adopt the attached Resolution
authorizing the City Manager to execute a Memorandum of Understanding with Health
Foundation of South Florida, and accept funds in the amount of 51,220, for the Senior
Immunization Project initiated by the Health Foundation of South Florida, effective September
15, 2003 through December 31, 2003. This project plan calls for vaccines to be administered by
City of Miami Fire -Rescue paramedics at locations where there are high concentration of seniors.
These include but are not limited to, HUD housing for the elderly, dining halls, churches, public
health centers and public health clinics located within the City of Miami boundaries. The Health
Foundation of South Florida, at no cost to the City, will provide funding for this project.
BACKGROUND
Following a directive from the City Commission on June 25, 2003, the Department of Fire -
Rescue has developed a pilot program with the assistance of the Health Foundation of South
Florida, at no cost to the City, for the implementation of a Senior Immunization Project. This
Memorandum of Understanding sets forth the parties' responsibilities in connection with the
development and support of the Senior Immunization Project administered with the City of
Miami, Department of Fire -Rescue.
In an effort to reduce the number of 911 calls for flu -related illness during the season of October
thru January, participating in this agreement will allow the City's paramedics to administer flu
and pneumococcal vaccines to elderly residents in the City of Miami. The Health Foundation of
South Florida will provide funding for this project in the amount of $1,220 awarded to the City
for fire rescue personnel training and supplies.
