RESOLUTION NO. (12— 957
A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH
ATTACHMENT(S), AUTHORIZING THE CITY MANAGER TO:
(1) EXECUTE A LEASE AGREEMENT, IN A FORM
ACCEPTABLE TO THE CITY ATTORNEY, BETWEEN THE
STATE OF FLORIDA AND THE CITY OF MIAMI TO LEASE
CERTAIN SUBMERGED LANDS CURRENTLY BEING UTILIZED
BY GROVE MARINA MARKET, LTD. FOR DOCKAGE PURPOSES
PURSUANT TO A LEASE AGREEMENT BETWEEN THE CITY
AND GROVE MARINA MARKET, LTD. ("LESSEE"), WITH AN
INITIAL TERM OF TWENTY-FIVE YEARS AND AN ANNUAL
RENT NOT TO EXCEED $2,000, SUBJECT TO ANNUAL
CONSUMER PRICE INDEX ("CPI") INCREASES, AND BACK
FEES DUE, IN THE AMOUNT NOT TO EXCEED $29,500, TO
BE PAID BY THE CITY OF MIAMI; (2) ACCEPT A WAIVER
OF DEED RESTRICTION, IN A FORM ACCEPTABLE TO THE
CITY ATTORNEY, FROM THE TRUSTEES OF THE INTERNAL
IMPROVEMENT TRUST FUND TO ACCURATELY REFLECT THE
AREA BEING UTILIZED BY LESSEE, WHICH WAIVER
PROVIDES FOR AN ANNUAL PAYMENT TO THE STATE, IN
AN AMOUNT NOT TO EXCEED $27,000, SUBJECT TO
ANNUAL CPI INCREASES, TO BE PAID BY THE CITY OF
MIAMI; AND (3) EXECUTE AN AMENDMENT, IN A FORM
ACCEPTABLE TO THE CITY ATTORNEY, TO THE LEASE
AGREEMENT BETWEEN THE CITY OF MIAMI AND LESSEE,
DATED SEPTEMBER 20, 1985, AS AMENDED, TO
ACCURATELY DESCRIBE THE AREA BEING LEASED BY THE
CITY TO LESSEE AS DESCRIBED IN THE SURVEY,
ATTACHED AND INCORPORATED.
WHEREAS, the City of Miami ("City") entered into a lease
with Grove Marina Market, Ltd., dated September 20, 1985, as

amended ("Lease"), for the leasing of certain upland and
submerged land in the Dinner Key area; and
WHEREAS, a portion of the lease property lies within an
area deeded to the City by the Trustees of the Internal
Improvement Fund of the State of Florida ("Trustees") pursuant
to Deed No. 19448; and
WHEREAS, the City obtained a Waiver of Deed Restrictions
from the Trustees for a portion of the lease property lying in
the deeded area; and
WHEREAS, it was recently discovered that the legal
description contained in the Lease does not accurately describe
the lands being used and have historically been used by Lessee;
and
WHEREAS, it is necessary to obtain an expansion of the
Waiver of Deed Restriction area to accurately reflect the docks
that lie within the lands deeded by the Trustees; and
WHEREAS, certain other boats that dock along the first pier
encroach on to State of Florida submerged lands requiring the
City to obtain a submerged lands lease from the State for the
grandfathered dock; and
WHEREAS, it is further necessary to amend the legal
description contained in the Lease to accurately describe the
lands being leased to the Lessee;

NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE
CITY OF MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the
Preamble to this Resolution are adopted by reference and
incorporated as if fully set forth in this Section.
Section 2. The City Manager is authorized" to:
(1) execute a lease agreement, in a form acceptable to the City
Attorney, between the State of Florida and the City of Miami to
lease certain submerged lands currently being utilized by Grove
Marina Market, Ltd. for dockage purposes pursuant to a lease
agreement between the City and Grove Marina Market, Ltd.
("Lessee"), with an initial term of twenty-five years and an
annual rent not to exceed $2,000, subject to annual CPI
increases, and back fees due, in the amount not to exceed
$29,500, to be paid by City of Miami and; (2) accept a waiver of
deed restriction, in a form acceptable to the City Attorney,
from the Trustees of the Internal Improvement Trust Fund to
accurately reflect the area being utilized by Lessee, which
waiver provides for an annual payment to the State in an amount
not to exceed $27,000, subject to annual CPI increases, to be
paid by City of Miami; and (3) execute an amendment, in a form

acceptable to the City Attorney, to the Lease Agreement between
the City of Miami and Lessee, dated September 20, 1985, as
amended, to accurately describe the area being leased by the
City to Lessee as described in the survey, attached and
incorporated.
Section 3. This Resolution shall become effective
immediately upon its adoption and signature of the Mayor./

effective at the end of ten calendar days from the date it was passed
and adopted. If the Mayor vetoes this Resolution, it shall become

RECOMMENDATION:
It is respectfully recommended that the City Commission adopt the attached Resolution
authorizing the City Manager to: (1) execute a lease agreement, in a form acceptable to
the City Attorney, between the State of Florida and the City of Miami for the leasing of
certain submerged lands that are currently being utilized by Grove Marina Market, Ltd.
for dockage purposes pursuant to a lease agreement between the City and Grove Marina
Market, Ltd. ("Lessee"), with an initial term of twenty-five years and an annual rent not
to exceed $2,000, subject to annual CPI increases, and back fees due, in the amount not to
exceed $29,500, to be paid by the City of Miami; (2) accept a waiver of deed restriction
from the Trustees of the Internal Improvement Trust Fund to accurately reflect the area

Lease Agreement between the City of Miami and Lessee, dated September 20, 1985, as
amended, to accurately describe the area being leased by the City to Lessee as described
in the survey, attached and incorporated.
BACKGROUND:
The City of Miami entered into a lease with Grove Marina Market, Ltd., dated September
20, 1985, as amended (the "Lease"), for the leasing of certain upland and submerged land
in the Dinner Key area. A portion of the lease property lies within an area deeded to the
City by the Trustees of the Internal Improvement Fund of the State of Florida
("Trustees") pursuant to Deed No. 19448. The City obtained a Waiver of Deed
Restrictions from the Trustees for the portion of the lease property lying in the deeded
area.
Recently it was discovered that the legal description contained in the Lease does not
accurately describe the lands being used and have historically been used by Lessee. It
has not become necessary to obtain an expansion of the Waiver of Deed Restriction area

to accurately reflect the docks that lie within the lands deeded by the Trustees. The
Waiver of Deed Restriction will run concurrently with the Lease term.
Additionally, certain other boats that dock along the first pier encroach on to State of
Florida submerged lands thereby requiring the City to obtain a submerged lands lease
from the State for the grandfathered dock. The submerged lands lease with the State is
for an initial term of 25 years.
The attached Resolution further provides for an amendment to the Lease to accurately
describe the lands being lease by the City to Lessee.
Financial Impact: There is financial impact, the City needs to pay the State back
fees due in an amount not .to exceed $29,500 and further pay annual fees for the
submerged land lease in an amount not to exceed $2,000, subject to annual CPI
increases and further pay th* State annual fees in an amount not to exceed $27,000
subject o annual CPI increases for the waiver of deed restrictions.
