J-03-493 06/18/03 RESOLUTION NO. 03— 720 A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S), AUTHORIZING THE CITY MANAGER TO EXECUTE AMENDMENT NO. 2, IN SUBSTANTIALLY THE ATTACHED FORM, TO THE SUBLEASE AGREEMENT ("AGREEMENT") BETWEEN THE CITY OF MIAMI AND ALL FLORIDA DRIVER IMPROVEMENT SCHOOL -CENTRAL, INC., ("LESSOR") FOR OFFICE SPACE AT 3802 NORTHWEST 11TH STREET, MIAMI, FLORIDA, AS THE FLAGAMI NET SERVICE CENTER AND THE DEPARTMENT OF POLICE MINI SUB -STATION OFFICES, EXTENDING THE AGREEMENT FOR FIVE YEARS, COMMENCING JULY 1, 2003, WITH AN ANNUAL FEE OF $1.00, AND REIMBURSEMENT TO THE LESSOR OF $225 PER MONTH FOR ELECTRIC AND WATER AND SUBJECT TO TERMS AND CONDITIONS AS SET FORTH IN THE AGREEMENT. WHEREAS, the City of Miami ("City") entered into a Sublease Agreement ("Agreement") with All Florida Driver Improvement School -Central, Inc. as assigned, for the use of approximately 1,594 square feet of office space for the Flagami NET Service Center and the Department of Police Mini Sub -Station at 3802 Northwest llth Street, Miami, Florida, with an annual rent of $1.00; and ATT T Cz� iiED CITY COP BION MEETING OV J U N 2 5 7nni Resolution No. 03- 720 WHEREAS, Resolution No. 00-537, adopted June 29, 2000, authorized the City Manager to execute Amendment No. 1 to the Sublease Agreement to: (1) extend the term for a three-year period commencing July 1, 2000, and expiring June 30, 2003, (2) increase the square footage from 1,354 to 1,594, and (3) reimburse All Florida Driver Improvement School -Central, Inc. $225 per month for electric and water; and WHEREAS, All Florida Driver Improvement School -Central, Inc. is extending its lease with Hayday, Inc., owner of the building, for an additional five-year term; and WHEREAS, the Office of NET Administration wishes to extend the Agreement with All Florida Driver Improvement School -Central, Inc. for an additional five-year term; and WHEREAS, All Florida Driver Improvement School -Central, Inc. wishes to extend the Agreement with the City for a five-year term, subject to the approval of Hayday, Inc. under the same terms and conditions of the Agreement, as amended; NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Page 2 of 4 03— 720 Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted by reference and incorporated as is fully set forth in this Section. Section 2. The City Manager is authorized!' to execute Amendment No. 2, in substantially the attached form, to the Sublease Agreement ("Agreement") between the City of Miami and All Florida Driver Improvement School -Central, Inc. ("Lessor") for office space at 3802 Northwest 11th Street, Miami, Florida, as the Flagami Net Service Center and the Department of Police Mini Sub -Station Offices, extending the Agreement for five years, commencing July 1, 2003, with an annual fee of $1.00 and reimbursement to the Lessor, of $225 per month, for electric and water, and subject to terms and conditions set forth in the Agreement. ii The herein authorization is further subject to compliance with all requirements that may be imposed by the City Attorney, including but not limited to those prescribed by applicable City Charter and Code provisions. Page 4 of 4 003- 720 AMENDMENT NO.2 TO SUBLEASE AGREEMENT This Amendment No. 2 to the Sublease Agreement is entered into this day of 2003 by and between the City of Miami, a municipal corporation of the State of Florida (the "Lessee"), and All Florida Driver Improvement School -Central, Inc., a for profit corporation of the State of Florida (the "Lessor") for the purpose of extending the term to the Sublease Agreement between the Lessee and Lessor, as amended by Amendment No. 1 dated September 13, 2000 (the "Sublease"). RECITALS: WHEREAS, Lessee and Lessor entered into a Sublease Agreement, which is deemed as being incorporated by reference herein, dated May 8th, 1996 authorized by Hayday, Inc. (hereinafter referred to as the "Landlord") for a portion of the property located at 3800 NW 11th Street, Miami, Florida; and WHEREAS, the initial term of the Sublease Agreement was for four (4) years for the purpose of providing office space of approximately 1,354 square feet for the Flagami NET Service Center and the Mini Police Sub -Station located at 3802 NW 11th Street, Miami, Florida; and WHEREAS, on June 29, 2000, the City Commission adopted Resolution No. 00-537, which authorized the City Manger to execute Amendment No. 1 to the Sublease Agreement for the purpose of extending the term of the Sublease for an additional period of three (3) years commencing on July 1, 2000 through June 30, 2003 with a consideration of a $1.00/year; and WHEREAS, Amendment No. I also authorized Lessee to increase the square footage of the space within the building to a total square footage of 1,594 with a reimbursement to Lessor of $225.00 per month for electric and water; and WHEREAS, the lease between Hayday, Inc. and Lessor was extended for an additional term of five (5) years, a copy of which is attached hereto as Exhibit "D-2"; and � �+J3- � 20 WHEREAS, Lessor has expressed its desire to extend the Sublease with the Lessee for a term of five (5) years under the same terms and conditions as provided in the Sublease Agreement, as amended, subject to the approval of Hayday, Inc.; NOW, THEREFORE, in consideration of mutual covenants hereinafter set forth and in consideration of other valuable consideration the parties covenant and agree as follows: 1. Section 1. of the Sublease entitled "Term Of Sublease Agreement" is hereby amended by adding the following sentence: This Sublease is hereby extended for a term of five (5) years, commencing on July 1, 2003 and expiring on June 30, 2008, unless terminated as provided in Section 14 or Section 15 of the Sublease. 2. Exhibit "D-1" is replaced with Exhibit 1113-1 (a)".
