D/B/A DOVER, KOHL & PARTNERS, AND A+S ARCHITECTS, EXECUTED ON SEPTEMBER 1, 2001, TO THE MODEL CITY COMMUNITY REVITALIZATION DISTRICT TRUST, FOR MASTER PLANNING SERVICES IN THE MODEL CITY HOMEOWNERSHIP ZONE; AUTHORIZING THE CITY MANAGER TO EXECUTE AN ADDENDUM TO THE AGREEMENT, IN SUBSTANTIALLY THE ATTACHED FORM, FOR SAID PURPOSE. WHEREAS, Resolution No. 01-160, adopted February 10, 2001, authorized certain pre -development costs necessary for the implementation of the Model City Homeownership Zone Pilot Project; and , WHEREAS, the City Manager's Office, the Department of Community Development and the Department of Planning and Zoning engaged a competitive negotiation process to identify a master planner for the Model City Homeownership Zone Pilot Project area between April and June 2001; and ATT A CHIME N T C "0"),I C0IMP ED CITY Co 1KE$TING W JUN 2 5 2041 03- '717 WHEREAS, an evaluation committee consisted of the Director of the Department of Community Development, the Director of Planning and Zoning, and Elizabeth Plater-Zyberk, Dean of Architecture at the University of Miami; and WHEREAS, the team that included The Image Network, Inc. and A+S Architects was the successful proposer in the competitive negotiation process; and WHEREAS, a Professional Services Agreement ("Agreement") dated September 1, 2001, between the Image Network, Inc. with A+S Architects and the City of Miami resulted from the competitive negotiation process; and WHEREAS, The Image Network with A+S Architects began performing immediately to develop the conceptual plan that was presented at the Orientation of the Model City Homeownership Trust ("Trust") on June 2002; and WHEREAS, the City Commission adopted Ordinance No. 12082 July 10, 2001, to create and establish the Trust; and WHEREAS, Resolution No. 01-637, adopted July 10, 2001, made the first appointment of Board Members to the Trust; and Page 2 of 5 ;� - 717 WHEREAS, the first meeting of the Trust Board of Directors occurred on April 26, 2002; and WHEREAS, the contracts engaged on behalf of the Model City Homeownership Zone Pilot Project were not formally assigned by the City Commission to the Trust; WHEREAS, the initial agreement expired on June 2002, and two 60 -day options to renew were exercised; and WHEREAS, additional performance is necessary to complete the scope of services and incorporate such additional services approved by the Board of Directors of the Trust at its meeting of May 12, 2003; and WHEREAS, additional compensation and an extension in time for performance for this increased scope of services were also approved by the Trust on May 12, 2003; and WHEREAS, a balance of funds and unperformed obligations remain on the initial Agreement; NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Page 3 of 5 03— 71 ,7 Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted by reference and incorporated as if fully set forth in this Section. Section 2. The Agreement between the City of Miami, the Image Network, Inc. d/b/a Dover, Kohl & Partners and A+S Architects executed on September 1, 2001, is assigned to the Trust. Section 3. The City Manager is authorized!/ to execute an Addendum to the Agreement, in substantially the attached form, for said purpose. Section 4. This Resolution shall become effective immediately upon its adoption and signature of the Mayor./ 1� The herein authorization is further subject to compliance with all requirements that may be imposed by the City Attorney, including but not limited to those prescribed by applicable provisions of the City Charter and Code. If the Mayor does not sign this Resolution, it shall become effective at the end of ten calendar days from the date it was passed and adopted. DIAZ, MAYO Page 5 of 5 3- 717 ADDENDUM TO CONTRACT THE IMAGE NETWORK D/B/A DOVER, KOHL & PARTNERS WITH A+S ARCHITECTS FOR THE MODEL CITY HOMEOWNERSHIP ZONE PILOT PROJECT This Addendum to an original Agreement with the City of Miami is entered into this day of 2003, by and between the Model City Community Revitalization District Trust, ("Model City Trust"), a limited agency and instrumentality of the City of Miami and The Image Network, Inc. d/b/a Dover, Kohl & Partners, a Delaware corporation whose offices are located at 1571 Sunset Drive Coral Gables, FL 33143, and A+S Architects, Planners, P.A. whose offices are located at 3045 NW 49th Street, Miami, FL 33152, hereafter called the "Provider." RECITALS A. The City of Miami engaged Provider for the development of a master plan for the Model City Homeownership Zone Pilot Project in an agreement that was entered into on September 1, 2001 ("Agreement"). B. The term of the initial contract was to be nine months with two six months options to extend. C. The several changes in the administrative approach to the Model City Homeownership Zone Pilot Project have created several delays in the completion of the project such that additional extensions are necessary. D. At its meeting of February 10, 2003, the Board of Directors of the Model City Trust approved a change in contract scope to include in the master plan the area of Martin Luther King Boulevard between I-95 and the western City limits. E. The specific tasks associated with the changes in scope are contained herein as Amendment #1. F. At its meeting of May 12, 2003, the Board of Directors of the Model City Trust approved the additional tasks and increased costs associated with the change in scope as presented in Amendment #1. G. Upon the Model City Trust's formation and assumption of management of the Homeownership Zone Pilot Project, the City of Miami assigned all contracts associated with performance for the Model City Homeownership Zone Pilot Project to the Model City Trust. 03- 71'7 1 of 4 �/ y TERMS 1. RECITALS: The recitals contained in this amendment are true and correct and hereby incorporated into and made a part of the Addendum. 2. OPTION TO EXTEND: The Model City Trust shall have the option(s) to extend the term hereof, as necessary, subject to the availability and appropriation of funds. The parties shall have up to six (6) six-month options to renew. 3. COMPENSATION:The amount of compensation payable by the Model City Trust to Provider shall be increased from $215,000 to $295,700 with an additional $7,000 remaining available' for reimbursable expenses. An amendment to scope of services for the Agreement dated May 9, 2003, is attached hereto as Attachment A, which is incorporated by reference and made a part hereof. I 4. We have outlined the tasks below and propose additional fees for that work. Should the Board pass a resplution for Dover, Kohl and Partners to complete this work; this Memorandum may serve as the amendment for our cont act. Amendment #1 Dover, Kohl & Partners Professional Services Agreement Model CIty Revitalization District I. SCOPE: Delete all of Task Three in Attachment "A," Scope of Services, to the agreement, and replace with: Task Three — Design Workshop The Design Workshop phase includes assisting in the preparation and facilitation of a workshop for the project area. Participants will include the staff and officials of the City of Miami, and the consultants 3.01 Design the Workshop format The Provider will assist in tailoring the workshop to obtain the best possible input and resulting work products. The format will incorporate the findings of the initial site analysis, City input, and Planning Staff input. The City will coordinate the logistics with the Provider. 3.02 generate necessary maps The Provider will create the base maps needed for the workshop with the help of the City. The City will provide base information including general graphic information in an AutoCAD or *.dxf format, zoning ordinances, and other regulatory information; and locations of public utilities including water, sewer and lighting. 3.03 The Design Workshop The Provider will provide a staff of seven Planners, which will include a Principal and Project Director to facilitate the workshop. The goal of the workshop will be to engage City staff in a discussion regarding the project area The results of the workshop will guide the creation of the work products identified as part of this planning project. 03- 717 IM Model City I. 1 - - wnenhip Trust MsY 9, 2003, Page 2 ot3 Under Task Four — Master Plan, in Attachment "A," Scope of Services, to the agreement, add the following the existing 4.01— 4.08: 4.09 Perspective Illustrations for Martin Lather Khng Boulevard The provider will provide at least three (3) renderings to illustrate the intent of a new masts plan for Martin Luther King Boulevard, based on public participation and input. The locations for the illustrations will be determined during or atter meetings with the public to find the areas of greatest concern. Each drawing will be rendered in color, and will show typical street conditions. 4.10 Revisions to two Perspective Mustntions of the new African Square Park. Because the detailed design for the area of Model City surrounding the newly proposed African Square Park has changed due to un -willing sellers in the project area, the illustrations will be updated to portray the current design. Add this new task after Task Six in Atbwhment'4A," Scope of Services: Task Seven — Public Participation This task includes assisting in the preparation and facilitation of a public involvement workshop for the primary project area and for Martin Luther King Boulevard (NW -62w Street) between I-95 on the can and NW 17th Avenue on the west.. The public Workshop will be open to everyone, with particular invitations to representatives of various agencies, businesses, institutions, and community groups. The City and Homeownership Trust will be responsible for the promotional effort. Tasks: 7.01 Workshop Setup The Provider will assist in tailoring the workshop to obtain the best possible community input and resulting work products. The format will incorporate the findings of the initial site analysis, City input', and Planning Staff input. The City will coordinate the logistics with the Provider. The results of the workshop will guide the creation of the work products identified as part of this planning project. 7.02 Generate Necessary Base Maps The Provider will create the base maps needed for the workshop with the help of the City. The City will provide base information including general graphic information in an AutoCAD or •.dxf format, zoning ordinances, and other regulatory information; and locations of public utilities including water, sewer and lighting. 7.03 Public Design Workshop The Provider will provide a staff of seven Planners, which will include a Principal and Project Director to facilitate the public workshop. The Provider understands that this public workshop will be part of a larger community exercise addressing other issues, such as housing needs, financing, and jobs. The Provider will not be responsible for the larger workshop efforts, only the urban design and planning aspects. The goal of the public design workshop will be to engage the community in a discussion regarding the project area, and to perhaps decide on a new name for the neighborhood. The format will be designed to generate individual involvement and teamwork. Participants will write and draw their ideas onto large maps that will later be used by the Provider and the City to 03- 717 N Model City Homeownership Trust May 9, 2003, Page 3 of 3 synthesize the public's ideas. Depmding on the format of the Workshop derived in Task 7.o 1, above, the Workshop may be a combination of 2 to 3 meetings and public gatherings. 7.04 Summary of Design Concepts for MLK Boulevard and the Homeownership zona A brief written summary of the design concepts that come out of the public workshop will be prepared with the illustrations as a handout for the community. The intent for this item is to be produced in time for distribution at the follow-up presentation 7.04 Follow up Presentation mW discussion bellowing Public Workshop Following the Public Workshop, tip Provider will present the design concepts and strategies to the community at a Model City Trust Board meeting, approximately two months after the Public Workshop. Wiley, Acting President/CEO, Model City TrustQJI�%,,� Subject: Assignment of Professional Services Agreement between City of Miami and The Image Network, Inc. with A+S Architects Date: June 19, 2003 RECOMMENDATION: It is respectfully requested that the City Commission assign the Agreement between the City of Miami and The Image Network, Inc. d/ b/ a Dover, Kohl & Partners with A+S Architects to the Model City Community Revitalization District Trust (the "Trust"). -,to perform master planning services for the Model City Homeownership Zone Pilot Project. BACKGROUND: On February 10, 2001, the City Commission authorized the City Administration to make commitments of funds related to the pre -development activities necessary for the Model City Homeownership Zone Pilot Project through Resolution No. 01-160. After a competitive negotiation process, consistent with the procurement policies at that time, an ensuing commitment was made to The Image Network, Inc. d/b/a Dover, Kohl & Partners with A+S Architects for the master planning services necessary to create an overlay district and the design standards for the new construction area of the Homeownership Zone. A Professional Services Agreement -between the parties was executed by the City Manager and approved by the Contract Review Committee of the Financial Oversight Board, as was the process at that time. The Agreement was dated September 1, 2001. As you may recall, Ordinance 12082 (passed on first reading June 14, 2001, and passed and adopted on the second and final reading July 10, 2001) created the Model City Community Revitalization District Trust (the "Trust") as the vehicle to assume administration of the established Homeownership Zone Pilot Project. A formal assignment of the Agreement with the master planning team never occurred, however. ()-7 71' Although the scope of work for this Agreement exclusively benefits the Model City Homeownership Zone Project, the master planning team took effort capitalized on the expertise of the Department of Planning & Zoning through most of this process. As the effort moves closer to implementation, the Trust has been more involved and has given the planning team most of its direction. The master planning team presented the conceptual plan initially at the Trust's Board of Directors' Orientation of June 2002. This plan, however, does not incorporate several community meetings that were contemplated in the finalization of the plan. Thus, several components of the Scope of Services as well as a significant portion of the contract value remains. Most recently, Trust staff has worked with the master planners in detailing the living unit distribution within the northern area of the Homeownership Zone and with the coordination for community planning workshops. At its meeting of May 12, 2003, the Board of Directors approved a change in the scope of work and an increase in the compensation to accommodate the expanded scope of work, which includes an expansion of the planning effort on Martin Luther King Boulevard throughout the Model City Community Revitalization District (i.e. I-95 to 17th Avenue). In order to capture the expanded scope of work and increased compensation in an addendum, an assignment of the Agreement is necessary and is proposed in the attached Resolution. 03- 717
