HomeMy WebLinkAboutR-03-0595J-03-106 5/21/03 RESOLUTION NO. 03— 595 A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S), AUTHORIZING THE CITY MANAGER TO ACCEPT THE CONVEYANCE OF PROPERTY, CONSISTING OF APPROXIMATELY 10,350 SQUARE FEET OF LAND WITH IMPROVEMENTS, LOCATED AT 1431 NORTHWEST 17TH STREET, MIAMI, FLORIDA, IN "AS -IS" CONDITION, FROM THE UNITED STATES DEPARTMENT OF HOUSING AND URBAN DEVELOPMENT, FOR THE PURCHASE PRICE OF ONE DOLLAR ($1.00); AUTHORIZING THE CITY MANAGER TO EXECUTE THE U.S. DEPARTMENT OF HOUSING AND URBAN DEVELOPMENT DEED AND THE INDEMNIFICATION AND HOLD HARMLESS AGREEMENT, IN SUBSTANTIALLY THE ATTACHED FORMS, AND ALL OTHER NECESSARY DOCUMENTS, IN A FORM ACCEPTABLE TO THE CITY ATTORNEY, FOR CONVEYANCE OF THE PROPERTY. WHEREAS, on February 27, 2003, the City Commission adopted Resolution No. 03-200, which approved the Purchase and Sale Agreement to Wagner Square, LLC, for the development of a mixed- use project at City -owned property known as the Civic Center Site (the "Site"), located at 1700 Northwest 14th Avenue, Miami, Florida; and WHEREAS, in accordance with Resolution No. 03-200, the project is to consist of a mixed -income, homeownership It I CG K I A IN ED CITY CON[MMON MEETING MAY 2 2 2003 x4sn Grp. 93- 595 development with an affordable housing component, as well as retail, commercial and office uses; and WHEREAS, as a condition precedent to closing, the City was to purchase a duplex required for Wagner Square's Development located adjacent to the Site, at 1431 Northwest 17th Street, Miami, Florida, consisting of 1,752 square feet that is owned by the U.S. Department of Housing and Urban Development ("HUD"); and WHEREAS, HUD has agreed to convey the Duplex to the City for the purchase price of One Dollar ($1.00); and WHEREAS, as a condition of the conveyance, HUD has required the Deed to contain a restriction that the City must demolish the existing improvements within one year of conveyance and that the City shall not develop the site nor allow the site to be developed without first having obtained a "no further action" letter from the Department of Environmental Resource Management ("DERM"); NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Page 2 of 4 03- 595 Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted by reference and incorporated as if fully set forth in this Section. Section 2. The City Manager is authorized!' to accept the conveyance of property consisting of approximately 10,350 square feet of land with improvements, located at 1431 Northwest 17th Street, Miami, Florida, in "as -is" condition, from the United States Department of Housing and Urban Development ("HUD"), for the purchase price of One Dollar ($1.00). Section 3. The City Manager is authorized -11 to execute the U.S. Department of Housing and Urban Development Deed and the Indemnification and Hold Harmless Agreement, in substantially the attached forms, and all other necessary documents, in a form acceptable to the City Attorney, for conveyance of the Property. Section 4. This Resolution shall become effective immediately upon its adoption and signature of the Mayor.21 1� The herein authorization is further subject to compliance with all requirements that may be imposed by the City Attorney, including but not limited to those prescribed by applicable City Charter and Code provisions. �� If the Mayor does not sign this Resolution, it shall become effective at the end of ten calendar days from the date it was passed and adopted. WITNESS: That HUD for and in consideration of the sum of One Dollars ($1.00) to it in hand paid by the Grantee, receipt of which is hereby acknowledged has granted, bargained and sold to the Grantee, its heirs and its assigns, the land lying and being in Dade County, Florida: As described in Exhibit "A' attached hereto and made a part hereof, and hereinafter referred as the "Property", and further, subject to the following notice: The information contained in this notice is required under the authority of regulations promulgated under section 120(h) of the Comprehensive Environmental Response, Compensation and Liability Act (CERCLA or "Superfund", 42 U.S. C. § 9620(h)). The Grantor advises hazardous substance contamination of the soil and groundwater exists on the "Property". The contamination is identified in the report titled "Site Assessment Report", (incorporated by reference) performed by Evans Environmental & Geosciences. All remedial action necessary to protect human health and the environment with respect to the hazardous substance activity identified above has not been taken during the time that the property has been owned by the United States. Because the Grantee is a potentially responsible party ("PRP") with respect to the hazardous substance activity and in consideration of the Grantee's assumption of any and all responsibilities and obligations that may or currently exist with respect to the contaminated property, the Grantee hereby agrees to ensure that all remedial action is performed necessary to protect human health and the environment with respect to the hazardous substance activity during the time the property was owned by the United States. The Grantee also agrees to ensure that any additional remedial action found to be necessary by local, State or Federal agencies is performed. The City of Miami, as Grantee, voluntarily accepts the Property subject to the following covenants, conditions and restrictions set forth below. 03- 595 This Deed is made and executed upon, and is subject to, the following conditions, restrictions and covenants, which are part of the consideration for the property conveyed and are accepted by Grantee as running with the land which are impressed and imposed upon the subject property, enforceable by HUD, or its successors or assigns, 1. The Grantee and Grantee's beneficiaries agree, for themselves and any successor in interest, that the property will not be further conveyed or leased until such time as the Grantee has demolished all the improvements, including any structures or buildings, presently existing on the subject property and removed all demolition debris the property. 2. The Grantee, upon conveyance of the property from Grantor shall promptly commence with the demolition of the improvements, which shall be completed within one (1) year after the commencement date. 3. Grantee shall not develop the Property until such time as a "no further action" letter or its equivalent is obtained from Miami -Dade County Department of Environmental Resources (DERM). In the event Grantee wishes to convey the property prior to receipt of a "no further action" letter or its equivalent from DERM, then Grantee shall (a) have completed demolition of the improvements; and (b) include in the deed of conveyance a deed restriction that would require the new property owner to obtain a "no further action" letter or its equivalent from DERM prior to any development of the property. The restrictions, conditions and covenants set forth in Sections 1 through 3 of this Deed shall be deemed covenants running with the land and shall be binding to the fullest extent permitted by law and equity, and enforceable by, for the benefit and in favor of, the Grantor. The Grantor shall have the right to exercise all the rights and remedies; and to maintain any and all actions or suits at law or in equity, as it deems appropriate to enforce the foregoing restrictions, conditions and covenants, or to cure any breach thereof. In the event the Grantee shall violate or otherwise fail to comply with any of the restrictions, conditions and covenants set forth in this Deed, the Grantee shall correct or cure the default/violation within thirty (30) days of notification of the default by the Grantor (the "Cure Period"). 2 03_ 595 IN WITNESS WHEREOF, the Grantor has caused this City Deed to be executed the day and year first above written. BACKGROUND: On February 27, 2003 the City Commission approved the Purchase and Sale Agreement to Wagner Square LLC for the development of a mixed used project at the City -owned property known as the Civic Center site (the "Site"), located at 1700 NW 14th Avenue, Miami, Florida. In accordance with that Resolution the project will consist of a mixed income, home -ownership development with an affordable housing component, as well as retail, commercial and office uses. As a condition precedent to closing the City was to purchase a duplex located at 1431 NW 17th Street containing 1,752 sq. ft. (the "HUD Duplex") that is owned by the Secretary of the U.S. Department of Housing and Urban Development ("HUD"). The HUD Duplex is adjacent to the Site and is needed for Wagner Square's development. On September 17, 2002 the City of Miami requested that HUD deed to it, the HUD Duplex. HUD has agreed to convey the HUD Duplex to the City. As a condition of the conveyance, HUD has required the deed to the City contain a restriction that the City must demolish the existing improvements within one year of conveyance and that we shall not develop the site nor allow the site to be developed without first having obtained a "no further action" letter from the Department of Environmental Resource Management ("DERM").
