A RESOLUTION OF THE MIAMI CITY COMMISSION,
WITH ATTACHMENT(S), AUTHORIZING THE CITY
MANAGER TO EXECUTE A GRANT OF EASEMENT, IN
SUBSTANTIALLY THE ATTACHED FORM, WITH THE
STATE OF FLORIDA AND FLORIDA POWER & LIGHT
(NNFP&L") FOR A TEN FOOT PERPETUAL,
NON-EXCLUSIVE STRIP EASEMENT AS DESCRIBED IN
"EXHIBIT A," ATTACHED AND INCORPORATED, TO BE
USED BY FP&L ON WATSON ISLAND, LOCATED AT
APPROXIMATELY 1111 PARROT JUNGLE TRAIL,
MIAMI, FLORIDA, FOR THE CONSTRUCTION,
OPERATION AND MAINTENANCE OF UNDERGROUND
ELECTRIC UTILITY FACILITIES AND VAULT, WITH
THE RIGHT TO RECONSTRUCT, IMPROVE, CHANGE THE
VOLTAGE, REMOVE SUCH FACILITIES AS WELL AS
INGRESS AND EGRESS TO THE EASEMENT AREA.
WHEREAS, Florida Power & Light Company has requested that a
grant of a ten (10) foot easement on City property to construct,
operate and maintain underground electric utility facilities and
vault (including wires, cables, conduits and appurtenant
equipment) from time to time, with the right to reconstruct,
improve, change the voltage, and remove such facilities or any of
them within the easement, with full right of ingress and egress;
and

WHEREAS, this easement is necessary to bring electrical
service to the new building being constructed by Parrot Jungle
and Gardens at Watson Island;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY
OF MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the
Preamble to this Resolution are adopted by reference and
incorporated as if fully set forth in this Section.
Section 2. The City Manager is authorized!' to execute a
Grant of Easement, in substantially the attached form, with the
State of Florida and Florida Power & Light ("FP&L") for a ten
foot perpetual, non-exclusive strip easement as described in
"Exhibit A," attached and incorporated, to be used by FP&L on
Watson Island, located at approximately 1111 Parrot Jungle Trail,
Miami, Florida, for the construction, operation and maintenance
of underground electric utility facilities and vault, with the
right to reconstruct, improve, change the voltage, remove such
facilities as well as ingress and egress to the easement area.
1� The herein authorization is further subject to compliance with
all requirements that may be imposed by the City Attorney,
including but not limited to those prescribed by applicable City
Charter and Code provisions.

Section 3. This Resolution shall become effective
immediately upon its adoption and signature of the Mayor.'

passed and adopted. If the Mayor vetoes this Resolution, it
shall become effective immediately upon override of the veto by

GRANT OF EASEMENT
THIS INDENTURE, made this day of , 2003, between THE
CITY OF MIAMI, a municipal corporation of the State of Florida, (hereinafter called
"GRANTOR'), and FLORIDA POWER & LIGHT COMPANY, its licensees, agents,
successors, and assigns, (hereinafter called "GRANTEE");
WITNESSETH:
THAT, the GRANTOR, for and in consideration of the sum of ONE DOLLAR
($1.00) and other good and valuable considerations, the receipt of which is hereby
acknowledged by the GRANTOR, has granted and does hereby grant to the GRANTEE,
its successors and assigns, forever, the right and privilege of an approximately TEN (10)
foot perpetual, non-exclusive easement on the property of the GRANTOR, shown and
described on EXHIBIT "A," attached hereto and made a part hereof, (hereinafter called
the "PROPERTY" or "EASEMENT') for the construction, operation and maintenance of
underground electric utility facilities and vault (including wires, cables, conduits and
appurtenant equipment) to be installed from time to time; with the right to reconstruct,
improve, change the voltage, and remove such facilities or any of them within the
EASEMENT, (hereinafter called the "FACILITIES"), with full right of ingress thereto
and egress therefrom.
The GRANTEE shall regulate the installation and future operations of the
FACILITIES so as not to conflict with normal operations of the GRANTOR; however,
the GRANTEE shall have full right to enter upon the EASEMENT at any time when
normal operations or emergency repairs of the FACILITIES are required.

The GRANTEE agrees to indemnify defend and hold harmless the GRANTOR
from all and against all suits, claims, judgments, and all loss, damage, costs, attorneys
fees and court costs or charges arising directly or indirectly from the installation or
maintenance, repair, use or existence of the GRANTEE'S FACILITIES within the
EASEMENT.
It is understood and agreed by and between the parties hereto that GRANTOR
reserves to itself, its heirs and assigns, all other rights not specifically granted herein,
including but not limited to the right to construct streets, cross and recross said
EASEMENT, and the right to erect light or telephone lines or any other improvements
which do not hinder the operation of the FACILITIES by the GRANTEE on an ongoing
basis.
The GRANTEE shall be held responsible for any damage to adjacent property as a
result of the installation and future operation of the FACILITIES, and further, shall
restore all pavement, sidewalks, curb and gutter, existing utilities, and landscaping to a
condition acceptable to the GRANTOR.
The GRANTEE during the course of installation and future operation of the
FACILITIES shall not encroach beyond the boundaries of the EASEMENT or any other
easement that may be granted by the GRANTOR. Should the EASEMENT be abandoned
or discontinued by law or otherwise, the said EASEMENT shall cease and revert with the
right of immediate possession and right of entry to the GRANTOR or its successors in
interest.
The GRANTEE agrees to restore, at GRANTEE'S sole cost and expense, any
damage to the FACILITIES, or any areas used by GRANTEE'S agents for ingress and

egress thereto, caused as a result of the use of the FACILITIES by the GRANTEE'S
agents to a condition acceptable to the City. Such restoration shall be done prior to the
expiration of this agreement.
The GRANTOR does hereby fully warrant that it has good title to the
PROPERTY and that it has full power and authority to grant this EASEMENT.
IN WITNESS WHEREOF, THE CITY OF MIAMI, a municipal corporation of
the State of Florida, in the County of Miami -Dade, has caused this instrument to be
executed in its name and its seal to be affixed hereto by the authority granted to the City
Manager and the City Clerk at the , 2003 City Commission Meeting by

The administration recommends that the City Commission adopt the attached Resolution
authorizing the City Manager to execute a Grant of Easement on Watson Island, located at
approximately 1111 Parrot Jungle Trail, Miami, Florida, to Florida Power and Light Company,
of a ten (10) foot strip easement, as more particularly described in Exhibit "A" attached hereto
and made a part hereof, of perpetual, non-exclusive easement on the property, for the
construction, operation and maintenance of underground electric utility facilities and vault, with
the right to reconstruct, improve, change the voltage, and remove such facilities or any of them
within the easement.
BACKGROUND:
Florida Power and Light Company has requested the grant of a ten (10) foot wide easement on
City -owned property for the construction, operation and maintenance of underground electric
utility facilities and vault installed in connection with the development of Parrot Jungle Island.
This easement will be for the construction, operation and maintenance of underground electric
utility facilities, with the right to reconstruct, improve, change the voltage, and remove such
facilities or any of them within the easement, with full right of ingress thereto and egress
therefrom.
The easement shall further contain a reverter provision that if the easement shall be abandoned or
discontrgped, the easement shall cease and revert back to the City.

NOTICE OF PUBLIC HEARING
A public hearing will be held by the City Commission of the City of Miami, Florida on
May 8, 2003, at 9:00 a.m., at City Hall, located at 3500 Pan American Drive, Miami,
Florida, for the purpose of considering the following resolution:
A Resolution of the Miami City Commission, authorizing the City
Manager to execute a Grant of Easement, in a form acceptable to the City

based.

administrador de la ciudad, que la Juntaide Comisionados de

yoria de votos de 4/5 de sus miembros; si no se prudujera esta
aprobaci6n, el Acuerdo de Compra-yenta se considerarA nulo
y sin efecto automAticamente, sin necesidad de acci6n adi-

public hearing will be held by the City Commission of the City of
Miami, Florida on May 8, 2003, at 9:00 a.m., at City Hall, located at 3500
Pan American Drive, Miami, Florida, for the purpose of considering the
following resolution:
A Resolution of the Miami City Commission, authorizing the City
Manager to execute a Grant of Easement, in a form acceptable to
the City Attorney, on Watson Island, located at approximately
1111 Parrot Jungle Trail, Miami, Florida, to Florida Power & Light
Company, of a ten (10) foot strip easement, as more particularly
described in Exhibit "A", of perpetual, non-exclusive easement
on the property, for the construction, operation and maintenance
of underground electric utility facilities and vault, with the right to
reconstruct, improve, change the voltage, and remove such
facilities or any of them within the easement.
All interested persons are invited to appear and may be heard concerning
these items. Should any person desire to appeal any decision of the City
Commission with respect to any matter considered at this hearing, that
person shall ensure that a verbatim record of the proceedings is made,
including all testimony and evidence upon which any appeal may be
based.
