PROJECT TITLE: South Florida Anchor Alliance (SFAA) Regional Marketplace
GRANT PURPOSE: Funds will be used solely for paying Avisare Corp., ("Avisare"), a Texas -
based corporation that provides a cloud -based procurement platform that will establish the
Regional Marketplace.

This grant award agreement is entered into by and between the Health Foundation of
South Florida, Inc. ("HFSF"), a Florida not for profit corporation, and Citv of Miami. In
accordance with the policy of HFSF the undersigned, (either the President/CEO or Executive
Director of the above listed Grantee or an agent with signatory authority), does hereby
acknowledge that a HFSF Grant of $175.000 from September 1, 2022 through August 31, 2024
has been approved for the above stated grant purpose and as further described in the South Florida
Anchor Alliance Regional Marketplace letter of intent and work plan benchmarks related to
participation in the Regional Marketplace pilot project.
The undersigned further agrees that the Grant Award will be used only for the purpose as stated
in this Agreement and with no substantial variance to the approved budget unless prior approval
in writing is obtained from HFSF. The undersigned certifies that the grantee organization operates
under a tax-exempt status. The undersigned also agrees to return to HFSF any grant funds not
expended for the purposes of the grant within the grant period, unless a no cost extension has been
agreed upon between HFSF program liaison and grantee representative with primary oversight of
the grant.
A. Requirements for approval of Grant Award Agreement: Requirements for this grant
are listed below. Each requirement including this Grant Award Agreement can be uploaded
directly to the HFSF portal.
1. Start/End Date: Provide grant project start date, end date and reporting dates. For all projects,
start date must be on the first or 15th day of the month. A written progress report is due 15
days following the completion of each quarter period. Grantee will be required to participate
in the monthly SFAA Equitable Procurement meetings. A final report is due 30 days following
the completion of the grant end date. Report due dates are provided below.

End date: 8/31/2024
First Year Quarterly Report Dates: 12/15/2022 3/15/2023 6/15/2023 9/15/2023
Second Year Quarterly Report Dates: 12/15/2023 3/15/2024 6/15/2024
Final report date: 09/30/2024
2. Work Plan Benchmarks: Work Plan Benchmarks are included under Exhibit A. The Work
Plan Benchmarks will be located on the HFSF Portal's Dashboard on the Benchmarks tab.
3. Budget: Final approved budget is included under Exhibit B. Funds awarded by HFSF will be
used to pay Avisare, as the technology partner for the implementation of the Regional
Marketplace.
Pa, ment Schedule:
Year 1: Upon signature of grant award agreement between HFSF and Grantee, HFSF will
transfer to grantee $95,000.
Avisare will be paid by grantee as follows:
• 1" Payment: $75,000 upon contract signed between Grantee + Avisare
• 2nd Payment: $20,000 upon transfer of vendor data into Avisare system + upload of bid
opportunities
Year 2: HFSF to disburse $80,000 to Grantee in August 2023 upon satisfactory progress of
project milestones.
Avisare will be paid by grantee as follows:
• 3'd Payment: $60,000 at the 1-year mark (September 1, 2023)
• 40' Payment: $20,000 (December 1, 2023)
4. Communications and Publicity: Communications is an important tool to increase awareness
and clearly convey the meaningful impact of your work. Grantees are encouraged to
strategically communicate about the work that will be done through this grant with key
stakeholders and the general public. Publicity and media coverage will help amplify the impact
of your work and bring attention to the issues we are collectively addressing. With the direction
and assistance of HFSF staff, grantees may be required to engage in at least one
communications and/or media opportunity during the life of the grant. We will assist you in
promoting your work through social and traditional social channels.
In accepting this grant, the Grantee agrees to the following: (1) to acknowledge HFSF support
of this project in all public or private announcements and published written materials related
to the project (2) materials should always refer to HFSF full legal name: Health Foundation of
South Florida; (3) all materials, promotional items or publicly disseminated documents related
to this project that reference HFSF must be submitted for review no less than 10 business days
in advance; (4) any media exposure related to the work on which we are collaborating or which
we have supported through a grant will be shared with your program liaison; and (5) if your
project involves policy advocacy, please include the following language with any written
acknowledgment of HFSF support: The views expressed by this <project, program,
conference, etc.> do not necessarily reflect the views of Health Foundation of South Florida.
Failure to abide by HFSF Communications Guidelines may affect future grant payments and/or
funding considerations at the discretion of Health Foundation staff. A copy of the guidelines
can be found under Exhibit C.
5. Conditions and Contingencies: Grantee, upon receipt of grant funds, shall enter into an
agreement with Avisare, as the exclusive technology partner for the SFAA Regional
Marketplace. Payment for services rendered by Avisare to Grantee shall be paid from the grant
funds allocated by the Grant Award. Grantee shall also engage as a member of the SFAA and
agree to abide by all the rules, roles and responsibilities of the SFAA Regional Marketplace,
as set forth in the Grant Award Agreement Addendum (see Exhibit D).
After initial HFSF payment to grantee, subsequent grant payments will be made based on the
satisfactory performance towards work plan benchmarks and as highlighted in progress
reports. HFSF program liaison will work with grantee to address any challenges and take
corrective action, however, if it's determined that the project is not viable or feasible, then
HFSF reserves the right to rescind the grant.
6. Additional Requirements due throughout the fundingperiod:
I. Evaluation: You may be required to work with an evaluator who will be assigned by the
Foundation in the development of an impact report for the regional marketplace. This might
include interviews and focus groups to gather qualitative data that document the regional
implementation of the marketplace to glean lessonslearned.
IL Reporting: Progress and Final Reports must be submitted electronically via the Grants
Portal and provided per due dates identified above.
In accordance with the terns and conditions of this Agreement, each participating party
authorizes and agrees that HFSF will have access to an aggregated report to be provided
by Avisare for reporting on progress towards grant -related deliverables and data points
identified under Item Ill. Each participating party will authorize a release of information
to HFSF in the party's individual Avisare agreements and/or scope of work.
III. Data Tracking: Per the submitted letter of intent (see Exhibit E) to participate in the
Regional Marketplace pilot, you will be required to help establish a baseline and track the
metrics and measures, as outlined below:
By September 1, 2022, anchors will help establish baseline to track progress over time on:
• # of vendors/suppliers registered
• # of certified vendors/suppliers
• FY 21-22: total spend for the institution
• FY 21-22: total spend with local, small, and minority -owned businesses
Within the Regional Marketplace, the following will be tracked to assess progress milestones.
Avisare, per Exhibit F (General Scope of Work), will upload and/or track:
• # of vendors registered
• # of vendors certified with participating anchors
• # of SFAA Regional Marketplace vendors matched with any anchor RFPs
• # of SFAA Regional Marketplace vendors expressing intent to bid on anchor RFPs
• # of SFAA Regional Marketplace vendors that are certified with participating anchors
as local, small, or nunority-owned that have bid on an anchor RFP (contingent upon
receiving this information from the anchor institutions)
• # of SFAA Regional Marketplace vendors that are certified with participating anchors
as local, small, or minority -owned that have been awarded an anchor RFP (contingent
upon receiving this information from the anchor institutions)
Anchor members will submit in their quarterly report:
• Total spend for the institution
% of spend with local, small, minority -owned businesses
Any policy and process change to support contracting with local, minority owned
businesses
i. Organizational Status Changes: Notify your liaison within two weeks of changes in
organizational status including but not limited to: key personnel such as senior or project
staff, organizational name, tax status, and organizational address.
8, Other Organizational Changes: Notify your liaison of any organizational changes, such
as new address or contact information to ensure that you maintain proper communications
with the Foundation and receive payments promptly. If a grant payment has to be reissued,
it will be subject to a $35 change fee,
9. Budget Modifications: Notify your liaison and submit a budget modification form if
budget changes greater than $3,000 are required during the course of the project. Please
advise your liaison if the budget change is due to an increase or decrease in committed
funding from other sources. A Request for Budget Modification Form can be obtained from
your program liaison.
10, Success Stories: We are happy to promote your success stories on our website, in print
materials, and with media outlets -please share them with us. Should you receive press
attention on your project we request that you notify your Health Foundation program
liaison,

11. Termination: This Agreement may be terminated by either party with thirty (30) days
prior written notice. Any grant funds received from Health Foundation of South Florida
that is not expended on the project prior to the termination date specified in the notice, shall
be returned to Health Foundation of South Florida within thirty (30) days after termination,
less any remaining balance due to Avisare.
12. Sovereign Immunity: Except to the extent sovereign immunity may be deemed waived
by entering intq this Agreement, nothing herein is intended to serve as a waiver of
sovereign immunity by Grantee nor shall anything included herein be construed as consent
by Grantee to be sued by third parties in any matter arising out of thisAgreement.
13. Law, Jurisdiction, Venue, Waiver of Jury Trial: This Agreement shall be interpreted and
construed in accordance with and governed by the laws of the State of Florida. The
exclusive venue for any lawsuit arising from, related to, or in connection with this
Agreement shall be in the state courts of the Seventeenth Judicial Circuit in and for Miami
Dade County, Florida. If any claim arising from, related to, or in connection with this
Agreement must be litigated in federal court, the exclusive venue for any such lawsuit shall
be in the United States District County or United States Bankruptcy Court for the Southern
District of Florida. Each Party hereby expressly waives any rights it may have to a trial by
jury of any civil litigation related to this Agreement.
14. Amendments: Unless expressly authorized herein, no modification, amendment, or
alteration of any portion of this Agreement is effective unless contained in a written
document executed with the same or similar formality as this Agreement and by duly
authorized representatives of Grantee and HFSF.
15. Dispute Process: Disputes related to the Regional Marketplace will be resolved by
informal discussion between the Regional Marketplace members. Disagreements between
the members arising under or relating to this Grant Award Agreement and accompanying
Grant Award Agreement Addendum will be resolved only by consultation between the
members and will not be referred to any other person or entity for settlement. If the
members are unable to resolve any disagreement through good faith negotiations, the
dispute will be resolved by Health Foundation of South Florida, as the backbone facilitator
and funder, with ultimate decision making and dispute resolution authority. In the event
that no agreement can be reached, then this Grant Award Agreement shall be deemed null
and void.
16. Prior Agreements: This Agreement represents the final and complete understanding of
the Parties regarding the subject matter of this Agreement and supersedes all prior and
contemporaneous negotiations and discussions regarding same. All commitments,
agreements, and understandings of the Parties concerning the subject matter of this
Agreement are contained herein.

South Florida Anchor Alliance Regional Marketplace
Work Plan Benchmarks
To ensure that there is a cohesiveness in implementation across all participating anchor
institutions, the following work plan has been developed and reviewed by all anchors to ensure
that the following activities will be implemented to successfully launch and implement the South
Florida Anchor Alliance Regional Marketplace.
Year 1 . Se tember 1.2022 — Au past 31 2023
September 1, 2022 — February 28, 2023
• By September 1, 2022, grant award agreementsvi:ll be reviewed by anchor staff and
legal team and routed for approval.
• By September 15, 2022, have the required contractual agreement (e.g. Professional
Services Agreement, Purchase Order, Independent Contractual Agreement) in place to be
able to pay Avisare, as delineated in grant award agreement*
• By September 15, 2022, host introductory meeting with Avisare and anchor staff
representatives that include IT, Procurement and other related departments to identify
necessary steps to begin data feeds for vendor registration and procurement opportunities.
• By September 30, 2022, provide baseline data on agreed -upon metrics as identified in the
grant award agreement.
• By October 15, 2022, support the development and subsequent implementation of a
communications/PR strategy that will be developed in collaboration with Circle of One,
the SFAA communications firm, to increase awareness and utilization of the Regional
Marketplace.
• By December 15, 2022, ongoing data feeds to create the vendor registration network and
upload procurement opportunities is happening as scheduled.
• By Deoember 15, 2022, collaborate with other Regional Marketplace anchor pilot
members to set a collective spending target goal with small and minority -owned
businesses.
• By January 15, 2023, host or participate in at least 2 awareness and training opportunities
regarding Regional Marketplace targeting small and minority -owned businesses. This
will be held in a collaborative way across the SFAA region and leveraging already
established vendor activities.
*Note: As agreements are finalized, SFAA anchors will be put into the queue. Each anchor will
participate in the phases explained below which will be fully launched by December 2022.
March 1, 2023- August 31, 2023
• Throughout project period, help inform efforts being done by the SFAA Technical
Assistance Providers and SFAA Capacity Building Workgroups to identify ways in
which to support small and minority -owned businesses to be ready to do business with
our institution.
• By April 30, 2023, in partnership with HFSF and other anchor partners, host a SFAA
Regional Marketplace matchmaking event. This preparation will include site location,
audience, and unique experience that can be covered to highlight the work.
• Throughout project period, discuss any challenges and solutions at the monthly SFAA
workgroup meetings.
• Throughout project period, participate in training and technical assistance provided by
Avisare, as needed, to ensure appropriate implementation.
• As requested, participate in discussions to inform an impact report for the SFAA
Regional Marketplace.
• By August 31, 2023, as deemed necessary, will have adopted one policy and/or practice
chance that makes it easier for small- and minority -owned businesses to do businesses
with our institution.
Year 2 Se tember 1, 2023 — Au.,ust 31. 2024.
• Through project period, provide ongoing data feeds to support an up-to-date vendor
registration network and that procurement opportunities are current.
• By March 15, 2024, host or participate in at least 2 additional awareness and training
opportunities regarding Regional Marketplace targeting small and minority -owned
businesses. This will be held in a collaborative way across the SFAA region and
leveraging already established vendor activities.
• As requested, participate in discussions to inform an impact report for the SFAA
Regional Marketplace.
• By May 31, 2024, upon findings from impact report and value add assessment, identify
strategy for sustaining the Regional Marketplace.

COMMUNICATIONS GUIDELINES
Health Foundation of South Florida encourages grantees, partners and affiliates to promote projects and efforts
on which we're collaborating in written materials, online platforms and publications and social media. As part
of your agreement with us, you may be required to engage in at least one form of communication, media
outreach, and/or advocacy strategy. Please use the following guidelines to ensure consistency and accuracy In
your communications. If you have any questions about the Communications Guidelines please contact the HFSF
communications team at communications@hfsf.org.
LOGO & NAME USAGE
The name, Health Foundation of South Florida and its logo are the property of the Health Foundation of South
Florida. Use of the name and logo on such items as printed literature, signage, exhibits and displays,
publications, interactive media, websites, sponsored program literature and signage, joint publications,
letterhead, news releases and announcements are the property of the Health Foundation of South Florida.
Permission to use the Foundation's name and/or logo is in sole discretion of HFSF, based on such factors as
the purpose for use and relationship being represented. All requests for permission to use the HFSF logo
should be sent to communications@hfsf.org, or directed to your Program Liaison. If permission is granted, the
logo must be reproduced in its approved colors and formats. Instructions will be provided along with the
appropriate files upon approval of request.

The South Florida Anchor Alliance ("SFAA") is a collaborative of regional institutions —
hospitals and healthcare systems, education enterprises and municipalities -coming together to
harness their collective multi -billion -dollar spending power and vast human and intellectual capital
in order to create a more just and inclusive local economy. It is founded by Health Foundation of
South Florida ("HFSF"), with support from Citi Foundation. The HFSF is the entity overseeing
the backbone facilitation of the SFAA.
In 2019, the SFAA developed a strategic blueprint that prioritizes building a thriving local
business economy and identified streamlining vendor registration, certification processes, and
procurement opportunities and data sharing across anchors as a priority objective. In 2020, anchor
representatives secured leadership commitment to formally join and engage in the implementation
of the co -developed blueprint. There are currently 19 anchor members spanning both counties.
In 2020, the HFSF, LM Genuine Solutions, and SFAA anchor members began a due
diligence process on technology solutions to address the goal of streamlining vendor registration
and posting of procurement opportunities across anchors. After a comprehensive due diligence
process, anchor members selected Avisare, a cloud based system that will create a universal
vendor registration network and improve the process of finding, bidding and reporting on anchor
contracts. As of June 2022, ten anchors had expressed intent to participate in a pilot project
launching the SFAA Regional Marketplace that would help advance the goal of increasing
contracting opportunities for local, small, and minority businesses. The HFSF, as the SFAA
backbone entity, approved an investment of $1.2 million to seed fund the establishment of the
SFAA Regional Marketplace.

members must be prepared to fund their adoption of Avisare.
2. Pur pose
The purpose of this "grant award agreement addendum" is to evidence the Regional
Marketplace's partners' intent to collaborate with respect to the establishment, and potentially the
expansion, of the SFAA Regional Marketplace, as denoted in Section 3 - Roles and
Responsibilities. Further, this addendum shall set forth the terms and covenants for membership,
governance, and operations of the Regional Marketplace. All Regional Marketplace participants,
members, and Anchors agree to abide by the mutual promises and obligations stated herein.
3. Roles and Res onsibilities
The HFSF will:
• Act as the organizer and facilitator of the anchor institutions for the SFAA Regional
Marketplace.
• Support the facilitation of the SFAA Regional Marketplace Pilot Committee meetings to
ensure streamlined coordination across anchors and Avisare.
• Participate in meetings, as appropriate, with SFAA members and Avisare as partners come
online.
Negotiate, where appropriate, certain terms of use for Avisare technology on behalf of the
Anchors and Marketplace participants.
Serve as a facilitator to discuss and address any challenges that may arise.
• Provide two-year seed funding for participating anchor members to support the adoption
of Avisare and the launch of SFAA Regional Marketplace.
Support the promotion of the SFAA Regional Marketplace.
SFAA Anchor Members participating in the Pilot Project will:
• Enter into an agreement with Avisare that supports the SFAA Regional Marketplace and
ensures payment with the funds received from HFSF grant.
Provide regular data uploads of procurement opportunities into Avisare.
• Provide vendor data to Avisare for upload into system.
Track and report on data points, as outlined in the Grant Award Agreement, to track
progress.
• Provide bidder and award data for SFAA RFPs for the development of an aggregate report
on progress milestones, as outlined in the Grant Award Agreement.
• Promote the SFAA Regional Marketplace with vendors and collaborate with the HFSF and
other SFAA members on Regional Marketplace launch and outreach efforts.
Promote and support businesses in their utilization of the marketplace.
• Participate in regularly scheduled SFAA Regional Marketplace Committee meetings.

Avisare will:
e Be the technology partner for the SFAA Regional Marketplace.
Subject to executed grant award agreements with each selected Anchor, Avisare shall make
available the fallowing two modules of the platform: 1) Vendor Registration and 2) RFx
Matching to the Anchor organizations at price discounts negotiated collaboratively with
the HFSF and the SFAA. Negotiated price discounts for the first 10 anchors for the Vendor
Registration and RFx Matching modules can be found in Exhibit G.
e Have provided a general scope of work (see Exhibit .F) to onboard, participating Anchors
for the agreed upon modules (i.e. Vendor Registration Network, Rfx Matching) and
Platform services to Anchors. All anchors should be onboarded by December 2o22.

modules.

efforts to gather a collective baseline across all participating anchors which includes
aggregating vendors, aggregating all contracting opportunities, and gathering data
on the breakdown of vendors by diversity status, location, revenue size, industry
vertical, etc.
O Increase small and diverse vendor visibility to contractin o,,ortunities.
o Increase small and diverse vendor capacity. There are three potential areas where
Avisare can assist in increasing vendor capacity: financial capability/access to
capital, contract readiness as measured through education, and access to bonding.
Avisare's role is to provide insights based on robust data accurately through
technology and work with the SFAA to showcase through the data what specific
needs are across vendor segments to inform efforts to address those needs through
education, programs, events, etc.
4. Notice
Any notice required or permitted to be given hereunder by one Regional Marketplace
member to other members as it relates to participation in the Marketplace and/or revisions to
Section 3, Roles and Responsibilities, shall be submitted in writing to HFSF to the attention of Ms.
Loreen Chant, President/CEO. The HFSF will share all revisionshvquests with Regional Market
partners and include proffered changes for discussion at regularly scheduled partners meeting.
5. Chan,Les and Modifications
Changes and/or modifications to this grant award agreement addendum shall be in writing
and signed by the authorized agent of the SFAA Regional Marketplace member, or their duly
authorized designee within the scope of their authority. No oral statement by any person shall be
interpreted as modifying or otherwise affecting the terms of this addendum. All requests for
interpretation or modification shall be made in writing.
b. Framework iDecision Hakim Process]
The foregoing sets forth the general framework of SFAA Regional Marketplace
protocols. This addendum is not a binding agreement, but it is an expression of serious interest on
the part of all Marketplace members who understand that additional agreements may be required
between two or more members to further define additional terms and conditions for Marketplace
participation. Additional agreements may include contracts with Avis= among the members to
ensure proper and responsible access and use of information needed for implementation and
outcome achievement. At minimum, all SFAA members participating in the Regional Marketplace
Pilot will enter into individual grant award agreements with the HFSF, and each member shall
abide by the restrictions and limitations on use for such funds.
General activities will be led and managed by the HFSF (as the backbone entity of the SFAA).
Monthly meetings will be held to provide updates on implementation and inform collective efforts.
Currently, a collaborative decision -making process is used across the SFAA.

Avisare General Scope of Work
The Regional Marketplace will launch on the Avisare platform utilizing the Vendor and RFx
modules, which include the following functions: RFP Marketing, Outreach, Sourcing, Vendor
Network Access, Smart Matching, On -going Data Scrubbing, RFP status, and reporting. Each
Anchor Institution (Anchor) will transfer their vendor/supplier and their advertised RFPs data to
Avisare utilizing the procedures outlined here. Avisare will provide the Anchor with a set of
secured RESTful APIs to complete the following tasks:
1. Add a new vendor to the platform and associate that vendor with the client for
reporting/filtering purposes.
2. Post a new RFP to the system to be matched with existing vendors.
3. Edit an existing RFP.
4. Add bidder/award information to an existing RFP for reporting purposes. The Avisare
system will provide a developer API key to the Anchor for use in accessing the RESTfW
APIs to manage assets owned by the Anchor, such as RFP postings. Once the system
creates a vendor account, the vendor is notified and is the only party capable of editing the
account. In the event the Anchor is unable to utilize the Avisare APIs for purposes of
managing vendor and RFP data, the Avisare system supports two alternate ways to transfer
the data.
a. The Anchor can use a pre -formatted CSV file with information on the vendor or
RFP and upload it irito the administrative interface of the platform on demand.
b. The Anchor can use a pre -formatted CSV file and upload it to an AVISARE-hosted
SFTP server for automated processing on an agreed -upon schedule.
Both options facilitate the creation and management of vendors and RFPs. The Avisare
RESTful APIs are the quickest and most scalable way to interact with the Avisare platform
in an automated way. The Avisare system is responsible for classifying Vendors and RPPs
against Avisare's product and services taxonomy to facilitate matching vendors to RFP
opportunities.
5. In addition to the RESTful APIs, Avisare will provide each Anchor with a co -branded
website landing page URL to direct vendors to complete self-signup on the AVISARE
Regional Marketplace platform. Vendors who sign on to the system via that landing page
will also be associated with the Anchor.
