Re: Counter Proposal to Lease Space at Westpark Center
Dear Lucia,
On behalf of the City of Miami, we are pleased to submit this counter proposal. This letter
is written to summarize the material points which the City of Miami is proposing regarding
the space for lease. The proposed terms of the lease are:
Premises: Westpark Center
2858 NW 79th Avenue
Miami, FL 33122
Size: Approximately 2,758 rentable square feet.
Tenant: City of Miami, a municipal corporation of the State of
Florida.
Primary Lease Term: sixty (60) months.
Lease Commencement: October 1, 2022
Base Rent: $25.00 per rentable square foot with five percent (5%)
annual increases.
TICAM: Property taxes, insurance and common area maintenance are
included in the Base Rent. There shall be no pass throughs
of increases in TICAM.
Electric: The Premises is separately metered and the responsibility of
the Tenant.
Janitorial: Tenant shall provide its own janitorial service.

HVAC: Tenant shall enter into and maintain at all times a regularly
scheduled preventative maintenance & repair service for the
air conditioning system and equipment within the Premises,
including but not limited to filter changes, cleaning of coils,
freon, etc. Landlord requires a qualified HVAC contractor to
perform this work.
Landlord shall warrant the HVAC unit(s) serving the
Premises for a period of six (6) months. Tenant shall be
responsible for all repairs to the HVAC unit(s) servicing the
Premises, up to a maximum of $750.00 per unit per year.
Landlord shall be responsible for any replacement if needed
and not caused by Tenant's misuse or failure to provide the
required maintenance.
Condition of Premises: Landlord shall deliver the Premises in the following
condition:
1. Landlord shall remove the walls cross -hatched in red in
Exhibit A of this counter proposal.
2. Landlord shall deliver the Premises with all electrical,
plumbing and HVAC in good working order.
Modifications to Premises: With Landlord's approval, Tenant will be permitted to make
modifications to the interior of Premises at its own expense
based on mutually approved architectural and engineering
plans. Tenant's contractors and subcontractors must be
approved by Landlord. Tenant must obtain all required
permits.
Landlord grants Tenant permission to install hurricane
shutters on the inside of the Premises at Tenant's sole cost
and expense. At Landlord's sole and absolute discretion, at
the end of the lease term or any extensions thereof, Landlord
may require Tenant to remove the shutter and repair the
walls, flooring and ceiling, if and where necessary to
Landlord's satisfaction, or Landlord may elect to keep the
shutters at no cost.
Security Deposit: None required.
Disclosure: You are hereby informed that Lucia Custer and Gabriel
Garcia-Menocal of NAI Miami are acting as the Landlord's
Designated Agent, and Claire Holash and Jeremy Larkin of
NAI Miami are acting as the Tenant's designated agents.
This letter strictly represents a written clarification of the material aspects of the proposed
lease under consideration. This submission does not constitute an offer to lease. The lease
shall only be valid after it is signed by the Tenant, countersigned by the Landlord and a
fully executed original thereof is provided to the Tenant. The terms described above shall
be subject to the Landlord's standard lease agreement with all rights and obligations therein
and the review of financial information, requested by Landlord, of the Tenant and its
principals, including credit checks and the written authorization to do such credit checks.
If this proposal is satisfactory, please sign below and we will have the Landlord prepare a
lease document for your review and execution. We look forward to finalizing a lease
transaction.
