FOUR -FIFTHS (4/5THS) AFFIRMATIVE VOTE AND AFTER AN ADVERTISED
PUBLIC HEARING, RATIFYING, APPROVING, AND CONFIRMING THE CITY
MANAGER'S FINDINGS, ATTACHED AND INCORPORATED AS EXHIBIT "A," THAT
COMPETITIVE NEGOTIATION METHODS AND PROCEDURES ARE NOT
PRACTICABLE OR ADVANTAGEOUS FOR THE CITY OF MIAMI ("CITY")
PURSUANT TO SECTION 18-85(A) OF THE CODE OF THE CITY OF MIAMI,
FLORIDA, AS AMENDED; WAIVING THE REQUIREMENTS FOR SAID
PROCEDURES; ALLOCATING AND APPROPRIATING FUNDS FROM THE DISTRICT

CORPORATION ("FOCAL"), FOR THE FOCAL MOORE PARK LEARNING CENTER;
AUTHORIZING THE CITY MANAGER TO NEGOTIATE AND EXECUTE ANY AND ALL
NECESSARY DOCUMENTS, INCLUDING, BUT NOT LIMITED TO, GRANT
AGREEMENTS, AMENDMENTS, MODIFICATIONS, AND EXTENSIONS, ALL IN A
FORM ACCEPTABLE TO THE CITY ATTORNEY, WITH THE ORGANIZATIONS
STATED HEREIN FOR THE PURPOSES STATED HEREIN.
WHEREAS, the Martin Luther King Economic Development Corporation, a Florida not
for profit corporation ("MLK EDC"), is seeking funding support of the MLK EDC Kitchen
Incubator Program ("Kitchen Incubator Program"); and
WHEREAS, the Kitchen Incubator Program funding will allow program participants to
continue delivering catering services and meals to ten thousand (10,000) City of Miami
residents, including Seniors, at reduced costs; and
WHEREAS, Foundation of Community Assistance and Leadership, Inc., a Florida not for
profit corporation ("FOCAL"), is seeking funding in support of its FOCAL Moore Park Learning
Center Program ("Learning Center'); and
WHEREAS, the Learning Center funding will aid one hundred fifty (150) City of Miami
residents, ages five (5) to eighteen (18) throughout Districts 1 and 5, by providing free academic
support, professional development, employment opportunities, and college readiness programs;
and
WHEREAS, the City's District 5 Commissioner ("Commissioner') wishes to provide grant
funds from the Commissioner's Discretionary Account in an amount not to exceed Two Hundred
Ten Thousand Dollars ($210,000.00) to MLK EDC for its Kitchen Incubator Program, and Ninety
Thousand Dollars ($90,000.00) to FOCAL for its Learning Center; and
WHEREAS, pursuant to Section 18-85(a) of the Code of the City, as amended ("Code"),
the City Manager has made a written finding, attached and incorporated as Attachment "A," that
competitive negotiation methods and procedures are not practicable or advantageous for the
City's provision of said Funds for the Learning Center and Kitchen Incubator Program
(collectively, "Programs"); and
WHEREAS, the City Manager is requesting authority from the City Commission to
negotiate and execute any and all documents necessary, including, but not limited to grant
agreements, amendments, modifications, and extensions, all in a form acceptable to the City
Attorney, for said allocation of funds for the Programs;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF
MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the Preamble of this Resolution are
adopted by reference and incorporated herein as if fully set forth in this Section.
Section 2. Pursuant to Section 18-85(a) of the Code, by a four -fifths (4/5ths) affirmative
vote, after an advertised public hearing, the City Manager's written findings, attached and
incorporated as Attachment "A," that competitive negotiation methods and procedures are not
practicable or advantageous for the City's provision of said funds for the Programs, and waiving
the requirements for said procedures, are hereby ratified, approved, and confirmed.
Section 3. The City Manager is authorized' to allocate Funds from the Commissioner's
Discretionary Account to MLK EDC for its Kitchen Incubator Program in an amount not to
exceed Two Hundred Ten Thousand Dollars ($210,000.00).
Section 4. The City Manager is further authorized' to allocate Funds from the
Commissioner's Discretionary Account to FOCAL for its Learning Center in an amount not to
exceed Ninety Thousand Dollars ($90,000.00).
Section 5. The City Manager is further authorized' to execute any and all documents
necessary, including, but not limited to grant agreements, amendments, modifications, and
extensions, all in a form acceptable to the City Attorney, with the organizations stated herein for
the purposes and Programs stated herein.
Section 6. This Resolution shall become effective immediately upon its adoption
APPROVED AS TO FORM AND CORRECTNESS:

Pursuant to the resolution, this item became effective immediately upon adoption by the Commission.
' The herein authorization is further subject to compliance with all legal requirements that may be
imposed, including but not limited to, those prescribed by applicable City Charter and City Code
provisions.
