Subject: Auth. City Manager - Addendum WASD - ESJ JI Leasehold LLC
Purpose of Item:
The administration recommends that the Miami City Commission adopt the attached
Resolution authorizing the City Manager to negotiate and execute an Addendum to the
Agreement for Water and Sanitary Sewer Facilities ("Addendum") by and between
Miami -Dade County Water and Sewer Department("WASD") and the City of Miami
("City") for the provision of water and sewer services to a City -owned property leased to
ESJ JI Leasehold, LLC ("Tenant") and setting forth the obligations towards the
completion of the tenant's facility located at approximately 1111 MacArthur Causeway
at Watson Island ("Property"); further authorizing the City Manager to negotiate and
execute all other necessary documents, including amendments and modifications to
said agreement, all in a form acceptable to the city attorney, as may be necessary to
effectuate said addendum.
Background of Item:
The City of Miami ("City") is the fee simple owner of certain land known as "Watson
Island" pursuant to a portion of the area under Deed No. 19447 dated February 24,
1949 from the State of Florida Board of Trustees of the Internal Improvement Fund
("Board") to the City filed as of record on April 11, 1949 in Deed Book 3130, Page 257
of the Public Records of Miami -Dade County, Florida ("State Deed").
The County and the City of Miami, a Florida municipal corporation, entered into an
Agreement for "Jungle Island", ID# 30445, dated February 5, 2020, recorded in Official
Records Book 31810, at Page 4384, of the Public Records of Miami -Dade County,
Florida, hereinafter referred to as "The Agreement".
The Tenant has revised the scope of work of the project and has requested the City
enter into an addendum to the Agreement to reflect such revisions ("Addendum"). The
County is willing to enter into an Addendum provided that the City abides by any
policies or standards of the County which have been revised since the date of the
Agreement.

A RESOLUTION OF THE MIAMI CITY COMMISSION AUTHORIZING THE CITY
MANAGER TO NEGOTIATE AND EXECUTE AN ADDENDUM TO THE AGREEMENT
FOR WATER AND SANITARY SEWER FACILITIES AND A UNITY OF TITLE
AGREEMENT ("ADDENDUM") BY AND BETWEEN MIAMI-DADE COUNTY WATER
AND SEWER DEPARTMENT("WASD") AND THE CITY OF MIAMI ("CITY") FOR THE
PROVISION OF WATER AND SEWER SERVICES TO A CITY OWNED PROPERTY
LEASED TO ESJ JI LEASEHOLD, LLC ("TENANT"); SETTING FORTH THE
OBLIGATIONS TOWARDS THE COMPLETION OF THE TENANT'S FACILITY
LOCATED AT APPROXIMATELY 1111 MACARTHUR CAUSEWAY AT WATSON
ISLAND ("PROPERTY"); FURTHER AUTHORIZING THE CITY MANAGER TO
NEGOTIATE AND EXECUTE ALL OTHER NECESSARY DOCUMENTS, INCLUDING
AMENDMENTS AND MODIFICATIONS TO SAID AGREEMENT, ALL IN A FORM
ACCEPTABLE TO THE CITY ATTORNEY, AS MAY BE NECESSARY TO
EFFECTUATE SAID ADDENDUM.
WHEREAS, Miami -Dade County ("County") and the City of Miami ("City") entered into an
Agreement for Water and Sanitary Sewer Facilities, ID# 30445, dated February 5, 2020,
recorded in Official Records Book 31810, at Page 4384, of the Public Records of Miami -Dade
County, Florida ("Agreement") for the provision of water and sewer services for the City -owned
property located at 1111 MacArthur Causeway and leased to ESJ JI Leasehold, LLC
("Tenant"): and
WHEREAS, the Tenant has revised the scope of work of the project and has requested
the City enter into an Addendum to the Water and Sewer Agreement and a Unity of Title
Agreement to reflect such revisions ("Addendum"); and
WHEREAS, the County is willing to enter into an Addendum provided that the City
abides by any policies or standards of the County which have been revised since the date of the
Agreement;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF
MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are
hereby adopted by reference and incorporated as if fully set forth in this Section.
Section 2. The City Manager is authorized' to negotiate and execute the Addendum
between the County and the City for the provision of water and sewer services to a City -owned
property leased to Tenant and setting forth the obligations towards the completion of the
Tenant's facility located at the Property.
' The herein authorization is further subject to compliance with all legal requirements that may be
imposed, including but not limited to those prescribed by applicable City Charter and City Code provisions
Section 3. The City Manager is further authorized to negotiate and execute all other
necessary documents, including amendments and modifications to said Addendum, all in a form
acceptable to the City Attorney, as may be necessary to effectuate said Addendum.
Section 4. This Resolution shall become effective immediately upon its adoption.
