FREEZING MECHANICAL CORP
All material is guaranteed to be specified. All work to be completed in a workman like manner according to standard
practices. Anny alteration or deviation from above specifications involving extra cost will be executed only upon
written orders, and will become and extra charge over and above the estimate. All agreements contingent upon strikes,
accidents, Mother Nature disasters, inclement weather, or manufacturer delays beyond our control. Owner to provide
fire and casualty, tornado, and other necessary insurance.

Acceptance of Proposal: The above prices, specification and conditions are satisfactory and are hereby accepted, in
the event of default contract, the undersigned agree to pay Attorney's fees and court cost for collection.
i. Payment. The purchase price of the Equipment is payable upon execution of this Contract. Purchaser shall pay interest at the highest statutory`rate permitted by law, from the date due, on
any payment which is delinquent by thirty (30) days or more. All credit arrangement between Freezing Mechanical Corp and Purchaser shall be' writingand payments stair be due in
accordance with same. Any amount due which is not timely paid shall incur a late charge/interest at the highest statutory interestpermitted by law.
3. Equipment Warranties. The Equipment installed by Freezing Mechanical Corp shall be guaranteed solely by the manufacturer for a period of one (1) year from the date of the installation
unless otherwise specified. Freezing Mechanical does not warrant the Equipment.. The following items and their associated costs are not included in the manufacturer's warranty on the
Equipment: (a) coil cleaning; (b) drain flushing; (c) air filter cleaning; (d) ductwork; (e) copper lines and (1) existing electric breakers, fuses and wires. Homeowner must register the new
equipment within (60) days as indicated on the F.M invoice, homeowner cancontact F.M representative with questions concerning online registration. Parts and compressor is under warranty
by the manufacture, Labor warranty is cover by Freezing Mechanical. After Freezing Mechanical Labor warranty expire it is the customer decision to continue service the equipment with

Freezing Mechanical or to do service with another AC company. If the customer decide to received service witlm FM it will be subject to paid the flat rate, or time and material cost in effect
at the moment of the service. Any air conditioning company can claim the part, compressor warranty from manufacture.
4. Service Warranties. If Freezing Mechanical Corp install you New equipment, FM shall service the Equipment for a period of one (1) year of labor from the date of installation of the
Equipment without cost to Purchaser, (as long as performed during normal business hours —Monday through Friday from 8:00 a.m. to 5:00 p.m EST). If service is required by the customer
during the first year and the technician's diagnostic is not related to the units installed but instead is related to other existing conditions, there will be a charge to fix said problem, in addition
to the $85.00 diagnostic fee. Failure to pay the diagnostic fee will result in the immediate cancellation of the labor warranty with Freezing Mechanical Corp. If the customer decide to
received service with FM it will be subject to paid the flat rate, or time and material cost in effect at the moment of the service. Under this service warranty, Freezing Mechanical Corp, after
evaluation, shall have the discretion to repair the Equipment or provide replacement parts. Freezing Mechanical Corp warranty service does not include maintenance such as filter or fuse
replacement etc. Freezing Mechanical Corp warranties clogged drain lines for thirty (30) days from the day of a new equipment installation.
5. Replacement. FM representative after do an inspection of the existing AC system will recommend the customer as the best of his knowledge to replace or fix item related to the installation,
it is not the responsibility of FM if that customer don't proceed with such recommendation. If Freezing Mechanical reconnect to existing copper lines, FM is not responsible for any leak in
the existing copper lines that may be found alter new equipment is installed. Freezing Mechanical it is not responsible for the malfunction of the new equipment do to the existing ductwork
size. Freezing Mechanical Corp warranties clogged drain lines for thirty (30) days fi•om the day of a new equipment installation.
Freezing Mechanical Corp is not responsible for and does not warrant against damage from water intrusion and/or use the Equipment or and for any mold growth. Further, Freezing Mechanical
Corp is neither responsible for dust accumulation that may occur during the installation and/or use of the Equipment nor odors that might be expelled by the Equipment during its use.
6. Power of Attonmey. Purchaser agrees to grant Freezing Mechanical Corp a limited power of attomey to act as his/her agent for the sole purpose of securing all necessary paperwork to obtain
a permit to install the Equipment.
7.
Force Majeure• If Freezing Mechanical Corp is delayed or prevented from performing any obligation hereunder due to causes or events beyond its control, including, without limitation, any
act of God, fire, riot, embargo, strike, legal action, accidents, transportation delays, present or future law or government order of regulation, such delay or non-performance shall be excused
during the pendency of such condition and the time for performance extended or researched by Freezing Mechanical Corp.
8.
Dispute Resolution. Any dispute between the parties relating to this Contract, whether or not a contract claim, shall be determined by binding and non -appealable arbitration under the rules
of the American Arbitration Association. The arbitration shall be conducted by a single arbitrator chosen by the parties, or, if the parties cannot agree upon a single arbitrator within thirty
(30) days of a party giving notice to the other side of a proposed choice for an arbitrator, then by a single arbitrator appointed by the Miami, Florida office of such association, and shall take
place at a location in Broward County, Florida.
9. Default. Purchaser shall be in default under this Contract upon this failure of Purchaser to observe or perform any of the Purchaser's agreement contained herein. In this event of default by
Purchaser, Freezing Mechanical Corp shall be entitled to collect from Purchaser all costs, fees and expenses incurred to enforce its rights hereunder, including, without limitation, court
costs, cots of arbitration, attorney's fees and costs and fees paid to other professionals or agencies.
10. Remedies. In the event Purchaser fails to pay any amount due to owing hereunder and/or fails to perform any obligation hereunder, Freezing Mechanical Corp shall have the right to exercise
one or more of the following remedies: (a) recover the balance of all amounts due hereunder including interest on all unpaid sums; (b) enter the premises where the Equipment might be
located and take possession of the Equipment and retain all prior payments as partial compensation for its use and depreciation: (c) incur collection and legal expenses (including attorney's
fees and costs) in exercising any of its lights and remedies upon default and/ or (d) pursue any other remedy permitted by law.
11. Assignment. This Contract is freely assignable by Freezing Mechanical Corp. Purchaser may assign this Contract only with the written consent and permission of Freezing Mechanical Corp
and all obligations of Purchaser under this Contract shall bind its successors and assigns.
12. Other Services. This Contract does not cover maintenance tohservice outside the warranty period provided for in Paragraph 4 above. Purchaser may elect to purchase maintenance service
with respect to the Equipment purchased from Freezing Mechanical Corp by entering Contract with Freezing Mechanical Corp.
13. Limitation of Liability. Freezing Mechanicals liability for damages to Purchaser relating to or arising out of the performance or non-performance of the Equipment, or for any cause
whatsoever, and regardless of the form of the action, whether in contract or in tort including negligence, shall be limited to the total sale price stated herein for the specific equipment that
caused the damage or is the subject matter of or is directed related to the cause of the action. The forgoing limitation of liability will not apply to claims for personal injury caused solely by
Freezing Mechanical's negligence. TO THE MAXIMM EXTENT PERMITTED BY LAW, FREEZING MECHANICAL CORP SHALL NOT BE LIABLE TO PURCHASER OR ANY
PERSON CLAIMING THROUGH OR AGAINST PURCHASER FOR ANY SPECIAL, INDIRECT OR CONSEQUENTIAL DAMAGES (INCLUDING LOST PROFITS, REVENUES,
BUSINESS OPPORTUNITIES OR INTERRUPTION OF BUSINESS) RESULTING FROM OR ARISING OUT OF DELIVERY, INSTALLATION, OPERATION, PERFORMANCE
OR USE OF THE EQUIPMENT (OR NON-PERFORMANCE, DELAY IN OR FAILURE OF THE SAME), EVEN IF PURCHASER HAS BEEN ADVISED OF THE POSSIBILITY OF
SUCH DAMAGES.
14. Indemnification. Purchaser shall indemnify and hold Freezing Mechanical Corp (including its subsidiaries and related companies and its and their officers, directors, employees, agents, and
consultants) harmless from and against any and all losses, expenses and damages arising out of or incident to willful or negligent acts or omissions of Purchaser.
15. Severability. This Contract is intended to be performed in accordance with and only to the extent permitted by all application laws, ordinances, rules, and regulations of thejurisdiction in
which the parties do business. If any provision of this Contract or the application thereof to any person or circumstances shall, for any reason or to any extent permitted by law.
16. No PaymentWaiver. The acceptance ofany payments after the specified due date thereofshall not constitute a waiver of Purchaser's obligation to make future payments. Freezing Mechanical
Corp may apply any amounts paid by Purchaser pursuant to this Contract to any indebtedness owing by Purchaser to Freezing Mechanical Corp, on account.
17. Entire Contract ofParties. This Contract contains the entire understanding ofthe parties with respect to the subj ect matterhereof, superseding all negotiations, prior discussion and preliminary
contacts or proposals made prior to the date hereof. Any modifications, change or amendment of this Contract shall be in writing and shall be signed by an authorized representative of each
day.
18. Headings. The article and section headings contained in this Contract are inserted for convenience only and shall not affect in any the meaning orinterprelation of the Contract.
19. Notices. All notices expect routine service and warranty requests under this Contract shall be writing and shall lie deemed to have been dulygiven and received in `the business day when
personally delivered or transmitted successfully via facsimile to the intended recipient at the address or facsimile in this Contract. -
20. Governing Law. This Contract shall be construed in accordance with the laws of the State of
this Contract shall, to the extent permitted by law, be held in Broward County, Florida.
