HomeMy WebLinkAboutSEOPW-CRA-R-02-0153SEOPW/CRA ITEM 11 RESOLUTION NO . 0 2 - 153 A RESOLUTION OF THE BOARD OF DIRECTORS OF THE SOUTHEAST OVERTOWN/PARK WEST COMMUNITY REDEVELOPMENT AGENCY ("CRA") AUTHORIZING THE EXECUTIVE DIRECTOR TO AMEND THE SCOPE OF SERVICES, AS DETAILED IN EXHIBIT "A" ATTACHED AND INCORPORATED HEREIN, FOR WORK PROVIDED BY ZHA, INC. UNDER THE CRA REDEVELOPMENT PLAN UPDATE CONTRACT TO INCLUDE A FEASIBILITY ECONOMIC STRATEGY REPORT ON SOUTHEAST OVERTOWN, IN AN AMOUNT NOT TO EXCEED $75,000. WHEREAS, on May 21, 2001, the Board of Directors adopted resolution SEOPW/CRA 01-51 which authorized the CRA to enter into a contract with Dover Kohl, for an amount not to exceed $55,000, for the update of the SEOPW/CRA Redevelopment Plan with several consultants, including ZHA, Inc. as sub -consultant to Dover Kohl; and WHEREAS, on July 30, 2001, the Board of Directors adopted resolution SEOPW/CRA R-01-105 which authorized the CPA to enter into a separate contract with ZHA, Inc., in an amount not to exceed $55,000, for professional services related to economic assessment of the SEOPW Redevelopment area; and SEOPW/CRA 02-- 153 WHEREAS, in July 2002, ZHA, Inc. submitted their final report on the Economic Feasibility for Revitalization of the Park West Entertainment District in the Redevelopment area; and WHEREAS, Dover Kohl has requested ZHA, Inc. to provide additional input and economic feasibility assessment of additional components within the context of the update of the Redevelopment Plan; and WHEREAS, ZHA, Inc. has proposed a scope of services, for the additional work requested by Dover Kohl, in an amount not to exceed $75,000. NOW, THEREFORE,BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE SOUTHEAST OVERTOWN/PARK WEST COMMUNITY REDEVELOPMENT AGENCY OF THE CITY OF MIAMI, FLORIDA: Section 1. The recitals and findings contained in the Preamble to this Resolution are incorporated herein as if fully set forth in this Section. Section 2. The Executive Director is hereby authorized to amend the scope of services, as detailed in Exhibit "A" attached and incorporated herein, for work provided by ZHA, Inc. August 26, 2002 Fi,.: Members of the CRA Board `, -LA bje;:: Expanded Scope of Service for ZHA Inc.: SEOPW _} Redevelopment Plan Update ��%) Contract l�roT,i: Annette Lewis �,� Ref;-lc:1i Acting Executive Director E:ric)osurcL: Resolution RECOMMENDATION It is respectfully recommended that the CRA Board of Directors approve the attached resolution authorizing the CRA Executive Director to append the scope of service as detailed in Exhibit A for work provided by ZHA, Inc. under the SEOPW Redevelopment Plan Update contract to include a feasibility economic strategy report on Southeast Overtown in an amount not to exceed $75,000. JUSTIFICATION Pursuant to resolution SEOPW/CRA R-01- l 05, the CRA entered into a contract with ZHA Inc. for professional services related to the economic feasibility for revitalization of the SEOPW/ CRA area. The scope of services for that project is completed but additional components to the update of the SEOPW Redevelopment Plan were identified and require economic assessment. As such, at the request of Dover Kohl, who is under contract with the CRA for the update of the SEOPW/CRA Redevelopment Plan, for ongoing input into the Plan update, the CRA is submitting this legislation for approval by the Board. SEOPW/CRA 02- 1_53 CRA AGENDA September 12, 2002 Corporate Resolution No. 11 n FY 2003 ZHA, Inc., Anna.polis, Matiland 21401 The Board of Directors of ZHA, Inc., hereby authorize its President and CEO to enter into and execute an Amended Contract of Engagement with and between the Southeast Overtown/Park West Community Redevelopment Agency, of the City of Miami, a public agency and body corporate pursuant to Section 163.356, Florida Statutes ("CRA"), with an effective date for the amended services being July 1, 2002" for professional services. Such Board meeting was held at noon, June 28, 2002 within the corporate offices of ZHA, and with all voting members present the vote was approved without opposition. Donald R. The CRA wishes to further the services of ZHA, Inc. to assist the Agency in preparing to implement the Park West Entertainment District and assist other jurisdictions and potential investor/developers of the CRA's aspirations to foster revitalization activities in the coming months. B. The CRA recognizes the immediate need to support Dover, Kohl & Partners, in fostering a redevelopment strategy and program for the Overtown area and, possibly, a portion of North Ornni area for commercial uses, contained in the balance of the amended boundaries of the Southeast Overtown/Park West CRA. - C. The Agency recognizes that the pending reuse plan for the Southeast Over- town/Park West Area will require significant coordination with the Miami - Dade County jurisdiction, MSEA, and others to achieve a workable, unified work program and commitments to carry out revitalization, including techni- cal consultation about financing options, and supporting development impact data regarding anticipated CRA actions. NOW, THEREFORE, in consideration of the mutual covenants and promises contai�iled in the base contract between the CRA and ZHA, Inc. dated the 8th day of March, 2002, the Provider (ZHA, Inc.) and the CRA agree to the additional scope of engagement contained in Attachment One, attached hereto and incor- porated by reference. TERMS 1. The terms of this additional authorization for professional services reflected in Attachment One shall be for a period of one year, commencing on the 1st day of July, 2002, and extending for one year unless mutually extended by written agreement by the CRA and the Provider. All aspects in the base con- tract, other than herein altered, shall remain in full force and are incorporated by reference to this amendment for additional services. SEoPW/CI A 02- 153 WA ?. Incorporated herein shall further be Attachment B, located in the base con- tract, which lists the Provider's professional fees for per diem services on an hourly basis. Such rates and terms shall apply to this amended contractual arrangement for monthly reporting and invoice purposes to the Agency. It is expressly understood that ZHA's additional consultation services shall not exceed the sum of Seventy -Five Thousand Dollars ($75,000) in compensation for services rendered as directed, plus out-of-pocket expenses incurred in carrying out this assignment. Out-of-pocket expenses shall involve the direct cost of travel, subsistence, and expenses for courier services, and related and normal expenses. Billing shall be made to the CRA on a monthly basis from the effective date of this amendment and shall be sent to the agency on a monthly basis listing the number of hours expended, and the direct cost incurred by item. All records shall be retained by the consultant and be available for city audit in Annapolis, Maryland as required for a period of three years. It is expressly understood that it is difficult to project the number of meeting(s) and briefing(s) that might be required with potential redevelopers, county officials, and city representatives and the CRA Board and staff. If the above "not -to -exceed" figure proves inadequate to handle the assignments tasked to ZHA, Inc., the consultant shall apply for a fee adjustment in writing - stating the reasons for requiring a furtherance of compensation or expense coverage, but shall not incur such furtherance of costs without the formal approval of the CRA in writing.
