A RESOLUTION OF.- THE BOARD OF DIRECTORS OF
THE SOUTHEAST OVERTOWN/PARK WEST COMMUNITY
REDEVELOPMENT AGENCY ("CRA") DIRECTING THE
EXECUTIVE DIRECTOR TO EXECUTE A QUIT CLAIM
DEED, IN A FORM ACCEPTABLE TO THE CITY
ATTORNEY, TO CONVEY TO THE OWNERS OF JACKSON
SOUL FOOD RESTAURANT TITLE OF APPROXIMATELY
THE. NORTH 0.10 FEET, SUBJECT TO ANY
REASONABLE CHANGES, TO REAL PROPERTY OWNED
BY THE CRA WITH THE LEGAL DESCRIPTION OF THE
SOUTH 54 FEET, OF THE NORTH.100 FEET OF LOTS
1 AND 2, BLOCK 27N OF A.L. KNOWLTON PLAT OF
MIAMI, ACCORDING TO THE PLAT THEREOF AS
RECORDED IN PLAT BOOK B, AT PAGE 41, OF THE
PUBLIC RECORDS OF MIAMI-DADE COUNTY,'
FLORIDA; FURTHER DIRECTING THE EXECUTIVE
DIRECTOR TO INSTRUCT HOLLAND AND KNIGHT,
LLP, SPECIAL COUNSEL, TO PREPARE THE
1 NECESSARY LEGAL INSTRUMENTS AND TO ASSURE
THE CRA'S FULL COMPLIANCE WITH THE THIRTY -
DAY NOTICE REQUIREMENT UNDER EXISTING LAW
THAT IS APPLICABLE TO THE CONVEYANCE OF
TITLE TRANSACTION.
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD -OF DIRECTORS OF
THE SOUTHEAST OVERTOWN/PARK WEST COMMUNITY REDEVELOPMENT AGENCY
OF THE CITY OF MIAMI, FLORIDA:

Section 1. The recitals and findings contained in the
Preamble to this Resolution are incorporated herein as if fully
set forth in this Section.
Section 2. The Board of Directors directs the Executive
Director to execute a quit claim deed, in a form acceptable to
the City Attorney, to convey title to the owners of Jackson Soul
Food Restaurant, title of approximately the North 0.10 feet,
subject to any reasonable changes, to real property owned by the
CRA with the legal description of the South 54 feet, of the
North 100 feet of lots 1 and 2, Block 27N of A.L. Knowlton Plat
of Miami, according to the plat thereof as recorded in Plat Book
B, at page 41, of the public records of Miami=Dade County,
Florida.
Section 3. It is further directed that the Executive
Director instruct Holland and Knight, LLP, Special Counsel, to
prepare the necessary legal instruments and to assure the CRA's
full compliance with the thirty -day notice requirement under
existing law that is applicable to the conveyance of title
transaction.

Section 4. The Resolution shall be effective upon its

ATTACHMENTS, AUTHORIZING THE CRA TO ENTER INTO A QUIT CLAIM DEED WITH
THE OWNERS OF JACKSON SOUL FOOD RESTAURANT FOR APPROXIMATELY THE
NORTH 0.10 FEET, SUBJECT TO ANY REASONABLE CHANGES, OF THE CRA OWNED
PARCEL LOCATED AT THE SOUTH 54.00 FEET,
OF THE NORTH 100.00 FEET OF LOTS 1
AND 2, BLOCK 27N OF "A.L. KNOWLTON PLAT OF MIAMI", ACCORDING TO THE
PLAT THEREOF AS RECORDED IN PLAT BOOK B, AT PAGE 41, OF THE PUBLIC
RECORDS OF MIAMI-DARE COUNTY, FLORIDA , AS DETAILED IN EXHIBIT "A";
FURTHER AUTHORIZING SPECIAL COUNSEL (HOLLAND AND KNIGHT) TO PREPARE
THE NECESSARY LEGAL INSTRUMENT AND TO FULLY COMPLY WITH THE
REQUIRED 30-DAY PUBLIC NOTICE ON SAID TRANSFER.
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE
COMMUNITY REDEVELOPMENT AGENCY OF THE CITY OF MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are
incorporated herein as if fully set forth in this Section.
Section 2. The Board of Directors of the CRA hereby authorize the CRA Executive Director to ,
enter into a Quit Claim Deed with the property owner of Jackson Soul Food Restauarant for
approximately the North 0.10 Feet, subject to any reasonable changes, of the CRA owned parcel
located at the South 54.00 feet, of the North 100.00 feet, of the North 100.00 Feet of Lots 1 and 2,
Block 27N of "A.L. Knowlton Plat of Miami", according to the plat thereof as recorded in Plat
Book B, at Page 41, of the public records of Miami -Dade County, Florida, as detailed in Exhibit
"A"; further authorizing Special Counsel (Holland and Knight) to prepare the necessary legal
instrument and to fully comply with the required 30-day public notice on said transfer.
Section 3. This resolution shall be effective immediately upon its adoptions.
