A RESOLUTION OF - THE BOARD OF DIRECTORS OF THE SOUTHEAST OVERTOWN/PARK WEST COMMUNITY REDEVELOPMENT AGENCY ("CRA") AUTHORIZING THE EXECUTIVE DIRECTOR TO EXECUTE AN AGREEMENT, IN A FORM ACCEPTABLE TO THE CITY ATTORNEY, TO PROVIDE A GRANT, IN THE FORM OF A FORGIVEABLE LOAN, TO SURVIVAL MUSIC STUDIO, INC. FOR THE PURCHASE AND INSTALLATION OF EQUIPMENT TO COMPLY WITH THE REQUIREMENTS OF THE AMERICANS WITH DISABILITIES ACT ("ADA") BY MAY 10, 2002, IN AN AMOUNT NOT TO EXCEED $55,000, SUBJECT TO THE AVAILABILITY OF FUNDS FROM ACCOUNT NUMBER 689001.55001.6.940, AND SUBJECT TO THE GRANTEE PROVIDING COLLATERAL FOR THE LOAN AND COMPLYING WITH ANY AND ALL OTHER TERMS AND CONDITIONS SATISFACTORY TO THE ' EXECUTIVE DIRECTOR AND HOLLAND AND KNIGHT, LLP, SPECIAL COUNSEL; AND FURTHER DIRECTING THE EXECUTIVE. DIRECTOR: (1) TO SUBMIT THE EXECUTED AGREEMENT FOR THE LOAN WITHIN TEN DAYS FOR RATIFICATION BY THE BOARD OF DIRECTORS; (2) TO EXECUTE ALL REQUIRED LEGAL INSTRUMENTS, IN A FORM. ACCEPTABLE TO THE CITY ATTORNEY, FOR THE LOAN TRANSACTION; AND (3) TO REPORT BACK TO THE BOARD OF DIRECTORS WITHIN THIRTY DAYS ON THE PROGRESS BEING MADE TO COMPLETE THE LOAN TRANSACTION. NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE SOUTHEAST OVERTOWN/PARK WEST COMMUNITY REDEVELOPMENT AGENCY OF THE CITY OF MIAMI, FLORIDA: SEOPW / CRA 02- 63 i Section 1. The recitals and findings contained in the Preamble to this Resolution are incorporated herein as if fully set forth in this Section. Section 2. The Board of Directors authorizes the Executive Director to execute an agreement, in a form acceptable to the City Attorney, to provide a forgivable loan to Survival Music Studio, Inc. for the purchase and installation of equipment to comply with the requirements of the Americans With Disabilities Act (ADA) by May 10, 2002, in an amount not to exceed $55,000, subject to the availability of funds from account number 689001.55001.6.940, and subject to the grantee } providing collateral for the loan and complying with all other terms and conditions satisfactory to the Executive Director and Holland and Knight, LLP, Special Counsel. Section 3. The Executive Director is further directed: (1) to submit the executed agreement for the loan within ten days for ratification by the Board of Directors; (2) to execute all required legal instruments, in a form acceptable to the City Attorney, for the loan transaction; and (3) to report back to Page 2 of 3 SE®Pw/CR 02-- the Board of Directors within thirty days on the progress being made to complete the loan transaction. The CRA Board of Directors hereby authorizes the CRA Executive Director to provide a forgivable loan to Survival Music Studio, Inc. in an amount not to exceed $55,000, subject to the availability of funds from account number for the purchase and installation of equipment to comply with the requirements of the American with Disabilities Act(ADA) by May 10, 2002 subject to the grantee providing a collateral and other such terms and conditions satisfactory to the Executive Director and Special Counsel (Holland and Knight); and further, authorizing the Executive Director to execute all such required legal instruments necessary to carry out this request and to report back to the CRA Board in thirty (30) days and to submit a contract for ratification, and requiring that all necessary action be completed within ten (10) working days.
