WHEREAS, Pudgie's Famous Chicken has advised the CRA of its lack of financial funding and subsequently withdrew from contract negotiations with the CRA for the Food Franchise Project; and WHEREAS, Pudgie's Famous chicken was the sole respondent to the CRA's RFP for a National Brand Food Franchise for the Overtown Redevelopment Area; and WHEREAS, the CRA desires to re -advertise the RFP for a National Food Franchise, and to execute an Agreement, in a form SE®PW/CRA 0 2 -r 31 L D acceptable to the City Attorney, with the successful qualified respondent. NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE SOUTHEAST OVERTOWN/PARK WEST COMMUNITY REDEVELOPMENT AGENCY OF THE CITY OF MIAMI, FLORIDA: Section 1. The recitals and findings contained in the Preamble to this Resolution are incorporated herein as if fully set forth in this Section. Section 2. The CRA Board of Directors hereby acknowledges the withdrawal of Pudgie's Famous Chicken Franchise from contract negotiations with the CRA for the National Brand Food Franchise for the Overtown Redevelopment Area. Section 3. The CRA Board of Directors hereby authorized the Executive Director to re -advertise the RFP for a National Brand Food Franchise for a period of 30 days in media publication(s) of general circulation and further authorizing the Executive Director to execute an Agreement, in a form acceptable to the City Attorney, with the successful qualified respondent. BACKGROUND The CRA is in receipt of a letter from the Stephana Clark & Company, a franchisee of Arthur Treachers Inc., indicating that the application of Stephana Clark & Company to obtain operating funds in the amount of $500,00 for the Pudgie's Famous Chicken franchise was not approved. Subsequently, Stephana Clark & Company voluntary withdrew from contract negotiations with the CRA due to their inability to meet the project guideline threshold of $2.5MM needed to proceed with a project of this magnitude. Stephana Clark & Company was the sole respondent to the CRA's Request for Proposals ("RFP") for a National Brand Food Franchise for the Overtown Redevelopment Area. The opportunity to expand our operations into the City of Miami's Overtown community is something that we would like to continue to negotiate. We are currently working with Arthur Jones in our efforts to bring this idea to fruition. Together we can'design a plan that can increase economic opportunity in this target urban area. By utilizing the resources that we have on hand, this initiative can be a pilot project that grows to other areas of the City of Miami. In the event that you re -advertise the grant, we will work with the potential franchisee towards a contractual agreement. Currently, we have franchises in other states that are in similarly situated urban environments. Those franchises are financially sound and employ people from the surrounding community. Hence, we envision the Overtown Franchise as a means of economic development through employment, food distribution, marketing and business ownership. Introduction This RFQ is offered under the auspices of the City of Miami Southeast Overtown Park West ("SEOPW") Community Redevelopment Agency, herein after referred to as ("CRA"). The SEOPW CRA is under the leadership of City of Miami Commissioners Arthur E. Teele, Jr., and Johnny Winton, Chairman and Vice -Chairman respectively: the Board of Directors is comprised of Commissioners, Angel Gonzalez, Tomas Regalado, and Joe Sanchez. (A) As part of an ongoing redevelopment effort for Overtown's Historic [D.A. Dorsey Way] NW 3rd Avenue Business Corridor (see Exhibit A), the Southeast Overtown/Parkwest and OMNI Redevelopment agencies, collectively the Community Redevelopment Agency (CRA) is seeking a successful, qualified national brand Franchise owner, Operator or Respondent (the "Operator") to operate a Franchise food restaurant (the "Franchise") to be located along NW 3rd Avenue. The CRA will assist in the renovation of the exterior shell of an existing 2,259 square foot building located on the southeast corner of NW P Avenue and NW 121h Street in the City of Miami. The CRA will consider assistance for demolition and site clearance costs for a Franchise and/or Operator that prefers to construct a new facility. The CRA will further consider negotiations for interior build -out, fixtures, furniture and equipment purchase as set forth herein. Accordingly, the CRA will enter into an appropriate lease agreement with the Operator. (B) The acquisition of a Franchise is part of a broader CRA redevelopment effort to redefine and redevelop the Southeast Overtown ("Overtown") commercial district within the boundaries of the CRA. The Overtown area is a 9,000 person low income, light industry community situated within a designated Federal Enterprise Community and Empowerment Zones ("ECEZ Zones") Both designations provide business owners and investors with significant technical assistance, as well as significant tax incentives for hiring qualified applicants from the Overtown / Park West — area. The CRA will consider providing additional incentives, including lease agreement payment adjustments for businesses that hire Overtown and Parkwest residents and/or make certain other investments in the community as detailed within this RFQ. (C) The Franchise location has easy access to major traffic arteries. Although Overtown has never had a Franchise restaurant, a number of food outlets have been quite successful in the area. Indeed the CRA, in evaluating RFQ Respondents, will consider to what degree the proposed Franchise broadens the food offering in Overtown as opposed to directly competing with food establishments already in operation in Overtown. (D) The CRA is committed to job creation and retail redevelopment on the Business Corridor and expects the Franchise to generate employment in the Overtown area. The Franchise will be the first major commercial investment made by the CRA on the Corridor and will provide the impetus for future investment and growth. 3 of 37 SEOPW / CRA ®2- 31 CRA 01-04-RFQ-17 FRANCHISE SITE Property Location: Address: 1163 NW 3" Avenue Miami, Florida 33130 (Southeast corner of NW 3rd Avenue and NW 12`h Street) Located within the CRA's redevelopment zone designated as Overtown's Historic [D.A. Dorsey Way] NW 3rd Avenue Business Corridor. Other elements of the revitalization plan include construction of a Job Creation Plaza and off-street parking facilities, streetscape improvements such as street lighting, landscaping, and building fagade improvements Lot Size: 1,769 sq. ft. (See As Built Drawings, Appendix B) Parking ♦ Room for several parking spaces on the property itself. ♦ On -street parking in front. ♦ Off-street parking facility directly across NW 3rd Avenue with forty spaces (under construction) Traffic Count (1995 —intersection of NW 3 rd Avenue and NW 20`h Street — eight blocks north of site): ♦ 4,124 vehicles per day on North / South routing ♦ Noticeable spikes during peak hours ♦ Substantial pedestrian traffic 4 of 37 SEOPW/CRA 02- 31 CRA 01-04-RFQ-17 M FRANCHISE BUILDING Building Size: 2,259 sq. ft. Footprint: (59'8" along NW 121h Street and 27'6" along NW 3Td Avenue) Area First Floor 1,483 Sq. ft Area Second Floor 681 Sq. ft Construction: Concrete masonry, wood framing with plastered drywall partitions, and a mezzanine level made of wood framing floor supported by steel columns. Estimated Costs: $200,000 - $500,000 to renovate the shell of the building (not including interior build - out) to the point where an Operator could utilize the space. The CRA is prepared to entertain a request to fund this level of improvement presuming that an experienced Operator with a solid business plan has been identified and a lease is executed. The CRA will also consider funding the costs associated with demolition of the existing building and lot clearance for an Operator that prefers to build a new facility for the Franchise. The lease will spell out the particular terms and timetable for the renovation and/or demolition of the building and the Operator's timetable for restaurant build -out. Section IV: Qualifications of Operator (A) The CRA is seeking an Operator that: 1. Has prior experience in the operation of food Franchise or food establishments in South Florida. 2. Has proven management/development skills in food service operation. 3. Has lineage to the Overtown area (not mandatory, but will be given "bonus " points during the RFQ Respondent evaluation process) 4. Is financially sound. 5. Is willing to retain and devote experienced staff to insure the success of this revitalization effort. 6. Is committed to the employment of qualified Overtown/Park West area applicants. (B) Letter from the proposed national brand Franchisor in support of the NW 3d Avenue proposed Franchise site is required as part of this RFO Respondent's package. Any Respondent that fails to include such a letter will be deemed non -responsive. SEOPW/CRA 02- 31 CRA 01-04-RFQ-17 Section V: CRA Assistance and Federal Enterprise Community and Empowerment Zone Benefits (A) The Franchise and the Operator will be entitled to certain direct and indirect benefits as a result of locating within the CRA Redevelopment Zone, the Federal Enterprise Community and the Federal Empowerment Zone. In return for an executed lease agreement, benefits to the Operator may include: 1. CRA Direct Benefits: a) Renovation of the exterior shell of the existing building and site improvements. b) Potential funding for interior build -out. c) Potential funding for the purchase of fixtures, furniture and equipment. d) Potential adjustments to the applicable lease agreement payments in return for the Operator's commitment to: i. Train and employ a specified number of qualified applicants, for both service and management positions, from the Overtown/Park West area ii. Provide eligible employees with Franchise or employment benefits such as health insurance, retirement plans, child care, education and advancement opportunities iii. Hire uniformed security guards to patrol the Franchise, Job Creation Plaza, parking facilities and surrounding areas 2. Federal Enterprise Community Zone Direct Benefits: Corporate tax incentives and credits for hiring qualified applicants within the zone. (These benefits have been used by other food service Operators in other enterprise communities throughout South Florida to enhance performance and profitability.) 3. Federal Empowerment Zone Direct Benefits: a) Federal tax incentives and credits for hiring qualified applicants within the zone. b) Potential funding and/or financing for infrastructure improvements 4. CRA Indirect Benefits: Over the next three years, the CRA will make improvements to public parking, lighting, security, streetscape and other infrastructure on the Corridor. These improvements are in accordance with the CRA's five-year redevelopment plan and have been approved by the City of Miami Commission and the CRA Board of Directors. aE0.PW/CRA 7 of 37 Q 2 - 31 M CRA 01-04-RFQ-17 Section VI: Lease Term Negotiations (A) The lease agreement will be the result of negotiations between the CRA and the Operator and executed by the CRA Board of Directors and the Operator. (B) The CRA will negotiate a triple net base lease on the Franchise site and building consistent with the CRA commitments as outlined in this RFQ, to provide assistance in renovating the exterior shell of the existing building and make site improvements. (C) If the Operator prefers to lease the site only and build their own building, the CRA will cover all costs associated with the demolition of the existing building and clearance of the site and negotiate a ground lease. (D) All utility, maintenance, and on -going operating costs are the sole responsibility of the Operator. (E) A maximum term and conditional lease extension options will be subject to negotiation (F) The CRA will consider funding agreed upon costs for the interior build -out, and furniture, fixtures, and equipment in return for a monthly payment to be determined based upon the relative cost of the items on an amortized and depreciated basis. (G) In addition, the CRA will consider a methodology of offsetting applicable lease arrangement payments in conjunction with the Operator's commitment to: 1. Train and employ a specified number of qualified applicants from the Southeast Overtown/Park West neighborhoods in both service and managerial positions. 2. Provide employee benefits such as health insurance, retirement plans, child care, educational and advancement opportunities, 3. Provide uniformed security guards and off -duty police presence to patrol the Franchise, Job Creation Plaza, parking facilities and surrounding areas. 4. Long term and written corporate support for Overtown youth organizations such as the Optimist Club, Booker T. Washington High School, St. Francis Xavier School, Police Athletic League, or other accredited and existing youth organizations in Overtown. (H) The formula and terms for determining the rental credits for the above objectives will be negotiated between the CRA and the successful Respondent to this RFQ. 8 of 37 SEOPW/CRq 02— 31 CRA 01-04-RFQ-17 Section VII: Operator Responsibilities (A) The Operator shall be responsible for the following: 1. Secure Franchisor Agreement: Obtain, negotiate and pay any and all fees or other monies associated with the Franchisor Agreement prior to or concurrent with the execution of the applicable lease or sublease agreement with the CRA. The CRA will not participate in the financing nor will the CRA provide any assistance in the payment of such fees. The inability of an applicant to successful demonstrate the financial capacity to pay all such fees may subject the applicant to disqualifications from further consideration. In the event that a Franchisor responds directly to this RFQ, or is apart of an ownership group that responds directly to this RFQ, this requirement will not be relevant. 2. Interior Build -out: The interior build -out of the building including design and construction of the interior space, and installation of all furniture, fixtures, and equipment. (The CRA may fund a portion or all of the interior build -out, but will not oversee the construction or installation of Franchise required fixtures, furniture and equipment.) 3. Operations and Financial Management: All costs associated with the operations; however, if the Operator is in default of the lease or monthly payments are in arrears, the Operator will be required to submit to the CRA, monthly financial reports. In addition, the Operator is required to procure a qualified Florida Certified Public Accountant to perform an annual independent audit. This auditor shall be subject to approval by the CRA and the audit shall be submitted annually to the CRA. The failure to submit such auditor's statements within ninety (90) days of the close of the fiscal year shall constitute a default. 4. Facility Maintenance and Repairs: All maintenance, whether routine, periodic or preventative in nature. The Operator must procure their own service contracts with maintenance providers (These contracts should run concurrent with the Operator's lease). 5. Capital Planning and Capital Projects: All capital planning for the Franchise including the replacement of fixtures, furniture and equipment as needed. In the event the CRA participates in the funding, the CRA may require the Operator to make regular monthly or quarterly "reserve" deposits to fund these replacements. 6. Insurance, Bonding and Hold Harmless Agreement: The CRA will inform the Operator of required reasonable insurance coverage levels with respect to the property and its operations, and the Operator will cause such insurance to be placed and kept in effect at all times. Premiums will be treated as operating expenses. All insurance required in the applicable lease agreement will be placed with companies on conditions, in amounts, and with beneficial interests appearing thereon as shall be acceptable to the CRA. Said insurance will include public liability coverage for the CRA. The Operator will promptly report to the insurance company and the CRA all accidents, claims, and potential claims for damage related to the leased Franchise property and its operations, and will cooperate with the CRA's insurers in connection therewith. The Operator will SEOPW/CRA 9 of 37 0 2 _ 31 M CRA 01-04-RFQ-17 request the insurance company to furish an annual report to the CRA listing all claims paid or reserved for payment. (B) For general liability coverage, the Operator will be required to provide the CRA with a certificate of insurance that names the CRA or an assignee as an additional insured. Additionally, the Operator agrees that it will hold the CRA harmless for any acts of negligence on behalf of its staff, agents, and employees, and from any and all claims or liability for any injury or damage to any person or party occurring in, on, or about the premises or any part thereof, resulting from the negligence of the Operator, its employees, agents, or personnel. All of the above shall be provided for the full term of the lease agreement. Section VIII: Submission Requirements - Including BID BOND ($4,000) The CRA will utilize a two -stage evaluation process for selecting the qualified Franchise Operator. The first stage will be used to short-list qualified RFQ Respondents, while the second stage will include an interview with the selection committee. (A) RFQ Respondents shall provide the following as evidence of their qualifications in the order listed: 1. Letter of Transmittal 2. A letter from the proposed national brand Franchisor in support of the NW P Avenue site and of the acceptance of the Operator. This letter of support is required as part of this RFQ Respondent's package. 3. List of all food outlets owned or managed by the Operator currently and over the last several years with information on location, name, size of the facility, number of employees, and annual gross sales. 4. A narrative/Franchise concept (and optional concept drawing) describing the Franchise. The narrative should be in sufficient detail that the selection committee may gain a sense of the estimated required investment, timing for opening, positioning in the market, staffing and other operational issues. 5. The Operator's last two financial statements that indicate the financial health and financial expertise of the Respondent. 6. The address of the RFQ Respondent's corporate (National Brand Franchisor) office (using the form in Attachment D). 7. Show by category, the number of employees who are African -American, Hispanic, Asian, White Non -Hispanic, and Other for the list of food related outlets in number (3) above. For each of these categories provide an indication as to what percent of each group are in 10 of 37 SEOPW/CRA 02- 31 Y I CRA 01-04-RFQ-17 **MW managerial or executive positions (Attachments B). 8. An indication of the RFQ Respondent's lineage to Overtown. (i.e., the RFQ Respondent is an Overtown resident, a previous Overtown resident, or the heir of a current or previous Overtown resident, or a business owner or previous business owner of Overtown. Mere property owners should indicate the exact location and condition of Overtown property. 9. Completed Forms and Documents included in the Section XIX: Attachments 10. A bid [qualifications] bond, or letter of credit, or cashier check drawn on a Florida bank in the amount of four thousand dollars ($4,000) is required at the time of submission. Section IX: Evaluation Process and Selection Criteria The RFQ submissions/proposal shall be based upon six factors: (1) Strength of support letter from Franchisor, (2) Food franchise experience, (3) South Florida experience relating to operations, (4) Franchise concept, (5) Ethnic make up of franchise, and (6) Evaluations by the Selection Committee. (A) First Stage A technical committee comprised of appropriate CRA staff and City of Miami staff will evaluate all RFQ proposals. Respondents that obtain the highest scores, adding together the first three factors, will become finalists and asked to appear for the Second Stage of the RFQ process. (B) Second Stage A selection committee comprised of CRA staff, and members of the Overtown and broader Miami community will interview each short-listed Respondent and present its recommendation to the CRA Executive Director who will then present her final recommendation to the CRA Board of Directors. The CRA Board of Directors has the sole authority to award contracts on behalf of the CRA. (C) After all finalists are interviewed, the short-listed Respondents will be ranked according to their accumulated scores based on all six factors plus "bonus points", if applicable. The Respondents with the highest scores in rank order (including "bonus points") will be forwarded to the CRA Executive Director for her final recommendation to the Board. Strength/market share of the Franchisor's "brand" advertising , marketing franchise locations, public awareness and other such factors of the Franchisor (12.5 points) Note: Letter from the proposed national brand Franchisor in support of the NW 3rd Avenue proposed Franchise site is required as part of this RFQ Respondent's package. Any Respondent that fails to include such a letter will be deemed non- responsive. 2. Demonstrated successful food and/or food Franchise start-up and operating experience by the Respondent. (20 points) 3. South Florida experience related to the operation of Franchise/restaurant outlets by the Respondent.(5 points) (E) Some or all of the Respondents that obtain scores closest to 50 in the first stage will be asked to provide: (Total possible score = 50 points) 1. Concept/narrative for the proposed food Franchise and the ability to broaden the food offerings to patrons in the Overtown area. (15 points) 2. Demonstrated Empowerment zone and residents and diversity representation in the ownership, workforce, and at the professional and executive levels (10 points) 3. Evaluation based upon the appearance for an interview and responses to the selection committee's questions, by the Respondent, and the overall quality of the Franchisor's support for the Respondent. (25 points) (F) Bonus Points: The committee may award up to an additional fifteen (15) points to any finalist who can show that they are a current resident or business owner of Overtown, a previous resident or business owner of Overtown, or is the heir of a current or previous resident or business owner of Overtown. Mere current property owners in Overtown shall be entitled to consideration for bonus points up to five (5) points. (G) In addition to the ranking by the selection committee, the CRA Executive Director shall consider the "National `Fast Food' Franchisee Opportunity" policy statement created by the CRA Board dated February 26, 2001 prior to making the final recommendation. This policy statement is hereby incorporated by reference in this document and made apart of this document and can be found in Exhibit D. (H) Rules, Regulations, and Licensing Requirements SECPW/CRA 12 of 37 02- 31 CRA 01-04-RFQ-17 The RFQ Respondent and their staff must possess all required licenses and permits required to do business in the City of Miami. In addition, the RFQ Respondent shall comply with all laws, ordinances, and regulations applicable. RFQ Respondents are presumed to be familiar with all federal, state, and local laws, ordinances, codes, rules, and regulations that may in any way affect the services. The Operator, their employees and agents, and others entering into the property in connection with the work, shall at all times while on the CRA's premises observe and be subject to such rules and regulations as the CRA may from time to time promulgate. (I) Term of Lease Agreement The term of the lease will be negotiated and established based upon the proposed Franchise concept provided by the RFQ Respondent, the required capital investment of the Respondent, and other agreed incentives set forth in the Respondents proposal. (J) Time Line for Completion and Opening of Facility The contract/lease agreement with the Operator will outline a detailed time line for performance related to the completion of construction and the opening of the food outlet. (K) Submission Package An unbound original and eight (8) unbound copies (a total of nine) of the complete submission qualification package must be received by the City Clerk's Office, City of Miami / City Hall, 3500 Pan American Drive, Miami, FL 33133 no later than 2:00 PM on , 2002. The submission package (original and all copies) must be submitted in a sealed envelope, labeled with the following information: RFQ Respondent's name, address, phone number, the due date of , 2002 and the RFQ title "Request for Qualifications for a Franchise". The submission package must be signed (either on the cover or in a letter of transmittal) by an officer of the Respondent who is legally authorized to enter into a contractual relationship in the name of the Respondent. Any assignment or subletting by the Respondent will be subject to a buy-out by the CRA at its appraised value less unpaid investments made by the CRA. Section 2-302 of the Code states that no City officer, official, employee or board, commission or agency member, or a spouse, son, daughter, parent, brother or sister of such person, shall enter into any contract, transact any business with the City, or appear in representation of a third party, before the City Commission. This prohibition may be waived in certain instances by the affirmative vote of 4/5 of the CRA Board, after a public hearing, but is otherwise strictly enforced and remains effective for two years subsequent to a person's departure from City employment or board, commission or agency membership. (B) This prohibition does not preclude any person to whom it applies from submitting a bid or proposal. However, there is no guarantee or assurance that such person will be able to obtain the necessary waiver from the City, even if such person were successful in the Request for Qualifications process. Such request for interpretation may be made in writing up to seventy-two (72) hours prior to RFQ submission. The Executive Director's determination shall be rendered in writing within two (2) working days of receipt. An appeal of any such decision may be made in writing to the City Attorney, City of Miami, whose written decision shall be final. The CRA Board will not entertain any requests for clarification or challenge to this RFQ after responses have been received. The Board, however, reserves the right to make the final decision regarding the final determination of the successful Respondent. (B) The determination and definition of a "National Brand Fast Food Franchise" shall be made by individuals selection and technical committee members based upon the points assigned by each member. It is the intent of the CRA to encourage not only established National Brand Franchise, but also to encourage emerging and start-up Franchisors at the designated location. Therefore, a National Brand Food Franchise may in fact be regional or emerging, however, such Franchisors shall clearly have numerous outlets (le, 5 or more) and shall have an identifiable brand in the South Florida marketplace, an advertising and promotional budget, and approvals by appropriate State and Federal agencies to engage in franchising and trade activities; in other words, such emerging or regional franchise must have the potential for becoming a National Brand.
