A RESOLUTION OF THE BOARD OF DIRECTORS OF THE SOUTHEAST
OVERTOWN/PARK WEST (SEOPW) COMMUNITY REDEVELOPMENT
AGENCY (CRA) AUTHORIZING THE CRA EXECUTIVE DIRECTOR TO ENTER
INTO AN AGREEMENT WITH STEWART BARNES, LLP, IN A FORM
ACCEPTABLE TO CRA GENERAL COUNSEL FOR GOVERNMENT AND
PUBLIC AFFAIRS REPRESENTATION, IN AN AMOUNT NOT TO EXCEED
$78,000 SUBJECT TO THE AVAILABILITY OF FUNDS FROM ACCOUNT

NOW THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE
SEOPW COMMUNITY REDEVELOPMENT AGENCY OF THE CITY OF MIAMI,
FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are
incorporated herein as if fully set forth in this Section.
Section 2. The Executive Director is hereby authorized to enter into an agreement with
Stewart Barnes, LLP, in a form acceptable to CRA General Counsel for Government and Public
Affairs Representation, in an amount not to exceed $78,000 subject to the availability of funds from
account number
Section 3. This resolution shall be effective immediately upon its adoption.

RECOMMENDATION
It is respectfully recommended that the CRA Board of Directors approve the attached resolution
authorizing the CRA Executive Director to enter into an agreement with Stewart Barnes, LLP, in a
form acceptable to CRA General Counsel for Government and Public Affairs Representation, in an
amount not to exceed $78,000.
BACKGROUND
On May 30, 2002, the CRA Board adopted resolutions SEOPW/CRA R-02-97 and OMNI/CRA R-02-
36 authorizing the CRA Executive Director plan a site visit to Beale Street in Memphis, Tennessee.
Stewart Barnes LLP currently represents the Memphis Area Chamber of Commerce and can act as the
liaison for the coordination of the site visit. In addition, Stewart Barnes LLP can seek federal line item
appropriations for the preliminary design and long term planning of community and economic
development projects in the CRA redevelopment areas including the Entertainment Districts and the
Grande Promenade project. The CRA is forwarding this resolution for approval to secure funding
commitments from the 2003 appropriations currently being delegated.

Government and Public Affairs Representation
Between the City of Miami —
Community Redevelopment Agency
And
Stewart Barnes LLP
I. Introduction
This Agreement dated 18th of June, 2002 is entered into by and between the City of Miami —
Community Redevelopment Agency ("CRA"), the client, and Stewart Barnes LLP ("SB"),
the representative. Stewart Barnes, a Washington, DC based government and public affairs
firm, agrees to provide government and legislative affairs representation to the City of Miami
- CRA, a local government agency located in Florida.
II. Scope of Work
Services provided under this agreement are as follows:
1) Management of federal budget and appropriation issues — SB agrees to seek,
on behalf of the CRA, federal line -item appropriations for the purposes of
preliminary design and long term planning of community and economic
development projects in the City of Miami. Projects include, but are not limited to:
1) the Jazz and Blues Overlay District (Omni Redevelopment area); 2) the Gospel,
Jazz and Blues Overlay (Southeast Overtown Redevelopment area); 3) the Club
Entertainment District (Parkwest Redevelopment area); and 4) the Grande
Promenade Project.
2) Washington Liaison and Site Visit Coordination — SB agrees to serve as
liaison between CRA, its Commissioners, Members of Congress and federal
agencies, in an ongoing effort to increase the agency's presence in Washington and
on the national level. SB also agrees to assist CRA in planning and coordinating site
visits to cities and local communities around the country.
3) Develop Strategic Partnerships — SB agrees to assist CRA in developing
strategic partnerships with private sector entities who could potentially serve as
project development collaborators.

III. Contract Duration
The services outlined above shall begin July 1, 2002, and conclude June 30, 2003.
IV. Compensation and Payment Schedule
The compensation for SB's services shall be five thousand dollars ($5,000.00) per month, with a
monthly expense cap of fifteen hundred dollars ($1,500.00). In addition, SB shall be paid a bonus in
the amount of 10% of the value of any and all federal line -item appropriations secured for CRA.
This bonus is due and payable with in 30 days of the publishing of the line -item appropriation.
Please Note: By federal law, SB cannot be compensated (including bonus) using federal
appropriated funds.
Payment Schedule: SB agrees to provide an invoice by the 15`h of each month with payment for
services rendered due by the last calendar day of the same month.
