A RESOLUTION OF THE BOARD OF DIRECTORS OF
THE SOUTHEAST OVERTOWN/PARK WEST COMMUNITY
REDEVELOPMENT AGENCY ("CRA") AUTHORIZING THE
EXECUTIVE DIRECTOR TO EXECUTE AN AGREEMENT,
IN A FROM ACCEPTABLE TO THE CITY ATTORNEY,
WITH UNDERPOWER CORPORATION FOR THE
MAINTENANCE OF STREETLIGHTS IN THE COMMUNITY
REDEVELOPMENT AREA.
WHEREAS, the Southeast Overtown/Park West Community
Redevelopment Agency ("SEOPW/CRA") is responsible for carrying
out community redevelopment- activities and projects in the
Community Redevelopment Area established pursuant to the CRA
Redevelopment Plan; and
WHEREAS, the provision and maintenance of street lighting
is an integral part of services provided for citizens in the CRA

area; and
WHEREAS, the CRA wishes to provide said service at a
reasonable cost.
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS OF
THE SOUTHEAST OVER.TOWN/PARK WEST COMMUNITY REDEVELOPMENT AGENCY
OF THE CITY OF MIAMI, FLORIDA:

Section 1. The recitals and findings contained in the
Preamble to this Resolution are incorporated herein as if fully
set forth in this Section.
Section 2. The CPA Board of Directors authorizes the
CRA Executive Director to execute an agreement, in a form
acceptable to the City Attorney, with Underpower Corporation for
the maintenance of streetlights in the SEOPW Redevelopment Area.
Section 3. The Resolution shall be effective upon its
adoption.

Recommendation
It is recommended that the CRA Board of Directors authorize the CRA Executive
Director to enter into a Maintenance Agreement with Underpower Corporation for
maintenance of streetlights in the SEOPW CRA.
Background
In August of 2001, residents of `Poinciana Village' reported streetlight outages. The
Department of Public Works in response requested informal bids for the
repair/replacement work that was required to solve the problem. In so doing they also
requested a bid for the maintenance of those streetlights. Realizing that the area is the
responsibility of the CRA, the bids were forwarded and the action taken to effect repairs.
The maintenance issue still exists and is to be addressed via a management agreement
with the lowest bidder.

Elements to be included in the Maintenance Agreement between CRA & Underpower:
➢ Five day turn around once reported by the CRA — set an allowance for "acts of
god", any other type of emergencies
➢ Responsible for all costs associated with maintenance, repair and replacement of
all lighting and cables and fixtures
➢ Coverage area will include CRA SEOPW boundaries
➢ Number of poles will be provided by the CRA and price is as quoted their
proposal for street light maintenance ($9.40 per fixture)
➢ Require $1 M in liability and name the CRA and the City as additional insured
➢ Hold harmless language
➢ Provide the name of a 24 hour person that the CRA and/or City can contact for
repairs
➢ They take instruction from CRA Executive Director and/or designees
➢ Number of street lights may increase based on the economic development activity
in the CRA

MAINTENANCE AGREEMENT
This maintenance
agreement
("Agreement") is
entered into
this
day
of
2001 (but
effective
as of
), by
and
between
the
Community Redevelopment Agency ("CRA"), an agency and instrumentality of the City of
Miami, a municipal corporation of the State of Florida ("City"), and Under Power Corporation, a
corporation ("Provider").
RECITALS:
A. The CRA is in need of a company to provide maintenance, repair, replacement
and other services to the street light system located with the CRA ("Services").
B. Provider possesses all necessary qualifications and expertise to perform the
Services.
C. The CRA wishes to engage the services of Provider, and Provider wishes to
perform the services for the CRA, under the terms and conditions set forth herein.
NOW, THEREFORE, in consideration of the mutual covenants and promises herein
contained, Provider and the CRA agree as follows:
TERMS:
1. RECITALS: The recitals are true and correct and are hereby incorporated into and made
a part of this Agreement.
2. TERM: The term of this Agreement shall be
commencing on the effective date hereof.
3. SCOPE OF SERVICE:
SEOPW /CRA
A. Provider agrees to provide the Services as specifically described, and subject to
the special terms and conditions set forth in Attachment "A" hereto, which by this reference is
incorporated into and made a part of this Agreement.
B. Provider represents and warrants to the CRA that: (i) it possesses all
qualifications, licenses and expertise required for the performance of the Services; (ii) it is not
delinquent in the payment of any sums due the CRA or the City, including payment of permit
fees, occupational licenses, etc., nor in the performance of any obligations to the CRA or the
City, (iii) all personnel assigned to perform the Services are and shall be, at all times during the
term hereof, fully qualified and trained to perform the tasks assigned to each; and (iv) the
Services will be performed in the manner described in Attachment "A".
4. COMPENSATION:
A. The amount of compensation payable by the CRA to Provider shall be $9.40 per
fixture, per month. However, that in no event shall the amount of compensation exceed
$ [per year].
B. Payment shall be made within forty-five (45) days after receipt of Provider's
invoice, which shall be accompanied by sufficient supporting documentation and contain
sufficient detail, to allow a proper audit of expenditures, should CRA require one to be
performed. If Provider is entitled to reimbursement of travel expenses, then all bills for travel
expenses shall be submitted in accordance with Section 112.061, Florida Statutes.
5. OWNERSHIP OF DOCUMENTS: Provider understands and agrees that any
information, document, report or any other material whatsoever which is given by the CRA to
Provider or which is otherwise obtained or prepared by Provider pursuant to or under the terms

Re: Lighting Maintenance for the Overtown area..
Thank you for giving me the opportunity to offer you my services.
I am very familiar with most of the cities lighting systems and offer a price;of $11.50 per
luminaire per month to maintain the lighting systems in the Overtown area. This price
will cover everything but natural disasters like hurricains, tornados ext.,
All systems shall be patrolled to guarantee at least 95% of the system to be functional
every month at all times.
Vandalism shall be taken under consideration Some of your systems have suffered heavy
vandalism I can absorb some of the cost to repair the minor damages but the systems that
have heavy damage shall be repaired at the cost of the city before being considered for
maintenance. After maintenance is in effect vandalism shall be absorbed 100°lo by the
contractor.

Description: Authorization to enter into a Maintenance Agreement with Underpower
Corporation.
Question:
Why did the CRA not contract with FPL for the maintenance of street lighting in the
SEOPW district?
Response:
The fact that FPL did not perform the original installation as is their policy is not
maintain those installations and if they do decide to provide maintenance services it will
be at a high cost. (Mr. Hernandez can provide additional information as this is his area of
expertise)
Additionally, Underpower Corporation, the lowest bidder for the repair work performed
in the Sawyer's Walk area, was also the lowest bidder for the maintenance services.
