A RESOLUTION OF THE BOARD OF DIRECTORS OF
THE SOUTHEAST OVERTOWN/PARK WEST COMMUNITY
REDEVELOPMENT AGENCY ("CRA") AUTHORIZING THE
EXECUTIVE DIRECTOR TO EXECUTE AN AGREEMENT,
IN A FORM ACCEPTABLE TO THE CITY ATTORNEY,
WITH THE CHURCH OF DIVINE MISSION, INC.
("CHURCH") PROVIDING FOR: (1) THE PURCHASE
OF REAL, PROPERTY LOCATED AT 910 NORTH WEST
2ND AVENUE FOR AN AMOUNT NOT TO EXCEED
$252,000; (2) CLOSING OF THE PURCHASE
TRANSACTION WITHIN NINETY DAYS OF EXECUTION
OF THE AGREEMENT; (3) A DATE CERTAIN FOR
INSPECTION OF THE PHYSICAL CONDITION AND
TURNOVER OF POSSESSION OF THE PROPERTY; AND
(4) THE MEMORIALIZATION OF THE CONTRIBUTIONS
OF RABBI KING AND THE CHURCH TO THE OVERTOWN
COMMUNITY WITH A VIDEO AND BRONZE MARKER AND
THE PRESERVATION OF RABBI KING'S IMAGE
PAINTED ON THE WEST SIDE OF THE STRUCTURE.
WHEREAS, the CPA is responsible for carrying out community
redevelopment activities and projects in the CRA Redevelopment
Area established pursuant to the CRA Redevelopment Plan; and
WHEREAS, the CRA Redevelopment Plan Phase I of the March
31, 1983 Interlocal Agreement between the City of Miami/CRA and
Miami -Dade County provides for the acquisition of land in Block
26 for demolishing or rehabilitation, as called for by the

Redevelopment Plan of the CPA of the Overtown Redevelopment
Pilot Program within the subsection of the Redevelopment Area,
between North West 8th Street and North West 11th Street; and
WHEREAS, the CPA is negotiating the acquisition of the
improved real property located at 910 North West 2nd Court,
Miami, Florida, Folio No. 01-0102-060-1230, owned by the Church
of Divine Mission, Inc. ("Church") and which also is part of the
Estate of Rabbi King; and
WHEREAS, Muriel King, daughter of Rabbi King, has agreed to
finalize negotiations for a purchase price within a range
recommended by the Church counsel's asking price,
notwithstanding CRA's appraisal of the subject property for
$142,000; and
WHEREAS, CRA's study of Phase I of the Redevelopment Plan,
using condemnation results, indicates that real property has
been bought and sold at costs in excess of their appraised
value.
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS OF
THE SOUTHEAST OVERTOWN/PARK WEST COMMUNITY REDEVELOPMENT AGENCY
OF THE CITY OF MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the
Preamble to this Resolution are incorporated herein as if fully
set forth in this Section.

Section 2. The Board of Directors finds that the
acquisition of the property described herein will assist the CRA
in meeting its responsibilities and purposes of the Community
Redevelopment Act of 1969 for eliminating slum or blighted
conditions within the Overtown sub -area of the Redevelopment
Plan.
Section 3. The Executive Director is authorized to:
execute an agreement, in a form acceptable to the City Attorney,
with the Church of Divine Mission, Inc. for the purchase of the
real property located at 910 North West 2nd Avenue, for an amount
not to exceed $252,000; provide for closing of the purchase
transaction within 90 days from execution of the agreement; set
a date certain for inspection of the physical condition and
turnover of possession of the property; and memorialize the
contributions of Rabbi King and the Church to the Overtown
Community with a video and bronze marker and preserve the image
of Rabbi King painted on the west side of the structure. .
Section 4. The Resolution shall be effective upon its
adoption.

It is respectfully recommended that the CRA Board of Directors approve the attached
Resolution authorizing the Acting Executive Director to enter into a purchase agreement
with Sister Muriel King, President, Divine Church Mission, Inc. ("Mission"), in a form of
the CRA Special Attorney, for the redevelopment of a' parcel of real property of Block 26
in accordance with the CRA redevelopment plan Phase I Program of the March 31, 1983
Interlocal Agreement between the County and the City/CRA.

The CRA have been for two years negotiating the acquisition of the real property (Folio
No. 01-0102-060-1230) for imllementing the redevelopment plan Phase I Program for
Block 26, not using eminent domain condemnation. We now believe that it is timely for
the CRA Board of Directors to give consideration to this opportunity to acquire the
subject real property.
Any redevelopment of Block 26 will be subject to an amended redevelopment plan work
product recently ordered by the Board of Directors of the CRA, that has also been
strongly suggested by the Miami -Dade County governing body, for final approval of the
City of Miami governing body as required by s. 163.358(2) of the Florida Community
Redevelopment Act of 1969.

WHEREAS, the Southeast Overtown/Park West Community Redevelopment
Agency (the "CRA") is responsible for carrying out community redevelopment activities
and projects in the Southeast Overtown/Park West Community Redevelopment Area
established pursuant to the CRA Redevelopment Plan; and
WHEREAS, the Southeast Overtown/ Park West Agency (CRA) Redevelopment
Plan Phase I of the March 31, 1983 Interlocal Agreement between the City/CRA and
County provides for the real estate acquisition for demolishing or rehabilitation as called
for by the redevelopment plan of the CRA of the Overtown Redevelopment Pilot
Program; and
WHEREAS, the CRA is in the negotiating process for the acquisition of the land
and accompanying apartment building located at 910 NW 2nd Court, Miami, Florida Folio
No. 01-0102-060-1230 owned by the Divine Church Mission, Inc. ("Mission") as part of
the estate of Rabbi King; and
WHEREAS, Sister Muriel King, daughter of Rabbi King, now desires to sell the
Divine Mission real property to the CRA Redevelopment Agency; and

WHEREAS, Sister Muriel King has agreed to proceed with these final
negotiations where the price of the acquisition is within a range as recommended by the
Divine Church Mission counsel's asking price of $295,000 notwithstanding our appraisal
of the said property for $142,000; and
WHEREAS, our study of the acquisition of real property within the nine blocks
Phase I of the redevelopment plan using condemnation, results indicate that real property
has been bought/sold at a costs in excess of their appraised value; and
WHEREAS, Sister Muriel King has agreed to close within 90 days of the
execution of a purchase agreement without any title conditions; and requires that the
CRA (1) provides for the memorialization of the Rabbi King and his Mission, namely in
the form of a video production and a bronze marker to be placed at a designated site (2)
provide for the preservation of the Rabbi Kings image that appears on the west side of the
structure and transporting said image to the Mission.
NOW THEREFORE, BE IT RESOLVED BY THE CRA BOARD OF DIRECTORS OF
MIAMI, FLORIDA:
Section 1. The Board of Directors hereby fords, determines and declares that
the matters set forth in the preamble to this resolution are hereby adopted and
incorporated by reference as if fully set forth in this Section.
Section 2. The Board of Directors find that the acquisition of the property
will assist the CRA of meeting its responsibilities and purposes of the Community
Redevelopment Act of 1969 for eliminating slum or blight conditions within the
Overtown sub -area of the redevelopment plan.
Section 3. The Board of Directors authorizes the CRA Acting Executive
Director to complete the negotiation of the final acquisition price for subject real
property, inclusive of the cost of the reasonable conditions requested by Sister King.
Section 4 This Resolution shall become effective immediately upon its
adoption and signature of the Chairperson of the CRA.

My father provided 20 years of continuous service to the coznrnunity, with
his contributions of food, clothing and shelter, without any financial support
from the City of Miami. In many cases, he spent his own pension to cover
the cost of the monthly mortgage in order to provide for the indigent who
resided at the Mission. This was a relief and invaluable service to Miami.
He maintained order in the immediate area due to his strict guidelines that
prohibited loitering, drugs, alcohol and unruly or belligerent behavior. He
was a great aid to the City of Miami in an area that had one of the highest
percentages of crimes.

In the Articles of Incorporation, my father stated that his heirs shall be the
managerial body of the Church of Divine Mission, and shall continue his
mission to help others. The Board members are Muriel King, his daughter;
Lee, Ding, his son; and Valencia King -Nelson, his sister-inlaw. Because
Muriel and Lee King reside in San Diego, a large percentage of the proceeds
will be used in San Diego to help the poor and educate the young. Muriel
King has been a paralegal for 12 years, and Lee King has been a chemist for
the City of San .Diego for eight years. Their characters are sound.
San Diego's cost of living standard is higher than Miami, and substantially
higher when considering replacement of the building.

Overtown is undergoing a radical change, which is significantly increasing
the value of the property. The City certainly will greatly benefit from this.
The organization should be able to benefit as well, which will allow it to
continue helping the poor for another 20 years.

Thank you for giving Miami Beach Investments -Realty the opportunity to market and
conduct a sales analysis of the above referenced property.
This parcel of real estate is described as:

The subjet property is located in the Overtown/Park West area, designated as a
redevelopment area. Miami Dade County and the City of Miami have spent considerable
amounts of money to condemn and take land to benefit Miami's inner city. A master plan
of significant impact to the subject property, would include development of over 500
condominiums, and over 120,000 square feet of commercial space, with 750 parking
spaces. i
After conducting comparable sales analysis, replacement cost analysis and local trends
influencing the real estate market pertinent to the subject property, it is our professional
opinion that the "market value", as defined, of a fee simple estate for the subject property
as of Dec. 3, 2001 is:
$295,000.00
Please be informed that the above is a " broker's price opinion", and not an appraisal. All
information used was true and correct to the best of our knowledge. We certify that we
have no present or contemplated future interest in the subject property.
The "broker's" opinion stated herein is "as of DEC. 3, 2001 and the broker cannot predict
or forecast market value in the future.
