SEOPW/CRA ITEM 10B RESOLUTION NO. ` (��� VL i4� p' —t o s A RESOLUTION OF THE BOARD OF DIRECTORS OF THE SOUTHEAST OVERTOWN/PARK WEST COMMUNITY REDEVELOPMENT AGENCY ("CRA") AUTHORIZING THE EXECUTIVE DIRECTOR TO EXECUTE AN AGREEMENT, IN A FORM ACCEPTABLE TO THE CITY ATTORNEY, WITH STEPHANA CLARK & CO., THE SOLE RESPONDENT TO THE REQUEST FOR QUALIFICATIONS ("RFQ"), TO LOCATE A NATIONAL BRAND FOOD FRANCHISE RESTAURANT IN THE REDEVELOPMENT AREA; AND DIRECTING THE EXECUTIVE DIRECTOR TO PRESENT THE EXECUTED AGREEMENT WITHIN SIXTY DAYS FOR RATIFICATION BY THE BOARD OF DIRECTORS AND TO PROCEED WITH CONSTRUCTION OF THE RESTAURANT FACILITY. WHEREAS, the City of Miami approved and adopted the CRA Redevelopment Plan pursuant to Resolution Nos. 82-755 and 85- 1247 (the "Redevelopment Plan"); and WHEREAS, the CRA is responsible for carrying out redevelopment activities and projects in the CPA Redevelopment Area established pursuant to the Redevelopment Plan; and WHEREAS, the CPA received one response to the advertised National Brand Food Franchise RFQ; and WHEREAS, the CPA desires to proceed with the National Brand Food Franchise project to be located at 1163 North West 3ra Avenue, in Overtown; and WHEREAS, the CRA desires to negotiate and enter into an agreement with this respondent and to proceed with construction of the facility restaurant. NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE SOUTHEAST OVERTOWN/PARK WEST COMMUNITY REDEVELOPMENT AGENCY OF THE CITY OF MIAMI, FLORIDA: Section 1. The recitals and findings contained in the Preamble to this Resolution are incorporated herein as if fully set forth in this Section. Section 2. The Board of Directors of the CPA authorizes the Executive Director to execute an agreement, in a form acceptable to the City Attorney, with Stephana Clark & Co., the sole respondent to the RFQ, to locate a National Brand Food Franchise Restaurant in the Redevelopment Area. Section 3. The Executive Director is directed to present the executed agreement within sixty days for ratification by the Board of Directors and to proceed with construction of the restaurant facility. Introduction This RFQ is offered under the auspices of the City of Miami Southeast Overtown Park West 'SEOPW' ,-,,,,,,munity redevelopment Agency, herein after referred to as ("CRA"). The SEOPih. CRA is under the leadership of City of Miami Commissioners Arthur E. Teele, Jr., and Johnny Winton, Chairman and Vice -Chairman respectively: the Board of Directors is comprised of Commissioners, Wifredo "Willy" Gort, Tomas Regalado, and Joe Sanchez. (A) As part of an ongoing redevelopment effort for Overtown's Historic [D.A. Dorsey Way] NW 3�a Avenue Business Corridor (see Exhibit A), the Southeast Overtown/Parkwest and OMNI Redevelopment agencies, collectively the Community Redevelopment Agency (CRA) is seeking a successful, qualified national brand Franchise owner, Operator or Respondent (the "Operator") to operate a Franchise food restaurant (the "Franchise") to be located along NW 3ra Avenue. The CRA will assist in the renovation of the exterior shell of an existing 2,259 square foot building located on the southeast corner of NW 3ra Avenue and NW 12`h Street in the City of Miami. The CRA will consider assistance for demolition and site clearance costs for a Franchise and/or Operator that prefers to construct a new facility. The CRA will further consider negotiations for interior build -out, fixtures, furniture and equipment purchase as set forth herein. Accordingly, the CRA will enter into an appropriate lease agreement with the Operator. (B) The acquisition of a Franchise is part of a broader CRA redevelopment effort to redefine and redevelop the Southeast Overtown ("Overtown") commercial district within the boundaries of the CRA. The Overtown area is a 9,000 person low income, light industry community situated within a designated Federal Enterprise Community and Empowerment Zones ("BCEZ Zones") Both designations provide business owners and investors with significant technical assistance, as well as significant tax incentives for hiring qualified applicants from the Overtown / Park West - area. The CRA will consider providing additional incentives, including lease agreement payment adjustments for businesses that hire Overtown and Parkwest residents and/or make certain other investments in the community as detailed within this RFQ. (C) The Franchise location has easy access to major traffic arteries. Although Overtown has never had a Franchise restaurant, a number of food outlets have been quite successful in the area. Indeed the CRA, in evaluating RFQ Respondents, will consider to what degree the proposed Franchise broadens the food offering in Overtown as opposed to directly competing with food establishments already in operation in Overtown. (D) The CRA is committed to job creation and retail redevelopment on the Business Corridor and expects the Franchise to generate employment in the Overtown area. The Franchise will be the first major commercial investment made by the CRA on the Corridor and will provide the impetus for future investment and growth. Dorsey Way] NW 3`d Avenue Business Corridor. Other elements of the revitalization plan include construction of a Job Creation Plaza and off-street parking facilities, streetscape improvements such as street lighting, landscaping, and building fagade improvements Lot Size: 1,769 sq. ft. Footprint: (59'8" along NW 12'h Street and 27'6" along NW 3rd Avenue) Area First Floor 1,483 Sq. ft Area Second Floor 681 Sq. ft Construction: Concrete masonry, wood framing with plastered drywall partitions, and a mezzanine level made of wood framing floor supported by steel columns. Estimated Costs: $200,000 - $500,000 to renovate the shell of the building (not including interior build - out) to the point where an Operator could utilize the space. The CRA is prepared to entertain a request to fund this level of improvement presuming that an experienced Operator with a solid business plan has been identified and a lease is executed. The CRA will also consider funding the costs associated with demolition of the existing building and lot clearance for an Operator that prefers to build a new facility for the Franchise. The lease will spell out the particular terms and timetable for the renovation and/or demolition of the building and the Operator's timetable for restaurant build -out. Section IV: Qualifications of Operator (A) The CRA is seeking an Operator that: 1. Has prior experience in the operation of food Franchise or food establishments in South Florida. 2. Has proven management/development skills in food service operation. 3. Has lineage to the Overtown area (not mandatory, but will be given "bonus" points during the RFQ Respondent evaluation process) 4. Is financially sound. 5. Is willing to retain and devote experienced staff to insure the success of this revitalization effort. 6. Is committed to the employment of qualified Overtown/Park West area applicants. (B) Letter from the proposed national brand Franchisor in support of the NW 3d Avenue proposed Franchise site is required as part of this RFO Respondent's package. Any Respondent that fails to include such a letter will be deemed non -responsive. BEOPWICRAI j 1 ` 103 CRA 01-04-RFQ-17 Section V: CRA Assistance and Federal Enterprise Community and Empowerment Zone Benefits (A) The Franchise ,n `bP Op,.Tator will be entitled to certain direct and indirect benefits as a result of locating within the CRA Redevelopment Zone, the Federal Enterprise Community and the Federal Empowerment Zone. In return for an executed lease agreement, benefits to the Operator may include: 1. CRA Direct Benefits: a) Renovation of the exterior shell of the existing building and site improvements. b) Potential funding for interior build -out. c) Potential funding for the purchase of fixtures, furniture and equipment. d) Potential adjustments to the applicable lease agreement payments in return for the Operator's commitment to: i. Train and employ a specified number of qualified applicants, for both service and management positions, from the Overtown/Park West area ii. Provide eligible employees with Franchise or employment benefits such as health insurance, retirement plans, child care, education and advancement opportunities iii. Hire uniformed security guards to patrol the Franchise, Job Creation Plaza, parking facilities and surrounding areas 2. Federal Enterprise Community Zone Direct Benefits: Corporate tax incentives and credits for hiring qualified applicants within the zone. (These benefits have been used by other food service Operators in other enterprise communities throughout South Florida to enhance performance and profitability) 3. Federal Empowerment Zone Direct Benefits: a) Federal tax incentives and credits for hiring qualified applicants within the zone. b) Potential funding and/or financing for infrastructure improvements 4. CRA Indirect Benefits: Over the next three years, the CRA will make improvements to public parking, lighting, security, streetscape and other infrastructure on the Corridor. These improvements are in accordance with the CRA's five-year redevelopment plan and have been approved by the City of Miami Commission and the CRA Board of Directors. 7 of 31 E2 CRA 01-04-RFQ-17 Section VI: Lease Term Negotiations (A) The lease agree-ment will be the result of negotiations between the CRA and the Operator and exc;,uted by the CRA Board of Directors and the Operator. (B) The CRA will negotiate a triple net base lease on the Franchise site and building consistent with the CRA commitments as outlined in this RFQ, to provide assistance in renovating the exterior shell of the existing building and make site improvements. (C) If the Operator prefers to lease the site only and build their own building, the CRA will cover all costs associated with the demolition of the existing building and clearance of the site and negotiate a ground lease. (D) All utility, maintenance, and on -going operating costs are the sole responsibility of the Operator. (E) A maximum term and conditional lease extension options will be subject to negotiation (F) The CRA will consider funding agreed upon costs for the interior build -out, and furniture, fixtures, and equipment in return for a monthly payment to be determined based upon the relative cost of the items on an amortized and depreciated basis. (G) In addition, the CRA will consider a methodology of offsetting applicable lease arrangement payments in conjunction with the Operator's commitment to: 1. Train and employ a specified number of qualified applicants from the Southeast Overtown/Park West neighborhoods in both service and managerial positions. 2. Provide employee benefits such as health insurance, retirement plans, child care, educational and advancement opportunities, 3. Provide uniformed security guards and off -duty police presence to patrol the Franchise, Job Creation Plaza, parking facilities and surrounding areas. 4. Long term and written corporate support for Overtown youth organizations such as the Optimist Club, Booker T. Washington High School, St. Francis Xavier School, Police Athletic League, or other accredited and existing youth organizations in Overtown. (H) The formula and terms for determining the rental credits for the above objectives will be negotiated between the CRA and the successful Respondent to this RFQ. SWFW/cam � i -W 10 3 8 of 31 CRA 01-04-RFQ-17 Section VII: Operator Responsibilities (A) The Operator shall be responsible for the following: 1. St;,u, a )+rancnisor Agreement: Obtain, negotiate and pay any and all fees or other monies associated with the Franchisor Agreement prior to or concurrent with the execution of the applicable lease or sublease agreement with the CRA. The CRA will not participate in the financing nor will the CRA provide any assistance in the payment of such fees. The inability of an applicant to successful demonstrate the financial capacity to pay all such fees may subject the applicant to disqualifications from further consideration. In the event that a Franchisor responds directly to this RFQ, or is apart of an ownership group that responds directly to this RFQ, this requirement will not be relevant. 2. Interior Build -out: The interior build -out of the building including design and construction of the interior space, and installation of all furniture, fixtures, and equipment. (The CRA may fund a portion or all of the interior build -out, but will not oversee the construction or installation of Franchise required fixtures, furniture and equipment) 3. Operations and Financial Management: All costs associated with the operations; however, if the Operator is in default of the lease or monthly payments are in arrears, the Operator will be required to submit to the CRA, monthly financial reports. In addition, the Operator is required to procure a qualified Florida Certified Public Accountant to perform an annual independent audit. This auditor shall be subject to approval by the CRA and the audit shall be submitted annually to the CRA. The failure to submit such auditor's statements within ninety (90) days of the close of the fiscal year shall constitute a default. 4. Facility Maintenance and Repairs: All maintenance, whether routine, periodic or preventative in nature. The Operator must procure their own service contracts with maintenance providers (These contracts should run concurrent with the Operator's lease). 5. Capital Planning and Capital Projects: All capital planning for the Franchise including the replacement of fixtures, furniture and equipment as needed. In the event the CRA participates in the funding, the CRA may require the Operator to make regular monthly or quarterly "reserve" deposits to fund these replacements. 6. Insurance, Bonding and Hold Harmless Agreement: The CRA will inform the Operator of required reasonable insurance coverage levels with respect to the property and its operations, and the Operator will cause such insurance to be placed and kept in effect at all times. Premiums will be treated as operating expenses. All insurance required in the applicable lease agreement will be placed with companies on conditions, in amounts, and with beneficial interests appearing thereon as shall be acceptable to the CRA. Said insurance will include public liability coverage, with the CRA, as well as Greater Miami Neighborhoods, Inc. ("GMN") designated as one of the insured, in amounts acceptable to the CRA as well. The Operator will promptly report to the insurance company and the CRA all accidents, claims, and potential claims for damage related to the leased Franchise property and its operations, and will cooperate with the 9 of 31 ISEOPW/C" U i - 103 101 CRA 01-04-RFQ-17 CRA's insurers in connection therewith. The Operator will request the insurance company to furnish an annual report to the CRA listing all claims paid or reserved for payment. (B) F-eneral liab_"--cv..rage, the Operator will be required to provide the CRA with a certificate of insurancc that names the CRA or an assignee as an additional insured. Additionally, the Operator agrees that it will hold the CRA and Greater Miami Neighborhoods, Inc. ("GMN") harmless for any acts of negligence on behalf of its staff, agents, and employees, and from any and all claims or liability for any injury or damage to any person or party occurring in, on, or about the premises or any part thereof, resulting from the negligence of the Operator, its employees, agents, or personnel. All of the above shall be provided for the full term of the lease agreement. Section VIII: Submission Requirements — Including BID BOND ($4,000) The CRA will utilize a two -stage evaluation process for selecting the qualified Franchise Operator. The first stage will be used to short-list qualified RFQ Respondents, while the second stage will include an interview with the selection committee. (A) RFQ Respondents shall provide the following as evidence of their qualifications in the order listed: 1. Letter of Transmittal 2. A letter from the proposed national brand Franchisor in support of the NW 3`d Avenue site and of the acceptance of the Operator. This letter of support is required as part of this RFQ Respondent's package. 3. List of all food outlets owned or managed by the Operator currently and over the last several years with information on location, name, size of the facility, number of employees, and annual gross sales. 4. A narrative/Franchise concept (and optional concept drawing) describing the Franchise. The narrative should be in sufficient detail that the selection committee may gain a sense of the estimated required investment, timing for opening, positioning in the market, staffing and other operational issues. 5. The Operator's last two financial statements that indicate the financial health and financial expertise of the Respondent. 6. The address of the RFQ Respondent's corporate (National Brand Franchisor) office (using the form in Attachment D). 7. Show by category, the number of employees who are African -American, Hispanic, Asian, White Non -Hispanic, and Other for the list of food related outlets in number (3) above. For 10 of 31 ��.�. A[� SEppyV/C�qt ; CRA 01-04-RFQ-17 each of these categories provide an indication as to what percent of each group are in managerial or executive positions (Attachments B). 8. An indication of the RFQ Respondent's lineage to Overtown. (i.e., the RFQ Respondent is an Ove-!,ov..:esident, a previous Overtown resident, or the heir of a current or previous Overtown resident; - - a h!.:ness owner or previous business owner of Overtown. Mere property owners should indicate the exact location and condition of Overtown property. 9. Completed Forms and Documents included in the Section XIX: Attachments 10. A bid [qualifications) bond, or letter of credit, or cashier check drawn on a Florida bank in the amount of four thousand dollars ($4,000) is required at the time of submission. Any such Respondent that fails to enclose a bid bond , or letter of credit, or a cashiers check in the amount of four thousand dollars ($4,000) made payable to "The City of Miami - CRA" shall be deemed non -responsive and such RFQ(s) shall be immediately returned to the Respondent without any further review or consideration. (B) For those RFQ Respondents selected as "finalists", as notified in writing, stage two will include an interview with the selection committee to be scheduled at a mutually convenient time. (Tentatively, on Wednesday, July 11, 2001) Section IX: Evaluation Process and Selection Criteria The RFQ submissions/proposal shall be based upon six factors: (1) Strength of support letter from Franchisor, (2) Food franchise experience, (3) South Florida experience relating to operations, (4) Franchise concept, (5) Ethnic make up of franchise, and (6) Evaluations by the Selection Committee. (A) First Stage A technical committee comprised of appropriate CRA staff and City of Miami staff will evaluate all RFQ proposals. Respondents that obtain the highest scores, adding together the first three factors, will become finalists and asked to appear for the Second Stage of the RFQ process. (B) Second Stage A selection committee comprised of CRA staff, and members of the Overtown and broader Miami community will interview each short-listed Respondent and present its recommendation to the CRA Executive Director who will then present his final recommendation to the CRA Board of Directors. The CRA Board of Directors has the sole authority to award contracts on behalf of the CRA. (C) After all finalists are interviewed, the short-listed Respondents will be ranked according to their accumulated scores based on all six factors plus "bonus points", if applicable. The Respondents with the highest scores in rank order (including "bonus points") will be forwarded to the CRA Executive Director for his final recommendation to the Board. I I of 31 SSOPW/QIA ENE CRA 01-04-RFQ-17 (D) Respondents in the first stage will be evaluated on the following three factors. (Total possible score = 50 points) 1. Quality vi and support from the Franchisor (25 points) a. L ,f the Letter of Support from the Franchisor for the designated location as well as support for the Respondent (12.5 points) b. Strength/market share of the Franchisor's "brand" advertising , marketing franchise locations, public awareness and other such factors of the Franchisor (12.5 points) Note: Letter from the proposed national brand Franchisor in support of the NW 3rd Avenue proposed Franchise site is required as part of this RFQ Respondent's package. Any Respondent that fails to include such a letter will be deemed non- responsive. 2. Demonstrated successful food and/or food Franchise start-up and operating experience by the Respondent. (20 points) 3. South Florida experience related to the operation of Franchise/restaurant outlets by the Respondent.(5 points) (E) Some or all of the Respondents that obtain scores closest to 50 in the first stage will be asked to provide: (Total possible score = 50 points) 1. Concept/narrative for the proposed food Franchise and the ability to broaden the food offerings to patrons in the Overtown area. (15 points) 2. Demonstrated Empowerment zone and residents and diversity representation in the ownership, workforce, and at the professional and executive levels (10 points) 3. Evaluation based upon the appearance for an interview and responses to the selection committee's questions, by the Respondent, and the overall quality of the Franchisor's support for the Respondent. (25 points) (F) Bonus Points: The committee may award up to an additional fifteen (15) points to any finalist who can show that they are a current resident or business owner of Overtown, a previous resident or business owner of Overtown, or is the heir of a current or previous resident or business owner of Overtown. Mere current property owners in Overtown shall be entitled to consideration for bonus points up to five (5) points. (G) In addition to the ranking by the selection committee, the CRA Executive Director shall consider the "National `Fast Food' Franchisee Opportunity" policy statement created by the CRA Board dated February 26, 2001 prior to making the final recommendation. This policy statement is hereby incorporated by reference in this document and made apart of this document and can be found in Exhibit D. 12 of 31 ft?W/CVAI 0 3 CRA 01-04-RFQ-17 (H) Rules, Regulations, and Licensing Requirements The RFQ Respondent and their staff must possess all required licenses and permits required to do business in City of Miami. In addition, the RFQ Respondent shall comply with all laws, ordinances, : nd ~2qlatilons applicable. RFQ Respondents are presumed to be familiar with all federal, state, and local laws, ordinances, codes, rules, and regulations that may in any way affect the services. The Operator, their employees and agents, and others entering into the property in connection with the work, shall at all times while on the CRA's premises observe and be subject to such rules and regulations as the CRA may from time to time promulgate. (I) Term of Lease Agreement The term of the lease will be negotiated and established based upon the proposed Franchise concept provided by the RFQ Respondent, the required capital investment of the Respondent, and other agreed incentives set forth in the Respondents proposal. 0 Time Line for Completion and Opening of Facility The contract/lease agreement with the Operator will outline a detailed time line for performance related to the completion of construction and the opening of the food outlet. (K) Submission Package An unbound original and eight (8) unbound copies (a total of nine) of the complete submission qualification package must be received by the City Clerk's Office, City of Miami / City Hall, 3500 Pan American Drive, Miami, FL 33133 no later than 2:00 PM on Friday, June 29, 2001. The submission package (original and all copies) must be submitted in a sealed envelope, labeled with the following information: RFQ Respondent's name, address, phone number, the due date of Friday, June 29, 2001 and the RFQ title "Request for Qualifications for a Franchise". The submission package must be signed (either on the cover or in a letter of transmittal) by an officer of the Respondent who is legally authorized to enter into a contractual relationship in the name of the Respondent. (L) Pre -submission Conference and Site Tour (1) A pre -submission conference will be held on Thursday, May 17, 2001 at 2:00 p.m. at CRA office, 300 Biscayne Boulevard Way, Suite 430 (Dupont Hotel, office section), Miami, Florida 33131. Attendance at the pre -submission conference is voluntary. (2) SEOPW/ J 13 of 31 *�, CRA 01-04-RFQ-17 In order to maintain a fair and impartial competitive process, the CRA can answer questions only at the pre -submission conference and must avoid private communicationE with prospective Respondents during the RFQ statement preparation and evaluation period. Hence, the pre -submission conference will be the only opportunity for Respondents to ask verbal questions as to form and content. A site visit is mandatory, however, CRA staff will make special arrangements for potential Respondents unable to attend the scheduled tour on May 17, 2001. Section X: Anticipated Schedule of Events (A) The anticipated schedule for the RFQ and contract approval is as follows: 1. RFQ available for distribution (Tuesday, April 17, 2001) 2. Pre Submission Conference (Thursday, May 17, 2001 at 2:00 PM EST) 3. Deadline for receipt of proposal (Friday June 29, 2001 at 2:00 PM EST) 4. Short-list of Operators by the Technical Committee (Friday, July 6, 2001) 5. Interviews and recommendation by the Selection Committee (Wednesday, July 11, 2001) 6. Recommendation to the Board by the CRA Ex. Director (Week of July 16, 2001) 7. Board approval (Monday, July 30, 2001) 8. Lease Negotiations (August 2001) 9. Section XI: Qualifications Statements Open to Public Prospective RFQ Respondents are hereby notified that all information submitted as part of, or in support of, this response will be available for public inspection in compliance with state and federal laws. Section XII: Limitation on Assignment The successful RFQ Respondent shall not assign, transfer, convey, sublet, or otherwise dispose of the ensuing lease, or any or all of its rights, title, or interest therein, or its power to execute such lease, to any person, company, or corporation without the prior written consent of the CRA, which shall be made at the sole discretion of the CRA Board of Directors. Any assignment or subletting by the Respondent will be subject to a buy-out by the CRA at its appraised value less unpaid investments made by the CRA. Section XIII: Bid Qualification Bond/Letter of Credit A bid [qualification] bond , or letter of credit, or a cashiers check drawn on a Florida bank in the amount of four thousand dollars ($4,000) is required with each response at the time of submission. Any such Respondent that fails to enclose a bid bond, or letter of credit or a cashiers check in the amount of four thousand dollars ($4,000) made payable to "The City of Miami-CRA" shall be deemed non -responsive and such application(s) shall be immediately returned to the Respondent without any further review or consideration. 15 of 31 SEOPW/CU `� Ua CRA 01-04-RFQ-17 Section XIV: Conflict of Interest (A) If any individual member of a proposing Operator, or an employee of an Operator, or an immediate family member or the same is also a member of any board, commission, or agency of the City, that individual is subject to tale conflict of interest provisions of the City Code. Section 2-302 of the Code states that no City officer, official, employee or board, commission or agency member, or a spouse, son, daughter, parent, brother or sister of such person, shall enter into any contract, transact any business with the City, or appear in representation of a third party, before the City Commission. This prohibition may be waived in certain instances by the affirmative vote of 4/5 of the CRA Board, after a public hearing, but is otherwise strictly enforced and remains effective for two years subsequent to a person's departure from City employment or board, commission or agency membership. (B) This prohibition does not preclude any person to whom it applies from submitting a bid or proposal. The designated site of the franchise opportunity is the Southeast corner of NW 3' Avenue and NW 12" Street (site of the old WMBM Radio Station) of the Business Corridor. It is anticipated that this `pilot" food franchise will be followed with other commercial shops on an adjacent site to be known as "Job Creation Plaza." MM The creation of this fast food franchise is the first new CRA commercial development opportunity within the City of Miami's.. Overtown subarea since the creation of the CRA. Said franchise will, at the same time, aid in the revitalization of existing culturally historic commercial shops along historic P Avenue. Pursuant to the CRA's directives, the respondents to the RFQ will be encouraged to demonstrate sensitivity to, and participation by the workforce of Overtown residents at entry, management and executive levels of the organizational structure. Special consideration will be given to those respondents that train and mentor Overtown residents for hiring, promotion and educational opportunities. Additionally, each RFQ Respondent who is an individual and resides in the Overtown subarea, or is an offspring or heir of someone who previously resided or had a commercial restaurant ownership in the CRA Overtown subarea, will be given priority (bonus points) by the RFQ Selection Committee in evaluating the qualification of that Respondent. Overtown and the growth of the City of Miami are closely intertwined. In 1895 Henry Hagler extended his Florida East Coast Railroad to Miami, and heavily utilized Black workmen. In -. April 1896 the first railroad train arrived. The city grew rapidly and Black laborers, led by John Sewell, cleared the land needed to build Miami. Black families from the Bahamas, the Caribbean, 01- ;103 SEOPW/CRA' Georgia, an11 labama settled in "Colored Town,',a,.,,hich is now known as "Overtown." The young city of Miami incorporated on July 28, 1896, with Blacks playing a decisive role; 33 Black signatories of the required 344 signatories, many of whom lived in "Colored Town," were among the original incorporators. We will come out and do the 11 Community Outreach. We cannot only meet our 12 requirements, but work with you to meet your 13 requirements and find out what are you needs. 14 Basically we can come to your office, you can 15 come to ours. If you don't have space that's 16 available, you are going to moving to another area, 17 you can use our office for interviewing. We have a 18 Mobile Assistance Center which would allow us to go 19 to particular neighborhoods if you want a person to 20 actually come to the job site that perhaps was not 21 finished. I'd like the assistant of the staff to hand out some of the incentives available which are contained within the Empowerment Zone. Some of the deductions under the IRS are up to a point of $37,000 for investments in capital and equipment. 15o credit gain corporate income taxes or sales and use tax. Those are direct benefits which individuals or corporations can benefit by being located within the C.R.A. area. We would like to distinctly press upon utilizing the equipment of the Development Workforce SEOPWICM 0 1 - rd 3 7 1 Division, Joni Harris as their head, because I think 2 there were a number of additional and direct 3 benefits which will help not only your particular ..-cncy; but the community around it as well. 5 I would like to go to page 14 of 31, which is 6 section 10. The Anticipated Schedule of Events, 7 number A. Obviously the R.F.Q. has been available 8 since April 17th for a pre -submission conference. 9 The most important item here is the deadline 10 for the receipt of the proposal, which is June 29, 11 2001, at 2:00 P.M. at the Civic Clerk's Office. And 12 the address is located internally at that time 3500 13 Pan American Drive, which is the City Hall 14 Commission's desk. 15 I would like to open the floor to any potential 16 questions. There has got to be at least one, 17 otherwise nobody can go. 18 MR. JONES: If you look at the type of franchises 19 that you would like to locate in the building, I 20 understand that we don't want to interfere with some 21 of the existing restaurants in the area. That would be like to expand upon the traditional definition of fast food to include donut shops and fried chicken and so on. That is something quite correct. That is something we would like to encourage as well. Who would like to add anything? We are going to be taking people over to the franchise site presently, so those who would like to come together with us -- I know some of the City staff, some of them have other meetings to go to, we would appreciate it if you can work with us so we can take you to the actual site. Like basically South Miami Subs, for example, just operates in Miami and Pollo Tropical is basically reginal. We have that as being part of so-called national franchise group. MR. TYLER: Not like Bob's, unless there are a number of different Bob's we don't have a problem. MR. JONES: Would the clients who submit and respond to that Q.R.M. what would be the equity factor, you would want them to have, so we know what they are bringing to the table? MR. DIPAK: I think that is a very, very important question. We are looking for solid financial companies with a proven track record. This is not something we can begin over here. The licenses fees, for example, will be born fully by the respondent to the national franchise. We will be assisting in terms of build -out and build -in, and based upon your own SEOPy 111:U J� A Q 11 1 criteria if we have to demolish the building the 2 C.R.A. We will assist in that. Furthermore, we 3 will provide financing for equipment as well. d So those are the types of activities which we 5 will be assisting. And if you are looking at our 6 partner from the City of Miami, we will be able to 7 work with them in terms of workforce development as 8 well. 9 MR. JONES: If it's in reference to the type of 10 franchise operation you have already made the 11 decision, I guess that's fast food, which is it why 12 it says fast food it seems. 13 I've been to the site. That particular 14 neighborhood there is a lot of churches, there is 15 are a lot of schools around there and what isn't 16 around there is an after school, a family type 17 restaurant. 18 What happens is most of church people have to 19 go out of the neighborhood to other neighborhoods to 20 bring their families and other church people or 21 friends or whatever, and sit down in a big table and 22 eat. There seems to be enough fast food restaurants 23 in the United States. Certainly enough in the 24 so-called inner cities. 25 I would imagine if you have a family type S]E®PW/Cu 12 1 restaurant that would cater to actual families that 2 live in the area evenings and weekends you might 3 have a better chance, but I don't know who made the ^ 'ccisinn, I'm not here to change any decision. I 5 would like you to maybe think about it because 6 that's what's really needed in Overtown. 7 I've been in Overtown for about 40 years or 45 8 years since I was a kid. It should be a place that 9 all kind of people can come to and go to almost 24 10 hours a day. Like a Denny's type of thing, but 11 maybe more interesting then a Denny's. You just go 12 to any Denny's 2:00 or 3:00 in the morning anywhere 13 and you will see how many people are in. 14 MR. DIPAK: I would appreciate it if Jill can 15 respond to that. 16 MS. JENNINGS: In addition to this within the 17 entire redevelopment, in addition to this, there are 18 plans for others that are already established 19 successful family -owned businesses that have been 20 there historically for a long time, to expand their 21 opening hours. They will now be open on weekends 22 and evenings, so it will increase, we are trying '=o 23 not compete with those that have already. 24 MR. JONES: I'm not talking about competing the 25 same people could own them. They did it in Atlanta, SEOPW/Cu7 13 1 New York the same people, even though they might not 2 be a Mc Donalds. Once upon a time Mc Donalds was 3 just two brothers in North Brook, Illinois. They 4 only had one place. They could be a new up and 5 coming Mc Donalds and opening up and starting it 6 out. I don't think a new operation should be . 7 discriminated if they meet the same criteria as a 8 national franchise. 9 MR. DIPAK. If they meet that same criteria as a 10 national franchise, I don't think we are going to 11 redirect anybody for that particular reason. Our 12 entire facility is to assist local businesses which 13 have been there for a long period of time to ensure 14 they are able to get the benefits of the C.R.A., 15 that they are fully committed in assisting those 16 business and also to ensure we can bring other 17 businesses. 18 SPEAKER: Page 9 of 31 the insurance. It says, 19 C.R.A. will inform the operator of required 20 reasonable insurance coverage level. 21 MR. DIPAK: What other levels? I think once we 22 get into a contractual agreement with them we will 23 have to sit down to take a look at that time at the 24 liability issue. Maybe Rafael Diaz can help us. 25 MR. DIAZ: The size and scope of the projects, rid 1©3 SR0PW/Q1AJ 14 1 what the appropriate level of insurance is, we 2 really can't tell you at that point. 3 MR. DIPAK: We will have to wait until we get to d c>>t and then start the negotiating process in 5 terms of what the insurance levels are going to be. 6 MR. JONES: The land that's around there, I 7 understand we are building a City area parking lot, 8 that's going to be directly behind. What about the 9 land in between the actual site and the Two Guys 10 restaurant, that concrete area? 11 MR. DIPAK: We still have plans for that in terms 12 of potential site. That's one of our projects that 13 is apparently under way, which have been passed by a 14 Board. 15 Secondly, we will have to work with the 16 respondents in having a successful relationship to 17 see what their particular needs are as well. We 18 don't want to preplan their requirements because 19 each of the franchise may have a different level of 20 number of parking spaces and so on, but we are fully 21 committed in not only putting in parking spaces 22 around there, also improving the infrastructure and 23 the area. 24 As you can see, presently there are a number of 25 parking lots being constructed, we are also working SEOPWAMA' 15 1 on the 3rd Avenue extension to the Palladium Mall. 2 That in itself, with the utilities which are going 3 underground, that has a number of activities which A Y- ongoing. It's going to take a number of 5 demonstrations and time in order to accomplish our 6 entire program and the historical 3rd Avenue. 7 Mr. Tyler, any questions? 8 MR. TYLER: The security, are you required to 9 have off -duty police presence, it's not defined. Is 10 that around the clock or for certain hours? 11 MR. DIPAK: One of our important criterias are 12 security and also about cleanliness around that 13 areas as well. We will work, it I think as part of 14 our triple net lease. What we are asking for are 15 certain types of requirements from the successful 16 respondent. Instead of asking for lease payments we 17 are going to be asking for certain services and 18 those services will be defined what they are. We 19 will actually sit down and have a contract with them 20 because they will have them available. So, I think 21 all of those have to be taken into canned: 22 MR. Parekh'� Executive Directo RECOMMENDATION DATE: July 30, 2001 FILE: SUBJECT: Revision of National Brand REFERENCES: Food Franchise RFQ ENCLOSURES: Resolution and Supporting Documentation It is recommended that the Board of Directors of the Southeast Overtown / Park West Community Redevelopment Agency (SEOPW CRA) authorize the Executive Director to revise the National Brand Food Franchise Request for Qualifications (the "RFQ") as recommended by the National Brand Food Franchise Technical Selection Committee to allow for the possibility of a first time restaurateur under the guidance of a National Brand Food Franchiser and who can provide at least two strong personal and/or other entrepreneurial financial statements. It is recommended that the Board of Directors of the SEOPW CRA authorize the Executive Director to request further information from Stephana Clark & Co. under the requirements of the revised National Brand Food Franchise RFQ. In addition, it is further recommended that the Board of Directors of the SEOPW CRA authorize the Executive Director to enter in to an agreement, in a form acceptable with the City Attorney, with Stephana Clark & Co. to operate a National Brand Food Franchise at 1163 NW P Avenue. BACKGROUND On February 26, 2001, the SEOPW CRA Board of Directors approved Resolution No. 01-13. This resolution executed the grant agreement between the SEOPW CRA and the Greater Miami Neighborhoods in connection with the National Brand Food Franchise in the Overtown P Avenue Business Corridor, of the SEOPW CRA Phase I development program of the redevelopment plan and the related City of Miami and Miami -Dade County interlocal agreement dated March 31, 1983. The National Brand Food Franchise RFQ was advertised in April and May of 2001 in approximately 50 national publications and in the Bahamas. A pre -submission conference was held on May 17, 2001 and the submission deadline was July 6, 2001. There was one respondent (Stephana Clark & Co.) to the RFQ. A Technical Selection Committee was established and reviewed the proposal on July 18, 2001. The committee found the respondent's proposal not in compliance with the criteria set forth in the RFQ SEOPW/aA., 01 M ITEM 10b regarding financial information. The RFQ did not set provisions for a start-up operation by a first-time restaurateur; thus creating an impediment for the respondent to provide financial statements from an existing fast-food operation. The respondent has made application to the New York based National Brand Food Franchise, Pudgie's Famous Chicken. The respondent further submitted a letter of approval from the Franchiser along with partial details of corporate training procedures and start-up costs. Due to high acquisition costs to the respondent, and because there was only one respondent to the RFQ, the Executive Director recommends that the CRA negotiate with Stephana Clark & Co. to ultimately enter in to a lease agreement, in a form acceptable to the City Attorney, and expedite construction.
