SEOPW/CRA DI 0 v �' A RESOLUTION AUTHORIZING THE COMMUNITY REDEVELOPMENT AGENCY ("CRA") TO RETAIN AS SPECIAL COUNSEL (THE "SPECIAL COUNSEL") TO THE CRA IN CONNECTION WITH DEFENDING THAT CERTAIN DECLARATORY JUDGMENT LAWSUIT FILED BY MIAMI-DARE COUNTY (THE "COUNTY") AGAINST THE CITY OF MIAMI (THE "CITY") AND THE CRA REGARDING THE PURPORTED REVERSION OF TITLE TO THE COUNTY OF THE PROPERTY COMMONLY KNOWN AS THE SAWYER'S WALK PROJECT, WHICH PROPERTY IS MORE PARTICULARLY DESCRIBED ON EXHIBIT "A" ATTACHED HERETO AND MADE A PART HEREOF.' WHEREAS, the City of Miami approved and adopted the Southeast Overtown/Park West Community Redevelopment Plan pursuant to Resolution Nos. 82- 755 and 85-1247 (the "Redevelopment Plan"); and SWHEREAS the CRA is responsible for carrying out community redevelopment activities and projects in the Southeast Overtown/Park West Redevelopment Area (the "Redevelopment Area") established pursuant to the Redevelopment Plan; and WHEREAS, the CRA desires to retain the Special Counsel in connection with the defense of that certain Declaratory Judgement lawsuit filed by the County against the City and the CRA regarding the purported reversion to the County of the Property. NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE COMMUNITY REDEVELOPMENT AGENCY OF THE CITY OF MIAMI, FLORIDA: Section 1. The recitals and findings contained in the Preamble to this Resolution are incorporated herein as if fully set forth in this Section. Section 2. The CRA is hereby authorized to retain the Special Counsel to represent the CRA in connection with the lawsuit by the County against the City and the CRA regarding the purported reversion to the County of the Property. Parekh -4 Executive Director RECOMMENDATION ITEM 18a SUBJECT: Sawyer's Walk Litigation and Special Counsel REFERENCES: ENCLOSURES: FILE : It is recommended that the CRA Board approve the attached resolution to retain , as special counsel to represent the CRA in connection with the lawsuit by Miami -Dade County against the City of Miami and the CRA regarding the purported reversion to the County of the property commonly known as the Sawyer's Walk Project. BACKGROUND Miami -Dade County (the "County") previously deeded to the City of Miami (the "City") the property commonly known as the Sawyer's Walk Project (the "Property"), which property was subsequently deeded by the City to the CRA for development. The County purports that the Property has reverted to the County pursuant to a reverter provision in the deed from the County to the City due to non -development of the Property within applicable time limits. In connection therewith, the County has filed a declaratory judgement lawsuit against the City and the CRA. Funding Source: General Operation Account Number: 689004.55011.6.250 SBOPW/CRA
