A RESOLUTION OF THE BOARD OF DIRECTORS OF
THE SOUTHEAST OVERTOWN/PARK WEST COMMUNITY
REDEVELOPMENT AGENCY ("CRA") APPROVING,
CONFIRMING AND RATIFYING THE AGREEMENT, IN A
FORM ACCEPTABLE TO THE CITY ATTORNEY,
EXECUTED BY THE EXECUTIVE DIRECTOR TO
PROVIDE A GRANT, IN AN AMOUNT NOT TO EXCEED
$95,000, TO GREATER MIAMI NEIGHBORHOODS
("GMN") TO PURCHASE PROPERTY TO LOCATE A
NATIONAL FOOD FRANCHISE IN THE 3RD AVENUE
CORRIDOR IN CONNECTION WITH THE 3RD AVENUE
CORRIDOR PROJECT OF THE PHASE I DEVELOPMENT
PROGRAM OF THE REDEVELOPMENT PLAN.
WHEREAS, the City of Miami ("City") approved and adopted
the Southeast Overtown Park West Community Redevelopment Plan
pursuant to Resolution No. 82-1247 and 85-1247 (the
"Redevelopment Plan"); and
WHEREAS, the CRA is responsible for carrying out community
redevelopment projwcts and activities in the Community
Redevelopment Area; and
WHEREAS, the CRA has executed an agreement to provide a
grant to GMN for purposes of purchasing property to be used to
locate a National Food Franchise within the 3rd Avenue Corridor
project
of
the
Phase I Development Program of the Redevelopment
Plan of
the
CRA;
and
WHEREAS, the grant agreement with GMN is attached hereto as
Exhibit A.
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS OF
THE SOUTHEAST OVERTOWN/PARK WEST COMMUNITY REDEVELOPMENT AGENCY
OF THE CITY OF MIAMI, FLORIDA:

set forth in this Section.
Section 2. The Board of Directors approves, confirms
and ratifies the agreement, in a form acceptable to the City
Attorney, executed by the Executed Director to provide a grant,
in an amount not to exceed $95,000, to Greater Miami
Neighborhoods to purchase property to locate a National Food
Franchise in the 3rd Avenue Corridor Project of the Phase I
Development Program of the Redevelopment Plan.

Section 3. The Resolution shall be effective upon its
adoption.

The Executive Director of the Southeast Overtown/Park West Community Redevelopment Agency
("CRA") requests the Board of Director to authorize the CRA to enter into an agreement of a grant,
approved by the Board, in the amount of $95,000 with Greater Miami Neighborhood of the acquisition of
property for the National Food Franchise of the 3`d Avenue Historic Business Corridor Project.
BACKGROUND
The acquisition of the property is necessary to enter into a request for qualifications for the
development of a National Food Franchise project of the Phase I Development Program of the
Overtown Subsection as authorized by the CRA redevelopment plan, City/County Interlocal
agreement dated March 31, 1983 and the Board of Director of the CRA.

NATIONAL "FAST FOOD" FRANCHISEE OPPORTUNITY

Overtown Subarea Residents and Offspring and heirs of previous Residents, or
Commercial Restaurant Owners of the same Overtown area.
Pursuant to the CRA Redevelopment flan dated December 1982, and as part of the
commercial redevelopment of the City of Miami designated historic NW 3'a Avenue
Business Corridor (Business Corridor) of the Southeast OvertownlPark West Community
Redevelopment Agency (CRA), the CRA Board of Directors has authorized a Request
for Qualifications (RFQ) for qualified national brand "fast food" franchisees to develop
and operate a `pilot" food outlet. The designated site of the franchise opportunity is the
Southeast corner of NW P Avenue and NW 12`h Street (site of the old WMBM Radio
Station) of the Business Corridor. It is anticipated that this "pilot" food franchise will be
followed with other commercial shops on an adjacent site "to be known as "Job Creation
Plaza."
The creation of this fast food franchise is the first new CRA commercial development
opportunity within the City,of Miami's Overtown subarea since the creation of the CRA.
Said franchise will, at the same time, aid in the revitalization of existing culturally
historic commercial shops along historic P Avenue.
Pursuant to the CRA's directives, the respondents to the RFQ will be encouraged to
demonstrate sensitivity to, and participation by the workforce of Overtown residents at
entry, management and executive levels of the organizational structure. Special
consideration will be given to those respondents that train and mentor Overtown residents
for hiring, promotion and educational opportunities. Additionally, each RFQ Respondent
who is an individual and resides in the Overtown subarea, or is an offspring or heir of
someone who previously resided or had a commercial restaurant ownership in the CRA
Overtown subarea, will be given priority (bonus points) by the RFQ Selection Committee
in evaluating the qualification of that Respondent.
Overtown and the growth of the City of Miami are closely intertwined. In 1895 1-Ienry
Flagler extended his Florida East Coast Railroad to Miami, and heavily utilized Black
workmen. In April 1896 the first railroad train arrived. The city grew rapidly and Black
laborers, led by John Sewell, cleared the land needed to build Miami. Black families
from the Bahamas, the Caribbean, Georgia, and Alabama settled in "Colored Town,"
which is now known as "Overtown."
The young city of Miami incorporated on July 28, 1896, with Blacks playing a decisive
role; 33 Black signatories of the required 344 signatories, many of whom lived in
"Colored Town," were among the original incorporators.

• The CRA is seeking to provide this unique food franchisee business opportunity to the
public, while at the same time is seeking to encourage the inclusion of Overtown
residents, previous Overtown residents, or the heirs of previous Overtown residents, in
the ownership, management, and workforce.

Concomitantly, the CRA seeks to minimize any negative impact to family -owned
businesses that are currently operating in the Overtown area and have had a tradition of
ownership in the Overtown area. Three (3) franchise food groupings that would likely
have a negative short-term impact on existing Overtown family owned businesses are: (1)
barbecue (Bar-B-Q) franchises; (2) breakfast -only franchises; and (3) seafood -only
related franchises. Pursuant to this policy, the RFQ Selection Committee Executive
Director is instructed to consider the aforementioned in his recommendations to the board
regarding an operator.
The CRA's goal is to attract existing successful food franchisee operators that have a
proven track record, have demonstrated sound management and financial ability, and are
committed to the revitalization of Historic Overtown, Such an operator should also exert
maximum efforts to attract and utilize Overtown residents, or previous Overtown
residents, or the heirs of previous Overtown residents.
The CR.A, is committed to financially assist the successful RFQ respondent (Franchisee)
in the capital requirements of renovation, machinery and equipment necessary to operate
this site in full compliance with its franchiser's requirements, as well as those of City of
Miami's Building and Zoning Department.
