A RESOLUTION OF THE OMNI CRA COMMUNITY
REDEVELOPMENT AGENCY (OMNI CRA) AUTHORIZING
THE EXECUTIVE DIRECTOR TO AMEND THE CIVIL
CADD ENGINEERING, INC. (THE "CIVIL CADD")
PROFESSIONAL SERVICE AGREEMENT (THE
"AGREEMENT") FOR PROVIDING MISCELLENOUS CIVIL
ENGINEERING SERVICES TO THE SOUTHEAST
OVERTOWN PARK WEST COMMUNITY REDEVELOPMENT
AGENCY AND THE OMNI COMMUNITY REDEVELOPMENT
AGENCY (THE "AGENCIES") FOR COMMUNITY
REDEVELOPMENT PROJECTS AND ACTVITIES OF THE
REDEVELOPMENT PLANS OF THE AGENCIES BY
RESTATING THE ANNUAL USE OF THE MAXIMUM
AMOUNT OF THE COMPENSATION OF THE PRINCIPAL
SET FORTH IN THE AGREEMENT IN ORDER TO
EXPIDITE VARIOUS PROJECTS OF THE AGENCIES.

WHEREARS, The City of Miami ("the City") approved and
adopted the redevelopment plans for community redevelopment
projects and activities, as defined in the Florida Community
Redevelopment Act of 1969 (the "Act"), to the extent agreed to in
the terms and conditions of the City and the Miami -Dade County
(the "County") Interlocal Agreements and Interlocal Agreements
between the Agencies and the City for executing the approved
projects and activities of the redevelopment plan and related
Master Development Order, as amended, of each Agency consistent
with the County Interlocal Agreements that delegates certain of
the powers of the Act and the extent and priority of community
redevelopment in the SEO/PW CRA redevelopment plan, and

WHEREARS, The Agencies within their redevelopment area are
responsible for carrying out community redevelopment projects and
activities as defined in the Pict and provided for in the
redevelopment plan and any amendment approved by the City
governing body, and
WHEREARS, The Agencies desire to amend Section 9 -
Compensation of the professional service agreement dated August
29, 2000 entered into by the Agencies and the Civil Cadd
Engineering, Inc. firm (the "Civil Cadd") as approved by the
Board of Directors of the Agencies, for the purpose of being able
to expedite and implement the existing compensation time frame in
the Agreement for the use of the current fixed maximum
compensation of $900,000 that is required to be used over three
years of the terms of the Agreement at a fixed annual budget of
$300,000 as required by the Agreement regardless of the need for
project services from the Civil Cadd Principal, and
WHEREARS, The Executive Director requested amendment of
Section 9- Compensation of the Agreement would provide, as set
forth herein, the authority to fund required service work orders
as needed for a specific approved capital project and related
activities permitted by the Act and for which funding is
available within the funded budget limits of the Agency approved
by the Board and the maximum allowed compensation permitted by
the Agreement.

ro NOW THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE
SEO/PW CRA AND OMNI CRA CREATED BY THE CITY OF MIAMI, FLORIDA:

Section 1. The recitals and findings contained in the
Preamble to the resolution are incorporated herein as if fully
set forth in this Section
Section 2. The Executive Director of the Agencies is
hereby authorized to amend Section 9 of the Civil Cadd
Engineering, Inc. Professional Services Agreement with the
Agencies in a manner that will permit the Executive Director to
issue service work orders to Civil Cadd as required to
efficiently and timely complete the community redevelopment
projects and activities allowed by the Act and for which approved
funding is available to issue a required work order, but not more
than the maximum compensation allowed in Section 9 of the
Agreement.
Section 3. The Executive Director shall provide in the
Executive Director reports of issued work order progress and
budgeted financing of the redevelopment projects and activities
that includes the monthly funds encumbered by issued service work
orders by project or activity and the total funds to date
encumbered from the Civil Cadd three year $900,000 maximum
allowed compensation set forth in Section 9 of the Agreement.
Section 4. The resolution as it applies to the Omni
CRA shall be effective upon adoption.

It is respectfully recommended that the Board adopt the attached resolution of the Southeast Overtown/Park
West Community Redevelopment Agency and the Omni Community Redevelopment Agency (Collectively
the "CRA")
BACKCROUND
The CRA entered into a Professional Service Agreement (Miscellaneous Civil Engineering and
other Professional Service) dated August 29, 2000 between the Civil Cadd Engineering Inc. (the
"Civil Cadd") and the Omni CRA and the SEO/PW CRA, under separate resolutions approved by
the Board, for the community redevelopment set forth in the redevelopment plan of each CRA and
related City Interlocal Agreements, County Interlocal Agreements and projects and activities
approved and budgeted by the Board for implementation by the Agencies.
The projects that where pending during fiscal year 1999-2000 could not be timely implemented
pending the execution of funding agreements with the City especially in regard to CDBG Grants
that now have been executed between the City and the CRA. The delay of executing the funding
agreements caused a back-up of required professional services for the implementation of the

allowed first year annual compensation of $300,000 as set forth in Section 6 of the Civil Cadd Agreement
that can not exceed $900,000 during the three year term of the Agreement and it is therefore of importance
that the Board authorize the use of the maximum compensation subject to available capital budget funds, to
permit the escalated redevelopment workable program of the Board now to will underway by the CRA.
Due to the reasons above the CRA is requesting that the Board authorize the Executive Director to amend
the Civil Cadd Agreement to provide for the Executive Director to issue service work orders to Civil Cadd
as required to efficiently and timely execute the Projects subject to available funds and not in excess of the
maximum compensation of $900,000 set forth in Section 6 of the Agreement. In this regard the Executive
Director will report, as appropriate, to the Board the status of all issued work orders, compensation and
progress.
