SEOPW/CRA R-00-72 A RESOLUTION OF THE BOARD OF DIRECTORS OF THE COMMUNITY REDEVELOPMENT AGENCY (THE "CRA") TO I) INDEMNIFY CHARLAYNE THOMPKINS, AS DIRECTOR OF FISCAL OPERATIONS, DURING HER TENURE AT THE CRA, RELATING TO THE USE OF HER SOCIAL SECURITY AND/OR TAX IDENTIFICATION NUMBER IN CONNECTION WITH THE CRA'S APPLICATION TO THE FEDERAL GOVERNMENT FOR A TAX IDENTIFICATION NUMBER AND II) TO FURTHER STIPULATE THAT CHARLAYNE THOMPKINS HAS NOT BEEN DIRECTOR OF FISCAL OPERATIONS OF THE CRA SINCE MAY, 19, 2000 AND IS NO LONGER RESPONSIBLE FOR SAID POSITION, AND THEREFORE, HER NAME SHOULD BE REMOVED. WHEREAS, the City of Miami approved and adopted the Southeast Overtown/Park West Community Redevelopment Plan pursuant to Resolution Nos. 82-755 and 85-1247 (the "Redevelopment Plan"); and WHEREAS, the CRA is responsible for carrying out community redevelopment activities and projects in the Southeast Overtown/Park West Redevelopment Area (the "Redevelopment Area") established pursuant to the Redevelopment Plan; and WHEREAS, the CRA desires i) indemnify Charlayne Thompkins, as Director of Fiscal Operations, during her tenure at the CRA, relating to the use of her social security and/or tax identification number in connection with the CRA's application to the federal government for a tax identification number and ii) to further stipulate that Charlayne Thompkins has not been Director of Fiscal Operations of the CRA since May, 19, 2000 and is no longer responsible for said position, and therefore, her name should be removed. NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE COMMUNITY REDEVELOPMENT AGENCY OF THE CITY OF MIAMI, FLORIDA: Section 1. The recitals and findings contained in the Preamble to this Resolution are incorporated herein as if fully set forth in this Section. SEOPW d CRA _` Section 2. The CRA is hereby authorized i) indemnify Charlayne Thompkins, as Director of Fiscal Operations, during her tenure at the CRA, relating to the use of her social security and/or tax identification number in connection with the CRA's application to the federal government for a tax identification number and ii) to further stipulate that Charlayne Thompkins has not been Director of Fiscal Operations of the CRA since May, 19, 2000 and is no longer responsible for said position, and therefore, her name should be removed. Thompkins was hired on August 1, 1999 as the Director of Fiscal Operations for the City of Miami Community Redevelopment Agency, WHEREAS, Charlayne W. Thompkins was the agency's chief financial officer, WHEREAS, Charlayne W.Thompkins resigned the position of Director of Fiscal Operations effective, May 19, 2000, WHEREAS, the Director of Fiscal Operations approved all expenditures for payment during her tenure including expenditures incurred and/or reimbursed relative to the position of Director of Fiscal Operations, but did not issue nor disburse any payments, WHEREAS, the City of Miami is the fiduciary for the Community Redevelopment Agency and as such issued and disbursed all payments approved by the Community Redevelopment Agency, in accordance with generally accepted accounting procedures, WHEREAS, the Director of Fiscal Operations personalty, used her social security number to secure a federal identification number for the agency and the agency not having appointed a replacement principle officer or director nor has the agency applied to have the federal identification number recognized as tax exempt by the IRS, NOW THEREFORE BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE, COMMUNITY REDEVELOPMENT AGENCY OF THE CITY OF MI.ANIl, FLORII)k Section 1. The recitals and findings contained in the Preamble to this Resolution are incorporated herein as if fully set forth in this section. Section 2. The CRA ratifies the actions exercised by Charlayne W. Thompkins as the Director of Fiscal Operations and chief financial officer for all expenditures approved for payment including expenditures incurred and/or reimbursed relative to the position of Orector of Fiscal Operations during her tenure, and that we INDEMNIFY her and hold her harmless from the CRA `s continued use of the federal identification number from the IRS.
