A RESOLUTION AUTHORIZING THE COMMUNITY
REDEVELOPMENT AGENCY ("CRA") TO DESIGNATE
DAIN RAUSCHER AS FINANCIAL ADVISOR TO THE
CRA, UNDER THE SAME TERMS AS THE CONTRACT
EXISTING BETWEEN DAIN RAUSCHER AND THE
CITY OF MIAMI (THE "CITY CONTRACT"), AT A COST
NOT TO EXCEED $30,000 PER YEAR FOR A PERIOD OF
ONE YEAR, SUBJECT TO ANNUAL EXTENSIONS AS
PROVIDED FOR IN THE CITY CONTRACT, SUBJECT
TO THE AVAILABILITY OF GENERAL FUNDS.
WHEREAS, the City of Miami approved and adopted the Omni Area
Redevelopment Plan pursuant to Resolution Nos. 86-868 and 86-607 (the
"Redevelopment Plan"); and
WHEREAS, the CRA is responsible for carrying out community
redevelopment activities and projects in the Omni Redevelopment Area (the
"Redevelopment Area") established pursuant to the Redevelopment Plan; and
WHEREAS, the CRA desires to designate Dain Rauscher as financial
advisor to the CRA, under the same terms as the City Contract.
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD -OF
DIRECTORS OF THE COMMUNITY REDEVELOPMENT AGENCY OF
THE CITY OF MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the Preamble to
this Resolution are incorporated herein as if fully set forth in this Section.
Section 2. The CRA is hereby authorized to designate Dain
Rauscher as financial advisor to the CRA, under the same terms as the City
Contract, for an amount not to exceed $30,000 per year, for a period of one
year, subject to annual extensions as provided for in the City Contract,
subject to the availability of general funds.

RECOMMENDATION
It is respectfully recommended that the CRA Board of Directors adopt the attached Resolution
authorizing the Community Redevelopment Agency to designate Dain Rauscher as Financial
Advisor to the CRA under the same terms as the contract existing between Dain Rauscher and
the City of Miami at a cost not to exceed $30,000 per year for a period of one year, subject to
annual extensions as provided for in the City contract, subject to the availability of funds.
BACKGROUND
The City of Miami through the City Managers office has approved three firms for providing
these types of services under a continuing contract. The CRA has need of these services and
recommendation is consistent with approved procurement procedures.

A RESOLUTION OF THE MIAMI CITY COMMISSION
REJECTING THE PROCESS FOR THE SELECTION OF A
FINANCIAL ADVISOR; FURTHER, AUTHORIZING THE
C_TY MANAGER TO NEGOTIATE AND EXECUTE AN
AGREEMENT (S), IN A FORM ACCEPTABLE TO THE
CITY ATTORNEY, WITH THE FIRMS OF FIRST
SOUTHWEST COMPANY, JOINT VENTURE OF DUNLAP
AND ASSOCIATES, INC./FIDELITY FINANCIAL
SERVICES, L.C., DAIN RAUSCHER, INC., HANIFEN,
IMHOFF, INC., AND P.G. CORBIN AND COMPANY,
INC. FOR SAID PURPOSE.
WHEREAS, on November 12, 1999, the City issued a Request for
Proposals ("RFP") for the selection of a financial advisor; and
WHEREAS, five firms submitted proposals to provide such
services - First Southwest Company, Dunlap and Associates,
Inc./Fidelity Financial Services (joint venture), Dain Rauscher,
Inc., Hanifen, Imhoff, Inc., and P.G. Corbin and Company; and
WHEREAS, after further review of the evaluation criteria for
the financial advisor, the Administration, with the approval of
the Finance Committee, has determined that it is in the City's
best interest to have more than one financial advisor in the
event of potential conflicts of interest, and to reject the
- proposals received pursuant to the RFP process and enter into
" competitive negotiations with all five responsive and responsible

WHEREAS, it is the desire of the City Commission that the
firms recommended by the City Manager also be made available and
engaged by the Miami Sports and Exhibition Authority, the
Bayfront Park Management Trust, the Downtown Development
Authority, the Community Redevelopment Agency(s), and any other
agency or instrumentality of the City that requires such
financial services; and
WHEREAS, the City Commission further expresses its desire
that the Administration recommend, only those firms that do not
provide such financial services to Miami -Dade County;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY
OF MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the
Preamble to this Resolution are hereby adopted by reference
thereto and incorporated herein as if fully set forth in the
Section.
Section 2. The process outlined in the RFP for the
selection of a financial advisor is hereby rejected and the City
Manager is hereby authorized!' to enter into competitive
negotiations and execute an agreement(s), in a form acceptable to
the City Attorney, with the firms of First Southwest Company,
Dunlap and Associates, Inc./Fidelity Financial Services (joint
venture), Dain Rauscher, Inc., Hanifen, Imhoff, Inc. and P.G.
Corbin and Company for said purpose.
V The herein authorization is further subject to compliance with all
requirements that may be imposed by the City Attorney, including but not
limited to those prescribed by applicable City Charter and Code
provisions.
