SEOPW/CRA R-99-4 A RESOLUTION OF THE BOARD OF DIRECTORS OF THE COMMUNITY REDEVELOPMENT AGENCY ("CRA") I) APPROVING IN CONCEPT THE CREATION OF A $1,000,000 OVERTOWN INNOVATIVE BUSINESS DEVELOPMENT PROGRAM TO BE PREPARED BY MIAMI CAPITAL DEVELOPMENT CORPORATION, INC. (THE "BUSINESS DEVELOPMENT PROGRAM"), AND II) DIRECTING THE CRA TO FORWARD THE BUSINESS DEVELOPMENT PROGRAM TO THE COMMISSION OF THE CITY OF MIAMI ("CITY COMMISSION') FOR REVIEW AND FINAL ACTION. WHEREAS, the City of Miami approved and adopted the Southeast Overtown/Park West Community Redevelopment Plan pursuant to Resolution Nos. 82-755 and 85-1247 (the "Redevelopment Plan"); and WHEREAS, the CRA is responsible for carrying out community redevelopment activities and projects in the Southeast Overtown/Park West Redevelopment Area (the "Redevelopment Area") established pursuant to the Redevelopment Plan; and WHEREAS, the CRA desires i) to approve the Resolution and ii) to forward the Resolution to the City Commission for review and final action. NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE COMMUNITY REDEVELOPMENT AGENCY OF THE CITY OF MIAMI, FLORIDA: Section 1. The recitals and findings contained in the Preamble to this Resolution are incorporated herein as if fully set forth in this Section. Section 2. The Board of Directors of CRA hereby i) approves in concept the development of the Business Development Program to be prepared by Miami Capital Development Corporation, Inc., and ii) directs the CRA to forward the Business Development Program to the City Commission for review and final action. Section 3. The resolution shall be effective upon its adoption. Teele, Jr., Chairman Community Redevelopment Agency of the City of Miami DRAFT REQUEST FOR QUALIFICATIONS AS COMMUNITY DEVELOPMENT MANAGER TO CITY OF MIAMI CRA 1. INTRODUCTION The City of Miami(the "City") and Miami -Dade County (the "County"), pursuant to Chapter 163, Florida Statutes, created the Southeast Overtown/Park West Community Redevelopment Agency and the Omni Community Redevelopment Agency (the "City of Miami CRA"). The City of Miami CRA is responsible for carrying out community development projects and activities within the Southeast Overtown/Park West and Omni Area Redevelopment Areas. The City Commission of the City of Miami sits as the Board of Directors of the City of Miami CRA. In 1982, the City and County approved the Southeast Overtown/Park West Community Redevelopment Plan (the "SEOPW Redevelopment Plan"). See Attachment "A". The SEOPW Plan consists of the redevelopment of nearly 200 acres of prime land in the Miami Central Business District for residential and commercial activities. The Master Development Order for the area provides for approximately 1,003,500 sq. ft. of office, 194,000 sq.ft. of retail/service, 1,100 hotel rooms, 9,000 residential units and 600,000 sq. ft. of convention space. The Southeast Overtown/Park West Redevelopment Area encompass the area generally bounded by Biscayne Boulevard on the East, I-95 on the West, 1-395 on the North and Northwest 5th Street on the South. The Omni Area Redevelopment Plan was approved by the City and County, in 1986 and 1987 respectively, creating the Omni Redevelopment Area. See Attachment "B" . The Omni Redevelopment Area is located in the northern most section of Downtown Miami adjacent to the Southeast Overtown/Park West Community Redevelopment District. The area is bounded by I- 395 on the south, Biscayne Bay on the east, NW 20th Street on the north, and FEC Railway on the west. Boundaries and the geographical location of the area are illustrated in Attachment B. II. PURPOSE The City of Miami CRA is requesting firms to submit qualifications to serve as community development manager as described herein. As used herein, "firm" means an individual, corporation or partnership. The community development manager will have the responsibility for the planning and administrative services of the City of Miami CRA, including but not limited to providing technical assistance for implementing the City of Miami CRA's Redevelopment Plans; implementing and completing redevelopment of the NW 3rd Avenue Folklife Village Business Corridor in the Southeast Overtown/Park West Community Redevelopment Area; assisting the with identifying and obtaining community developmental funds from governmental, foundation and corporate sources; insuring compliance with any local, state or federal laws or regulations 1 DRAFT o_ 9 9 - 4 relating to such local, state or federal funds associated with any development or project activities; and providing any such oral or written reports as requested by the Board of Directors of the City of Miami CRA. III. GENERAL TERMS AND CONDITIONS A. FIRM QUALIFICATIONS The firm must possess demonstrated ability, knowledge and expertise to provide community redevelopment services to the City of Miami CRA. It is important that the firm have sufficient depth of talent and be able to allot a sufficient amount of time to meet the sometimes great demand that the City of Miami CRA will place upon the firm selected as community development manager. The selected firm must be in position to attend meetings of the Board of Directors of the City of Miami CRA and respond quickly and efficiently to the Board of Directors' concerns and demands related to any development or project activities. B. GENERAL REQUEST INFORMATION Firms must submit copies of the completed Statement of Qualifications by mail or hand delivery to the Executive Director of the City of Miami CRA, 300 Biscayne Boulevard Way, Suite 430, Miami, Florida 33131, on or before , 1999 at 4 p.m. The outside of the envelope should be clearly labeled "Statement of Qualifications for Community Development Manager". No Statements of Qualifications or parts thereof received after this time will be given consideration. The responsibility for the timely delivery of the qualifications to the City of Miami CRA is solely and strictly the responsibility of the firm. Offers by telephone, telegram or facsimile will not be accepted. The City of Miami CRA will not responsible for any expenses incurred by any firm in preparing and submitting a Statement of Qualifications. Statements of Qualifications shall provide a straightforward delineation of the firm's capabilities to satisfy the requirements of this R1RFQ. Emphasis should be on completeness and clarity of contents. After announcing its selection, the selected firm and the City of Miami CRA shall negotiate and enter into a contractual agreement which shall set forth all terms and conditions for the performance of the successful firm is prohibited from assigning, transferring, conveying, subletting or otherwise disposing of the agreement to be entered into or its rights, title of interest therein or its power to execute such agreement to any other person, company or corporation without the prior consent and approval in writing of the Board of Directors of the City of Miami CRA. ACCEPTANCE/REJECTION The City of Miami CRA reserves the right to waive any minor irregularities and technicalities and may, at its discretion, reject any or all Statements of Qualifications submitted and request new qualifications or additional information. When a firm is tentatively selected, a conference may be requested to formulate plans in greater detail to clarify any items, and to otherwise complete negotiations prior to the formal award. In the event the firm receiving the award does not execute a contract within days after the award of this RFQ, the Board of Directors of the CRA may give notice to the firm of intent to award the contract to the next responsible firm or to call for a new Request for Qualifications. D. EVALUATION AND SELECTION CRITERIA Selection of the successful firm will be based solely upon (1) materials submitted in response to this RFQ in a timely manner; and (2) impressions resulting from an interview before the Evaluation and Selection Committee. Evaluation of Statements of Qualifications will include, but not be limited to: 1. Responsiveness of the Statement of Qualifications as to timeliness and in clearly stating an understanding of the work to be performed. 2. The firm's experience with community redevelopment and work with local, state and federal funds related to community redevelopment. 3. Perceived ability of the firm to perform the required services. 4. The background, qualifications, experience and services of the person(s) who would actively work on the CRA's community redevelopment matters. 5. The firm's experience in preparing community redevelopment programs and negotiating transactions for a range of blighted, distressed or urban developments including commercial and mixed -use commercial endeavors. ®UmMA 9 9 - 6. Prior experience identifying and obtaining innovative sources of funding or financing for blighted, distressed or urban areas. 7. The respondent's ability to prepare pro forma financial analyses for all types of real estate developments, as well as its ability to negotiate and administer transactions involving public -private partnerships. 8. Demonstrated managerial and administrative experience of the firm to provide the required services. 9. The firm's demonstrated ability to direct public participation and facilitation programs, and the firm's ability to direct such efforts in ethnically and racially diverse communities. 10. The firm's specific experience with bond, tax increment financing, and federally funded issues. 11. Preference shall be given to firms with offices in the State of Florida. 12. A detailed, estimate of the fees required for the required services. E. EVALUATION AND SELECTION PROCESS An Evaluation and Selection Committee consisting of representative(s) from the Overtown Advisory Board, representative(s) from the Bayfront Trust, and representative(s) of the City of Miami shall evaluate the qualifications of firms submitting Statements of Qualifications, rank the firms and may conduct interviews with the three top ranking firms. A report of the evaluation and selection process shall be made by the Evaluation and Selection Committee with its recommendations to the Board of Directors of the City of Miami CRA. The final selection and award shall be made by the Board of Directors of the City of Miami CRA. F. CONFLICT OF INTEREST A firm shall make an affirmative statement in its Statement of Qualifications to the effect that, to its knowledge, its retention would not result in a conflict of interest, as defined by Chapter Florida Statutes, with the City of Miami CRA. Alternatively, should any potential conflict exist, the firm's Statement of Qualifications should specify the party with which the conflict exists or might arise, the nature of the potential conflict, and the means proposed to resolve the conflict. G. CONTRACTUAL AGREEMENT After announcing its selection, the selected firm and the City of Miami CRA shall negotiate and enter into a contractual agreement which shall set forth the terms and conditions for performance under this RFQ. During the contract period, the Board of Directors of the City of Miami CRA reserves the right to restate or renegotiate with the firm such additions, deletions, or changes to the contract as may be necessitated by law or changed circumstances. In the event the firm and the City of Miami CRA can not come to a mutual agreement and negotiation on any such addition, deletion or change, either party may terminate the contract upon written notice to the other. H. EEO STATEMENT The successful firm agrees to comply with all laws prohibiting discrimination on the basis of race, color, religion, disability, ancestry, national origin, age, and sex. I• SUBMITTAL REQUIREMENTS AND FORMAT A. Organization 1. Title page showing the name of the firm, address, telephone number and name of person authorized as the principal contact and to make representations for the firm to the City of Miami CRA. 2. Describe your firm's qualifications for providing the required services. Include a description of the firm's experiences or achievements to demonstrate the firm's ability to meet the criteria set forth in Section D of this RFQ. 3. Provide a statement of the firm's local availability and degree of accessibility to the City of Miami CRA. If the firm is not located in Miami -Dade County, give specifics as to how the requisite accessibility will be provided. 4. Individual resume(s) of the key personnel that would be primarily responsible for performing the tasks required for this possible multi -year assignment. 5. References: Provide the name, title, agency, address, telephone number and fax number of the following: (a) Three client representatives, for whom the firm has provided services in an assignment, preferably an assignment described in the firm's qualifications under paragraph 2 of this section. 6.
