ODIO City Manager This letter is being written to seek clarification regarding certain parliamentary issues associated with the Community Redevelopment Agency Board meetings. At the last CRA Board meeting of March 18th, I noticed that on page one of the interlocal cooperation agreement between Metro -Dade County, the City of Miami, and the Community Redevelopment Agency, that there was reference to the City of Miami in ...._said_instrument. There was also lengthy discussion by Assistant City Attorney, Linda Kearson (see attachment), who made certain references to the fact that the Board did riot have to sit in the capacity of the City Commission, and again pass said interlocal cooperation agreement. Kindly reference our Label No. 1 from the OMNI/SEOPW/CRA March 18th meeting. Please be advised that we did not delete the reference to the City of Miami in either case, the reason being that there was no specific action taken regarding same. Also be advised that all of the formal actions taken by the CRA Hoard have been done in motion form. Inasmuch as a motion is only an expression of intent, I would respectfully ask for your opinion as to whether or not in the case of the Interlocal cooperation agreement that intent needs to be formalized in resolution form, as it relates to actions taken by the CRA Board. Normally, with the formalization of any actions taken by the City Commission, we have done so in resolution form. Therefore, I must ask you if, in fact, we need to formalize the action taken by the City Commission in approving the modifications of the interlocal cooperation agreement. With respect to the discussion on the interlocal agreement, Linda Kearson was trying to make the point that there was no reason for the City to be a party to the agreement. She asserted that the CRA had benefits and obligations under the agreement and was a logical party. She also contended, however, that the City was added as a party merely at the convenience of the County. In any case, there is no reason for you to revise the references in the minutes. As to the CRA's approval of the agreement, I believe it would be appropriate for the Board's intent to be formalized in a resolution. I will prepare the same and circulate it to you and Mr. Bailey.
