Community Redevelopment Agency for the Oinni Redevelopment Asoi (the "CR.A").

approved a Redevelopment Plan. as may be amended from time to t.ii;te (the "Plan"), and a Tax
Increment Fund (the "Fund") for the Omni Redevelopment Are.a (hers inatler referred to as the

WHEREAS, the COCiNTY,,,vill assist the CRA in can, r out the PROJECT by
developing: and financing the catalytic project, the Performing Arts Center, utilizing, in part, tax
increment revenues as descri►,cd in the. Plan; and
WHEREAS, the. COLNTY and the; CRA desire t:o provide the manner in which the
C_:OLINTY shall have overall responsibilitics for the Perfornung Arts Center, and the C.RA shall
have overall responsibilities for the remainder of the PROJECT;

A. The C (.}Y,*i I'i' shall have the sole right. and responsibility for planning, surveys,

land acquisition, construction management. and all other community redevelopment undertakings,
activities_ or prcnlects and related activities as defined in Chapter 163, Florida Statutes, relating to
the Pertnrrning Arts Center as shown in rlie Plan. The COUNTY shall have the right to ensure

R. )'he County Manager shall designate County Proiect Coordinators who shall he
primarily responsible for carrying n►,t. all aspects of the PROJECT relrting to the Perfor<nin;g Arts
Center, and specifically those aspects specified in paragraph 1 ,A.. The County Praj:�ct
is oordinator% will provide quarterly reports to the CRA of any COUNTY activity tissocittted Witt,
(lie Perfort,,ing Arts Center and will carry, out the daily responsibilities of such actIVILv.
C. The CAA shall designate a C R-A Proiect Coordinator, who shall be primarily
responsible for cam ing out all aspects of the PROJECT other than those relating to the
Pertbrnung Arts Center. The CR.A. Prc+iect Coordinator will provide annual reports tt+ the
C'+:.rUN ry of any C:RA activity associated N�aih all such aspects of the PROJECT.

the :Plan, other than the Perl rming Arts Center: developing proposals for lina.ncing the
PROJECT, other than the Performing 1vts Center; coordination Of relocation a(Aivities: and
coordination of the design and construction of public;inproven,ent.s necessary to support t,ny
C:P.A adminestered redevelopment activity in;,plernenting the Plan (which shall exclude any
redevelop► lent activity relating to the Perfi,nTxinry Arts (:.enter).

Performing Arts Center, the COUNTY shall ensure that all documentation relating to such
indebtedness or bonds shatl lintit the liability of the CRA to such $1.43 million per year, subject to
availability of such funds_ and the COUNTY will indemnify and hold the C.'RA harmless for any
liability in excess of the $1,43 million per year as originally committed.
Over a three year period of timY commencing the year this Af;reemeiv is executed a. total
