Summary of Development Process and Project Profile
The Community Redevelopment Agency ("CRA") is issuing a Request for
Qualifications ("RFQ") to invite interested developers to submit professional
qualifications for a residential development project ("Project") located within the
CRA district.
The proposed development effort is a two step process. Step 1 involves issuance
of the RFQ document, inviting prospective developers to submit professional
qualifications and proof of financial means to undertake the proposed Project.
The qualifications submitted in response to the RFQ will be evaluated, qualified,
and shortlisted based on the evaluation criteria established in the RFQ.
As part of the Step II process, the two highest ranked developers will be asked to
prepare and submit the actual development proposals. Such proposals will be
evaluated and ranked based on the criteria established by the CRA. The
developer whose proposal received highest points will be awarded the
development rights for the Project. The second ranked proposal shall be retained
as alternate, if the first ranked proposer fails to undertake the Project.
Following the award, the CRA shall retain an appraiser to determine the
successful project's fair market value and return to CRA, and subsequently
negotiate the terms of the land lease and development agreement with the
selected developer.

I. Public Notice
The Southeast Overtown/Park West Community Redevelopment Agency of the
City of Miami (the "Community Redevelopment Agency" or the "CRA") is
extending invitations to qualified and experienced developers to submit
professional qualifications for primarily residential developments on
approximately 4.2 acres of land located in Downtown Miami.
The proposed project is a public/private development effort between the
Community Redevelopment Agency and the successful proposer(s). In
accordance with the proposed development plan the Community
Redevelopment Agency shall enter into a long term land lease or purchase
agreement with the successful proposer which will design, finance, construct and
manage the proposed developments.
The project area consists of two blocks property, approximately 4.2 acres, located
between NW 8th and 10th Streets and NW 1st and 2nd Avenues, adjacent to the
Miami Arena. The proposers may submit proposals for the development of
either one or both blocks.
As part of the Request for Qualifications process, the proposers are expected to
demonstrate their professional experience and range of experience in projects of
similar scope and complexity, financial capability to successfully undertake and
complete the project, present a viable financial strategy, and comply with
minority participation objectives.
Respondents to this Request for Qualifications shall be evaluated and ranked
based on the criteria outlined above, and subsequently the two highest ranked
proposers shall be invited to submit proposals for the proposed development
project.

The Community Redevelopment Agency, established by the City of Miami
pursuant to Ordinance No. 11248 adopted April 27, 1995, is inviting interested
proposers to submit qualifications for development of primarily residential and
incidental commercial uses on approximately 4.2 acres of land located in
Downtown Miami, adjacent to the Miami Arena.
The subject site is located in the Southeast Overtown Park/ West Community
Redevelopment Area, and bounded by Northwest 8th and 10th Streets and
Northwest 1st and 2nd Avenues. The development site is owned by the CRA
and currently used as surface parking areas for the Miami Arena patrons and
visitors.
B. Redevelopment District
The Southeast Overtown/Park West Redevelopment Area ("District") was
established as the community redevelopment/tax increment district by the City
of Miami ("City") and Metropolitan Dade County ("County") in 1982, pursuant
to the Community Redevelopment Act of 1969. The district is approximately 240
acres of prime development area, located mainly in northwestern section of the
central business district.
The Southeast Overtown/Park Redevelopment District Master Development
Order call for the development of 472,150 s.f. of Office,151,675 s.f of Retail Space,
500 Rooms Hotel, and 9,000 Residential Units in next 17 years.
C. Redevelopment History
In recent years, the City in its capacity as the community redevelopment agency
has made significant and ongoing investments in the District. As part of the
Phase I and II Developments, the City assembled and acquired nearly 40 acres of
land, built a 15,600 seats multi -use sports arena, constructed NW 7th and 9th
Streets Malls, and initiated the development 820 rental units and 40 town -homes.
In addition, the City has removed numerous slum and blighted structures and
built new infrastructure to meet the District's future development requirements.
The public investment for the District to date exceeds $65 million. Furthermore,

the City set up the CRA, as the agency charged exclusively to redevelop the
District.
D. Other Developments
The District is located within close proximity of the growing central business
district ("CBD"), and served well by the state of the art Metrorail system, and its
downtown loop called Metromover extension which further connects the CBD
with the Brickell and Omni areas. Downtown Miami is considered by many
people the center of business and trade of the South Florida region with over 4.5
million population. Downtown Miami experienced a phenomenal growth
beginning late 1970s, including the addition of 8.5 million s.f. commercial office
space which created a total of 14 million s.f of commercial office space.
According to traffic studies, over 110,000 people commute to Downtown Miami
daily.
Impressive business growth in Downtown Miami has resulted in not only
commercial developments but also thousands of luxury residential
developments along Brickell Avenue and the nearby Claughton Island.
However, these residential developments are mostly high -end luxury units,
typically marketed to wealthy families or international investors. Therefore, the
proposed residential development is part of an overall effort to create affordable
residential opportunities for the families and individuals who have expressed an
interest in living within close proximity of Downtown Miami.
A number of landmark developments have taken place in immediate proximity
to the District, such as Bayside Marketplace, a Federal Justice Building, State of
Florida Administrative Offices, Miami Dade Community College Downtown
expansion, new YWCA, Freedom Tower Renovation, Metrorail - Metromover
extensions, and new Government Center.
Several projects are currently in either planning or implementation stages,
including the following: Performing Arts Center project ($170 million), Maritime
Park ($240 million), World Trade Center -Phase I ($105 million), Roberto Burle
Marks Biscayne Boulevard Development ($21 million), Citadel mix -use
development ($5.5 million), and St. John Residential Developments Phase 11 ($4
million).

III. Proposed Development Program
The CRA's objective is to provide proposers with a substantial degree of
flexibility in preparing their physical program and phasing of the proposed
project over time. However, the residential uses with optional incidental
commercial space should be the main objective of the overall development effort.
A. Site Characteristics
As noted above, the proposed development site is comprised of two city blocks,
located in Downtown Miami, bounded by NW 8th and 10th Streets and NW 1st
and 2nd Avenues (see Project Overview and a map of Southeast Overtown/Park
West CRA on the following pages). The combined development area is
approximately 4.2 acres.
The award winning 9th Street Pedestrian Mall extension lies between two blocks
(see pictures of the area in Appendix A). The 9th Street Pedestrian Mall,
considered as the spine of the redevelopment district, will eventually stretch
from I-95 expressway to Biscayne Boulevard, connecting with the world famous
landscape designer Roberto Burle Marx's Biscayne Boulevard improvement
project.
The immediate future phases of the 9th Street Mall development include an
extension of the plaza to the historic Lyric Theatre, memory fountain wall, a
small amphitheater, and streetscape development within the Historic Overtown
Folklife Village. In addition, the CRA is in the process of obtaining approval
from the FEC Railway Co. to complete the 9th Street Mall extension at the
Railroad crossing and NW 1st Avenue. Furthermore, land acquisition is
underway to build recreational facilities, tennis courts and other children
playground activities at the southeastern corner of Block 25.

B. Project Timetable
Construction must commence within six months after the execution of the
development agreement between the CRA and selected proposer. The proposer
may develop both blocks concurrently or in phases. However, if the
development program will be completed in phases, the second phase of
development has to occur within either six months after the completion of the
first phase of development or reaching 90 percent occupancy of the first phase of
development.
C. Development Program
The proposers may submit proposals for the development of either one or both
blocks. The CRA will provide maximum flexibility to all interested proposers in
planning the final development package. Nevertheless, CRA urges all proposers
to consider a residential development program with a creative design and strong
emphasis on single family, townhouse type low density developments.
Residential: Single Family, Town -homes or combinations for home-
ownership.
Parking: On site surface or structure parking (garage, etc.)
D. Commitment of Funds
The CRA shall not provide any direct funding for the proposed development
contemplated by this RFQ document. The selected proposer is expected to
provide sufficient equity and third party financing to undertake the entire
development project. The selected proposer is also required to provide the CRA
a minimum guaranteed annual rent or fair market value purchase price for the
land which will be determined based on independent appraisals of the
proposer's development project before the execution of the land lease and/or
purchase development agreement.
The CRA intends to play an instrumental role in assisting the selected proposer
in all aspects of the development program, including permitting, marketing and
promotion, and securing long term financing for the project.

IV. Selection Process and Proposer Qualifications
The selection process will consists of two sequential steps. Upon receipt of
proposers' qualifications, a determination of compliance with submission
requirements and threshold qualification standards will be performed. Those
proposers determined to be in compliance with the threshold qualifications
standards will then be considered for evaluations, which include interviews, and
followed by ranking of the qualified proposers. Subsequently, the two proposers
with highest ranking qualifications will be invited to prepare and submit the
actual project proposals for further consideration.
A. Threshold Standards
The CRA has established four threshold qualifications as part of threshold
qualification standards. All proposers are expected to meet these standards to
receive further consideration of their qualifications. The CRA encourages all
proposers to form appropriate development teams in order to assemble the
requisite expertise, experience and financial capability to meet these threshold
standards. As such, where applicable, these standards will be applied to the
development team as a whole, in a manner that is commensurate with the
allocation of responsibility within that team.
Each proposer is expected to demonstrate the following:
1. A single project, previously completed or under development, for which
at least $8 million in financing was secured.
2. Successful development of at least one major residential project (150,000
s.f or 75 units)
3. The assignment to the project team, at all times during the proposed
development period, a senior project representative with at least 5 years of
prior experience with medium to large scale (100,000 s.f or 75 units)
residential or mixed use project.
4. A record of long term management of completed projects, including
specific experience with each program component contained in the
proposer's proposal.

The proposed project requires an experienced residential development team with
a proven record of inner city residential development history. The CRA expects
demonstrated expertise and experience in the development, management and
operation of the proposed residential project.

V. Evaluation Criteria:
Each qualification will be evaluated based on the evaluation criteria established
in the RFQ document. Qualifications must be fully responsive to all
requirements described in this RFQ, and to any subsequent request for
clarification or additional information made by the CRA through written
addenda to this RFQ. Qualifications failing to comply with the submission
requirements, or those unresponsive to addressing any part of the RFQ, will be
disqualified.
A. Evaluation Criteria
The CRA identified six (6) sets of evaluative criteria against which each proposer
will be considered as part of the Selection Process and Proposer Qualifications
delineated in Section IV.
The evaluation criteria are:
1. Proof of financial capability to complete the project: internal capacity
and lender relationship.
2. Managerial capability.
3. Technical expertise in residential projects.
4. Record of past completed projects.
5. Staff, organization and/or industry reputation.
6. Compatibility with, and responsiveness to, the CRA's objectives for this
project.
All criteria set forth above will be given equal weight in the evaluation leading to
the selection of two successful proposers. Furthermore, it is the objective of the
CRA to promote minority participation in the development process, therefore,
the development teams with minority participation shall be given additional
consideration.
B. Disqualification and/or Rejection of Qualifications
The CRA may reject or disqualify a qualification under any of the following
circumstances:

1. The proposer fails to acknowledge receipt of any formal addenda
2. The proposer misstates or conceals any material fact in the qualification
3. The qualification does not strictly conform to applicable laws or any
requirements of the RFQ
4. The qualification does not include documents, certificates, affidavits,
acknowledgments or other information required by this RFQ
5. The qualification has not been executed by the proposer through or by
an authorized officer or representative of the proposer or proposer team.
6. The CRA may reject all qualification and/or re -advertise all or any part
of this RFQ when it is deemed in the best interest of the CRA.

VI. Submission Requirements
The qualifications submitted in response to this RFQ shall meet all requirements
outlined in Section IV. Submissions deficient in providing the required
information shall be determined non -responsive and ineligible from any further
consideration.
A. Composition of Proposing Team
The development team shall demonstrate professional expertise in the following
disciplines:
1. Financial capabili.ti,l: principals shall demonstrate ability to obtain adequate
financing for all aspects of the proposed project,
2. Architectural: shall be registered to practice architecture in the State of
Florida, as required by FS Chapter 481, Part I. Architecture,
3. Landscape Architecture: shall be registered to practice landscape architecture
in the State of Florida, as required by FS Chapter 481, Part II. Landscape
Architecture,
4. Engineers: shall be registered to practice engineering in the State of Florida as
required by FS Chapter 471, Professional Engineers,
5. General Contracting or Construction Management: shall be licensed as a general
contractor in the State of Florida or Dade County.
B. Format and Content of Submission

OVERTOWN/PARK WEST COMMUNITY REDEVELOPMENT AGENCY (THE "CRA"). ANY ACTION
TAKEN BY THE CRA IN RESPONSE TO QUALIFICATIONS MADE PURSUANT TO THIS RFQ OR IN
